In Portugal, hewas Governor and President of Banco de Angola(1974-78); Secretary of State of Treasury (1978-80and 1983-85); Chairman of the União de BancosPortugueses (until 1991); consultant to Banco dePortugal (until 1992); consultant to AssociaçãoIndustrial Portuense (1991-96); Chairman of theEDP Board of Directors (1996-98); Board Directorof the European Bank for Reconstruction andDevelopment (1998-2004); Chairman of the EDPAudit Committee (2003-04) and Chairman of OMIPand OMIClear (2004-06). In terms of academicactivities, he was an invited lecturer to Universidadede Lourenço Marques (1971-74) and UniversidadeAutónoma de Lisboa (1992-99). Since 2009, heis President of the ISEG School Council. He wasdesignated for the first time Chairman of theGeneral and Supervisory Board of on 30th June2006 and reappointed on 15th April 2009. His termof office expired on 20th February 2012.Diogo Campos Barradas de Lacerda Machado Hewas born on 17th May 1961. He has a degree in Law.He was management trainee at FIMA-LEVERIGLO(1986); a legal consultant to the Tourism Fund(1986-88); an advisor to the Government of Macao’sDeputy Secretary for Administration and Justice(1988-90); a senior legal consultant of the TourismFund (1990-92) and Director of Interfina and severalof its subsidiary companies (1992-95). From 1995to 1999 he was a lawyer and a partner of the firmSampaio Caramelo, Fonseca Santos & LacerdaMachado and a member of the Superior JudicialCouncil (1997-99). He served as Legal Director forthe Parque Expo’98 Group and as Director of itsassociated companies (1999). He was Secretaryof State for Justice (1999-2002). He is currentlya lawyer working off-counsel with the Barrocas,Sarmento e Neves law firm; member of theCommittee for Access to Government Documents(CADA); non-executive Board Member of BAO –Banco da África Ocidental (Guinea- Bissau) andMoza Banco (Mozambique). Since February 2010,he is Vice-Chairman of Caixa Económica de CaboVerde (Cape Verde). He was appointed for memberof the General and Supervisory Board of EDPon 30th June 2006 and he was reappointed on15th April 2009. His term of office ended on 20thFebruary 2012. His term of office expired on 20thFebruary 2012.Farid Boukhalfa He was born on 22nd of February1953. He has a bachelor degree in Accountability(National Institute of Hydrocarbons Bourmerdes),a degree in Finances (INPED Bourmerdes) anda post-degree in Auditing (Alger University). Hestarted working in Sonatrach in 1975. He beganhis activity developing technical-economicalstudies on Sonatrach projects defined on thecompany quinquennial plans. From 1992 to 1999,he has head of the Coordination and Synthesesdepartment. In 1999, he became sub-director ofthe Budget and Management Control departmentand in 2000 he has appointed as Director ofSonatrach’s Management Control Department. InEDP - Annual Report 20122007, he became Director of the ConsolidationAccountability Department. Since 2008, he is theSonatrach Chief Financial Officer. In June 2011, hehas been appointed as Finance and AdministrationGeneral Manager Sonatrach Petroleum Corporation,subsidiary of Sonatrach in London. He wasdesignated member of the General and SupervisoryBoard of EDP, representing Sonatrach, on 4thFebruary 2010. His term of office expired on 20thFebruary 2012.Joaquim José de Oliveira Reis He has born on16th March 1958. He has a degree in Economics byISEG (1983). He was Finance Director and Directorof Socifa Beta (1989-1991), Director and Head ofTrading Room of Socifa Beta (1992/1993), GeneralManager of Central de Investimentos (1993/1998),Director of Central de Investimentos (1998 /2003); Director of the Board of Lisbon Brokers(2003/2005). He was Chairman of the Board ofOTLIS (2005/2007), CFO of Transtejo (2005/2006),Chairman and CEO of the Board of the LisbonMetro and Ferconsult (2006), Chairman of theGeneral Meeting IUPT (International Union of PublicTransport) and Vice-President of IUPT (2006). Heis Chairman and CEO of the Board of Parpública(since May 2010) and non-executive Director ofAdP (since June 2010). He was designated memberof the General and Supervisory Board of EDP,representing Parpública, on 28th April 2011. Heresigned on 11th October 2012.José Manuel dos Santos Fernandes He has bornon 23rd September 1945. He has a degree inMechanical Engineering by the Engineering Schoolof Universidade do Porto. He is the Chairman of theBoard of FREZIGEST, SGPS, since 2005. He wasthe General Director of MIDA (1974-1990); Director(1972-74) and Member of the Board of MetalúrgicaCosta Néry S.A. (1974-75); Head of Productionof CERLEI (1960-1972). He is also President ofPRODUTECH (2009); Vice-president of the GeneralMeeting of the AEP (2008); Vice-president of theGeneral Meeting of Manufuture Portugal (2005).He was Executive Vice-president (2001-04) andPresident of the General Meeting of CIP (2004-07). He was also CIP’s representative at theNational Counsel for Environment and SustainableDevelopment (2000-02). He was Vice-president ofthe AIP (1984-98) and represented this associationin the National Quality Counsel (1988-98) andScience Counsel (1996). He was President of thePortuguese Metal Industry Association (1998-2004).He is the Portuguese representative at the EuropeanTools Committee (since 1998). He was a Memberof the Executive Board (1987-90) and Member ofthe General Assembly of EXPONOR (1998-2009).He is Vice-president of AEP’s General Meeting(since 2008) and he coordinated an official nationalbusiness mission to Venezuela in 2008. He is thePresident of the General Assembly of AIMMAP (since2010). He was designated member of the General andSupervisory Board of EDP on 15th April 2009. Histerm of office expired on 20th February 2012.José Maria Freire Brandão de Brito He was bornon 10 January 1947. He has a degree and a PhDon Economics by ISCEF/ISEG. He is a seniorEconomics professor at ISEG/Technical Universityof Lisbon (UTL). He was an expert at INII (1968-75);Vice-president of IAPMEI’s Consultative Council(1975-80); Executive Vice-president of TAP – AirPortugal, SA (1996-98); CEO of RTP – RadioTelevisão Portuguesa, SA (1998-2001); Vicepresidentand General Manager of Portugal GlobalSGPS (2001-02); Commissioner of the exhibition“Engenho e Obra – Engenharia em Portugal no Séc.XX” (2003). He is currently also Board Memberof IDEFE/ISEG (since 2007), member of the UTLGeneral Counsel (since 2009) and ISEG GeneralCounsel (since 2009), member of the ExecutiveCommittee of “Project Farol”, a think tank fromDeloitte Circle. He is a member of several scientificinstitutions and has participated in more thanfifty national and international seminars. He haspublished several books and papers on appliedeconomics and writes opinion articles on a regular275

He has a degree in CivilEngineering by Instituto Superior Técnico (1957).He was an assistant lecturer at IST responsible fordescriptive geometry (1958-68). He is President ofthe Specialized Section for Reprivatizations (SER)within the Ministry of Finance (since 1988) andChairman of the Supervisory Board of CIMPOR(since 1992). He was a Member of the Board ofDirectors of EDP, responsible for strategic planning(1976-1988). During this period he has activelyparticipated on the reorganization and consolidationof EDP, in optimizing the Generation NationalSystem, in the procurement for large electricityprojects and in negotiating with the World Bankfor the expansion of generation and transmissioninfrastructures. He was a member of the NationalEnergy Plan Commission and a representativeof CPE and EDP at the Executive Committee andat the General Assembly of the Union for theCoordination of the Production and Transport ofElectric Power (1971-88). He was a member ofthe Board of Companhia Elécrtica do Alentejoe Algarve (1975-76). Between 1957 and 1975he developed work on hydropower generationas part of the Zêzere Hydroelectric and CPE.He was appointed member of the General andSupervisory Board of EDP on 15 th April 2009. Histerm of office expired on 20 th February 2012.Executive Boardof DirectorsAntónio Luis Guerra Nunes Mexia, Chairman.He was born on 12th July 1957. He receiveda degree in Economics from Université deGenève (Switzerland) in 1980, where he wasalso Assistant Lecturer in the Department ofEconomics. He was a postgraduate lecturerin European Studies at Universidade Católica.He was a lecturer at Universidade Nova de Lisboaand at Universidade Católica from 1982 to 1995.He served as Assistant to the Secretary of Statefor Foreign Trade from 1986 until 1988. From1988 to 1990 he served as Vice-Chairman of theBoard of Directors of ICEP (Portuguese Institutefor Foreign Trade). From 1990 to 1998 he wasDirector of Banco Espírito Santo de Investimentosand, in 1998, he was appointed Chairman ofthe Board of Directors of Gás de Portugal andTransgás. In 2000 he joined Galp Energia asVice-Chairman of the Board of Directors. From2001 to 2004, he was the Executive Chairmanof Galp Energia and Chairman of the Board ofDirectors of Petrogal, Gás de Portugal, Transgásand Transgás-Atlântico. In 2004, he wasappointed Minister of Public Works, Transport andCommunication for Portugal’s 16th ConstitutionalGovernment. He also served as Chairman ofthe Portuguese Energy Association (APE)from 1999 to 2002, member of the TrilateralCommission from 1992 to 1998, Vice-Chairmanof the Portuguese Industrial Association (AIP)and Chairman of the General SupervisoryBoard of Ambelis. He was also a Governmentrepresentative to the EU working group forthe trans-European network development. OnJanuary 2008 he was appointed as member ofthe General and Supervisory Board of BancoComercial Português, SA, having been previouslya member of the Superior Board of this bank. Hewas appointed on 30th March 2006 as Chairmanof the Executive Board of Directors, which officebegan on 30th June 2006, and reappointed on15th April 2009 and 20th February 2012.Nuno Maria Pestana de Almeida Alves. He wasborn on 1st April 1958. He holds a degree in NavalArchitecture and Marine Engineering (1980) anda Master in Business Administration (1985) bythe University of Michigan. In 1988, he joins thePlanning and Strategy Department of Millennium276BCP and in 1990 becomes an associate directorof the bank’s Financial Investments Division. In1991, Mr. Nuno Alves is appointed as the InvestorRelations Officer for the group and in 1994 hejoins the Retail network as Coordinating Manager.In 1996, he becomes Head of the Capital MarketsDivision of Banco CISF, currently MillenniumBCP Investimento, and, in 1997, Co Head of thebank’s Investment Banking Division. In 1999, Mr.Nuno Alves is appointed as Chairman and CEO ofCISF Dealer, the brokerage arm of Banco CISF.Since 2000, before his appointment as EDP’sChief Financial Officer in March 2006, Mr. NunoAlves acted as an Executive Board Member ofMillennium BCP Investimento, responsible forBCP Group Treasury and Capital Markets. He wasappointed on 30th March 2006 as member of theExecutive Board of Directors, which office beganon 30th June 2006, and reappointed on 15th April2009 and 20th February 2012.João Manuel Manso Neto. He was born onApril 2nd 1958. He graduated in Economicsfrom Instituto Superior de Economia (1981)and received a post-graduate degree inEuropean Economics from UniversidadeCatólica Portuguesa (1982). He also completeda professional education course through theAmerican Bankers Association (1982), theacademic component of the Master’s Degreeprogramme in Economics at the Faculty ofEconomics, Universidade Nova de Lisboa and,in 1985, the “Advanced Management Programfor Overseas Bankers” at the Wharton Schoolin Philadelphia.From 1981 to 1995 he worked atBanco Português do Atlântico, occupying severalpositions, manly as Head of the InternationalCredit Division, and General Manager responsiblefor Financial and South Retail areas.From 1995to 2002 he worked at the Banco ComercialPortuguês, where he held the posts of GeneralManager of Financial Management, GeneralManager of Large Corporates and InstitutionalBusinesses, General Manager of the Treasury,member of the Board of Directors of BCP Bancode Investimento and Vice-Chairman of BIG BankGdansk in Poland. From 2002 to 2003, he wasa member of the Board of Banco Português deNegócios. From 2003 to 2005 he worked at EDPas General Manager and Member of the Board ofEDP Produção. In 2005 he was elected CEOat HC Energía, Chairman of Genesa and Memberof the Board of Naturgas Energia and OMEL. Hewas appointed on 30th March 2006 as memberof the Executive Board of Directors, which officebegan on 30th June 2006, and reappointed on15th April 2009 and 20th February 2012.António Manuel Barreto Pita de Abreu. He wasborn on 17th March 1950. He received his degreein Electrotechnical Engineering from InstitutoSuperior Técnico (Lisbon) in 1972, where heworked as an assistant lecturer and guestlecturer in the Department of ElectrotechnicalEngineering and Computers.Since March 31st,2006 Mr. Pita de Abreu is a Member of the Boardof Directors of EDP - Energias de Portugal, S.A.and since 2008 he is CEO of EDP – Energias doBrasil.He began working in the electricity sectorin 1977 and until 2006 he occupied, among others,the following positions: Executive member of theEDP Board of Directors; Chairman of the Board ofDirectors of REN (Portuguese National ElectricityGrid), EDP Produção, CPPE (PortugueseElectricity Generation Company), EDP Cogeraçãoand of Termoeléctrica do Ribatejo; Vice-Chairmanof the Board of Directors of EDP Distribuição –Energia, member of the Board of Directors of EDPEnergia and of EDP Brasil; Executive memberof the Board of Directors of REN.
