Meetings ofthe General andSupervisory BoardOrdinary meetings of the General andSupervisory Board are held at least once everyquarter and extraordinary meetings take placewhenever convened by the Chairman, either onhis own initiative or at the request of any memberof the Executive Board of Directors or of itsChairman pursuant to Article 24 (1) of the Articlesof Association and Article 19 (1) of the InternalRegulations of the General and SupervisoryBoard. In 2012, the General and SupervisoryBoard met nine times. Minutes of all meetingswere kept.126II.25. General andSupervisory Boardand EvaluationCommitteeThe General and Supervisory Board in office until20 February 2012 had seventeen members,the majority of whom were independent.The General and Supervisory Board currentlyhas twenty three members, the majority of whomare independent. They meet the qualificationand competence requirements set out in theArticles of Association and laws applicable toEDP. The current composition of the General andSupervisory Board is set out in Chapter II.1.The purpose of the Corporate Governanceand Sustainability Committee is to oversee theevaluation of the directors’ individual and overallperformance, reflect on EDP’s governance systemand identify potential candidates with the rightprofile to be directors. There were no constraintsplaced on the work done by the committee.The current composition and competences ofthe Corporate Governance and SustainabilityCommittee are set out in Chapter II.2.A World Full Of Energy
