(hereinafter known as “Ames”) or to any person(s) or firm(s) acting onAmes behalf, the right to obtain information that relates to the extension of credit to the Customer.The representation and warranty of the Customer contained on this and the other side of this agreement constitutes an agreement (the “Agreement”)between the Customer and Ames upon the extension of credit by Ames to the Customer. By the execution of this Agreement by the Customer (below)the Customer agrees that in consideration of Ames extending credit and selling goods to the Customer from time to time, the Customer agrees withAmes as follows:A. That Ames can specify the terms of sale and that Ames may change the terms of sale from time to time without advance notice to the Customer.The terms of sale, not otherwise specified in this Agreement will be described on the invoices or other documentation pertaining to the goodspicked up by the Customer, or delivered by Ames to the Customer from time to time and changes, if any, of these terms will also be described onthese invoices or other documentation.B. That Ames shall be entitled to charge 1.5% interest per month on any past due amount. The rate of interest charged, not otherwise specified inthis Agreement will be described on the invoices or other documentation pertaining to the goods picked up by the Customer or delivered by Amesto the Customer from time to time and changes, if any, in the rate of interest charged will also be described on these invoices or otherdocumentation.C. That in the event that the Customer fails to pay all invoiced amounts or any interest thereon when due and payable, then in addition to anyremedies available to Ames at law, Ames shall also be entitled to take legal proceedings for the recovery of all amounts owed to Ames and torecover legal costs on a solicitor/client basis together with interest on any judgment obtained by Ames.D. That Ames will not accept returned goods without prior consent. Ames will not accept returns on setting materials or grouts. Returned goods willnot be accepted after fifteen (15) days from pick-up by the Customer or delivery by Ames to the Customer. Returned goods must be prepaid, infull original cartons, in saleable condition, and accompanied by original invoice number. A minimum 15% restocking charge will be assessed on allaccepted returns. No returns will be accepted on direct factory orders and on goods manufactured to order once they have left the manufacturer.E. That at any time and from time to time Ames may refuse to sell or deliver to the Customer or extend credit to the Customer and Ames may alsocancel all credit arrangements without notice or reason.F. That these credit arrangements are personal to the Customer and cannot be transferred or assigned by the Customer without the prior writtenconsent of Ames, which may be arbitrarily withheld or withheld without reason.G. That the waiver or forbearance by Ames of any provision of this Agreement in any one or more instances shall not constitute a waiver or forforbearance as to any other instance.H. That if two or more persons are liable under this Agreement, their obligation shall be joint and several.I. That this agreement supersedes and takes the place of all prior agreements between Ames and the Customer.J. That it shall not be necessary for Ames to execute this document in order to make this binding between the Customer and Ames. The Customershall be bound to Ames pursuant to this Agreement by virtue of Ames extending credit and selling goods to the Customer from time to time.K. That if Ames refuses to sell or deliver or allow to be picked up, goods, by the Customer or to extend credit to the Customer or if Ames cancels allcredit arrangements, the Customer shall nevertheless, remain liable for all balances outstanding and all other amounts payable by the Customer toAmes including all interest thereon according to the terms of this Agreement, until paid in full.L.
