Non receipt by the President invalidates said proxy and suchabsent member shall not be represented or counted towards the quorum.h. Matters before the Congress require a simple majority vote that is to say more than 50% unless they areconstitutional amendments in which case they require a two thirds majority in favour of the amendment forthem to be passed. Abstentions shall be recorded and count towards the vote required for the quorum neededfor the vote to be binding.i. Voting will normally be done by show of hands, but a secret ballot can be used in some cases. Normal matterbefore Congress will be by show of hands. A secret ballet shall be used for all elections of officers andwhenever more than 6 delegates request it.j. Officers of the EWuF have no vote of there own as officers, they may however exercise the vote of theirnational federation if so appointed as the prescribed delegate to do so.k. In the case of a tied vote the Chairman of the meeting casts the decidingl. Motions to be put before Congress must be submitted in writing to the Secretary General at least one monthbefore the Congress. Only Active Members are eligible to do so.m. In exceptional circumstances the President can call for a postal vote which may be conducted by post orfacsimile transmission or if notified at the time of the vote by e-mail. Non receipt of any notice servedpursuant to this clause shall not invalidate the vote taken.3.3 Executive Committeea. The Executive Committee shall be elected by Congress and consists of one President, one Vice President, oneSecretary General, one Treasurer and four Executive Members, plus one Technical Representative elected asspecified in 3.7 and one Athlete Representative as specified in 3.8. The Executive Committee shall beresponsible to Congress. Each member of the Executive Committee shall have one vote.b. The Executive Committee members are elected for a four year term and are eligible for re-election.d. The Executive Committee shall meet once a year.e. The Executive Committee administers the EWuF between Congresses.f. Presence of half the Executive Committee members is needed for a quorum.g. Voting at Executive Committee meeting shall be decided by simple majority vote unless otherwise stated initem 6.2. All voting will be by show of hands. The use of proxy is not allowed at a meeting. Administrativematters may also be handled by postal votes from Executive Committee members, which may be conductedby post e-mail or facsimile transmission.h. In the event of a tied vote the chairman of the meeting shall have a second and casting vote.i. The Executive Committee may create and define sub-committees with their terms of reference and conditionsof operation as and when it sees fit. Said terms of reference and conditioned may be varied by the ExecutiveCommittee.j. The Executive Committee can by simple majority vote remove and if necessary replace any Committee orCommission Member that in their opinion fails to carry out their duties and or responsibilities as defined in theterms and conditions assigned to them for any given task. Any such action shall be reported to the nextCongress to be ratified.k. The Executive Committee can by simple majority vote amend the terms of reference of any Committee,Commission, Delegate or other person holding a post within the EWuF.Page 5 of 11

The Management Committee consists of the President, the Vice Presidents, the Secretary General andTreasurer. They shall be responsible to the Executive Committee and shall meet as and when required ordirected by the President, or otherwise correspond and vote in an agreed way to handle the day to day mattersof the EWuF. Each member of the Management Committee shall have one vote. No proxy vote shall beallowed at a meeting.b. The Management Committee administers the EWuF between Executive meetings.c. The Management Committee members are elected for a four year term and are eligible for re-election.d. Presence of three members of the Management Committee is needed for a quorum. Decisions will be made bysimple majority vote made by a show of hands of those present and voting unless otherwise stated in item 6.2.No proxy vote shall be allowed. In the event of a tied vote the chairman of the meeting shall have a secondand casting vote.e. The Management Committee will create a structure for the technical needs of the EWuF. It will select,appoint, and dismiss members of the Technical Committee. This includes appointment of the committee’sChairman and Secretary and the setting of any terms of their appointment, which may be varied from time totime by the Management Committee.3.5 Ethics Commissiona. The Ethic Commission shall consist of a maximum of 3 people a Chairman and two Members who are electedand dismissed by Congress. They shall be responsible for monitoring the actions of the EWuF members andcommittees too ensure there is no conflict of interests; and that actions taken by members do not conflict withthe interest, aim and objectives of the EWuF or the IWUF. They shall in the first instance report to the MCthen the EC and finally the Congress. No additional funding shall be made available for the post holders unlessspecifically budgeted for.b. Presence of two thirds of members of the Ethics Commission is needed for a quorum. Decisions will be madeby simple majority vote made by a show of hands of those present and voting. No proxy vote shall beallowed. In the event of a tied vote the chairman of the meeting shall have a second and casting vote.c. Normal business shall be conducted by e-mail, which shall be co-ordinated by the chairman of theCommission.3.6 Justice Commissiona. The Justice Commission shall consist of a maximum of 3 people a Chairman and two Members who areelected and dismissed by Congress. The Commission shall be responsible for advising on and monitoring thelegal aspects of the EWuF and report to the MC in the first instance, then the EC and finally to the Congress.No additional funding shall be made available for the post holders unless specifically budgeted for.b. Presence of two thirds of members of the Justice Commission is needed for a quorum. Decisions will be madeby simple majority vote made by a show of hands of those present and voting. No proxy vote shall beallowed. In the event of a tied vote the chairman of the meeting shall have a second and casting vote.c. Normal business shall be conducted by e-mail, which shall be co-ordinated by the chairman of theCommission.d. The members of the Justice Committee shall hold a degree in law. The Justice Committee is composed of thefollowing areas of responsibility.d.1.Sporting Judge.Page 6 of 11

Normal business shall be conducted by e-mail, which shall be co-ordinated by the chairman of theCommission.3.8 Technician Representativea. The Technical Representative responsibility shall be as defined by the IOC from time to time unless otherwisespecified by Congress. They shall be elected by; the national team coaches who have teams at the <strong>European</strong>Championships on the year of the Congress at which elections are held. No additional funding shall be madeavailable for the post holders unless specifically budgeted for.3.9 Athletes Representativea. The Athlete Representative responsibility shall be as defined by the IOC from time to time unless otherwisespecified by Congress. When logistics permit they shall be elected by; the athletes who are competing at the<strong>European</strong> Championships on the year of the Congress at which elections are held, otherwise they shall benominated by the Executive Committee and ratified by Congress. No additional funding shall be madeavailable for the post holders unless specifically budgeted for.4. TECHNICAL COMMITTEEa. The structure of a Technical Committee consisting of named individuals shall be appointed by theManagement Committee.b. In principle the appointment of the Technical Committee shall be for a term of 4 years, however theManagement Committee can vary this term.c. The Technical Committee members shall consist of a balance of experience and representation and not morethan one person from one country.d. The Technical Committee shall be responsible to the Management Committee.e. Voting in Technical Committee meetings shall be by simple majority. Each appointed member shall have onevote and in the event of a tied vote the Chairman of the meeting shall have a second casting vote.f. The Technical Committee may with the approval of the Management Committee co-opt non voting membersand non voting technical advisers to assist them. These co-opted individuals may be from any countryincluding those of existing committee members.g. The Chairman of the Technical Committee shall hold a non voting post on the Executive Committee and beresponsible for liaison between the two committees.5. FINANCES5.1 Generala. The amount of the EWuF's compulsory annual membership fee will be set by Congress. Membership of theEWuF is linked to payment and failure to pay the fee will automatically prevent a Member federation takingpart in any EWuF activities and any EWuF post holders from a Member federation will automatically besuspended, such action shall be maintained until such time as all outstanding fees are fully paid.Page 8 of 11

The annual Membership fee shall be paid by March 31 st of each year. In exceptional circumstances thepayment can be delayed until June 30 th however a penalty fee determined by the Executive Committee shallbe charged. The Executive Committee has the power to make such penality fees as it see fit and shall applythe principle that a late payment after March 31 st shall incur an automatic penalty fee equal to 50% of theannual membership fee shall automatically be incurred. If payment is further delayed and is paid later thanJune 30 th of that year the penalty fee shall automatically increase to an additional 100% of the annualmembership fee. All penalty fee have to be paid in addition to the annual Membership fee. Failure to pay byMarch 31 st or to obtain an agreed extension for the payment will automatically make membership void. untilall back payments have been made in full or as otherwise agreed by the Executive Committee.c. The Treasurer shall open and run such bank accounts as directed by Congress and the Executive Committee.Drawing from said accounts must be in keeping with the definitions stipulated by the Audit Commissionunless otherwise authorised in advance by Congress or the Executive Committee and such cheques, moneyorders or other such authorisations must be signed by the Treasurer.d. The Treasurer shall keep a book of accounts which will be audited annually before the Congress by the AuditCommission. In order to prepare the accounts for presentation to the Congress they shall be made up to a datenot more than 2 months prior to the Congress by an appointed accountant. The Treasurer will however haveavailable to the Congress the most current amounts of money and any liabilities that can be accounted for.e. The Treasurer shall present the audited accounts to the Audit Commission at least one month prior toCongress for them to oversee and report on to Congress. Any questions they have concerning the accountsshould be referred back to the Treasurer as soon as possible so that any items can be fully answered andaccounted for. The accounts will then be sent to Members as soon as possible before Congress.5.2 Other Incomea. Donations from organisations (private or public) and individuals can be accepted by the EWuF.b. The EWuF reserves the right to refuse any donation the Congress or between Congresses the ExecutiveCommittee feels would ultimately harm the EWuF.6. OTHER PROVISIONS6.1 Headquarters and Official Languagesa. The headquarters of the EWuF will be located in the country in which the President of the EWuF residesduring that term of office.b. The official languages of the EWuF will be English and French.6.2 Withdrawal, Suspension and Expulsiona. Any member wishing to withdraw from the EWuF shall send written notice to the Management Committee.Withdrawal will be effective at a date decided by the Executive Committee.b. The Executive Committee with a three-fourths majority of the members present has the power to suspendform membership any member until the next Congress.Page 9 of 11

Expulsion of any member must be approved by a three-fourths majority of the members present at Congress.6.3 Amendments and Notification Effecting Eventsa. Dates for EWuF Championships and major tournaments shall be specified not less than 12 months inadvance.b. A minimum period of not less than 12 months must be given to all Members clearly stating:-b.1 The date and schedule of the event.b.2 Costs for attending events including; accommodation, local transport, food and any other associated costs.b.3 The rules to be applied to the activities scheduled for inclusion in the events.c. Once the information detailed in 6.3.b has been stated they should not be changed without the majorityagreement of the Membership, which if required can be obtained by postal or e-mail vote or if the IWUFCongress has approved amendments to the rules which are to be used.d. Costs of accommodation, transport and food must not exceed an amount agreed by the previous Congress tothe specific event. In the case of an event being scheduled between Congresses the Executive Committee shalldetermine the costs. A statement of what is included in the cost must be provided by the host organiser andagreed by the EWuF.e. Rules shall be discussed by the Technical Forum and formulated by the Technical Committee. They must beagreed by the Executive Committee. In the case that an event is scheduled between Congresses the ExecutiveCommittee may instruct the Technical Committee or any other appropriate body to resolve issues related torules.6.4 Bidding Processa. When a Member bids for the hosting of any EWuF event they will submit the appropriate EWuF biddingdocument with all necessary associated supporting documentation to enable a true evaluation of the bid.b. All bids shall include an itemised budget for the event.c. The successful candidate to host an EWuF event shall deposit a security equal to 10% (ten percent) or 10,000(ten thousand euros) whichever is the lesser sum.d. The deposit sum shall be held as security against cancellation of the event by the host and against failure tofulfil obligations of the bidding contract. If such cancellation occurs the deposit shall be forfeit to the EWuF.e. Should the EWuF incur costs as a result of failure on the part of the host to take appropriate action or actionsEtaken by the host that are contrary to the specifications and expectations of the Members then the ExecutiveCommittee may vote to retain part or all of the deposit.f. The deposit shall be refundable 7 days after the closing ceremony if there are no disputes. In the event ofdisputes the refund of any balance due to the host will be made after all claims have been settled to thesatisfaction of the Executive Committee.6.5 Standing OrdersThe Management and Executive Committees may set standing orders and operating procedures to deal withsituations not specified in the Constitution. Such rules, procedures and disciplinary actions may not violate anyarticle of the EWuF Constitution.Page 10 of 11

OneChampionship event will be held each year unless Congress decides otherwise, each event catering for adults and youths,one year will be for the IWUF (modern) Taolu and Sanshou; and the other year for the Traditional routines and Qingdacategories.########################### E N D ###########################Page 11 of 11
