To be prepared on Non-JudicialStamp Paper of appropriateValue and registered.LEASE DEEDTHIS INDENTURE is made at (Location) ___________________ on ________day of _______________ 20___ ;BETWEENThe <strong>Civil</strong> <strong>Aviation</strong> <strong>Authority</strong>, established under the Pakistan <strong>Civil</strong> <strong>Aviation</strong><strong>Authority</strong>, Ordinance (XXX), 1982, having its office at Jinnah InternationalAirport, Karachi, Pakistan, hereinafter called “the Lessor” which term shallinclude its authorized officers representatives and successors-in-interest throughthe Airport Manager _________________________________ of the one part:ANDM/s_______________________________________________________ , a soleproprietorship/partnership/company, registered under the Register offirms/companies ordinance, 1984, having its registered office at________________________________________________________________________________________________________________________________hereinafter called “the Lessee”, which term shall include its duly authorizedrepresentatives and legal heirs, through Mr. ____________________________,its __________________________________ , duly authorized in this respect ofthe Other Part.WHEREAS in response to the offer of the Lessee, the Lessor has agreed todemise the plot of land hereinafter described to the Lessee and in the mannerhereinafter appearing.the Lessor has agreed to demise the plot of land hereinafter described to theLessee in the manner hereinafter appearing.1. NOW THIS INDENTURE WITNESSETH that in consideration of the premiumof Rs. ________________paid on ________________ (the receipt whereof theLessor hereby acknowledges) and of the rent hereinafter reserved and of thecovenants on the part of the Lessee/hereinafter contained, the Lessor doeshereby demise unto the Lessee, ALL THAT plot of land admeasuring _________


• Third installment of Rs. _____________ six months after thesecond installment.b) Renti. The annual rent during the first ten years shall be paid @ 1/30 thof the current market price/value of the <strong>lease</strong>d land i.e. Rs.______________.ii. After the expiry of each ten years term, it shall be enhanced by100%, i.e. Rs. _____________ and Rs. ________________ perannum, for the second and third decade.4. The lessee shall complete the construction and /or allied works, tomeet the purpose of this <strong>lease</strong>, within the specified period of two years from thedate of signing of this indenture or during the specified extended period. Failureto commence construction work within 3 months or delay in launching/operationwithin specified period of two years or extended period as deemed fit by theLessor in view of the purpose of this Lease, shall either be subject to a penalty ofRs.100/- to Rs.300/- per square yards per month as Non-utilization Charges asdecided by the Lessor or shall result in termination of <strong>lease</strong> and resumption ofland by the Lessor.5. The rent shall be paid through Bank Draft/Pay order payable to the Lessori.e. <strong>Civil</strong> <strong>Aviation</strong> <strong>Authority</strong>, clear of all deductions on ________________day of_________________ each year to the Airport Manager or at such other place asthe Airport Manager shall from time to time designate in this behalf. The first ofsuch payment is to be made on the _________ day of ____________________.6. The Lessee does hereby covenant with the Lessor :-a) To pay unto the Lessor during the term hereby granted the yearlyrent reserved on the days and in the manner hereinbeforeappointed.b) From time to time and at all times during the said term to pay anddischarge all Government rates, rents, taxes, charges and


assessments of every description which are now or may at any timeduring the said term be imposed, charged or assessed by theconcerned authority or department upon the premises herebydemised or the building to be erected thereupon or for thepurpose/business for which this <strong>lease</strong> has been granted.c) Not to cut-down any of the timber, fruit trees or other trees now orat any time hereinafter growing on the premises hereby demisedwithout the previous consent in writing of the Airport Manager andto preserve the same in good order.d) Not to make any excavations in the land hereby demised or removeany mineral substances of any description, sand or clay from thesaid land without the consent in writing of the Airport Manager andto preserve the same in good order.e) Within ______________ calendar months next after the date ofthese presents at his own cost to erect building and finish fit foroperations/use of the premises hereby demised, with all necessarydrains and other appurtenances in accordance with a plan to beapproved in writing by the Competent <strong>Authority</strong> in accordance withAppendix II to the <strong>Civil</strong> <strong>Aviation</strong> <strong>Authority</strong> Order No.11-3 dated 28 thFebruary,1989 as amended from time to time and not to erect orsuffer to be erected on any part of the premises hereby demisedany building other than and except the aforesaid building herebycovenanted to be erected without the previous consent in writing ofthe Director General CAA.f) Not to make any alterations in the plan or elevation of the saidbuilding without such consent as aforesaid; nor to use the same orpermit the same to be used for any purpose other than that of this<strong>lease</strong>.g) At all times during the said term to keep the said building andpremises in good and substantial repair and on the expiration or


sooner determination of the said term peaceably to yield up thesame in such good and substantial repair unto the Lessor.h) Not to assign. Transfer or sub-<strong>lease</strong> the premises hereby demisedor any part thereof without the prior written permission of DGCAA.7. Provided always that if any part of the rent hereby reserved shall be inarrears or unpaid for one calendar month next after any of the said day on whichthe same shall have become due whether the same was demanded or not or ifthere shall have been in the opinion of the Lessor/ Airport Manager any breachon the part of the Lessee, or by any person claiming through or under him, ofthe covenant or conditions herein-before contained, then and in such case theLessor shall be at liberty at any time thereafter, notwithstanding the waiver ofany previous cause or right of re-entry, after giving 30 days written notice, toenter upon any part of the premises hereby demised or of the buildings thereon,which in the whole, the said premises and buildings thereon shall become vestedin the Lessor and the Lessee shall peacefully vacate the same, and this <strong>lease</strong>shall absolutely determine and the Lessee shall not be entitled to anycompensation whatsoever.8. On the expiry of the tenure of the <strong>lease</strong> hereby created or on soonerdetermination of the <strong>lease</strong> in the event of breach of any of the conditions asmentioned above, the premises and the buildings / structure etc., with all fittingsand fixtures, shall vest in the Lessor forthwith and the Lessee shall without delaypeacefully vacate the premises and shall hand over to the Lessor, free of allcosts such premises with buildings thereon, inclusive of all fittings and fixturesetc., which may have been erected by the Lessee on the said land/premises.


9. The schedule of the aforesaid land is as follows:ALL that piece and parcel of land measuring ____________________ situated at______________________ Airport, as annexed herewith and recorded inSurvey/Khasra No. _________________ , Deh/Mouza ______________ , Tehsil_________________ , District _________________ and is bounded:ON THE NORTH BY:ON THE SOUTH BY:ON THE EAST BY:ON THE WEST BY:10. In case there is any dispute between the parties arising out of this <strong>lease</strong>,it shall be mutually resolved in good faith through negotiations between theparties. If the dispute is not resolved to the mutual satisfaction of both partieswithin Sixty (60) days or such longer time as is mutually agreed, the partiesagree to submit any such dispute or claim to the DGCAA, and the decision givenby him shall be final and binding on the parties and shall not be challenged bythe Lessee.
