During fiscal <strong>2009</strong>, the Supervisory<br />

Board reviewed the management of the<br />

Aktiengesellschaft (stock corporation)<br />

by the Executive Board and constantly<br />

monitored business activities through<br />

written and oral reports of the Executive<br />

Board.<br />

The annual financial statement submitted<br />

by the Executive Board for fiscal<br />

<strong>2009</strong> has been examined following accounting<br />

undertaken by Wirtschaftstreuhand<br />

GmbH. No causes for objection<br />

were found and the annual financial<br />

state ment was certified as accurate with -<br />

out reservation. In keeping with this, examination<br />

of the annual financial statement<br />

by the Supervisory Board raises<br />

no cause for objection. The Supervisory<br />

Board approves the annual financial<br />

statement submitted by the Executive<br />

Board and it was thereby adopted on<br />

May 10, 2010.<br />

Steady performance: <strong>Drees</strong> & <strong>Sommer</strong> remains well<br />

on track and is targeting moderate growth for 2010.<br />

For 40 years customers from all sectors have<br />

been putting their trust in <strong>Drees</strong> & <strong>Sommer</strong>.<br />

What started off as an engineering office<br />

with a staff of three in 1970 has become an<br />

innovative world player with 1050 employees.<br />

And our motto of “Spirit for success,<br />

your success!” has proven itself in 27 national<br />

and international offices.<br />

A good result even in crisis year <strong>2009</strong><br />

Despite the prevailing economic conditions<br />

in <strong>2009</strong>, <strong>Drees</strong> & <strong>Sommer</strong> bucked the trend<br />

and looks back on a good year. The group<br />

achieved sales of € 145.6 million (prior year<br />

€ 136.9 million), whereby the increase in<br />

sales is largely attributable to final invoicing.<br />

Net income increased slightly to € 12.4<br />

million (up from € 12.3 million in the prior<br />

year). Order intake to March 2010 is stable,<br />

with a large number of major projects under<br />

negotiation. As a result of a conservative<br />

financial policy, the partner-managed company<br />

has a high equity ratio of 51 percent,<br />

which provides a solid foundation.<br />

Forecast: moderate growth in 2010<br />

In <strong>2009</strong> <strong>Drees</strong> & <strong>Sommer</strong> put itself in a<br />

strong starting position for the expected<br />

economic upturn in 2010 with a robust,<br />

target-oriented corporate strategy.<br />

The company was able to win additional<br />

market share. With the real estate industry<br />

having bottomed out, moderate growth is<br />

anticipated for 2010.<br />

Internationalization – a cornerstone<br />

Increased internationalization with a<br />

comprehensive range of services is a cornerstone<br />

for positive development. Many<br />

of our customers are international players<br />

for whom comprehensive geographical<br />

coverage is a prerequisite for cooperation.<br />

We have systematically addressed this<br />

need and were able to increase corresponding<br />

sales in <strong>2009</strong>. The offices opened last<br />

year in Switzerland and Spain have established<br />

themselves quickly. In future, we will<br />

also be providing our services in Belgium,<br />

Poland, and Scandinavia.<br />

With the general growth in international iza -<br />

tion, worldwide demand for the local availability<br />

of our services is increasing, and<br />

these have to be tailored to local conditions<br />

to a greater or lesser degree. For example,<br />

international demand for project management<br />

has increased in the areas of both<br />

high-tech engineering and infrastructure<br />

& transport. For this reason, in future every<br />

office will have experts available in these<br />

areas.<br />

Project management – truly holistic<br />

In the area of project management, the<br />

focus is increasingly on the holistic service<br />

provided by general construction management.<br />

An increasing number of principals<br />

only want to have one contact person<br />

throughout all phases of the project. They<br />

see the benefits of the avoidance of multiple<br />

interfaces and clear-cut responsibility<br />

provided by the ‘No Worries‘ package. Opti -<br />

mization of the entire process results in<br />

both considerable cost savings and improved<br />

quality.<br />

General construction management meets<br />

these requirements through the early<br />

involvement of all specialist planners and,<br />

where appropriate, of the architect. In the<br />

case of general construction management,<br />

<strong>Drees</strong> & <strong>Sommer</strong> provides all general


technology planning services from conception<br />

through to execution either in-house<br />

or through cooperation partners for whom<br />

it takes responsibility. This management<br />

approach requires a particularly high level<br />

of trust between the principal and the construction<br />

manager. Traditionally, this exists<br />

for <strong>Drees</strong> & <strong>Sommer</strong>.<br />

Industrial clients as well as construction<br />

companies and principals not involved in<br />

construction projects can also benefit from<br />

improved value-add through more effective<br />

processes. Especially now, customers are<br />

using the opportunity to optimize both their<br />

core and secondary processes. We recognized<br />

this need back in early 2008 and have<br />

integrated process consulting into our range<br />

of services.<br />

More effective real estate management<br />

with e.BIX<br />

A paradigm shift is currently taking place in<br />

facility management consulting to make it<br />

more sustainable: This involves optimizing<br />

building operation in the long-term. Today,<br />

professional management software is essential<br />

for swift and sure building analysis<br />

and data management. Our innovative e.BIX<br />

online platform makes data transfer more<br />

efficient and streamlines processes. This<br />

new application for the management of<br />

building data during planning and construction<br />

allows smooth communication across<br />

format boundaries.<br />

Engineering for sustainable buildings<br />

With a growing focus on cost-savings, clients<br />

are increasing turning their attention to<br />

established buildings. High operating costs<br />

and poor marketability require effective op-<br />

timization with regard to energy consumption.<br />

By incorporating sustainability criteria<br />

into its engineering services, <strong>Drees</strong> & Som -<br />

mer is both underscoring its pioneering<br />

position in the area of Green Building and<br />

ensuring economically efficient, ecological<br />

buildings.<br />

Fit through intensive vocational training<br />

Highly qualified employees form the<br />

foundation of our company‘s success and<br />

customer satisfaction. Our employees have<br />

to broaden their knowledge and expertise<br />

significantly, particularly when it comes to<br />

new and optimized service packages.<br />

For this reason, we are currently developing<br />

an enterprise-wide E-learning program.<br />

This will make the expertise accumulated<br />

by experienced <strong>Drees</strong> & <strong>Sommer</strong> experts<br />

available in more than 300 learning units.<br />

E-learning and our bilingual internal Vocational<br />

Training Academy enable ongoing<br />

cross-border knowledge transfer. Every<br />

employee – from project manager to managing<br />

director – works through a vocational<br />

training program tailored to their specific<br />

needs. The interdisciplinary expertise<br />

generated by this program is used in daily<br />

project practice to the direct benefit of our<br />

Branch focus, portfolio optimization and<br />

Corporate Identity Buildings – the trends for 2010.<br />

Drivers: Trade and the public sector<br />

In the coming years, <strong>Drees</strong> & <strong>Sommer</strong> sees<br />

potential in many areas, not least in retail<br />

properties. As far as shopping centers are<br />

concerned, there will be an increased focus<br />

on urban locations, sustainability, and<br />

flexible building planning. In this context,<br />

sustainability covers not only ecological<br />

and social aspects, but also addresses the<br />

overall profitability of the property.<br />

As a result of various subsidy programs,<br />

there is also an increase in the number of<br />

public-sector projects. <strong>Drees</strong> & <strong>Sommer</strong> has<br />

offered the public sector information events<br />

with specialist papers on this subject in all<br />

major German cities. An extension of this<br />

program throughout Europe is planned.<br />

Public projects also include ‘social buildings’,<br />

such as those for health care, including<br />

hospitals. Here, experienced experts<br />

find the balance between economic success<br />

and the high quality of medical and nursing<br />

services.<br />

Marketability of established properties<br />

Excessive operating costs resulting from increased<br />

primary energy demand and insufficient<br />

user well-being are the main causes<br />

of the poor marketability of established<br />

properties on the international market. Potential<br />

tenants and investors are looking for<br />

properties that offer low utility costs without<br />

impacting on comfort and convenience. The<br />

key factor in investment decisions is the<br />

image gain that can be associated with a<br />

Green Building. This means that in future, a<br />

and return will depend substantially on ecological<br />

standards. As a result, it will become<br />

Is a sustainable property portfolio economically<br />

viable?<br />

whether refurbishment is profitable in the<br />

long term. But often, the current status of<br />

the building with regard to sustainability is<br />

Stuttgart successfully weathers the economic crisis.<br />

In <strong>2009</strong>, the Stuttgart experts actively confronted<br />

the difficult climate in the construction<br />

and real estate sector by developing<br />

and expanding innovative services.<br />

With general construction management,<br />

for example, the company acts as a single<br />

source for all planning and construction<br />

services. This guarantees the principal<br />

optimum project certainty and a seamless,<br />

efficient process. Two major projects were<br />

significantly advanced: the Heilbronn<br />

Education Campus and Building 1 for Roche<br />

For the future-oriented Berlin Brandenburg<br />

International (BBI) Airport project, <strong>Drees</strong> &<br />

<strong>Sommer</strong> ensured that site development for<br />

the BBI Business Park remained on schedule<br />

and within budget, thus paving the way<br />

for international developers and investors.<br />

In difficult times, assurance of building<br />

quality and adherence to budgets and<br />

schedules are particularly important. One<br />

focus was on technical finance controlling<br />

for numerous real estate financiers and<br />

investors.<br />

<strong>Drees</strong> & <strong>Sommer</strong> ensured sustainable buildings<br />

on the basis of LEED and DGNB Green<br />

Building Labels during the construction of<br />

the TOTAL high-rise in the Europa district for<br />

Hackesches Quartier district, Berlin<br />

Vivico, the MK3 office building for Frankonia<br />

at the Nordbahnhof (north station) and the<br />

Hackesches Quartier district project for IVG.<br />

In the area of residential building refurbishment,<br />

we supported Gesobau projects in<br />

the Märkisches Viertel. In addition to rehabilitation,<br />

energy optimization measures<br />

were undertaken to improve profitability.<br />

<strong>Drees</strong> & <strong>Sommer</strong> also managed the construction<br />

of 52 villas and single-family homes<br />

at Griebnitzsee for the Stofanel <strong>Group</strong>.<br />

Preparations for the scheduled start of<br />

construction of the Unter den Linden State<br />

Opera in autumn 2010 has been completed.<br />

As part of the Second Economic Stimulus<br />

Package, <strong>Drees</strong> & <strong>Sommer</strong> is supporting the<br />

development of refurbishment concepts for<br />

the Berlin Festival House. First refurbishment<br />

contracts have already been awarded.<br />

<strong>Drees</strong> & <strong>Sommer</strong> makes optimum use of Düsseldorf’s<br />

excellent reputation as an economic and investment center.<br />

Despite the economic crisis, business last<br />

year was very positive. The prominence of<br />

the telecommunications industry in Düsseldorf<br />

and the North Rhine-Westphalian university<br />

program were key success factors.<br />

The first tenants moved into Düsseldorf‘s<br />

Sky Office high-rise as planned in August<br />

<strong>2009</strong>. In addition to active project control,<br />

facade planning, building physics consulting<br />

and tenant coordination all made a significant<br />

contribution to the success of the<br />

project. Qiagen, market leader in pharmacological<br />

sampling and testing technologies,<br />

used our project management throughout<br />

all service phases. In-house IT tools such<br />

as the ProjectCommu nicationSystem (PCS)<br />

and CostMonitor (CoMo) were also used in<br />

the process.<br />

Planning for a new building for the Düsseldorf<br />

University of Applied Sciences is in<br />

full swing. Following a decision resulting<br />

from the general planning competition in<br />

April <strong>2009</strong>, the North Rhine-Westphalian<br />

Construction and Properties Office (BLB<br />

NRW) commissioned the general planner<br />

and commenced user coordination with<br />

the university. <strong>Drees</strong> & <strong>Sommer</strong> is undertaking<br />

project control in accordance with<br />

AHO (German Fee Structure Commission<br />

of Engineers’ and Architects’ Associations<br />

and Chambers)/DVP (German Association<br />

of Project Controllers) and will control the<br />

project until the planned handover.<br />

<strong>Drees</strong> & <strong>Sommer</strong> is bringing its entire consulting<br />

Ericsson. A team is supporting the customer<br />

The regional office continued to grow in <strong>2009</strong> as the<br />

result of major projects and a broad range of services.<br />

The facade of the Deutsche Bank towers<br />

in Frankfurt have been renovated, and the<br />

topping-out ceremony for the new roof<br />

over the foyer was celebrated at the end of<br />

November <strong>2009</strong>. Certification of the Green-<br />

towers to the highest ratings of DGNB and<br />

LEED Labels – Gold and Platinum respectively<br />

– was prepared.<br />

The outcome of the invitation to tender for<br />

construction of the European Central Bank<br />

(ECB) was also successful. A team with representatives<br />

from the ECB, the architects,<br />

the specialist planners, and <strong>Drees</strong> & <strong>Sommer</strong><br />

is awarding the eight most important<br />

packages of a total of 16 tender packages<br />

that are within budget. Construction work<br />

started in spring 2010.<br />

For the former Dresdner Bank – now<br />

Commerzbank – <strong>Drees</strong> & <strong>Sommer</strong> is not<br />

Deutsche Bank AG, Greentowers<br />

only involved in the refurbishment of the<br />

Silvertower, but is also providing active tenant<br />

management to ensure that after only<br />

nine months planning and construction, the<br />

former Dresdner Bank Management Board<br />

building can be handed over on schedule to<br />

the new tenant, Deutsche Bahn.<br />

The PPP refurbishment and new construction<br />

of four schools in Frankfurt was completed<br />

last year: They were handed over in<br />

time for use at the start of the school year.<br />

Exhibition hall 11 with a new entry area<br />

also opened punctually in time for the IAA<br />

(Frankfurt Motor Show). At the end of the<br />

year, the Regional Tax Office was able to<br />

move into its new premises in the Main<br />

Triangel. <strong>Drees</strong> & <strong>Sommer</strong> tenant management<br />

ensured that the leased premises<br />

were handed over on schedule.<br />

Some very interesting new projects were<br />

awarded, including the remodeling and<br />

extension of the Städel Museum in Frankfurt.<br />

<strong>Drees</strong> & <strong>Sommer</strong> is also managing<br />

a further two Public Private Partnership<br />

projects: The Wiesbaden Law School for the<br />

European Business School and the state of<br />

Hessen, and the construction of the new<br />

Hofheim Clinic for the Main-Taunus district.<br />

The implementation model for this project<br />

deserves special mention as it is the first<br />

project in Hessen in which the clinic itself is<br />

responsible for operations. In view of this,<br />

we will continue to promote the expansion<br />

of business in this area in 2010.<br />

North German presence.<br />

In <strong>2009</strong> the markets in the regions of Kiel,<br />

Hannover and Bremen were consolidated<br />

by the opening of new offices. The Hamburg<br />

market was further stabilized and expanded<br />

through diversified services.<br />

The refurbish ment and revitalization of<br />

commercial buildings is a market of growing<br />

importance in Hamburg. There is an<br />

increasing demand for real estate strategy<br />

consulting services, for example in the<br />

area of residential construction – as part<br />

of development studies for older buildings<br />

requiring refurbishment – or project control<br />

of customized luxury housing.<br />

As a result of the Second Economic Stimulus<br />

Package, <strong>Drees</strong> & <strong>Sommer</strong> was awarded<br />

contracts including seven projects for the<br />

Schleswig-Holstein University Clinic. The<br />

multiproject management is characterized<br />

by strict schedule and cost planning, bring -<br />

ing the company‘s competence in hospital<br />

to meet the demanding goals for new buildings<br />

for the International Building Exhibition<br />

(IBA) in Hamburg in 2013, <strong>Drees</strong> & <strong>Sommer</strong><br />

has examined all IBA projects for possible<br />

Green Building certification.<br />

Management of the Bergedorf central bus<br />

station project is a demanding task. Numerous<br />

interfaces have to be controlled to<br />

allow construction of the multi-story car<br />

park, the new German Rail station building,<br />

and the elevated new central bus station to<br />

proceed with the necessary risk minimization.<br />

In a two-phase process during the revitalization<br />

of the Mundsburg Office Tower, the<br />

facade, building services equipment and<br />

fitout were replaced and modernized. The<br />

Hamburg team was commissioned to undertake<br />

project control, facade planning, and<br />

a DGNB Quick Check. The tight schedule,<br />

strict budget limitation and heritage protection<br />

requirements were big challenges.<br />

In the coming business year, <strong>Drees</strong> & Som -<br />

<strong>2009</strong> was marked by double-digit growth and further<br />

expansion of our market position.<br />

The growth target was met despite difficult<br />

conditions. One of the mainstays was further<br />

market development – as reflected in<br />

new contracts in Dortmund, such as the<br />

Eving and Mengede baths and the Anne<br />

Frank School.<br />

<strong>Drees</strong> & <strong>Sommer</strong> is supporting the Rheinparkmetropole<br />

in Cologne – one of the<br />

biggest office projects in Germany – by pro -<br />

v iding tenant management and project<br />

control services. In late summer, HDI/Gerling<br />

– a member of the Talanix insurance<br />

group – moved into their leased premises.<br />

Handover to the RTL broadcasting group will<br />

take place at the end of the year. The modern<br />

transmission center is the centerpiece<br />

of the leased area. The Cologne Oval Office<br />

is a successful symbiosis of sustainability<br />

and innovative architecture. The combination<br />

of project management and technical &<br />

Rheinhallen/Rheinpark offices, Cologne<br />

economic construction consulting enabled<br />

completion within budget. The establishment<br />

of a modular clinic is a pilot project<br />

for the Bonn University Clinic‘s master plan.<br />

A team consulted the clinic on user issues<br />

and has been entrusted with developing the<br />

invitation to tender for a prime contractor,<br />

with medical technology included. In addition<br />

to this project, which is financed by<br />

funds from the Second Economic Stimulus<br />

Program (ESP II), <strong>Drees</strong> & <strong>Sommer</strong> is also<br />

supporting other ESP II projects.<br />

<strong>Drees</strong> & <strong>Sommer</strong> again targeted growth in<br />

2010. Strategic property consulting is of<br />

growing importance. Here the key is to generate<br />

value-add and savings. The regional<br />

office is expecting a further increase in revitalization<br />

Above all, it was public and subsidized construction<br />

projects that secured stable order<br />

intake in <strong>2009</strong>.<br />

Many projects started the previous year or<br />

developed during <strong>2009</strong> are funded by subsidy<br />

programs that end in the next two or<br />

three years. There was demand for suitable<br />

project execution models that provide principals<br />

with transparency, efficiency and the<br />

security, that the project will be completed<br />

within budget and on schedule within the<br />

specified subsidy period.<br />

In Leipzig, 45,000 square meters of gross<br />

floor area were remodeled in only five<br />

months for iii Fonds. Before the start of construction,<br />

the experts undertook appropriate<br />

requirements planning on the half of the<br />

City of Leipzig.<br />

September <strong>2009</strong> saw the opening of Centrum<br />

Galerie in Dresden – one of the largest<br />

inner-city shopping centers in Germany.<br />

With over 60,000 square meters of retail<br />

space, over 1,000 parking spaces, a fitness<br />

center and numerous food and beverage<br />

outlets, it is a new highlight of the city<br />

center.<br />

The successful start of refurbishment of the<br />

Dresden Palace of Culture was of key significance<br />

for the establishment of the Dresden<br />

office, started in <strong>2009</strong> and to be continued<br />

in 2010. Dresden supplements Leipzig and<br />

Erfurt as the third office in the region. In cooperation<br />

with the Construction Office, the<br />

Cultural Office and other municipal departments,<br />

The Munich and Nuremberg regional offices<br />

win more public contracts in <strong>2009</strong>.<br />

Fiscal <strong>2009</strong> was characterized by a significant<br />

change in the property market, with the<br />

focus shifting from investment and industrial<br />

projects to public-sector contracts. In<br />

addition to project management services for<br />

this sector, the area of real estate consulting<br />

was substantially expanded – above<br />

all development consulting, due diligence<br />

projects, portfolio optimization and feasibility<br />

studies.<br />

The Munich office won the project for the<br />

construction of the new Fire Station 4 in<br />

Munich, the pilot project for the expansion<br />

and modernization of Munich fire stations.<br />

The central emergency call center is to be<br />

integrated into the building, requiring a<br />

high level of specialist technical knowledge.<br />

<strong>Drees</strong> & <strong>Sommer</strong> is supporting the<br />

principal, the City of Munich, by providing<br />

IVG – An den Brücken, Munich<br />

comprehensive project management.<br />

Three years after its foundation, the regional<br />

office in Nuremberg also looks back<br />

on a successful business year. A feasibility<br />

study was undertaken for HUK-Coburg (insurance<br />

and building society) for the expansion<br />

of a large data center. <strong>Drees</strong> & <strong>Sommer</strong><br />

helped the customer to find the most economical<br />

and technically suitable solution.<br />

The economic planning specifications are<br />

now being implemented in a subsequent<br />

project management phase.<br />

The Nuremberg regional office was commissioned<br />

by the Sparkasse Erlangen (savings<br />

bank) to develop a sustainable development<br />

concept for an underutilized inner-city<br />

site. An urban planning ideas competition<br />

and investor search will then be carried out<br />

for the new Belgian subsidiary.<br />

The experts successfully established themselves<br />

in Belgium in <strong>2009</strong> with numerous<br />

contracts. Projects for Schüco included the<br />

coordination of facade work for the new<br />

NATO headquarters in Brussels in partnership<br />

with <strong>Drees</strong> & <strong>Sommer</strong> Advanced Buil d-<br />

ing Technologies. With an investment vo -<br />

lume of some € 500 million, the headquarter<br />

is being built on a 40-hectare site opposite<br />

the old NATO building. The project is<br />

scheduled for completion in 2012.<br />

Another project is the ‘K in Kortrijk’ shopping<br />

center. <strong>Drees</strong> & <strong>Sommer</strong> is supporting<br />

Union Investment Real Estate by providing<br />

technical due diligence and monitoring.<br />

After completion in spring 2010, the shopping<br />

center will offer some 33,000 square<br />

meters of space for lease, 20 apartments,<br />

and 1,050 underground parking spaces.<br />

In <strong>2009</strong>, the Chinese market was characterized<br />

by great vigor and enormous demand potential.<br />

The growth of Chinese cities continues un -<br />

abated, with an increasing emphasis on<br />

planning and construction quality for both<br />

The issue of sustainability is also of growing<br />

importance.<br />

This has led to greater demand for development<br />

management services. <strong>Drees</strong> &<br />

Shanghai-based Sino-German architectural<br />

and urban planning office SBA since 2004.<br />

As the result of numerous successfully<br />

in Italy, particularly in the area of Green Building.<br />

Important architectural projects were successfully<br />

completed in Milan in <strong>2009</strong>. This<br />

resulted in an increase in sales for both the<br />

Rome and Milan subsidiaries.<br />

Following the opening of the Mercedes-<br />

Benz center in Milan in the summer of<br />

<strong>2009</strong>, the <strong>Drees</strong> & <strong>Sommer</strong> project managers<br />

handed over the Commercial Vehicles<br />

Sales Center to the principal. In the second<br />

half-year the administrative buildings and<br />

technology centers for BMW Husqvarna in<br />

Varese and B. Braun Melsungen in Milan<br />

were completed with zero defects, allowing<br />

operations to commence on schedule in all<br />

buildings.<br />

Despite the difficult situation on the financial<br />

market, the acquisition of properties by<br />

international property funds was supported<br />

by the provision of technical due diligence<br />

Luxembourg acquires numerous follow-up<br />

orders and new projects in <strong>2009</strong>.<br />

Cooperation between <strong>Drees</strong> & <strong>Sommer</strong> Ex -<br />

pert Teams in Luxembourg, Belgium, France<br />

and Germany was so successful that additional<br />

employees were hired. In <strong>2009</strong>, the<br />

focus was on project management services,<br />

technical due diligence, and a range of re -<br />

gion-specific services such as ‘Maîtrise<br />

d’ouvrage déléguée’, which corresponds to<br />

construction management.<br />

The Saarland University of Applied Sciences<br />

(HTW) project is being managed by a consortium<br />

of construction, economic and legal<br />

consultants and Public Private Partnership<br />

services, with <strong>Drees</strong> & <strong>Sommer</strong> Luxembourg<br />

acting as leadhouse. The Luxembourg team<br />

is currently also working on the remodeling<br />

Successful realization of sustainable buildings<br />

summarizes Austria’s achievements in <strong>2009</strong>.<br />

The groundbreaking ceremony for the Vienna<br />

University of Economics & Business Administration<br />

– one of the largest university<br />

construction projects in Europe – took place<br />

in October <strong>2009</strong>. Over the coming years,<br />

five building complexes will be constructed<br />

on the site between the Prater and the Vienna<br />

exhibition center to accommodate some<br />

25,000 students and 15,000 employees<br />

from winter semester 2013/14. Based on an<br />

innovative concept, the new University of<br />

Economics & Business Administration will<br />

bring together Green Building ideas and<br />

visions, making the campus a showcase for<br />

ecological and economic sustainability.<br />

Vienna University of Economics<br />

Following renovations and remodeling, the<br />

Gerngross department store will become<br />

the largest in Vienna. The building – which<br />

dates back to the 1960s – will accommodate<br />

shopping arcades, service facilities,<br />

and food and beverage outlets on six levels.<br />

In particular, the fact that renovation work is<br />

to be undertaken with the department store<br />

still in full operation requires <strong>Drees</strong> & <strong>Sommer</strong><br />

Österreich-Haus (Austria House) – the only<br />

national building built for the winter Olympics<br />

2010 in Vancouver – has been awarded<br />

a preliminary Silver DGNB certificate<br />

In the retail sector, the company has<br />

In Barcelona, a former bull-fighting arena<br />

is being converted into a shopping center.<br />

Here, <strong>Drees</strong> & <strong>Sommer</strong> is undertaking<br />

square meter Las Arenas pro ject on the half<br />

The team is also supporting the Spanish<br />

investor group Inveravante with market<br />

Prague<br />

The property market in the Czech Republic remained<br />

stable in <strong>2009</strong>.<br />

A large number of properties have changed<br />

hands and many new office buildings have<br />

been built. In particular, the city of Prague is<br />

very popular with investors and developers.<br />

The sale of the Gemini office complex was<br />

the largest property transaction in Prague<br />

in <strong>2009</strong>. <strong>Drees</strong> & <strong>Sommer</strong> supported Deka<br />

Immobilien Investment GmbH by providing<br />

technical due diligence services, giving the<br />

investor a sound basis for the purchase<br />

decision.<br />

The experts supported Jungheinrich AG,<br />

Hamburg with the conception, planning and<br />

construction of a new plant in Olomouc.<br />

To provide the region with Jungheinrich ser -<br />

vice, the existing Prague site was supplemented<br />

by a further building with offices,<br />

workshop and warehouse. <strong>Drees</strong> & <strong>Sommer</strong><br />

started developing the concept for Jung-<br />

the project from the very beginning, the pro -<br />

Despite difficult times, major new projects in<br />

Hungary bode well for the future.<br />

The economic challenges in Hungary have<br />

not failed to leave their mark on the real<br />

estate industry. <strong>2009</strong> saw a significant<br />

reduction in construction projects and real<br />

estate transactions.<br />

For <strong>Drees</strong> & <strong>Sommer</strong>, this made it all the<br />

more pleasing that Daimler is building a<br />

com plete auto factory for the production of<br />

Mercedes-Benz A and B class in Kecskemét<br />

and has commissioned the experts with<br />

con trol of this project. Working to a tight<br />

schedule – the first car is to roll off the pro -<br />

duction line at the beginning of 2012 – a<br />

pressing plant, weld shop, paintshop, as -<br />

sembly halls and central administration<br />

building are to be built on one site, with a<br />

supplier park nearby.<br />

Throughout construction, the project controllers<br />

have to continually take the latest<br />

Mercedes-Benz plant, Kecskemét<br />

into account and reflect these in<br />

planning. The bilingual Hungarian-German<br />

project being undertaken in cooperation<br />

with the Austrian colleagues ensures<br />

The establishment of the Mercedes-Benz<br />

plant in Kecskemét will give the region’s<br />

real estate industry a boost. It is expected<br />

that suppliers will also establish there in<br />

2010, generating great demand for residential<br />

properties.<br />

planning a five-star hotel resort at Cam<br />

Ranh Bay. <strong>Drees</strong> & <strong>Sommer</strong> has been commissioned<br />

to provide all project management<br />

services – including site supervision –<br />

for the first stage of the project with a planned<br />

investment volume of US $100 million.<br />

<strong>Drees</strong> & <strong>Sommer</strong> Vietnam is executing the<br />

project with a mixed team of international<br />

experts. The principal specifically required<br />

a German company with extensive project<br />

management expertise and international<br />

experience. Binh Tien Tourist and Investment<br />

JSC is a subsidiary of Hanoi Building<br />

Commercial Joint Stock Bank (Habubank),<br />

in which Deutsche Bank currently has a 10<br />

percent holding.<br />

Four resort hotels with a total of 865 rooms<br />

will be built in stages on a 260-hectare site.<br />

Intercontinental Beach Resort Binh Tien<br />

The first stage involves a hotel with 220<br />

rooms, 30 bungalows, and a golf course, as<br />

well as associated infrastructure. The gross<br />

floor area is some 50,000 square meters,<br />

with construction scheduled to be completed<br />

in 2012.<br />

A resort with an investment volume of sev -<br />

eral billion US dollars will be built on a<br />

3200-hectare site on Phu Quoc island. The<br />

project will set new standards in ecological<br />

responsibility. <strong>Drees</strong> & <strong>Sommer</strong> Vietnam is<br />

collaborating with partners to provide consulting<br />

services, coordinate with provincial<br />

and national governments, and draw up the<br />

Process Consulting<br />

<strong>Drees</strong> & <strong>Sommer</strong> Process Consulting optimizes production,<br />

logistics and construction-related workflows.<br />

Activities in the area of process consulting<br />

underwent further significant expansion<br />

in <strong>2009</strong>. Here the focus was primarily on<br />

optimization services in two areas: production<br />

& logistics processes, and construction-related<br />

workflow.<br />

The optimization of site logistics for the client<br />

Hofmann-La Roche in Basel was one of<br />

the larger logistics projects of the year. The<br />

goal of this project was to analyze all material,<br />

goods and traffic flows and to develop<br />

integrated target processes. Standardized<br />

process numbers make logistics sequences<br />

manageable.<br />

Following the success of the project in<br />

Basel, the team was commissioned to undertake<br />

process consulting involving the<br />

analysis and optimization of another of the<br />

client’s sites in Switzerland.<br />

Planning efficient production processes<br />

For the general refurbishment of the Schlangenbader<br />

Straße residential development in<br />

Berlin, the experts collaborated with Berlin<br />

colleagues on a concept for the introduction<br />

of Lean Construction Management (LCM).<br />

The application of LCM allowed significant<br />

acceleration of construction processes, thus<br />

reducing the time required. Based on LCM<br />

planning, logistics can be directed precisely,<br />

with trucks being guided directly to the<br />

appropriate installation point.<br />

Infra Consult<br />

<strong>2009</strong> was a year of major projects for <strong>Drees</strong> & <strong>Sommer</strong><br />

infrastructure experts.<br />

Many long-running projects were continued<br />

and key milestones reached. The decision<br />

to proceed to implementation of the Stuttgart<br />

21 Project was prepared, resulting in<br />

positive responses from the German Rail<br />

Supervisory Board and the Steering Committee.<br />

For the Lake PHOENIX project – which in -<br />

volves the transformation of a former Dort-<br />

mund steel plant site into a leisure, residential<br />

and commercial district – landscaping<br />

was completed to a stage where the<br />

Emscher river was exposed and could be<br />

redirected into a new riverbed. The former<br />

Emscher canal can now be demolished and<br />

landscaping of the lake completed.<br />

The experts completed the restructuring of<br />

aviation operations areas and the upgrade<br />

of the runway for Baden-Airpark without<br />

Stuttgart 21<br />

significant impact on airport operations.<br />

Following planning and approval, implementation<br />

of a further section of the Saar<br />

railway in Saarbrücken has begun. In Munich,<br />

work on the new tram line number 23<br />

was completed, and the line was successfully<br />

commissioned.<br />

<strong>Drees</strong> & <strong>Sommer</strong> is providing multiproject<br />

management for the realization of garden<br />

festivals – for the Federal Garden Festival<br />

in Koblenz and the Bavarian State Garden<br />

Festival in Bamberg. Both projects have a<br />

special focus on associated infrastructure<br />

measures as well as on the actual garden<br />

festival grounds.<br />

In cooperation with the construction in dus-<br />

try and renowned institutes, <strong>Drees</strong> & <strong>Sommer</strong><br />

is analyzing the automation of building<br />

sites in a research project for the German<br />

Federal Ministry of Research & Technology<br />

(BMFT). A decisive factor for this project is<br />

Some 13 national and international projects<br />

were successfully completed as the result of<br />

committed staff and specialist expertise.<br />

Projects undertaken by the development<br />

management specialists included starting<br />

and managing numerous district site deve-<br />

lop ments for well-known clients. These<br />

included major international projects in<br />

Europe and China.<br />

A major project with public appeal was the<br />

collaboration with architects to plan 200<br />

building sites for the Lake PHOENIX architectural<br />

fair. In Aalen, <strong>Drees</strong> & <strong>Sommer</strong> collaborated<br />

with the city to develop a positive<br />

subsidy submission for the EU’s landmark<br />

EULE project. The international competition<br />

for urban development was completed in<br />

Bedburger Höfe urban development<br />

The management of several redevelopments<br />

in Bavaria – commissioned by the Federal<br />

Office for Real Estate Management – resulted<br />

in extremely positive outcomes. The<br />

experts also supported various selec tion<br />

processes for positioning of de velop ments<br />

in the investor market. In the promising<br />

field of sustainable urban and district development,<br />

several districts were audited<br />

for sustainability in collaboration with the<br />

German Sustainable Building Council (DGNB)<br />

The <strong>Annual</strong> Financial Statement shows the total sales and operating<br />

results for the <strong>Drees</strong> & <strong>Sommer</strong> <strong>Group</strong> to December 31, <strong>2009</strong>. The annual<br />

financial statements of the legally independent subsidiaries have been<br />

added, and internal transactions between the companies have been ex-<br />

cluded. <strong>Drees</strong> & <strong>Sommer</strong> AG controls the legally independent operational<br />

subsidiaries. As a result, the balance sheet of the AG essentially indicates<br />

shareholdings in the subsidiaries.<br />

Profit & Loss Statement<br />

In view of the economic conditions, the<br />

<strong>Drees</strong> & <strong>Sommer</strong> <strong>Group</strong> bucked the trend to<br />

deliver a good result in <strong>2009</strong>. The 1,120 employees<br />

achieved sales of € 145.6 million<br />

(prior year € 136.9 million), whereby growth<br />

is largely attributable to final invoicing. The<br />

broad international footing again proved<br />

successful this year. As in the prior year, domestic<br />

sales accounted for 78 percent of the<br />

sales increase of 6.3 percent, with international<br />

sales accounting for 22 percent.<br />

The distribution of sales to several core<br />

competencies also continues to be a<br />

strength of the <strong>Group</strong>: At 76 percent, the<br />

traditional core business of Project Man-<br />

agement continues to contribute the lion’s<br />

share. At the same time, Engineering (15 per-<br />

cent) and Real Estate Consulting (9 percent)<br />

made important contributions to overall<br />

sales.<br />

In the year under report, Expenses rose by<br />

€ 8.4 million to € 133.2 million (prior year<br />

€ 124.8 million). The Financial result is<br />

neutral, compared to € 0.3 million in the<br />

prior year. Overall, the Result from ordinary<br />

activities rose from € 12.3 million in the<br />

prior year to € 12.4 million. As the result of<br />

the slightly lower tax burden of € 4.9 million<br />

(prior year € 5.0 million), Net income rose<br />

to € 7.5 million (prior year € 7.3 million). Together<br />

with Profit brought forward, Transfers<br />

to Reserves for own shares and Profit owing<br />

to external shareholders, this results in a<br />

<strong>Group</strong> balance sheet profit of € 11.5 million.<br />

Subscribed capital, Capital reserves and<br />

Revenue reserves – results in Equity of<br />

€ 30.6 million<br />

Borrowed capital fell from € 74.2 million to<br />

€ 73.4 million. This decreased Accruals by<br />

€ 0.4 million to € 25.9 million and Liabilities<br />

from € 47.9 million to € 47.5 million.<br />

Overall, the Balance sheet total for <strong>2009</strong> is<br />

€ 104.0 million (prior year € 105.0 million).<br />

The Equity ratio is 51 percent compared to<br />

In fiscal <strong>2009</strong>, <strong>Drees</strong> & <strong>Sommer</strong> AG focused<br />

entirely on its function as a holding company<br />

for the legally independent <strong>Drees</strong> & Som-<br />

mer subsidiaries and on control and service<br />

functions for the group. The increase in<br />

overall sales from prior year € 7.5 million<br />

to € 10.2 million in <strong>2009</strong> is attributable to<br />

invoicing to subsidiaries and other one-off<br />

effects that are reported as Other operating<br />

income.<br />

The subsidiaries’ profits of are transferred<br />

as Income from profit transfers and Income<br />

from shareholdings totaling € 21.6 million.<br />

Taking Interest € 0.5 million (prior year<br />

-€ 0.4 million) into account, this results in<br />

a Financial result of € 21.1 million (prior<br />

year € 22.2 million).<br />

As the result of growth, Expenditures<br />

increased by € 2.3 million to € 20.7 million<br />

in <strong>2009</strong> (prior year € 18.4 million). For the<br />

Holding, the Result from ordinary activities<br />

totaled € 11.5 million, and was plus up<br />

€ 0.2 million on the prior year. After deduc-<br />

tion of taxes, net income of € 8.5 million<br />

remains (prior year € 8.5 million). Together<br />

with Profit brought forward and Reserves for<br />

own shares, the Holding was able to increase<br />

its balance sheet profit to € 18.3 million<br />

(prior year € 17.3 million).<br />

The transfer of the balance sheet profit<br />

of € 18.3 million to Equity – together with<br />

Subscribed capital of € 6.1 million, Capital<br />

reserves and Statutory reserves of € 10.5<br />

million and Reserves for own shares of<br />

€ 3.3 million – results in Equity totaling<br />

€ 38.2 million. This represents an increase<br />

of € 1.0 million over the prior year.<br />

As a result of a higher tax burden, Accruals<br />

rose from € 7.8 million in the prior year to<br />

€ 8.3 million. Liabilities decreased from<br />

€ 33.7 million to € 31.0 million. This is largely<br />

attributable to a reduction in liabilities to<br />

subsidiaries.<br />

As part of the cash pooling arrangement,<br />

€ 24.2 million (prior year € 29.1 million)<br />

was transferred from the subsidiaries to<br />

<strong>Drees</strong> & <strong>Sommer</strong> AG and invested, primarily<br />

in the Euro market. As a result, Borrowed<br />

capital has decreased from € 41.5 million to<br />

€ 39.3 million.<br />

This resulted in the balance sheet total<br />

decreasing from € 78.6 million in the prior<br />

year to € 77.5 million. The Equity ratio rose<br />

from 47.2 percent to 49.3 percent, while the<br />

debt ratio decreased from 52.8 percent to<br />

50.7 percent.
