Report of the
Supervisory Board
Chairman of the Supervisory Board
Prof. Dr.-Ing. Hans Sommer
During fiscal 2009, the Supervisory
Board reviewed the management of the
Aktiengesellschaft (stock corporation)
by the Executive Board and constantly
monitored business activities through
written and oral reports of the Executive
Board.
The annual financial statement submitted
by the Executive Board for fiscal
2009 has been examined following accounting
undertaken by Wirtschaftstreuhand
GmbH. No causes for objection
were found and the annual financial
state ment was certified as accurate with -
out reservation. In keeping with this, examination
of the annual financial statement
by the Supervisory Board raises
no cause for objection. The Supervisory
Board approves the annual financial
statement submitted by the Executive
Board and it was thereby adopted on
May 10, 2010.
The Supervisory Board approves the
management report.
Prof. Dr.-Ing. Hans Sommer
Chairman of the Supervisory Board
of Drees & Sommer AG
4
Report of the Executive Board
Steady performance: Drees & Sommer remains well
on track and is targeting moderate growth for 2010.
For 40 years customers from all sectors have
been putting their trust in Drees & Sommer.
What started off as an engineering office
with a staff of three in 1970 has become an
innovative world player with 1050 employees.
And our motto of “Spirit for success,
your success!” has proven itself in 27 national
and international offices.
A good result even in crisis year 2009
Despite the prevailing economic conditions
in 2009, Drees & Sommer bucked the trend
and looks back on a good year. The group
achieved sales of € 145.6 million (prior year
€ 136.9 million), whereby the increase in
sales is largely attributable to final invoicing.
Net income increased slightly to € 12.4
million (up from € 12.3 million in the prior
year). Order intake to March 2010 is stable,
with a large number of major projects under
negotiation. As a result of a conservative
financial policy, the partner-managed company
has a high equity ratio of 51 percent,
which provides a solid foundation.
Forecast: moderate growth in 2010
In 2009 Drees & Sommer put itself in a
strong starting position for the expected
economic upturn in 2010 with a robust,
target-oriented corporate strategy.
The company was able to win additional
market share. With the real estate industry
having bottomed out, moderate growth is
anticipated for 2010.
Internationalization – a cornerstone
Increased internationalization with a
comprehensive range of services is a cornerstone
for positive development. Many
of our customers are international players
for whom comprehensive geographical
coverage is a prerequisite for cooperation.
We have systematically addressed this
need and were able to increase corresponding
sales in 2009. The offices opened last
year in Switzerland and Spain have established
themselves quickly. In future, we will
also be providing our services in Belgium,
Poland, and Scandinavia.
With the general growth in international iza -
tion, worldwide demand for the local availability
of our services is increasing, and
these have to be tailored to local conditions
to a greater or lesser degree. For example,
international demand for project management
has increased in the areas of both
high-tech engineering and infrastructure
& transport. For this reason, in future every
office will have experts available in these
areas.
Project management – truly holistic
In the area of project management, the
focus is increasingly on the holistic service
provided by general construction management.
An increasing number of principals
only want to have one contact person
throughout all phases of the project. They
see the benefits of the avoidance of multiple
interfaces and clear-cut responsibility
provided by the ‘No Worries‘ package. Opti -
mization of the entire process results in
both considerable cost savings and improved
quality.
General construction management meets
these requirements through the early
involvement of all specialist planners and,
where appropriate, of the architect. In the
case of general construction management,
Drees & Sommer provides all general
technology planning services from conception
through to execution either in-house
or through cooperation partners for whom
it takes responsibility. This management
approach requires a particularly high level
of trust between the principal and the construction
manager. Traditionally, this exists
for Drees & Sommer.
Industrial clients as well as construction
companies and principals not involved in
construction projects can also benefit from
improved value-add through more effective
processes. Especially now, customers are
using the opportunity to optimize both their
core and secondary processes. We recognized
this need back in early 2008 and have
integrated process consulting into our range
of services.
More effective real estate management
with e.BIX
A paradigm shift is currently taking place in
facility management consulting to make it
more sustainable: This involves optimizing
building operation in the long-term. Today,
professional management software is essential
for swift and sure building analysis
and data management. Our innovative e.BIX
online platform makes data transfer more
efficient and streamlines processes. This
new application for the management of
building data during planning and construction
allows smooth communication across
format boundaries.
Engineering for sustainable buildings
With a growing focus on cost-savings, clients
are increasing turning their attention to
established buildings. High operating costs
and poor marketability require effective op-
timization with regard to energy consumption.
By incorporating sustainability criteria
into its engineering services, Drees & Som -
mer is both underscoring its pioneering
position in the area of Green Building and
ensuring economically efficient, ecological
buildings.
Fit through intensive vocational training
Highly qualified employees form the
foundation of our company‘s success and
customer satisfaction. Our employees have
to broaden their knowledge and expertise
significantly, particularly when it comes to
new and optimized service packages.
For this reason, we are currently developing
an enterprise-wide E-learning program.
This will make the expertise accumulated
by experienced Drees & Sommer experts
available in more than 300 learning units.
E-learning and our bilingual internal Vocational
Training Academy enable ongoing
cross-border knowledge transfer. Every
employee – from project manager to managing
director – works through a vocational
training program tailored to their specific
needs. The interdisciplinary expertise
generated by this program is used in daily
project practice to the direct benefit of our
customers.
Trends
Branch focus, portfolio optimization and
Corporate Identity Buildings – the trends for 2010.
Drivers: Trade and the public sector
In the coming years, Drees & Sommer sees
potential in many areas, not least in retail
properties. As far as shopping centers are
concerned, there will be an increased focus
on urban locations, sustainability, and
flexible building planning. In this context,
sustainability covers not only ecological
and social aspects, but also addresses the
overall profitability of the property.
As a result of various subsidy programs,
there is also an increase in the number of
public-sector projects. Drees & Sommer has
offered the public sector information events
with specialist papers on this subject in all
major German cities. An extension of this
program throughout Europe is planned.
Public projects also include ‘social buildings’,
such as those for health care, including
hospitals. Here, experienced experts
find the balance between economic success
and the high quality of medical and nursing
services.
Marketability of established properties
Excessive operating costs resulting from increased
primary energy demand and insufficient
user well-being are the main causes
of the poor marketability of established
properties on the international market. Potential
tenants and investors are looking for
properties that offer low utility costs without
impacting on comfort and convenience. The
key factor in investment decisions is the
image gain that can be associated with a
Green Building. This means that in future, a
6
property‘s leasability, pricing, resale value
and return will depend substantially on ecological
standards. As a result, it will become
extremely difficult or even impossible to find
tenants for uncertified buildings. Properties
offered for sale without a Green Building
Label will just sit on the shelf.
Is a sustainable property portfolio economically
viable?
The key question for property owners is
whether refurbishment is profitable in the
long term. But often, the current status of
the building with regard to sustainability is
not known exactly. Drees & Sommer analyzes
the current status and indicates various
courses of action together with the associated
costs and forecast returns.
The experts develop refurbishment solutions
with low energy costs, high thermal
comfort, and the use of ecological construction
materials – wherever this is economically
feasible. This includes the identification
of soft spots in the building shell and the
heating technology used. The focus is on
the requirements of potential building users
as well as the interests of property owners
and investors. As a result, an established
building is transformed into an economical
and ecologically sound Green Building at a
cost that is clearly defined.
Green Building Labels make properties
marketable again
An internationally recognized Green Building
certification such as DGNB (Deutsche Gesell-
schaft für Nachhaltiges Bauen – German
Sustainable Building Council), LEED or
BREEAM identifies buildings – including
established ones – as sustainable and
therefore future-safe. Most international
Green Building Labels have a special variant
tailored spe cifically to established buildings.
Drees & Sommer auditors provide customers
with comprehensive advice on the
most appro priate label and undertake the
entire certification process.
The competitive benefits of Corporate
Identity Buildings
In nearly all industries, companies are adopting
an increasingly international approach.
This results in new requirements for dealing
with subsidiaries in various locations – be -
cause companies with a transregional or
even global presence have very special de -
mands of their properties: the buildings
must reflect the Corporate Identity (CI) and
meet profitability requirements. This applies
both to the architecture and facade as well
as to the structure of the building and workflows.
With four decades of experience in international
construction projects of all types and
sizes, Drees & Sommer is a proven partner
for such Corporate Identity Buildings. The
Group‘s experts cover all facets – from the
selection of an appropriate site, architecture
and building services equipment to fitout
and optimized processes. And importantly,
this consulting is independent and neutral.
Ensuring global recognition
If every subsidiary building allows a company‘s
identity to be recognized, this results
in a significant competitive edge. A higher
level of recognition promotes customer
and user confidence and increases international
awareness. Our Corporate Identity
building service ensures global architectural
implementation of customers‘ corporate
identity. Interdisciplinary Drees & Sommer
teams plan and implement new buildings
economically, optimizing internal processes,
developing efficient office structures, and
taking national environmental specifications
and locally available building materials into
account, always in accordance with Corporate
Identity guidelines.
Finding the right location
Drees & Sommer support for the customer
starts with the search for suitable locations.
With their knowledge of construction projects,
materials, infrastructure and statutory
requirements all over the world, experts support
companies in finding the ideal location
for their premises.
Implementing CI internationally
Often there are no standardized processes
at the new locations or there are adaptation
problems in branch offices. As a neutral
consultant, Drees & Sommer supports and
speeds up important decisions in this area.
Based on exact knowledge of industrial
sectors and the market, experts examine
the goals for the branch offices and develop
economical CI concepts. During implemen-
tation, Drees & Sommer assumes the role of
moderator, ensuring that CI guidelines are
efficiently adapted to local conditions and
processes. The result: the guidelines reflect
local requirements. This increases acceptance
in each branch office at both management
and employee levels. The company’s
identity is not only recognized internationally,
but actually practiced by all involved.
Achieving the goal without additional
personnel
When companies choose implementation by
Drees & Sommer, a tailored project organization
is developed. This involves both the
well-established schedule and cost control
and simultaneous quality control – from the
first draft to commissioning. As part of the
general construction management service,
customers receive a ‘No Worries‘ package:
This gives them one responsible contact
person for management, planning, architect
selection, and monitoring. In this way, the
customer can achieve the implementation of
Corporate Identity Buildings without additional
personnel.
Wherever they are, premises reflect the Corporate Identity.
Stuttgart
Always a step ahead in the market: Drees & Sommer
Stuttgart successfully weathers the economic crisis.
In 2009, the Stuttgart experts actively confronted
the difficult climate in the construction
and real estate sector by developing
and expanding innovative services.
With general construction management,
for example, the company acts as a single
source for all planning and construction
services. This guarantees the principal
optimum project certainty and a seamless,
efficient process. Two major projects were
significantly advanced: the Heilbronn
Education Campus and Building 1 for Roche
in Basel.
Expert Centers were also further expanded.
These are primarily based on regional cooperation
between established specialists
within the Drees & Sommer network. Clients
were provided with interdisciplinary exper -
tise in the areas of hospital construction and
operational real estate. The Stuttgart office
was also successful in providing competent
support for the organization and execution
of architectural competitions and the associated
requirements management.
Drees & Sommer impressed its customers
with its performance in numerous key projects
in 2009. The architectural highlight in
museum construction was the on-schedule
opening of the Porsche Museum in February.
Successful acquisitions included international
projects for the B. Braun Melsungen
pharmaceuticals group. The Stuttgart team
is working jointly with colleagues from Munich
on the establishment of extensive new
subsidiaries on three continents.
For the future-oriented Berlin Brandenburg
International (BBI) Airport project, Drees &
Sommer ensured that site development for
the BBI Business Park remained on schedule
and within budget, thus paving the way
for international developers and investors.
In difficult times, assurance of building
Düsseldorf
Drees & Sommer makes optimum use of Düsseldorf’s
excellent reputation as an economic and investment center.
Despite the economic crisis, business last
year was very positive. The prominence of
the telecommunications industry in Düsseldorf
and the North Rhine-Westphalian university
program were key success factors.
The first tenants moved into Düsseldorf‘s
Sky Office high-rise as planned in August
2009. In addition to active project control,
facade planning, building physics consulting
and tenant coordination all made a significant
contribution to the success of the
project. Qiagen, market leader in pharmacological
sampling and testing technologies,
used our project management throughout
all service phases. In-house IT tools such
as the ProjectCommu nicationSystem (PCS)
and CostMonitor (CoMo) were also used in
the process.
Green Building experts certify new buildings
in accordance with LEED. Drees & Sommer
Sky Office, Düsseldorf
also manages commissioning of building
services equipment.
Planning for a new building for the Düsseldorf
University of Applied Sciences is in
full swing. Following a decision resulting
from the general planning competition in
April 2009, the North Rhine-Westphalian
Construction and Properties Office (BLB
NRW) commissioned the general planner
and commenced user coordination with
the university. Drees & Sommer is undertaking
project control in accordance with
AHO (German Fee Structure Commission
of Engineers’ and Architects’ Associations
and Chambers)/DVP (German Association
of Project Controllers) and will control the
project until the planned handover.
Drees & Sommer is bringing its entire consulting
and control competence to bear for
Ericsson. A team is supporting the customer
with restructuring projects: constructio man-
agement in Aachen/Herzogenrath, tenant
management in Backnang, and change man-
agement for the headquarters in Düsseldorf.
In keeping with the principle of providing
a holistic range of services, Real Estate
Consulting will be added to the service
portfolio. Experts in Green Building, facility
management and technical & economic
construction consulting are also covering
future-oriented fields and creating valueadd
for customers. In this way, Drees & Som-
mer is setting the course for the future de-
velopment of the regional office.
Frankfurt
The regional office continued to grow in 2009 as the
result of major projects and a broad range of services.
The facade of the Deutsche Bank towers
in Frankfurt have been renovated, and the
topping-out ceremony for the new roof
over the foyer was celebrated at the end of
November 2009. Certification of the Green-
towers to the highest ratings of DGNB and
LEED Labels – Gold and Platinum respectively
– was prepared.
The outcome of the invitation to tender for
construction of the European Central Bank
(ECB) was also successful. A team with representatives
from the ECB, the architects,
the specialist planners, and Drees & Sommer
is awarding the eight most important
packages of a total of 16 tender packages
that are within budget. Construction work
started in spring 2010.
For the former Dresdner Bank – now
Commerzbank – Drees & Sommer is not
Deutsche Bank AG, Greentowers
only involved in the refurbishment of the
Silvertower, but is also providing active tenant
management to ensure that after only
nine months planning and construction, the
former Dresdner Bank Management Board
building can be handed over on schedule to
the new tenant, Deutsche Bahn.
The PPP refurbishment and new construction
of four schools in Frankfurt was completed
last year: They were handed over in
time for use at the start of the school year.
Exhibition hall 11 with a new entry area
also opened punctually in time for the IAA
(Frankfurt Motor Show). At the end of the
year, the Regional Tax Office was able to
move into its new premises in the Main
Triangel. Drees & Sommer tenant management
ensured that the leased premises
were handed over on schedule.
Some very interesting new projects were
awarded, including the remodeling and
extension of the Städel Museum in Frankfurt.
Drees & Sommer is also managing
a further two Public Private Partnership
projects: The Wiesbaden Law School for the
European Business School and the state of
Hessen, and the construction of the new
Hofheim Clinic for the Main-Taunus district.
The implementation model for this project
deserves special mention as it is the first
project in Hessen in which the clinic itself is
responsible for operations. In view of this,
we will continue to promote the expansion
of business in this area in 2010.
Hamburg
New customer trust strengthens Drees and Sommer’s
North German presence.
In 2009 the markets in the regions of Kiel,
Hannover and Bremen were consolidated
by the opening of new offices. The Hamburg
market was further stabilized and expanded
through diversified services.
The refurbish ment and revitalization of
commercial buildings is a market of growing
importance in Hamburg. There is an
increasing demand for real estate strategy
consulting services, for example in the
area of residential construction – as part
of development studies for older buildings
requiring refurbishment – or project control
of customized luxury housing.
As a result of the Second Economic Stimulus
Package, Drees & Sommer was awarded
Office Tower Mundsburg, Hamburg
14
contracts including seven projects for the
Schleswig-Holstein University Clinic. The
multiproject management is characterized
by strict schedule and cost planning, bring -
ing the company‘s competence in hospital
construction management to bear. In order
to meet the demanding goals for new buildings
for the International Building Exhibition
(IBA) in Hamburg in 2013, Drees & Sommer
has examined all IBA projects for possible
Green Building certification.
Management of the Bergedorf central bus
station project is a demanding task. Numerous
interfaces have to be controlled to
allow construction of the multi-story car
park, the new German Rail station building,
and the elevated new central bus station to
proceed with the necessary risk minimization.
In a two-phase process during the revitalization
of the Mundsburg Office Tower, the
facade, building services equipment and
fitout were replaced and modernized. The
Hamburg team was commissioned to undertake
project control, facade planning, and
a DGNB Quick Check. The tight schedule,
strict budget limitation and heritage protection
requirements were big challenges.
In the coming business year, Drees & Som -
mer will respond to market demand by
expanding the range of services in the areas
of harbor construction and facility management
consulting.
Cologne
2009 was marked by double-digit growth and further
expansion of our market position.
The growth target was met despite difficult
conditions. One of the mainstays was further
market development – as reflected in
new contracts in Dortmund, such as the
Eving and Mengede baths and the Anne
Frank School.
Drees & Sommer is supporting the Rheinparkmetropole
in Cologne – one of the
biggest office projects in Germany – by pro -
v iding tenant management and project
control services. In late summer, HDI/Gerling
– a member of the Talanix insurance
group – moved into their leased premises.
Handover to the RTL broadcasting group will
take place at the end of the year. The modern
transmission center is the centerpiece
of the leased area. The Cologne Oval Office
is a successful symbiosis of sustainability
and innovative architecture. The combination
of project management and technical &
Rheinhallen/Rheinpark offices, Cologne
economic construction consulting enabled
completion within budget. The establishment
of a modular clinic is a pilot project
for the Bonn University Clinic‘s master plan.
A team consulted the clinic on user issues
and has been entrusted with developing the
invitation to tender for a prime contractor,
with medical technology included. In addition
to this project, which is financed by
funds from the Second Economic Stimulus
Program (ESP II), Drees & Sommer is also
supporting other ESP II projects.
Drees & Sommer again targeted growth in
2010. Strategic property consulting is of
growing importance. Here the key is to generate
value-add and savings. The regional
office is expecting a further increase in revitalization
and in projects involving health
care and clinic fitout, as well as education,
logistics, industrial and residential projects.
Comprehensive assurance of project goal achievement
once again the focus of consulting in 2009.
Above all, it was public and subsidized construction
projects that secured stable order
intake in 2009.
Many projects started the previous year or
developed during 2009 are funded by subsidy
programs that end in the next two or
three years. There was demand for suitable
project execution models that provide principals
with transparency, efficiency and the
security, that the project will be completed
within budget and on schedule within the
specified subsidy period.
In Leipzig, 45,000 square meters of gross
floor area were remodeled in only five
months for iii Fonds. Before the start of construction,
the experts undertook appropriate
requirements planning on the half of the
City of Leipzig.
SRH Forest Clinic, Gera
September 2009 saw the opening of Centrum
Galerie in Dresden – one of the largest
inner-city shopping centers in Germany.
With over 60,000 square meters of retail
space, over 1,000 parking spaces, a fitness
center and numerous food and beverage
outlets, it is a new highlight of the city
center.
The successful start of refurbishment of the
Dresden Palace of Culture was of key significance
for the establishment of the Dresden
office, started in 2009 and to be continued
in 2010. Dresden supplements Leipzig and
Erfurt as the third office in the region. In cooperation
with the Construction Office, the
Cultural Office and other municipal departments,
experts from Leipzig and Stuttgart
ensured that the planning principles used
were aligned with the project goals.
Munich, Nuremberg
The Munich and Nuremberg regional offices
win more public contracts in 2009.
Fiscal 2009 was characterized by a significant
change in the property market, with the
focus shifting from investment and industrial
projects to public-sector contracts. In
addition to project management services for
this sector, the area of real estate consulting
was substantially expanded – above
all development consulting, due diligence
projects, portfolio optimization and feasibility
studies.
The Munich office won the project for the
construction of the new Fire Station 4 in
Munich, the pilot project for the expansion
and modernization of Munich fire stations.
The central emergency call center is to be
integrated into the building, requiring a
high level of specialist technical knowledge.
Drees & Sommer is supporting the
principal, the City of Munich, by providing
IVG – An den Brücken, Munich
comprehensive project management.
Three years after its foundation, the regional
office in Nuremberg also looks back
on a successful business year. A feasibility
study was undertaken for HUK-Coburg (insurance
and building society) for the expansion
of a large data center. Drees & Sommer
helped the customer to find the most economical
and technically suitable solution.
The economic planning specifications are
now being implemented in a subsequent
project management phase.
The Nuremberg regional office was commissioned
by the Sparkasse Erlangen (savings
bank) to develop a sustainable development
concept for an underutilized inner-city
site. An urban planning ideas competition
and investor search will then be carried out
on this basis.
Balkans/Bulgaria
Belgrade/Sofia
Well positioned in a dynamic market –
thanks to close networking of the group.
Despite the economic crisis and a difficult
environment, both Drees & Sommer subsidiaries
performed well. There is continuing
growth in demand from private- and publicsector
clients for professional management
services Made in Germany combined with
local expertise.
And the company‘s local-presence strategy
demonstrates, more than ever, that it gives
a clear competitive edge. The close cooperation
between local colleagues with a
detailed knowledge of regional conventions
and experienced employees from other
international offices guarantees clients
the highest possible level of certainty and
optimal execution of their projects.
In the Balkans, Drees & Sommer once again
achieved substantial value-add for the
Hotel Zabljak, Jezera
18
client with the Zabljak tourist development
project. Refurbishment of the hotel was
successfully started.
An increase in economic activity is anti ci -
pated for the coming year, allowing improve-
ments in the business environment to be
expected – particularly for industrial con-
struction. In addition, the construction
industry should benefit from government
support.
The current economic situation offers op -
portunities for additional growth and sus -
tainable expansion. This applies par ticularly
to the Bulgarian market, where there is
enor mous potential, especially for major
EU-subsidized infrastructure projects. At -
tention is mainly focused on road and rail
transport, and on the water and wastedisposal
Drees & Sommer anticipates a positive future
for the new Belgian subsidiary.
The experts successfully established themselves
in Belgium in 2009 with numerous
contracts. Projects for Schüco included the
coordination of facade work for the new
NATO headquarters in Brussels in partnership
with Drees & Sommer Advanced Buil d-
ing Technologies. With an investment vo -
lume of some € 500 million, the headquarter
is being built on a 40-hectare site opposite
the old NATO building. The project is
scheduled for completion in 2012.
Another project is the ‘K in Kortrijk’ shopping
center. Drees & Sommer is supporting
Union Investment Real Estate by providing
technical due diligence and monitoring.
After completion in spring 2010, the shopping
center will offer some 33,000 square
meters of space for lease, 20 apartments,
and 1,050 underground parking spaces.
K in Kortrijk, Kortrijk, Belgium
There is particularly large demand for high-
quality construction services. Drees & Sommer
has excellent opportunities to score
contracts here with its comprehensive range
of competencies.
From 2012, an energy performance certifi-
cate will be required for transactions involving
commercial properties. This will
stimulate increased interest in Green Building
Labels and energy-efficient construction.
Demand for Green Buildings is already
increasing. Drees & Sommer is confident of
playing a pioneering role in this area.
Greater utilization of the Belgian office is
planned for 2010. The aim is to generate
additional projects and contracts, and to
actively support to EU institutions in the
future.
China
Shanghai
In 2009, the Chinese market was characterized
by great vigor and enormous demand potential.
The growth of Chinese cities continues un -
abated, with an increasing emphasis on
planning and construction quality for both
individual properties and entire districts.
The issue of sustainability is also of growing
importance.
This has led to greater demand for development
management services. Drees &
Sommer has been cooperating with the
Shanghai-based Sino-German architectural
and urban planning office SBA since 2004.
As the result of numerous successfully
completed projects, the partners are now
in a position to respond to a continued
increase in demand for consulting services
in the areas of urban development and
infrastructure.
In 2009, service delivery focused in particular
on the preparation of city, district and
Moon Island, Zhuhai Lover’s Road, Zhuhai
20
property developments as well as on Green
City and disused land development.
For the Zhuhai Lover’s Road project, in
addition to a site and market analysis,
Drees & Sommer undertook the definition
of target groups and the examination of
best-practice examples, as well as supporting
SBA with the development of the
land-use concept. The highlight of the
concept is the development of the sickleshaped
‘Moon Island’ with a range of landuse
possibilities.
The rapidly growing Chinese market also
offers huge development potential. Key
factors for success in this market are international
expertise, local know-how and a
long-term approach.
Rome, Milan
Drees & Sommer is bolstering its consulting services
in Italy, particularly in the area of Green Building.
Important architectural projects were successfully
completed in Milan in 2009. This
resulted in an increase in sales for both the
Rome and Milan subsidiaries.
Following the opening of the Mercedes-
Benz center in Milan in the summer of
2009, the Drees & Sommer project managers
handed over the Commercial Vehicles
Sales Center to the principal. In the second
half-year the administrative buildings and
technology centers for BMW Husqvarna in
Varese and B. Braun Melsungen in Milan
were completed with zero defects, allowing
operations to commence on schedule in all
buildings.
Despite the difficult situation on the financial
market, the acquisition of properties by
international property funds was supported
by the provision of technical due diligence
Via Laurentina office complex, Rome
services. The Via Laurentina office complex
in Rome, Union Investment Real Estate AG,
DEKA, and SEB Asset Management all awarded
contracts for the monitoring, maintenance,
and revitalization of their properties.
Experts expect that the criteria of the LEED
international environmental compatibility
certification will be implemented in the
Italian ITACA standard in the near future.
Drees & Sommer already guarantees the full
range of services at all Italian offices.
In 2010, competency in the area of design
and operation of energy-efficient and ecol
ogical buildings will be further enhanced
by Drees & Sommer Advanced Building
Technologies. Overall sales in Italy are set
to increase a result of planned infrastructure
projects, and a Competence Center
has already been established to meet this
demand.
and Germany was so successful that additional
employees were hired. In 2009, the
focus was on project management services,
technical due diligence, and a range of re -
Clients in the Middle East attach great importance to
sound property concepts and sustainable building.
Despite many stalled projects, construction
continues – if at a significantly reduced volume
and at reduced speed. The market has
bottomed out and new investment projects
are being undertaken, particularly in the
area of infrastructure. The real estate sector,
with its numerous development companies,
continues to consolidate with an increasing
number of long-term sustainable building
projects on the horizon.
In this charged situation, Drees & Sommer
is acting as the owner representative for
Marriott International, providing technical
know-how for various projects in the United
For Bayer, the experts in the Middle East
In the UAE and Saudi Arabia, various technical
for Arcapita Bank to ensure a sound basis for
difficult economic times. Drees & Sommer
also provided comprehensive and competent
Successful realization of sustainable buildings
summarizes Austria’s achievements in 2009.
The groundbreaking ceremony for the Vienna
University of Economics & Business Administration
– one of the largest university
construction projects in Europe – took place
in October 2009. Over the coming years,
five building complexes will be constructed
on the site between the Prater and the Vienna
exhibition center to accommodate some
25,000 students and 15,000 employees
from winter semester 2013/14. Based on an
innovative concept, the new University of
Economics & Business Administration will
bring together Green Building ideas and
visions, making the campus a showcase for
ecological and economic sustainability.
Following renovations and remodeling, the
Gerngross department store will become
the largest in Vienna. The building – which
dates back to the 1960s – will accommodate
shopping arcades, service facilities,
and food and beverage outlets on six levels.
In particular, the fact that renovation work is
to be undertaken with the department store
still in full operation requires Drees & Sommer
management expertise and experience.
Österreich-Haus (Austria House) – the only
national building built for the winter Olympics
2010 in Vancouver – has been awarded
a preliminary Silver DGNB certificate
following certification by Drees & Sommer,
one of the founding members of the Austrian
Society for Sustainable Real Estate.
Once the initial shock of the financial and
economic crisis had been overcome, the
transaction market regained momentum
from mid-year. From this time, Drees & Som -
mer supported numerous institutional investors
with their transactions by providing
technical due diligence services.
Despite the difficult market environment,
the Aus tri an subsidiary was able to continue
its growth path in 2009. The pioneering
role in the area of sustainability will be used
to further expand services in this area in
2010. The Vienna office is also to become a
hub for Eastern European Drees & Sommer
With expertise and local know-how, Drees & Sommer
is ideally positioned for the Polish market.
The economic turbulence at the end of
2008 and throughout 2009 has resulted
in a radical shift in investor attitudes in
Poland. Currently, no clear forecast can be
made regarding the medium-term impact of
this change on the real estate market.
Although Poland has not been spared the
real estate crisis, the country has fared better
than other Eastern European countries,
and will probably see a slight upswing over
the next few quarters. Drees & Sommer
is taking this into account in its strategic
alignment, positioning itself to participate
with clients in the uptrend that is expected
Hotel andel’s, Kraków
to follow the current stagnation. In recent
years, the experts have worked from temporary
project offices primarily managing
projects for German investors. Here the
emphasis was on technical due diligence,
building valuation, and control of tenant
fitout. Drees & Sommer Poland has now
reorganized and will, in future, manage
projects nationwide in the core areas of
Project Management, Real Estate Consulting,
and Engineering.
The rollout of increasingly popular areas of
expertise such as technical financial controlling
and facility management consulting
is a response to a trend to greater sustainability
on the Polish real estate market.
Drees & Sommer also consults clients in the
area of Green Building, and is promoting
the implementation of international standards
through founding membership of the
Polish Green Building Council (PLGBC).
With its professional team of multilingual
employees and an appropriate mix of expertise
and local know-how, Drees & Sommer
is ideally equipped to successfully service
clients in Poland. As general manager, the
team supports projects for the public sec -
tor, office, residential buildings, and investment
projects.
supported local clients with construction
projects in Bucharest. The experts were
commissioned to provide project management
services for the Dragonul Rosu, Mall
Crangasi and Piata Crangasi projects.
technical finance controlling. In the industrial
sector, the OMV Petrom oil and gas company
commissioned the Romanian team
to continue project management for the
dismantling of disused depots, continuing
a collaboration that began years ago.
In 2009, Drees & Sommer was also awarded
a contract for project management and
construction management for several Kaufland
supermarkets as part of the continued
which has now been ongoing for a number
of years.
In addition to services that have been
provided for many years including project
management, finance controlling for banks,
and technical due diligence, increasingly
clients are now requesting facility management
consulting. A first contract in collaboration
with German facility management
colleagues has been successfully completed
for the client Impact SA.
In future, Drees & Sommer Romania will
further expand the areas of facility management
In Burgdorf, Drees & Sommer is providing
controlling services for a cantonal administrative
center that is being realized as a
Public Private Partnership project.
The general upgrade of a commercial property
being managed by the Swiss team
involves the refurbishment of retail and
office space, the optimization of indoor
parking, and renovation of the facades.
Individual contract awards are being used
for the entire project.
The Swiss property market continues to
be characterized by a high level of stability.
The level of activity and orders on hand
were also maintained in the construction
sector.
Throughout Switzerland, planned construction
projects are demonstrating a renaissance
of high-rise culture. As the complexity
of high-rise buildings has increased
enormously, demands on project execution
have also increased. With numerous international
projects realized, Drees & Sommer
is well positioned to provide consulting with
the appropriate competence.
Czech Republic
Prague
The property market in the Czech Republic remained
stable in 2009.
A large number of properties have changed
hands and many new office buildings have
been built. In particular, the city of Prague is
very popular with investors and developers.
The sale of the Gemini office complex was
the largest property transaction in Prague
in 2009. Drees & Sommer supported Deka
Immobilien Investment GmbH by providing
technical due diligence services, giving the
investor a sound basis for the purchase
decision.
The experts supported Jungheinrich AG,
Hamburg with the conception, planning and
construction of a new plant in Olomouc.
To provide the region with Jungheinrich ser -
vice, the existing Prague site was supplemented
by a further building with offices,
workshop and warehouse. Drees & Sommer
started developing the concept for Jung-
Gemini, Prague
30
heinrich in 2007. Thanks to involvement in
the project from the very beginning, the pro -
ximity to Jungheinrich AG in Hamburg, and
to professional support on site, an optimum
outcome was achieved. The project constellation
ensured smooth communication
between all parties involved as well as
as suring quality on the building site. The
building was completed mid 2009.
In 2010, Drees & Sommer continues to support
clients – primarily international – with
the construction, sale or purchase of office,
retail and production buildings. In addition
to conventional project management, there
is continued strong demand for general con -
for project monitoring, the experts are now
also undertaking quality assurance. The experts
support the development of architectural
solutions and the achievement of
Forum Kayseri shopping center, Kayseri
contract and project goals. A further major
success was the on-schedule opening of the
Istanbul 212 shopping center. Drees & Som-
mer was commissioned by Aareal Bank to
undertake project management and handover
management. In order to ensure timely
project handover, the team set up a task
force on site. The Center Nilpark with Media
Markt in Bursa was also handed over on
schedule.
Drees & Sommer received a contract from
Ziraat Bank for the project management
for all phases of the construction of a new
finance center. International project experience
was decisive for this award. Ziraat
Hungary
Budapest
Despite difficult times, major new projects in
Hungary bode well for the future.
The economic challenges in Hungary have
not failed to leave their mark on the real
estate industry. 2009 saw a significant
reduction in construction projects and real
estate transactions.
For Drees & Sommer, this made it all the
more pleasing that Daimler is building a
com plete auto factory for the production of
Mercedes-Benz A and B class in Kecskemét
and has commissioned the experts with
con trol of this project. Working to a tight
schedule – the first car is to roll off the pro -
duction line at the beginning of 2012 – a
pressing plant, weld shop, paintshop, as -
sembly halls and central administration
building are to be built on one site, with a
supplier park nearby.
Throughout construction, the project controllers
have to continually take the latest
Mercedes-Benz plant, Kecskemét
32
auto development and production requirements
into account and reflect these in
planning. The bilingual Hungarian-German
project being undertaken in cooperation
with the Austrian colleagues ensures
smooth communication on-site.
The establishment of the Mercedes-Benz
plant in Kecskemét will give the region’s
real estate industry a boost. It is expected
that suppliers will also establish there in
2010, generating great demand for residential
properties.
Hungary has also rethought the idea of
sustainable buildings. Drees & Sommer
has undertaken LEED Green Building Quick
Checks for IVG-Development Hungary to
assess the sustainability of buildings. This
trend will continue in 2010.
Advanced Building Technologies
The German leader in FM consulting and Green
Building is becoming increasingly international.
In addition to the established facility
management consulting services, there is
increasing demand for life-cycle cost consulting.
The conventional division of roles
between asset, property and facility management
(FM) is undergoing change, which
is also resulting in a shift in the interfaces
between these services.
In 2009, Drees & Sommer Advanced Building
Technologies supported numerous cli -
ents with sensitive FM outsourcing decisions
and with the building operator’s startup
phase. An increasing number of industrial
clients are seeking advice on operational
management and operating costs. Increasingly,
property funds are looking for the
combination of engineering and real estate
expertise provided by technical asset management
both for their portfolios and for
individual properties.
New Mosque „Djamaâ el Djazaïr“, Algiers
Green Building and energy-efficient construction
are firmly established themes.
Here, too, Drees & Sommer is a market
lea der – not only in certification, but above
all in con ception, planning, construction,
commissioning, and online monitoring during
building operation. There is increasing
demand both in Germany and throughout
Europe for the company‘s holistic competence
and its state-of-the-art simulation
tools. In addition to innovative energy
concepts, material-efficient and ecologi-
cally sound system solutions are gaining
in importance.
Engineering experts are still focused on ge -
neral technology planning – as undertaken
for the Spiegel building and other new
buildings with Green Building certification
and the Hafen-City Gold Label. The mosque
in Algiers with its 260-meter minaret – the
highest in the world – is an iconic project
for facade technology. Another unique pro -
ject is the glass double-skin shell being
used in the revitalization of a heritageprotected
coal-mine winding tower.
Technical & economic construction consulting
is subdivided into demand-focused
services. Clients benefit from improvements
and cost savings across all trades. Technical
& economic construction consulting
service offerings are being upgraded at all
regional offices.
Process Consulting
Drees & Sommer Process Consulting optimizes production,
logistics and construction-related workflows.
Activities in the area of process consulting
underwent further significant expansion
in 2009. Here the focus was primarily on
optimization services in two areas: production
& logistics processes, and construction-related
workflow.
The optimization of site logistics for the client
Hofmann-La Roche in Basel was one of
the larger logistics projects of the year. The
goal of this project was to analyze all material,
goods and traffic flows and to develop
integrated target processes. Standardized
process numbers make logistics sequences
manageable.
Following the success of the project in
Basel, the team was commissioned to undertake
process consulting involving the
analysis and optimization of another of the
client’s sites in Switzerland.
Planning efficient production processes
For the general refurbishment of the Schlangenbader
Straße residential development in
Berlin, the experts collaborated with Berlin
colleagues on a concept for the introduction
of Lean Construction Management (LCM).
The application of LCM allowed significant
acceleration of construction processes, thus
reducing the time required. Based on LCM
planning, logistics can be directed precisely,
with trucks being guided directly to the
appropriate installation point.
Drees & Sommer Process Consulting will
further promote this development in 2010.
The main focus will be on continuing the
expansion of the newly created ‚Processes
in health care’ service.
Infra Consult
2009 was a year of major projects for Drees & Sommer
infrastructure experts.
Many long-running projects were continued
and key milestones reached. The decision
to proceed to implementation of the Stuttgart
21 Project was prepared, resulting in
positive responses from the German Rail
Supervisory Board and the Steering Committee.
For the Lake PHOENIX project – which in -
volves the transformation of a former Dort-
mund steel plant site into a leisure, residential
and commercial district – landscaping
was completed to a stage where the
Emscher river was exposed and could be
redirected into a new riverbed. The former
Emscher canal can now be demolished and
landscaping of the lake completed.
The experts completed the restructuring of
aviation operations areas and the upgrade
of the runway for Baden-Airpark without
Stuttgart 21
38
significant impact on airport operations.
Following planning and approval, implementation
of a further section of the Saar
railway in Saarbrücken has begun. In Munich,
work on the new tram line number 23
was completed, and the line was successfully
commissioned.
Drees & Sommer is providing multiproject
management for the realization of garden
festivals – for the Federal Garden Festival
in Koblenz and the Bavarian State Garden
Festival in Bamberg. Both projects have a
special focus on associated infrastructure
measures as well as on the actual garden
festival grounds.
In cooperation with the construction in dus-
try and renowned institutes, Drees & Sommer
is analyzing the automation of building
sites in a research project for the German
Federal Ministry of Research & Technology
(BMFT). A decisive factor for this project is
communication between the individual devices
and subsystems. Processes are controlled
automatically from a control center.
New services such as flood protection,
renewable energy, and power-station and
harbor construction are to be developed in
2010. This will position the expert team as
providers of holistic consulting and project
management services for all aspects of
infrastructure projects.
Drees & Sommer a sought-after partner in 2009.
Some 13 national and international projects
were successfully completed as the result of
committed staff and specialist expertise.
Projects undertaken by the development
management specialists included starting
and managing numerous district site deve-
included major international projects in
Europe and China.
A major project with public appeal was the
collaboration with architects to plan 200
building sites for the Lake PHOENIX architectural
fair. In Aalen, Drees & Sommer collaborated
with the city to develop a positive
03 Balance sheet
The Annual Financial Statement shows the total sales and operating
results for the Drees & Sommer Group to December 31, 2009. The annual
financial statements of the legally independent subsidiaries have been
added, and internal transactions between the companies have been ex-
cluded. Drees & Sommer AG controls the legally independent operational
subsidiaries. As a result, the balance sheet of the AG essentially indicates
shareholdings in the subsidiaries.
41
Annual Financial Statement for Drees & Sommer Group
as at December 31, 2009
Profit & Loss Statement
In view of the economic conditions, the
Drees & Sommer Group bucked the trend to
deliver a good result in 2009. The 1,120 employees
achieved sales of € 145.6 million
(prior year € 136.9 million), whereby growth
is largely attributable to final invoicing. The
broad international footing again proved
successful this year. As in the prior year, domestic
sales accounted for 78 percent of the
sales increase of 6.3 percent, with international
sales accounting for 22 percent.
The distribution of sales to several core
competencies also continues to be a
strength of the Group: At 76 percent, the
traditional core business of Project Man-
agement continues to contribute the lion’s
share. At the same time, Engineering (15 per-
cent) and Real Estate Consulting (9 percent)
made important contributions to overall
sales.
In the year under report, Expenses rose by
€ 8.4 million to € 133.2 million (prior year
€ 124.8 million). The Financial result is
neutral, compared to € 0.3 million in the
42
prior year. Overall, the Result from ordinary
activities rose from € 12.3 million in the
prior year to € 12.4 million. As the result of
the slightly lower tax burden of € 4.9 million
(prior year € 5.0 million), Net income rose
to € 7.5 million (prior year € 7.3 million). Together
with Profit brought forward, Transfers
to Reserves for own shares and Profit owing
to external shareholders, this results in a
Group balance sheet profit of € 11.5 million.
Balance sheet
The transfer of the balance sheet profit
of € 11.5 million to Equity – together with
Subscribed capital, Capital reserves and
Revenue reserves – results in Equity of
€ 30.6 million
Borrowed capital fell from € 74.2 million to
€ 73.4 million. This decreased Accruals by
€ 0.4 million to € 25.9 million and Liabilities
from € 47.9 million to € 47.5 million.
Overall, the Balance sheet total for 2009 is
€ 104.0 million (prior year € 105.0 million).
The Equity ratio is 51 percent compared to
41 percent in the prior year.
Annual Financial Statement for Drees & Sommer Aktiengesellschaft
as at December 31, 2009
Profit & Loss Statement
In fiscal 2009, Drees & Sommer AG focused
entirely on its function as a holding company
for the legally independent Drees & Som-
mer subsidiaries and on control and service
functions for the group. The increase in
overall sales from prior year € 7.5 million
to € 10.2 million in 2009 is attributable to
invoicing to subsidiaries and other one-off
effects that are reported as Other operating
income.
The subsidiaries’ profits of are transferred
as Income from profit transfers and Income
from shareholdings totaling € 21.6 million.
Taking Interest € 0.5 million (prior year
-€ 0.4 million) into account, this results in
a Financial result of € 21.1 million (prior
year € 22.2 million).
As the result of growth, Expenditures
increased by € 2.3 million to € 20.7 million
in 2009 (prior year € 18.4 million). For the
Holding, the Result from ordinary activities
totaled € 11.5 million, and was plus up
€ 0.2 million on the prior year. After deduc-
44
tion of taxes, net income of € 8.5 million
remains (prior year € 8.5 million). Together
with Profit brought forward and Reserves for
own shares, the Holding was able to increase
its balance sheet profit to € 18.3 million
(prior year € 17.3 million).
Balance sheet
The transfer of the balance sheet profit
of € 18.3 million to Equity – together with
Subscribed capital of € 6.1 million, Capital
reserves and Statutory reserves of € 10.5
million and Reserves for own shares of
€ 3.3 million – results in Equity totaling
€ 38.2 million. This represents an increase
of € 1.0 million over the prior year.
As a result of a higher tax burden, Accruals
rose from € 7.8 million in the prior year to
€ 8.3 million. Liabilities decreased from
€ 33.7 million to € 31.0 million. This is largely
attributable to a reduction in liabilities to
subsidiaries.
As part of the cash pooling arrangement,
€ 24.2 million (prior year € 29.1 million)
was transferred from the subsidiaries to
Drees & Sommer AG and invested, primarily
in the Euro market. As a result, Borrowed
capital has decreased from € 41.5 million to
€ 39.3 million.
This resulted in the balance sheet total
decreasing from € 78.6 million in the prior
year to € 77.5 million. The Equity ratio rose
from 47.2 percent to 49.3 percent, while the
debt ratio decreased from 52.8 percent to
50.7 percent.
