Located on Manchester Road near the junction of Hurlburt Street on fifteen<br />

(15) acres of varied terrain, the Club has been open since June of 1971,<br />

and is limited to 200 member families for swimming, tennis, picnicking and<br />

other summer activities.<br />

The pool is 42 feet wide by 75 feet long with two one-meter springboards<br />

(each with adjustable fulcrum) in the diving “L”. A 24-foot diameter “kiddie”<br />

pool is also located in the swim area. All pool activities are supervised by<br />

qualified, full-time lifeguards, and our full-time Pool Director, Ron Anderson.<br />

Swimming lessons are available, and the swim team competes with other<br />

club teams in the area.<br />

There are five Har-Tru tennis courts and one hard surface court. Four of the<br />

Har-Tru courts are lighted for nighttime play. The tennis program covers<br />

group and individual instruction, men’s and women’s organized play,<br />

interclub matches and end-of-season tournaments. An extensive junior<br />

program includes instruction for all ages and abilities, and a tennis team<br />

plays a very active schedule. Our Head Tennis Professional, Shaun Keane,<br />

coordinates and directs the junior activities, provides lessons and clinics,<br />

and is in charge of the tennis court area in general.<br />

The professionally designed clubhouse features a two-story functional<br />

activity center with the top floor serving as a meeting and game room. A<br />

varied Social Calendar includes activities for all. In addition, there is a large<br />

picnic grove, tennis practice area, basketball, and children’s playground<br />

area. Members are expected to assist in the spring start-up and fall<br />

shutdown activities of the Club and occasionally Pool Sit.<br />

ARTICLE I – NAME<br />

The name of the corporation shall be Minnechaug Swim and Tennis Club,<br />

Incorporated, hereafter referred to as The Corporation.<br />

ARTICLE II - PURPOSES<br />

Mission Statement<br />

Minnechaug Swim and Tennis Club is a cooperative and self-governing non-profit<br />

club. The club provides high quality recreational swimming and tennis from the late<br />

spring to the early fall months. Membership is non-discriminatory and membership is<br />

chosen in chronological order from the waiting list. Club members and employees are<br />

to be treated with fairness, respect, sensitivity and common sense. The Club will<br />

establish good relations with its neighbors.<br />

Objectives<br />

1. Provide a pool facility that is of a high quality and on par with a fully managed<br />

country club.<br />

2. Provide a tennis facility that is of a high quality and on par with a fully managed<br />

country club.<br />

3. Swimming and tennis will be equally valued activities.<br />

Strategic Plan<br />

1. The club is owned and operated by the members.<br />

2. Club members are expected to make a significant contribution to the operation<br />

of the club during the duration of their membership.<br />

The purpose of the corporation, as stated in the certificate of incorporation is:<br />

To acquire by purchase or otherwise a tract of land suitable as a site for a<br />

swimming pool; to construct, maintain and operate thereon a swimming pool; to<br />

provide and maintain on such a site a clubhouse, showers, tennis courts, and<br />

other desirable improvements; and to engage in such related activities as may<br />

be deemed desirable or essential;<br />

To do any and all acts, which may be lawfully, done by a non-stock, nonprofit<br />

corporation;<br />

Provided however, that no public dancing facilities nor public dining facilities<br />

shall be provided on any premises under control of the corporation; and<br />

Provided further, that no part of the corporation’s income is distributable to its<br />

members, directors, or officers and the corporation shall not have or issue<br />

shares of stock or pay dividends.<br />

ARTICLE III – MANAGEMENT<br />

Section 1. Management. The management of the affairs of the corporation shall be<br />

in the hands of the Board of Directors, who shall be fourteen (14), comprising six (6)<br />

officer-directors and eight (8) non-officer directors. Only one member per family may<br />

vote on the Board at any one time. The Board may appoint not more than three<br />

committee Assistants for each non-officer director in his/her responsibilities. At the<br />

discretion of the Board, and provided such Committee Assistant has satisfactorily<br />

performed such duties as may be required, than such Committee Assistant shall be<br />

relieved from work duties for that year and shall have the choice of not pool sitting in<br />

the same manner as Officers and Directors. The Board of Directors, in its discretion,<br />

may waive guest fees in certain cases for Committee Assistants.<br />

Section 2. Election of Directors. Eight (8) directors who shall not be officers of the<br />

corporation shall be chosen by ballot by a majority vote of members present or by<br />

proxy at the annual meeting of members. Said non-officer directors shall serve for a<br />

period of two years, or until their successors are elected. Four (4) non-officer<br />

directors shall be elected in the odd numbered years and four (4) shall be elected in<br />

the even numbered years. The other six (6) directors shall be officers of the<br />

corporation, who upon their election to such office shall automatically become<br />

members of said board. Said officers-directors shall serve for a period of two years,<br />

or until their successors are elected to complete the term. The President, Secretary,<br />

and Counsel shall be elected in odd numbered years and the Vice President and<br />

Treasurer shall be elected in even numbered years.<br />

Section 3. Vacancies. The Board of Directors shall have the power to fill any<br />

vacancy occurring in said Board for any cause other than the expiration of term of<br />

office.<br />

Section 4. Officers. The officers of the corporation shall be as follows: President,<br />

Vice President, Secretary, Treasurer, Counsel, and Immediate Past President, each<br />

of whom shall serve a two year term. The officers of the corporation shall be elected<br />

at the annual meeting, excepting the Immediate Past President who will be a member<br />

automatically if still a member of the Club.<br />

Section 5. President. The president shall be administrative officer and shall preside<br />

at all meetings of the corporation and at all meetings of the Board of Directors. He<br />

shall have the power to appoint such ad hoc committees as may be necessary, in<br />

addition to the committees provided for in these By-Laws, with the approval of the<br />

Board of Directors. He shall have general authority to exercise all of the<br />

administrative powers usually pertaining to the office of President of a corporation.<br />

Section 6. Vice President. The Vice President, in the absence of the President,<br />

shall act in his stead. He shall be responsible for the implementation of special<br />

projects and the monitoring of ad hoc committees as appointed by the President. He<br />

shall oversee and administer the Rules and Regulations of the Club.<br />

Section 7. Secretary. The Secretary shall keep a record of all meetings of the<br />

corporation and of the Board of Directors and perform such duties as are usually<br />

performed by secretaries of corporations.<br />

Section 8. Treasurer. The Treasurer shall collect and keep safely all the funds of the<br />

corporation and shall perform such duties with respect to the accounts, finances and<br />

financial obligation of the corporation as are usually performed by treasurers of<br />

corporations. At the annual meeting he shall render a full and complete report of the<br />

finances of the corporation for the preceding year ending September 30th, and such<br />

other statements as shall be then or from time to time required of him by the Board of<br />

Directors. The Board of Directors shall establish and maintain a separate capital<br />

expenditure plan.<br />

Section 9. Counsel. The Counsel shall review and monitor club activities with regard<br />

to the legality of operations, rules, and procedures. He shall render advice as to the<br />

compliance with governmental regulations and recommend liability coverage. He<br />

shall prepare and review all contracts. He shall oversee and administer the By-Laws<br />

of the Club.<br />

Section 10. Removal. The officers of the corporation, or any of them, may be<br />

removed from office for cause by a two-thirds vote of the full Board of Directors, and<br />

replacements therefore selected by majority vote of the full Board to serve for the<br />

unexpired term of office.<br />

Section 11. Meetings of Members. The annual meeting of the corporation for the<br />

election of officer-directors and non-officer directors and the consideration of<br />

candidates for membership shall be each year in November on a date designated by<br />

the Board of Directors. Special meetings of the corporation may be called at any time<br />

by call of the President or by call of three directors, or by request of at least one-fifth<br />

of the members of the corporation, each such call or request to be communicated in<br />

writing to the Secretary. The Secretary shall notify all members in writing of each<br />

annual or special meeting at least seven (7) days prior to the date for any such<br />

meeting stating the date, place, and hour thereof. As to any special meeting, the<br />

general purpose or purposes thereof must also be stated and no other business shall<br />

be transacted at such meeting.<br />

Section 12. Quorum. Fifteen per cent of the total membership of the corporation,<br />

represented in person or by proxy, shall constitute a quorum at any meeting of the<br />

corporation.<br />

Section 13. Meeting of Directors. Regular meetings of the Board of Directors shall<br />

be designated by the President, notice of which shall be given by the Secretary to<br />

each director in person or by mail. Special meetings may be held at the call of the<br />

President or at the request of three directors submitted in writing by the Secretary.<br />

Notice of any such special meeting shall be given by the Secretary by mail or in<br />

person to each director at least three days prior to the date for such special meeting.<br />

A majority in number of the Board of Directors shall constitute a quorum.<br />

Representation by proxy is prohibited at meetings of the directors.<br />

ARTICLE IV – MEMBERSHIP<br />

The rights and privileges, qualifications, and the manner of election of members as<br />

stated in the certificate of incorporation are as follows:<br />

Section 1. Membership. Membership in the corporation shall be either a family<br />

membership or an honorary membership. An honorary membership is a family<br />

membership with 25 years of continuous membership who has elected honorary<br />

status in accordance with Section 3 of this Article. A family membership shall grant<br />

the privileges of use of all the corporation’s facilities to the member family including<br />

husband, wife, unmarried female or male members in the immediate family, if any,<br />

but limited to residents of the same household age 25 years and under. The club<br />

reserves the right based on special needs to make exceptions on a case-by-case<br />

basis. Each member family shall have one vote in the management of the<br />

corporation.<br />

<strong>SWIM</strong> LESSON PROGRAM<br />

Group swim lessons for children are given during the season for all ability<br />

levels. The club subscribes to and follows the Red Cross Aquatic Affiliate<br />

Program. Lessons are broken down into seven levels. The Pool Director<br />

can help ascertain what level your child should be enrolled in. Lessons are<br />

thirty minutes in duration, five days per week, Mondays through Fridays,<br />

unless otherwise noted. Signup sheets for lessons will be posted on the<br />

poolside bulletin board early in the season. Please check the bulletin<br />

board for specific information.<br />

<strong>SWIM</strong> LESSON SESSIONS:<br />

<strong>SWIM</strong> TEAM<br />

Minnechaug is a member of the Connecticut Suburban Swim League.<br />

There are five clubs in the league and we have dual meets with each team.<br />

Meets are generally held on Tuesday and Thursday evenings throughout<br />

July. “The Championships” are generally held the first weekend in August<br />

with all teams in the league participating. Swimmers may be any age to<br />

compete; the only requirement is that the swimmer MUST be able to<br />

complete one lap (lengthwise) of the pool without stopping.<br />

The summer swim leagues are generally less competitive than winter<br />

leagues and are a great way to introduce a young child to the sport. Swim<br />

team practices are held Mondays through Fridays from 10:15 am to 1 pm<br />

by age group. There will also be an afternoon practice from 4:30 pm to 5:30<br />

pm Monday - Friday for those unable to attend morning practice.<br />

Swim team is a great way to strengthen swimming skills, give structure to a<br />

child’s day, make new friends and have fun! Swim team holds special social<br />

events as well.<br />

Any questions about swim team can be referred to the Pool Director, the<br />

Swim Team coaches or the Swim Program Committee Members.<br />

Swimmers must swim in at least two dual meets in order to swim at<br />

Championships.<br />

Section 2. Method of Election. To become a candidate, a family must submit an<br />

application to the chairman of the Membership Committee, together with such<br />

information as may be required by such committee. From time to time at the direction<br />

of the Board of Directors, the Membership Chairperson shall post at the club during<br />

the swim season or shall mail to all members a list of the names of candidates to be<br />

considered for membership, which list shall be compiled and considered in the<br />

chronological order in which the candidates were proposed to the membership<br />

committee. Within fourteen (14) days thereof any member may file with the<br />

membership committee a signed, written objection to the election of any candidates.<br />

The written objection need not state the reason for such objection. At the end of the<br />

fourteen (14) day period for filing objections, the membership committee shall deliver<br />

to the Board of Directors all written objections received. The Board of Directors shall<br />

investigate each objection and the reasons therefore as soon as possible and after<br />

such investigation shall meet as a body, not later than sixty days after receipt of such<br />

objections to pass upon the candidates to whom the objection has been made. An<br />

objection based on race, color, creed, or national origin of a candidate shall not be<br />

deemed by the Board of Directors to be sufficient cause for rejection.<br />

The affirmative vote of the full Board of Directors shall be necessary to elect a<br />

candidate to whom an objection has been made. In the event a candidate is rejected,<br />

the candidate’s name shall be removed from the list of candidates. Any candidate<br />

proposed and rejected cannot be proposed as a candidate in less than one year. If<br />

no written objection to a candidate is received within fourteen days after mailing or<br />

posting of his name to members, the Membership Chairperson shall so be notified<br />

and the candidate shall be taken into membership according to chronological priority<br />

as vacancy permits.<br />

The Membership Chairperson shall promptly notify a newly elected candidate of his<br />

election and also of his obligations (1) to give notice to the Membership Chairperson<br />

of his acceptance or rejection of membership within ten days after receipt of oral,<br />

written or e-mail notification of election, whichever notification is first received by the<br />

Member-elect, and (2) to qualify as a member by making payment after election of all<br />

amounts coming due under these By-Laws as set forth in Article V. If the newly<br />

elected candidate fails to so give notice of acceptance, or having done so, fails to<br />

qualify as aforesaid, he shall be dropped from the elected list and may become a<br />

member only by being proposed again as a new candidate.<br />

Membership in the corporation shall not exceed 200 families, excluding Honorary<br />

Members. A member may not voluntarily or involuntarily transfer his membership or<br />

any rights arising there from.<br />

When a member in good standing resigns his membership because of the relocation<br />

of his actual residence out of the Glastonbury area for a period anticipated to be one<br />

year or more in duration, and he thereafter resumes actual residence in the area, he<br />

shall upon application for membership made not sooner than one year after<br />

resignation be given the first position (except for prior returnee applicants) on the list<br />

of candidates for membership, subject, however, to the requirements of these By-<br />

Laws with respect to election and qualification for membership.<br />

Section 3. Honorary Membership. A member will be qualified to become an<br />

Honorary Member if the member has had 25 years of continuous membership,<br />

excluding any Leave of Absence. Privileges accorded to the Honorary Members are<br />

the elimination of yearly work requirements and pool sitting duties.<br />

In addition, an Honorary Member will have the option of reducing his annual dues to<br />

one- third (33 1/3%) of the annual dues charged to other members. The Honorary<br />

Member may exercise this option by notifying the chairperson of the membership<br />

committee in writing of such election on or before March 30 and by giving up the right<br />

to the Capital Investment Refund discussed in Article V, Section 4. It shall be the<br />

obligation of the membership committee to confirm that such honorary member has<br />

had 25 years of continuous membership. All other provision of the By-Laws and the<br />

club rules and regulations shall continue to apply to Honorary Members.<br />

Section 4. Leave of Absence. In its discretion, for good cause shown, the Board of<br />

Directors may authorize a member a leave of absence for all or part of a calendar<br />

year. If written request is made prior to May 1 of the year in which leave of absence is<br />

requested, the member would have no dues obligation for that year. If the request is<br />

made after May 1, the member will pay a portion of the year’s dues calculated on a<br />

pro rata basis from May 1 to Labor Day. If granted, the member would not have any<br />

work job or pool-sitting obligation while in leave of absence status. Any such leave of<br />

absence shall end on March 1 of the year immediately following and the member<br />

shall be reinstated at the next available opening.<br />

ARTICLE V - DUES, ASSESSMENTS, <strong>AND</strong> INVESTMENTS<br />

Section 1. Dues. The Board of Directors at its October meeting each year shall by a<br />

majority vote of its full membership adopt a By-Law establishing the dues of<br />

members’ payable and the method of payment. Dues shall be established in an<br />

amount sufficient but not greater than required, to provide for funding of major capital<br />

improvements of the corporation’s facilities, as contained in a separate budget, to be<br />

approved by the membership in the annual or in a special meeting, the reasonable<br />

operating expenses of the corporation, the proper maintenance and minor capital<br />

improvements of its property, and a reasonable reserve for contingencies. Dues are<br />

payable in full on March 1 st of each year. A Member failing to make payment in<br />

full by March 1st will be assessed a late fee of $60 (plus any applicable<br />

service/luxury tax) for each month or portion thereof after March 1 st that dues<br />

remain unpaid. Partial payment of dues will not result in any reduction of late<br />

fees and dues will not be considered paid in full unless and until all dues and<br />

all late charges are fully paid. The Board in its discretion may suspend the<br />

membership privileges of any Member whose dues are not fully paid before<br />

April 1 st .<br />

Members-elect notified of election before May 1 st of a given calendar year will pay the<br />

full year’s dues, within ten (10) days of oral, written or e-mail notification of election,<br />

whichever notification is first received by the Member-elect. Failure to timely pay the<br />

full year’s dues will be deemed revocation of the election to membership, without<br />

necessity of any notice or action by the Board. See also Section 4 regarding<br />

payment of Capital Investment upon election. A member elect notified after May 1<br />

and before Labor Day will pay a portion of the year’s dues calculated on a per diem<br />

basis from May 1 to Labor Day. Members joining after Labor Day will not be charged<br />

dues for the balance of the year.<br />

Any Member may resign at any time by delivering a written notice of resignation by<br />

U.S. mail or overnight courier service to the President or Secretary, which written<br />

notice shall be deemed effective as of the fourteenth (14 th ) day after its receipt by the<br />

President or Secretary, as the case may be. Members who resign on or before<br />

May 1 st in any year shall not be liable for annual dues for the year of<br />

resignation, provided, however, that if the resigning Member has not timely<br />

paid dues in full before such resignation, the Member shall remain liable for<br />

any late fee(s) as set forth above, which late fees may be deducted from the<br />

3. Parties shall be limited to 20 guests. There must be one member present during<br />

the party who is 21 years of age or older. The member shall be responsible for<br />

the conduct of his guests and shall be responsible for all clean up following the<br />

conclusion of the party. The member shall be charged for any damage to<br />

property caused by himself or his guests. If the services of the Pool Director or<br />

other employee are required to clean up following the party, the member shall<br />

be so notified and charged the hourly wage for such services.<br />

4. A non refundable Party Fee in an amount specified by the Board of Directors, as<br />

specified in Section IX, will be charged at the time the party request form is<br />

submitted. The number of non member guests attending the party will NOT<br />

count against the annual limit of 30 guests per season. The guest register<br />

should be signed in as follows – Member Name - Party – Number of Guests –<br />

Time (duration) of party. The member need not list the name of each guest.<br />

5. Parties shall not involve use of the tennis facilities.<br />

6. Members are limited to two parties per season.<br />

7. These party provisions are separate and distinct from those applicable to parties<br />

held by pool-sitters.<br />

8. Unapproved parties will be subject to a Party Fee plus a Rules and Regulation<br />

Violation Fee.<br />

9. Social events, swim meets, Board of Directors meetings have facility priority<br />

over all scheduled and approved private parties.<br />

10. Club facilities or picnic areas may not be reserved for any private party.<br />

VI. MEMBERSHIP WORK POLICIES<br />

A. GENERAL<br />

1. Each member family is required to make a significant contribution to the<br />

operation of the club. Each member family will be expected to contribute no<br />

less than the number of hours established yearly by the Board of Directors, of<br />

which half should be spent on the club’s infrastructure: Buildings, Grounds, Pool<br />

Facilities or Tennis Facilities. The Board of Directors reserves the right to assign<br />

member families a particular task as needs arise as well as assigning a specific<br />

deadline. Failure to comply with these assignments and failure to meet the end<br />

date will result in a fine up to $250 as determined by the Board, separate from<br />

any other work job related fee.<br />

2. Committee members who contribute committee service will be credited for work<br />

time towards their work obligations.<br />

3. Committee chairpersons verify work time credit using the work job form. It is the<br />

responsibility of each member family to obtain the chairperson signature and<br />

submit the form to the Club treasurer in order to obtain work credit.<br />

4. Upon completion of a full term of serving on the Board of Directors, that member<br />

will be exempt from work for one season following their term.<br />

5. Upon completion of a 2 year term as President of the Board of Directors, that<br />

member will be exempt from work jobs for life.<br />

VII. EMPLOYEE PRIVILEGES<br />

A. GENERAL<br />

The Pool Director and Tennis Director will be accorded full membership privileges.<br />

VIII. PARTY RULES<br />

A member may have a private party on Club premises provided it does not interfere<br />

with the day-today operation of the Club and does not infringe upon, or jeopardize,<br />

any member or their guests. There may be no more than one party at a time with a<br />

limit of 3hrs/party. Exceptions may be approved by the majority of the Board of<br />

Directors at a regular scheduled meeting.<br />

1. A Party is defined as a gathering of 6 to 20 guests by one or more member<br />

families at one time.<br />

2. A request to have a party must be made in writing to the Pool Director. Each<br />

request shall include a statement as to the nature of the party, number of<br />

guests, what equipment/entertainment is being proposed, and a Party Fee in an<br />

amount as determined by the Board of Directors. Granting a party request shall<br />

be within the discretion of the Pool Director, taking into consideration Club<br />

resources, needs and other commitments. Before granting a request, the Pool<br />

Director shall ensure no social event, swim meet, board meeting, other party,<br />

etc. is planned for that time frame and the Pool Director shall notify the member<br />

of their decision as soon as possible.<br />

Member’s returned Capital Investment (see Section 4.) Members who resign<br />

after May 1 st and before August 1 st and who have paid dues in full for the year<br />

by the time of resignation, shall be entitled to a refund of dues calculated on a<br />

per diem basis from May 1 st to Labor Day. Members who resign after August 1 st<br />

shall not be entitled to any refund of dues.<br />

Section 2. Assessments. The Board of Directors may by affirmative vote of twothirds<br />

of the full membership of the Board adopt By-Laws levying assessments<br />

against members provided, however, such assessments shall not become effective<br />

until approved by the affirmative vote of a majority of the members present in person<br />

or by proxy at a special meeting of members called for the purpose of considering<br />

such assessment.<br />

Members who fail to participate in work activities will be assessed a work fee in an<br />

amount specified by the Board of Directors but not to exceed the amount specified in<br />

Section IX of the Club Rules and Regulations for each season. Such fees collected<br />

will be allocated to all facilities. It is the responsibility of the individual members<br />

to arrange for their work obligations. Specific project information will be available<br />

through Board members with jobs posted in both newsletters and at<br />

www.minnechaug.org. Seasonal work will be posted on the Club Bulletin boards at<br />

the discretion of specific Board members, e.g. fall clean-up, clubhouse painting,<br />

powerwashing, social events, etc. All members must refer to these publications for<br />

job postings or call individual Board members for further information.<br />

Participation in work activities or assessment of work fees is a function of<br />

membership status as follows:<br />

1. Members who resign on or before May 1, or join after Labor Day in any calendar<br />

year shall not be liable for work fees in that year.<br />

2. Members who resign or join between May 1 and Labor Day will be liable for a<br />

portion of the work fee calculated on a per diem basis from May 1 to Labor Day.<br />

3. All other members are liable for the full work assignment or fee as outlined in<br />

Section IX, Schedule of Fees and Work Job Hours. A work job fee will be<br />

assessed for incomplete hours on a prorated basis.<br />

4. Until a letter of resignation is received by the Membership Committee of the<br />

Board of Directors the member family is responsible for paying their dues, fees<br />

and any other assessments for the year.<br />

5. All members resigning after a postmarked date of May 1 shall be assessed a<br />

pro rated portion of their work fees for that year for the period between May 1<br />

and Labor Day<br />

Section 3. Application Fee. To become a candidate for membership, a family must<br />

pay a non-refundable application fee of $60, plus $6 tax, equaling $66. If an offer for<br />

membership to a family is refused more than once, that family must re-apply and pay<br />

the $60 plus $6 tax, equaling $66, application fee again.<br />

Section 4. Capital Investment. All members elected subsequent to November 8,<br />

1972 shall pay a capital investment after notification of election. For Members-elect ,<br />

the Capital Investment is due and payable in full, in the amount specified by the<br />

Board of Directors as hereinafter provided, within thirty (30) days of receipt of oral,<br />

written or e-mail notification of election, whichever notification is first received by the<br />

Member-elect, provided, however, that if the Member-elect pays no less than onehalf<br />

(1/2) of the total Capital Investment on or before the thirtieth (30 th ) day after such<br />

receipt of notification, the Member-elect shall have an additional thirty (30) days, but<br />

no more than thirty (30) days, to pay the entire balance of the Capital Investment. .<br />

Failure by the Member-elect to timely pay the Capital Investment will be deemed<br />

revocation of the election to membership, without necessity of any notice or action by<br />

the Board.<br />

The amount of the capital investment shall be determined annually by the Board of<br />

Directors prior to the annual meeting of the year preceding the period for which the<br />

amount is to be effective. The amount so determined shall be effective from the day<br />

following the annual meeting through the day of the next annual meeting. The<br />

determination of the amount shall take into consideration (but will not have to equal)<br />

the net asset value of the corporation. In no case shall the amount exceed the net<br />

asset value of the corporation, nor shall it be less than the amount of the capital<br />

investment previously determined for the preceding year, unless so voted by the<br />

membership at its annual meeting. Members who are members in good standing as<br />

of November 30, 2005 and who terminate their membership shall be refunded the<br />

then prevailing amount of capital investment, less any amount owed by said member<br />

to the corporation after their bond is purchased by an incoming new member.<br />

Members who are elected to membership on or after December 1, 2005 and who<br />

terminate their membership shall be refunded their capital investment in an amount<br />

equal to ninety percent (90%) of then prevailing amount of capital investment, less<br />

any amount owed by said member to the corporation after their bond is purchased by<br />

an incoming new member. In those cases where paid participation certificates have<br />

been issued, such certificates shall be surrendered at the time of termination of<br />

membership.<br />

A member on leave of absence status shall not be entitled to return of capital<br />

investment until such member terminates membership as provide in this section.<br />

Section 5. Indebtedness. When any indebtedness (arising out of dues and<br />

assessments) of any member to the corporation shall remain unpaid for a period of<br />

30 days after its due date, the membership of such member may, after 15 days<br />

notice in writing thereof, be terminated by the Board of Directors. The immediately<br />

preceding sentence shall not, however, render invalid any automatic revocation of<br />

election of a Member-elect occasioned by the failure of such Member-elect to timely<br />

pay dues and the capital investment as set forth in Sections 1 and 4 above.<br />

ARTICLE VI – GUESTS<br />

Section 1. Guest Privileges. A member of the corporation may invite guests to<br />

enjoy the use of the corporation’s facilities, subject, however to the limitations<br />

contained in the Rules and Regulations pertaining to guest privileges approved by<br />

the Board of Directors.<br />

ARTICLE VII - COMMITTEES<br />

Section 1. Standing Committees. The standing committees of the corporation are<br />

as follows: Buildings, Grounds, Tennis Program, Tennis Facilities, Membership, Pool<br />

Program, Pool Facilities, and Social Program. Each standing committee shall be<br />

chaired by a non-officer member of the Board of Directors. Each of said committees<br />

may consist of up to three members. The chairman shall be responsible for the<br />

selection thereof. The responsibilities and activities of each committee shall be as<br />

established by the Board of Directors.<br />

3. Court time is divided into prime and non-prime time periods, each period 1-1/2<br />

hours in duration. Court policing must be completed within the time period.<br />

Prime time is defined as daily after 5 PM, all day Saturday and before 12 noon<br />

on Sunday and legal holidays.<br />

V. GUEST RULES<br />

It is the responsibility of all members to police and report violations of these rules.<br />

Violations should be reported to the pool or tennis director or any member of the<br />

Board of Directors. The member sponsor is responsible for the signing of the<br />

appropriate guest book.<br />

A. GENERAL<br />

1. All members and their accompanied guests must sign the appropriate Sign-In<br />

Book. A guest shall be defined as a non-member who makes use of either the<br />

pool, pool area, picnic areas, or tennis facilities. Any member failing to sign in<br />

guests will be charged double the normal rate.<br />

2. Each member family is allowed a maximum of 30 guests during the official<br />

season. There will be no transfer of guest privileges. Board members will not be<br />

charged guest fees but will be limited to the usual number of guests allowed per<br />

season. An individual guest may not use the facilities more than two days per<br />

calendar month regardless of the member bringing him. It is the responsibility of<br />

the member to ascertain whether or not the guest has previously used the<br />

facility during that calendar month.<br />

3. Guest fees will be charged for guests using the pool, and picnic areas which<br />

begins Memorial Day and ends on Labor Day. Total number of guests after 5<br />

PM on weekdays shall be limited to 5 in any one evening and a maximum of 24<br />

allowed per season.<br />

4. Guest fees for tennis will be charged when all courts are open.<br />

5. Fees for any guest using the pool, pool area, picnic areas, or tennis facilities<br />

shall be charged at an amount specified by the Board of Directors for each day<br />

and specified in Section IX for each day.<br />

6. The Pool and Tennis Program Committees will be responsible for preparing and<br />

reviewing the appropriate guest book for guest use. The billing of members for<br />

guests will be the responsibility of the Membership Committee. No money will<br />

be collected at the club.<br />

7. Guest rules will be strictly enforced in order to be fair to all and avoid conflict.<br />

Any questions or requests for exceptions to the guest rules should be submitted<br />

in writing to the Vice President.<br />

8. Use of the Club facilities by any outside group must be approved in advance by<br />

the Board of Directors.<br />

9. Baby-sitters caring for a member’s children will not count toward the member’s<br />

guest quota and guest fee.<br />

10. Overnight, out-of-town/state “house guests” may use the club facilities for the<br />

duration of their stay for a total of $25 per week (7 days) (per family). Forms<br />

must be filled out with the Pool Director and guests are to be signed in daily.<br />

1. Parents of children on the swim team are required to work two swim events in<br />

addition to the Club’s wok job requirement. Parents are responsible to find a<br />

replacement if they are no longer able to work a meet that they signed up for or that<br />

they were assigned to. Violators will be subject to a fine as determined by the Board.<br />

IV. <strong>TENNIS</strong> RULES<br />

A. GENERAL<br />

1. Members should become familiar with the court rules that will be posted on the<br />

tennis court bulletin board.<br />

2. Only participating tennis players are permitted on the courts. Proper tennis attire<br />

is required.<br />

3. Court conduct will not be disruptive to players on adjoining courts.<br />

4. Use of more than four (4) tennis balls on Har-Tru courts 1, 2, 3, and 4 will not be<br />

permitted except when sanctioned by the tennis committee.<br />

5. Soft soled tennis shoes must be worn on the Har-Tru courts. This type of shoe<br />

is distinguished by a smooth or relatively smooth bottom. No shoes with ridges<br />

are allowed such as the typical basketball gym shoe or jogging shoe. Under no<br />

circumstances are hard soled shoes or bare feet allowed within the enclosure.<br />

Sneakers or tennis shoes must be worn on the hard surface courts.<br />

6. Players are responsible for policing the court after use. This includes: sweeping<br />

the Har-Tru courts and line, hanging up all equipment, and placing all trash,<br />

including used tennis cans and tops, in receptacles.<br />

7. No play is allowed on Har-Tru Courts after they are closed in October.<br />

8. Members are prohibited from providing lessons to other members or club guests<br />

on the club property for any type of monetary gain or barter on or off the club<br />

property.<br />

9. Tennis professionals and instructors, not employed by the Club, are prohibited<br />

from giving lessons, for pay or barter, using the club facilities. However, guest<br />

instructors may be invited to supplement the Club’s resident professional, but<br />

only when sanctioned by the tennis chair/committee,<br />

B. SCHEDULING<br />

1. The tennis courts will be available for use as long as weather conditions permit.<br />

To prevent damage to the playing surface, the courts will be closed during wet<br />

periods. Players are expected to exercise judgment concerning the condition of<br />

the courts; however, final authority as to condition resides with the tennis<br />

committee or its designee.<br />

2. Blocks of time may be set aside by the tennis committee with the approval of the<br />

Board of Directors for the purpose of instruction, tournament play or other<br />

events.<br />

Section 2. Nominations. The President, with the approval of the Board, shall<br />

appoint annually a Chair of the Nominating Committee. The Chair shall appoint four<br />

members to the committee, with at least 2 members not from the Board. At the<br />

annual meeting, the Chair shall present a recommended list of officers and directors,<br />

who shall be placed before the meeting as candidates for election. At this meeting,<br />

nominations for any office or directorship may be made from the floor provided the<br />

consent of the nominee has been previously obtained.<br />

Section 3. Capital Expenditure Plan. The Immediate Past President will generally<br />

serve as the Chair of the Capital Expenditure Plan committee. Members will include<br />

the Chairs of Buildings, Grounds, Tennis Facilities, Pool Facilities and the Treasurer.<br />

The President will be a member ex-officio of this committee. The committee will<br />

develop and maintain a 5-year Capital Expenditure Plan subject to review and<br />

approval by the Board of Directors.<br />

ARTICLE VIII - AMENDMENT OF BY-LAWS<br />

Section 1. Amendment of By-laws. Except as otherwise specifically provided<br />

herein, adoption, repeal or amendment of By-Laws shall be accomplished by:<br />

A. The affirmative vote of a majority of the full Board of Directors plus the<br />

affirmative vote of a majority of the members present in person or by proxy at a<br />

special meeting or at the annual meeting of members called for the purpose of<br />

considering the action of the Board, or<br />

B. The majority vote in person or by proxy of the full membership.<br />

Section 2. Notice of Proposed Amendment. Notice shall be given to members or<br />

to Directors, respectively, of any meeting of members or of the Board of Directors at<br />

which action upon By-Laws is to be taken, which notice shall state in detail the<br />

substance of the proposed action. This notice shall be given at least two weeks prior<br />

to the meeting.<br />

Section 3. Required Vote. No By-Law provision prescribing the vote required to take<br />

action shall itself be amended by a lesser vote.<br />

ARTICLE IX – MISCELLANEOUS<br />

Section 1. Auditors. The Board of Directors shall cause the books of the corporation<br />

to be compiled annually by an accountant selected by the Board. The report of the<br />

auditors shall be available to the members upon request.<br />

Section 2. Suspension and Expulsion. Any member family or any individual of a<br />

member family may, for cause and after having been given the opportunity for a<br />

hearing, be suspended for a period not exceeding three months by a two-thirds vote<br />

of the full membership of the Board. Cause for suspension or expulsion shall in<br />

general consist of violation of By-Laws or the Rules and Regulations of the<br />

corporation or of conduct unbecoming a lady or gentleman.<br />

Section 3. Interpretation. Any question as to the proper interpretation of any of the<br />

provisions of these By-Laws shall be determined by the Board, and all points of order<br />

not covered by these By-Laws shall be ruled upon according to Robert’s Rules of<br />

Order.<br />

Section 4. Membership Privileges. The Board has the discretion to offer limited<br />

membership privileges to staff in lieu of, or in addition to, salary.<br />

<strong>CLUB</strong> RULES <strong>AND</strong> REGULATIONS<br />

The following rules have been defined for the prime purpose of providing maximum<br />

enjoyment and utilization of the Club facilities by the members. It is impossible to<br />

prepare a set of rules that anticipates every possible situation. Therefore, it is<br />

required and expected that every member will exercise common sense, honesty and<br />

consideration for others in the use of the facilities. Members will also be responsible<br />

for informing their families and guests of these rules. The Vice President will be<br />

available during the year to respond to members’ questions regarding the intent,<br />

interpretation, or recommendations for revisions to these rules. Questions or<br />

comments, preferably in writing, should be addressed to the Club Vice President.<br />

I. OVERALL <strong>CLUB</strong> RULES<br />

A. GENERAL<br />

1. The Pool Director is in complete charge of the grounds, programs, facilities, and<br />

property of the club. The Pool Director and their assistants are authorized to<br />

enforce the Club rules on behalf of the Board of Directors. The Pool Director, or<br />

their next in charge, may forbid the use of all or part of the Club facilities to any<br />

person who flagrantly jeopardizes the health, safety, or comfort of the members.<br />

The Pool Director or their next-in charge has the authority to expel unruly<br />

persons from the use of the Club facilities for a specified number of days. Notice<br />

of such action will be sent to the Board of Directors. The Head Tennis Pro, when<br />

present, is in complete charge of the tennis court area.<br />

2. All persons using the Club facilities do so at their own risk. Parents are<br />

responsible for the behavior and welfare of their own children.<br />

3. The cost of any negligent or willful property damage will be charged to the<br />

responsible member.<br />

4. The Club will not be responsible for the loss of or damage to, personal property.<br />

5. If a member fails to pay work/guest fees within 30 days of billing he will<br />

automatically be assessed an additional late fee in an amount specified by the<br />

Board of Directors and as specified in Section IX.<br />

6. If a member violates any of the Club’s Rules and Regulations, the Board of<br />

Directors may assess a fine against such member of not more than an amount<br />

per violation as specified by the Board of Directors, plus any damages. A<br />

member is responsible for the actions of all family members and guests. A<br />

member shall be given the opportunity for a hearing before the Board of<br />

Directors if a member wishes to contest the fine.<br />

7. Club facilities are closed to members under 16 years of age after 8:00 p.m.,<br />

unless accompanied by an adult member designated by a parent or guardian.<br />

5. During the pool-sitting period, no lifeguards are on duty, so any person<br />

swimming does so at his own risk. The Club assumes no responsibility for any<br />

accidents involving use of the pool during the pool sitting period.<br />

6. The pool sitter assumes no responsibility for other members or their guests<br />

using the pool during the pool sitting period. The pool sitter may ask any person,<br />

who in his judgment is annoying, or harassing others or affecting the health or<br />

safety of others, to leave the premises. If the pool sitter feels the person(s) will<br />

not respond, the pool sitter should not confront the person, but call the police<br />

and report the incident.<br />

7. There will be one member present during the pool sitting period who is 21 years<br />

of age or older, who for the majority of the pool sitting period, will remain<br />

physically in the pool area.<br />

8. Non- member guests of the pool sitter will be permitted during the pool-sitting<br />

period without fee or charge against guest privileges.<br />

9. The pool sitter is required to limit the number of invited non-member guests to<br />

thirty (30).<br />

10. It will be permissible to have food within the pool area during the pool sitting<br />

period. Although, glass is not permitted on the pool deck.<br />

11. During the pool sitting period, members are expected to conduct themselves<br />

and to require their guests to conduct themselves in a responsible adult manner,<br />

taking into consideration the proximity of neighbors. No loud music is permitted<br />

after 9:30PM.<br />

12. Pool sitting privileges do not pre-empt tennis court reservations.<br />

13. At a time not earlier than 11:30 PM, the responsible member will police the<br />

grounds and lock the facilities per the check list of instructions provided at the<br />

clubhouse. The pool sitter is responsible for leaving the Club premises in the<br />

same condition as he received it, ready for the resumption of normal pool<br />

activities the next morning. This rule will be strictly enforced by the Board of<br />

Directors.<br />

14. The Pool Director shall report to the President (Board of Directors) if, in their<br />

judgment, the Club premises have not been left in a condition consistent with<br />

above rules. The Board of Directors shall, after consideration of arguments, take<br />

appropriate actions in cases of failure to comply with above rules such as loss of<br />

pool sitting privileges, loss of guest privileges, a fine in an amount specified by<br />

the Board of Directors, and specified in Section IX, or expulsion.<br />

15. The pool sitting list shall be drawn up in alphabetical order. When openings<br />

appear during the summer, new members shall have the first opportunity to fill<br />

vacancies.<br />

16. Members of the Board of Directors shall have first choice of pool sitting dates or<br />

may opt to not pool sit.<br />

17. All Pool Sitting parties should not start prior to 7:45 PM.<br />

D. KIDDIE POOL<br />

1. Use of the kiddie pool will be limited to children 7 years of age and under.<br />

2. Children must be accompanied and watched by a parent or a responsible<br />

person designated by the parent at all times while in the kiddie pool area.<br />

3. Only rubber or unbreakable plastic toys will be allowed in the kiddie pool area.<br />

4. Children who are not toilet trained MUST wear rubber pants <strong>AND</strong> specially<br />

designed swimwear.<br />

5. Parents are requested to remove all sand from children before entering the<br />

kiddie pool, as sand is harmful to the filter system.<br />

6. Towels or any other objects are not to be hung on the wire fence enclosing the<br />

kiddie pool.<br />

7. Parents should make sure that their children do not play with the filter basket<br />

and keep the lid closed. Parents should remove any toys that wind up in the<br />

filter basket.<br />

E. POOL SITTING<br />

Pool Sitting is a procedure whereby designated members remain on Club premises<br />

during evening hours to discourage any attempts at evening vandalism. Each<br />

member will be responsible approximately once every two years for one evening of<br />

pool sitting.<br />

In order to make pool-sitting assignment as pleasurable as possible, some relaxing of<br />

pool and ground rules have been made. The following delineates the responsibilities<br />

of the assigned members and those rules, which will be relaxed during the pool<br />

sitting period.<br />

1. The member specified in the pool sitting assignment list is responsible,<br />

regardless of weather, for being at the pool from 7:45 PM to 11:30 PM on the<br />

evening assigned.<br />

2. The pool sitter shall report to the Pool Director or in their absence, the senior<br />

lifeguard at 7:45 PM for briefing.<br />

3. The assigned member must arrange for a substitute member if not able to be<br />

present and post the substitute’s name on the chart provided at the pool. The<br />

name of the substitute must be provided to the Membership committee at least<br />

7 days prior to the actual pool sitting evening. Only adult members may be<br />

substitutes. If a pool sitter fails to perform the duty, the pool sitter may be<br />

assessed up to an amount specified by the Board of Directors and specified in<br />

Section IX at the discretion of the Board of Directors.<br />

4. The pool sitter shall be charged for specific breakage and other damage to<br />

property caused by himself or his guests during his pool sitting. If the services of<br />

a club or other employee are required to clean up the next day, the member<br />

shall be so notified and charged the hourly wage for such services.<br />

II. GROUND RULES<br />

A. GENERAL<br />

1. No pets are allowed on Club property.<br />

2. Motor vehicle use is limited to the road and parking area only. Off-road vehicle<br />

use is not allowed.<br />

3. Driveway speed shall not exceed 5 miles per hour. Always be alert for children.<br />

4. Parking is permitted in the designated parking lot only. The circle at the<br />

clubhouse shall be used for dropping off and picking up passengers only.<br />

5. Members are responsible for leaving their picnic tables and area, locker rooms,<br />

and all other facilities clean.<br />

6. Before leaving the premises, members are to return lawn chairs to the area<br />

designated for that purpose.<br />

7. Picnic tables must not be reserved for extended periods prior to or following<br />

actual picnicking, if crowded conditions prevail.<br />

8. Fires must be confined to grills. Hot coals must be disposed of in the containers<br />

provided for this purpose. No fire pit or any other type of open burning allowed<br />

on the grounds of the Club at any time.<br />

9. No fireworks are permitted on the grounds of the Club.<br />

10. No child under the age of 12 shall be permitted on the club premises unless<br />

accompanied by a parent or a responsible person designated by the parent that<br />

is at least 15 years old.<br />

11. Taking into consideration the proximity of neighbors, no live or excessively loud<br />

entertainments, (e.g. Djs, Open Mic, Karaoke) is allowed at the Club at any<br />

time; other than at Club sponsored social events. Bands will not be permitted to<br />

play at any time including Club sponsored events. Violators will be subject to a<br />

fine up to $250 as determined by the Board of Directors.<br />

III. POOL RULES<br />

A. GENERAL<br />

The pool will operate under a varied schedule from Memorial Day until<br />

Glastonbury Public Schools are dismissed for the summer. Hours are:<br />

Memorial Day Weekend, Sat-Sun-Mon 10 a.m. - 7:45 p.m.<br />

Weekdays, May 27th - June 16 th 3 p.m. - 7:45 p.m.<br />

Wednesdays Only (May 28th - June 11th) 2 p.m. - 7:45 p.m.<br />

Weekdays, June 17th - August 1st 1 p.m. - 7:45 p.m.<br />

Weekdays, August 4th - Labor Day 12 p.m. - 7:45 p.m.<br />

Weekends, Memorial Day - Labor Day 10 a.m. - 7:45 p.m.<br />

• On weekdays between 9:00 a.m. and 1:00 p.m., the pool is used for lessons<br />

and swim team practice. After the swim team has completed its season (early<br />

August), open swim will begin at noon. Please check postings at the club for any<br />

changes.<br />

• Lanes will be setup for 1 and 1/2 hours during the period 4:30 to 5:30 p.m. on<br />

weekday evenings from June 18 th through August 1st for swim team practice.<br />

During this time the diving area and at least 2 lanes will be available to the<br />

membership for open swim. See the bulletin board for the swim team practice<br />

schedules.<br />

• From 6:00 to 7:00 p.m. weekdays, 2 lanes will be open for adult lap swim.<br />

• The pool will be closed during home swim meets. 4pm-8pm July 1st, July 10 th ,<br />

July 15 th . The pool will also be closed most of Aug. 2 nd for championships.<br />

IMPORTANT: It is the responsibility of the members to supervise their children<br />

and guests while in the “kiddie” pool area. The “kiddie” pool may be used for<br />

those under age 7 with supervision any time after 9 a.m.<br />

NO LIFEGUARDS ARE ASSIGNED TO THIS AREA.<br />

• At the discretion of the Pool Director, or guard on duty, the diving area may be<br />

used for “open swim”.<br />

The pool may be used during the time it is unguarded from 7:45 p.m. to 11:00<br />

p.m., provided that no member under 16 years of age will be allowed in the pool<br />

area unless accompanied by a parent or guardian. Any guest using the pool<br />

during said period must be accompanied by a representative of the member<br />

family who is at least 18 years old. The adult MUST be in the pool area, not in<br />

the picnic area or on the tennis courts.<br />

1. The Pool Director may designate special hours for special events as the<br />

occasion demands. The pool shall not be used when it is declared unusable by<br />

the Pool Facilities Chairperson, or the Pool Director.<br />

2. Members should become familiar with the specific pool rules posted in the area.<br />

(The pool area is defined as the fenced-in area enclosing the pool.)<br />

3. Running is prohibited in the pool area.<br />

4. All paraphernalia, such as face masks, fins, snorkels, rafts, and floating objects<br />

are not allowed in the pool other than at the specific approval of the Pool<br />

Director or person designated next-in-charge.<br />

5. Disorderly conduct is strictly prohibited in the pool area. Violators are subject to<br />

the provisions of conduct stated in the Rules & By-laws of the Club.<br />

6. Sitting on lifeguard stands is prohibited.<br />

7. Physical games are not allowed in the pool area unless authorized by the Pool<br />

Director or their staff.<br />

8. No child under age 12 shall be permitted in the pool area unless accompanied<br />

by a parent or a responsible person designated by the parent that is at least 15<br />

years old. Exceptions to this rule will be defined by the Pool Director.<br />

9. Only non-breakable containers are allowed in the pool area. No “food” is to be<br />

consumed in the pool area except during approved social events or pool sitting.<br />

10. No smoking is permitted in the buildings. For the safety of members and their<br />

guests, all cigarettes, cigars, and pipes must be extinguished in the receptacles<br />

provided for that purpose.<br />

11. Before entering the pool, all persons must soap shower. Parents are requested<br />

to ensure that shower usage by their children be restricted to reasonable<br />

lengths and frequency.<br />

12. No swimming is allowed when completely alone in the pool area.<br />

13. When the pool area is closed and the gate is locked, no one other than those<br />

authorized (i.e. those doing maintenance, guards doing their work) are allowed<br />

in the pool area. Anyone not abiding by this rule will be subject to a fine and/or<br />

disciplinary action.<br />

B. <strong>SWIM</strong>MING<br />

1. Children unable to swim will not be permitted in the main pool at any time unless<br />

taking swimming lessons or unless accompanied by a parent or parentauthorized<br />

guardian.<br />

2. General swimming in the diving area is prohibited unless approved by the Pool<br />

Director or guard on duty.<br />

3. All non-toilet trained swimmers MUST wear rubber pants <strong>AND</strong> a specially<br />

designed “swim diaper”. NO cloth or disposable diapers are allowed in either the<br />

main or kiddie pool.<br />

For your convenience, rubber pants are available to purchase in the guard<br />

office.<br />

4. Diving is prohibited from the sides and shallow end of the pool designated by<br />

pool markings.<br />

5. When using the slide, only seated or feet first positions which permit visibility of<br />

the water at the end of the slide are permitted.<br />

6. Admission to the pool shall be refused to anyone with obvious infections and<br />

bandages.<br />

C. DIVING<br />

1. Children will not be allowed in the diving area of the pool unless able to swim<br />

the width of the pool as verified by the Pool Director or lifeguard on duty.<br />

2. Only one person is allowed on a diving board, including its ladder, at one time.<br />

3. Persons using the diving board must jump or dive in a direction forward of the<br />

diving board only.<br />

4. Dive only when the diving area is clear.<br />
