林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.All conditions, specifications, standards and other appendices that are attached to the Order or arelisted therein shall form a part of the Order. In case of conflicting provisions, they shall apply in thefollowing order of precedence:- 采 购 订 单the Purchase Order- 本 采 购 条 款these Conditions of Purchase- 买 方 的 包 装 , 唛 头 和 运 输 说 明the Buyer’s Packing, Marking and Shipping Instructions- 技 术 规 格 书the Technical Specifications- 通 用 规 格 书 和 买 方 标 准the General Specifications and the Buyer’s Standards.如 果 在 技 术 规 格 书 中 没 有 另 行 约 定 , 则 这 些 标 准 和 技 术 规 范 自 合 同 生 效 时 即 生 效 。If not stipulated otherwise in the Technical Specifications, the standards and technical principles asvalid at the time of Order shall be valid.4 产 品 供 应 、 分 包 、 工 作 启 动 、 批 准 、 订 单 执 行 /Provision of the Goods, Subcontracts, Start of Work,Approvals, Execution of Order4.1 除 经 同 意 不 在 供 货 范 围 之 内 , 无 论 其 有 关 部 件 和 制 造 工 艺 是 否 已 在 订 单 中 单 独 列 明 , 卖 方 所 供 产 品 应功 能 齐 全 并 可 安 全 使 用 , 仅 订 单 中 明 确 提 到 的 不 包 含 在 供 货 范 围 之 内 的 产 品 和 服 务 除 外 。The Goods shall, except for any agreed exclusions from the scope of supply, be fully functioning andsafe for operation, regardless of whether or not all parts and processing pertaining to the Goods arelisted separately in the Order. Only those supplies and services shall be considered excluded fromthe Goods that are expressly mentioned as such in the Order.4.2 卖 方 应 保 证 及 时 并 按 照 国 际 公 认 的 质 量 管 理 要 求 (ISO9000 及 其 序 列 版 本 或 同 等 标 准 ) 开 展 工 作 。The Vendor shall carry out the work in a timely manner and in accordance with the requirements ofinternationally recognized quality management (ISO 9000 et seq. or equivalent).4.3 卖 方 需 提 供 直 至 并 包 括 开 机 , 操 作 及 维 护 等 现 场 活 动 相 关 的 全 部 技 术 资 料 。The Vendor shall supply the technical documentation for all site activities up to and including start-up,as well as operation and maintenance of the Goods.4.4 卖 方 应 遵 守 装 置 所 在 地 ( 如 卖 方 知 晓 此 地 点 ) 当 地 实 施 的 关 于 工 人 恤 养 保 险 , 环 境 保 护 、 事 故 防 范 和安 全 生 产 等 的 法 律 法 规 、 建 议 和 指 导 方 针 。The Vendor shall comply with the statutory, official and workmen's compensation insuranceregulations, recommendations and guidelines (on environmental protection, accident prevention andsafety at work, etc.) that are valid at the location of the plant if such location is known to him.4.5 如 卖 方 对 买 方 的 方 案 设 计 和 其 他 关 于 材 料 、 加 工 工 艺 、 流 程 的 指 示 , 或 买 方 指 定 的 分 包 商 , 由 买 方 订购 / 提 供 的 材 料 或 零 部 件 的 质 量 , 或 由 其 他 卖 方 提 供 的 服 务 等 存 有 疑 问 , 卖 方 应 尽 快 如 有 可 能 在 工 作 开始 前 书 面 通 知 买 方 。If the Vendor has doubts about the proposed design, other instructions given by the Buyer e.g.concerning materials, treatment, processing or sub-vendors nominated by the Buyer, the quality ofmaterials or components ordered and/or provided by the Buyer or the services provided by othercontractors, he shall promptly notify the Buyer thereof in writing, if possible before the start of work.4.6 卖 方 应 仅 使 用 经 证 实 合 格 的 分 供 商 ( 本 采 购 条 款 中 也 包 含 分 包 商 ) 且 应 向 其 分 供 商 传 递 订 单 中 规 定 的所 有 关 于 技 术 和 时 间 进 度 的 要 求 。 若 由 于 卖 方 违 反 其 有 关 雇 佣 和 雇 员 的 法 定 责 任 导 致 买 方 陷 于 来 自 第三 方 或 政 府 当 局 的 可 能 的 债 务 、 索 赔 及 罚 金 风 险 , 卖 方 应 当 予 以 赔 偿 并 使 买 方 免 于 此 等 危 害 。 尤 其 ,但 不 限 于 , 如 果 卖 方 雇 佣 工 人 , 应 遵 从 适 用 的 法 律 法 规 , 并 确 保 所 有 的 被 雇 人 员 及 其 分 包 商 具 备 有 效工 作 许 可 。The Vendor shall only employ proven and qualified sub-vendors (which term, for the purposes ofthese conditions, shall include subcontractors), and shall pass on to such sub-vendors any technicaland time schedule requirements given in the Order. The Vendor shall indemnify and hold the Buyerharmless from any liabilities, claims and fines of third parties or public authorities which may ariseagainst the Buyer due to the non-compliance by the Vendor with any of his statutory obligationsrelating to his work or to his staff. In particular, but not by way of limitation, the Vendor shall, in theLEH CONDITIONS OF PURCHASE for Contracts for Supplies and Site Services 2013 Edition Page 3 of 18

林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.event of him using hired labour, be obliged to comply with the applicable laws and regulations, andshall ensure that all personnel employed by him and his sub-vendors have valid work permits.4.7 卖 方 应 尽 可 能 在 其 车 间 完 成 产 品 的 预 制 。The Vendor shall pre-fabricate the Goods in his workshop as far as is possible and feasible.4.8 卖 方 保 证 其 产 品 在 其 国 家 无 任 何 出 口 限 制 。The Vendor warrants that the Goods are not prohibited by any export restrictions in his country.4.9 买 方 的 现 场 管 理 人 员 应 负 责 并 有 权 处 理 所 有 现 场 事 务 和 决 定 , 并 就 现 场 的 工 作 启 动 、 范 围 、 执 行 以 及产 品 的 技 术 服 务 和 现 场 活 动 提 供 指 导 。The Buyer’s Site Management shall be responsible for dealing and authorised to deal with allmatters and decisions and to give all instructions regarding commencement of work, scope of workand execution of the work, the technical execution of the Goods and behaviour on the Site.4.10 对 于 任 何 可 能 因 业 主 原 因 和 现 场 条 件 引 起 的 现 场 工 作 变 更 , 卖 方 应 向 买 方 提 出 一 个 合 理 的 最 迟 通 知 日期 , 买 方 须 在 此 日 期 前 将 变 更 原 因 通 知 卖 方 以 便 使 卖 方 在 不 增 加 额 外 费 用 或 影 响 进 度 的 情 况 下 执 行 此等 变 更 。Modifications to the execution of work on the Goods may arise from requirements on the part of theOwner and from the conditions on Site. The Vendor shall state to the Buyer a reasonable latest dateby which the Buyer must inform him of such modifications in order that the Vendor can carry outthese modifications without any additional charge or schedule impact.4.11 卖 方 在 启 动 任 何 一 项 工 作 任 务 前 应 就 其 产 品 现 状 及 工 作 条 件 进 行 核 查 并 将 其 任 何 的 担 心 或 抱 怨 立 即 书面 通 知 买 方 , 如 卖 方 未 能 通 知 , 则 不 应 再 就 此 等 情 形 向 买 方 投 诉 。Before commencing any of his work, the Vendor shall examine and verify the status of any prior workthat is relevant to his work on the Goods and shall notify the Buyer promptly and in writing of anyconcern or complaint that he may have in this respect. Failing such notification, any claims againstthe Buyer based on the status of any such prior work shall be excluded.4.12 卖 方 的 服 务 和 供 货Vendor’s Services and Supplies卖 方 应 负 责 及 时 有 序 地 提 供 所 有 材 料 , 物 料 , 部 件 , 仪 表 , 工 具 和 设 备 ( 包 括 运 输 安 排 ) 以 满 足 供 货需 求 , 经 与 买 方 的 现 场 人 员 磋 商 后 卖 方 还 须 对 所 供 产 品 在 现 场 的 正 确 储 存 负 责 以 免 妨 碍 其 他 现 场 活 动 ,比 如 : 其 他 产 品 的 运 输 或 现 场 交 通 等 。 卖 方 的 活 动 必 须 遵 从 所 有 相 关 法 律 , 法 令 及 规 章 制 度 ( 如 : 关于 事 故 预 防 的 现 场 规 定 和 官 方 规 定 ), 如 有 必 要 卖 方 须 及 时 整 改 以 确 保 所 供 产 品 处 于 一 流 的 质 量 和 安全 状 况 下 符 合 安 全 和 经 济 运 行 的 要 求 。The Vendor shall be responsible for the timely and orderly provision of all materials, substances,components, instruments, tools and equipment (including arranging for the transport thereof) whichhe needs for the provision of the Goods. In consultation with the Buyer’s Site Management, he shallalso be responsible for their proper storage on Site so that they do not obstruct or impede other siteactivities, e.g. the transport of other goods or site traffic. Vendor’s activities must be in compliancewith all relevant laws, decrees and regulations (e.g. the site regulations and any official regulationsregarding prevention of accidents), also concerning storage and, if necessary, disposal, and toensure that they are in a first class, safe condition ready for use and that they are suitable for safe,economical work.4.13 工 作 安 全 , 现 场 活 动Job Safety, Behaviour on Site4.13.1 卖 方 应 采 取 一 切 必 要 的 安 全 预 防 措 施 并 遵 从 所 有 安 全 和 其 他 预 防 措 施 以 防 止 在 现 场 工 作 期 间 发 生 人 身伤 害 或 财 产 损 失 , 卖 方 还 应 与 在 现 场 工 作 的 其 他 承 包 商 进 行 协 调 以 避 免 任 何 相 互 间 的 财 产 和 人 身 伤 害 。The Vendor shall take all necessary safety precautions and comply with all safety and otherprecautions to prevent personal injury or damage to property occurring in the performance of hisservices, and he shall co-ordinate his services with other contractors on the Site to avoid anyhazards for each other’s property or personnel.4.13.2 订 单 签 订 后 , 卖 方 应 向 买 方 提 交 一 份 关 于 卖 方 现 场 人 员 ( 包 含 负 责 现 场 安 全 的 人 员 ) 的 组 织 机 构 图 ,包 含 姓 名 , 办 公 地 址 , 电 话 和 传 真 号 , 以 及 电 子 邮 件 地 址 。When the Order has been placed, the Vendor shall submit to the Buyer a written organisation chartcontaining the names, business addresses, telephone and fax numbers as well as e-mail addressesof all members of Vendor’s Site Management (including the person responsible for job safety on theSite).4.13.3 卖 方 应 根 据 法 定 程 序 和 当 地 法 规 的 要 求 将 涉 及 卖 方 人 员 的 所 有 事 故 的 起 因 和 后 果 以 发 送 事 故 通 知 文 件的 形 式 向 买 方 的 现 场 管 理 人 员 进 行 详 细 报 告 。By transmitting a copy of the prescribed accident notification, the Vendor shall inform Buyer’s SiteManagement of all accidents involving Vendor’s personnel which have to be reported under theLEH CONDITIONS OF PURCHASE for Contracts for Supplies and Site Services 2013 Edition Page 4 of 18

林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.statutory and local authority regulations with a description of the sequence and causes of theaccident.4.13.4 现 场 拍 照 需 经 买 方 提 前 批 准 。The taking of photographs on the Site shall require the Buyer’s prior approval.4.14 Vendor’s Staff 卖 方 人 员4.14.1 在 现 场 工 作 启 动 前 , 卖 方 应 任 命 一 名 称 职 的 现 场 经 理 负 责 其 产 品 的 供 应 。Prior to commencement of his work, the Vendor shall nominate a suitable Vendor’s Site Managerwho shall be responsible for the provision of the Goods.4.14.2 卖 方 现 场 经 理 离 开 项 目 现 场 应 提 前 通 知 买 方 现 场 管 理 人 员 , 在 此 情 况 下 , 卖 方 应 当 任 命 一 名 具 备 同 等权 利 的 合 格 的 替 代 人 员 并 通 知 买 方 。The absence of the Vendor’s Site Manager from the Site shall be notified in advance to the Buyer’sSite Management. In such event a qualified deputy with equal authority shall be nominated by theVendor, and notified to the Buyer.4.14.3 除 非 订 单 另 有 规 定 , 卖 方 在 现 场 的 工 作 人 员 应 至 少 50% 是 其 自 己 的 直 接 雇 员 , 且 卖 方 的 现 场 管 理 部 门必 须 由 其 直 接 雇 员 组 成 。At least 50% of the staff used by the Vendor for the execution of the Goods shall be staff directlyemployed by him, unless the Order specifies a higher quota of own staff. The Vendor’s SiteManagement shall consist only of staff employed directly by him.4.14.4 卖 方 应 自 付 费 用 保 证 其 雇 员 具 备 足 够 的 语 言 能 力 或 配 备 合 格 的 翻 译 人 员 , 以 保 证 其 雇 员 与 买 方 人 员 之间 能 随 时 进 行 有 效 的 沟 通 。The Vendor shall ensure, at his own cost, that his staff has sufficient language skills, or that qualifiedinterpreters are available, so as to enable at all times sufficiently effective and efficientcommunication between his staff and the Buyer’s staff.4.14.5 如 果 发 生 卖 方 任 何 员 工 不 能 派 驻 现 场 或 不 能 在 现 场 连 续 工 作 四 周 以 上 或 任 何 员 工 面 临 即 将 死 亡 的 情形 , 卖 方 有 权 并 应 自 付 费 用 尽 快 提 供 合 适 的 替 换 人 员 , 此 条 款 同 样 适 用 于 若 卖 方 任 何 员 工 因 生 病 或 受伤 导 致 将 无 法 在 现 场 连 续 工 作 四 周 以 上 的 情 形 。If any of Vendor’s staff is not available on Site or unable to work for longer than four consecutiveweeks, or in the event that any staff member should die, the Vendor shall be entitled and obliged topromptly provide an appropriate substitute or substitutes at his own expense. The same appliesaccordingly to sick or injured staff members who have not yet been unavailable for four consecutiveweeks but where this is likely to happen, e.g. due to the nature of an illness or injury.4.14.6 对 于 所 有 的 施 工 工 作 , 卖 方 向 其 员 工 提 供 的 最 低 标 准 的 工 作 条 件 ( 如 : 工 资 , 假 期 , 假 期 薪 水 等 ) 应满 足 本 行 业 内 具 有 普 遍 约 束 力 的 价 格 协 议 的 规 定 , 卖 方 应 对 买 方 负 责 并 确 保 其 分 包 商 也 对 其 员 工 提 供此 等 最 低 工 作 条 件 。For all building work the Vendor shall grant his staff the minimum working conditions (e.g. wages,holidays, holiday pay) set out in a Building Industry Tariff Agreement declared as being generallybinding. The Vendor shall ensure, and be held responsible by the Buyer, that his sub-vendorsobserve such minimum working conditions for their staff.4.15 工 作 时 间 , 怠 工 时 间 , 每 日 报 告Working Time, Standby and Lost Time, Daily Reports.4.15.1 卖 方 应 根 据 业 主 和 买 方 的 现 场 规 定 制 定 其 工 作 时 间 以 确 保 在 符 合 有 关 工 作 时 间 的 法 规 要 求 下 及 时 完 工其 产 品 。The Vendor shall organise his working time in accordance with the Site regulations of the Owner andBuyer in such a way so as to ensure the timely completion of the Goods, whilst complying with thestatutory regulations on working time.4.15.2 卖 方 应 尽 可 能 减 少 现 场 怠 工 时 间 , 为 此 如 有 必 要 卖 方 应 分 配 其 人 员 先 行 执 行 其 他 的 工 作 任 务 , 或 执 行订 单 范 围 以 外 的 其 他 工 作 , 卖 方 应 在 其 人 员 计 划 中 考 虑 那 些 可 能 产 生 的 虽 不 属 于 其 原 订 单 范 围 但 又 必须 由 其 执 行 的 额 外 工 作 和 按 小 时 费 率 结 算 的 工 作 。The Vendor shall minimise standby time and lost time as far as possible. In order to ensure this, theVendor shall, if necessary, reallocate his staff to other sections of his scope of work, or provide hisstaff for other work outside the agreed scope of the Order. He shall take into account in hisstaff-planning that additional work and work paid at hourly rates (force-account work) that is not partof the Vendor’s original contractual scope of work may occur and must be carried out by him.4.15.3 买 方 将 仅 支 付 应 由 其 负 责 且 卖 方 在 怠 工 一 开 始 就 立 即 以 书 面 方 式 通 报 了 卖 方 现 场 管 理 人 员 的 那 部 分 怠工 时 间 , 买 方 对 怠 工 时 间 的 认 可 将 仅 适 用 于 那 些 在 现 场 停 工 等 待 的 人 员 , 并 视 情 按 照 订 单 中 规 定 的 小时 费 率 或 日 费 用 支 付 。Buyer shall only pay for standby time and lost time for which he is responsible if the Vendor hasinformed the Buyer’s Site Management in writing promptly after has commenced. 林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.accepted standby times shall only be made for the staff waiting on the Site, at the hourly or dailyrates agreed to in the Order, as the case may be.4.15.4 若 因 买 方 原 因 导 致 现 场 安 装 工 作 中 断 :In the case of disruptions in erection for which the Buyer is responsiblea) 买 方 可 以 要 求 卖 方 撤 回 其 人 员 , 或the Buyer may demand that the Vendor withdraws the staff in question; orb) 如 果 中 断 持 续 3 周 以 上 , 卖 方 可 以 撤 回 其 人 员 。the Vendor may withdraw the staff if the disruption lasts for more than three weeks.在 上 述 情 况 下 , 买 方 应 支 付 遣 散 及 重 新 派 遣 这 些 人 员 至 现 场 的 费 用 。In these cases, the Buyer shall pay the costs of demobilisation of staff and their subsequentre-mobilisation to the Site.4.15.5 卖 方 应 知 晓 其 产 品 将 作 为 一 套 复 杂 装 置 的 组 成 部 分 , 且 知 晓 通 常 会 有 数 个 承 包 商 将 同 时 在 现 场 施 工 ,各 承 包 商 的 工 作 将 形 成 相 互 依 赖 的 关 系 , 因 此 要 求 其 与 在 现 场 施 工 的 其 他 承 包 商 的 工 作 进 度 进 行 协 调以 避 免 相 互 产 生 阻 碍 或 至 少 将 此 等 阻 碍 尽 可 能 降 至 最 低 。 卖 方 须 接 受 , 其 现 场 计 划 、 活 动 和 / 或 既 定 的施 工 次 序 将 可 能 甚 至 在 一 些 紧 急 通 知 的 情 况 下 由 于 此 等 相 互 依 赖 的 关 系 频 繁 发 生 变 化 。 卖 方 将 不 对 此等 由 于 非 系 统 性 的 施 工 次 序 , 对 既 定 施 工 次 序 或 其 他 计 划 的 变 更 而 导 致 的 额 外 费 用 向 买 方 要 求 补 偿 。The Vendor is aware that the Goods are intended to become part of a complex Plant. He is awarethat normally several contractors will be working on the Site at the same time, and that mutualdependencies will be created concerning the various contractors’ work and that co-ordination of theprogress of the work with other contractors working on Site will be required to avoid, or at least tominimise, mutual obstruction as far as possible. The Vendor accepts that, particularly because ofthese mutual dependencies, the plans, the scheduled activities and/or the proposed sequence ofwork on the Site may – even at short notice – be frequently changed as a matter of course. TheVendor may therefore not claim the reimbursement of additional costs caused by a non-systematicsequence of operations, changes in the proposed sequence of operations or other changes in plan.4.15.6 卖 方 应 在 每 天 上 午 10 点 向 买 方 现 场 管 理 部 门 报 告 其 当 天 在 现 场 工 作 的 人 员 数 量 和 名 字 。The Vendor shall report numbers and names of his personnel employed on the Site to the Buyer’sSite Management every day by 10 a.m.4.15.7 如 果 由 于 卖 方 自 身 原 因 导 致 所 规 定 的 工 时 超 支 , 卖 方 应 承 担 所 产 生 的 一 切 费 用 , 例 如 但 不 限 于 :In the event that the duration specified for Vendor’s work on Site is exceeded for reasons attributableto the Vendor, the Vendor shall bear all resulting cost, such as, but not limited toa) 其 自 身 人 员 费 用his personnel,b) 提 供 给 其 的 辅 助 人 员 的 费 用auxiliary personnel provided to him,c) 提 供 给 其 的 设 备 , 吊 机 及 工 具 的 费 用equipment, cranes and tools provided to him.4.16 Insurance 保 险4.16.1 在 施 工 期 间 , 卖 方 应 自 付 费 用 对 以 下 险 种 进 行 足 额 投 保 。For the duration of this work, the Vendor shall conclude and maintain the following insurance at asufficient level and at his own expense:4.16.1.1 制 造 商 的 第 三 方 责 任 险 和 产 品 责 任 险 , 以 及 法 定 的 环 境 损 害 险 , 即 对 土 壤 , 空 气 或 水 质 ( 包 括 海 洋 ,湖 泊 , 河 流 和 运 河 ) 等 造 成 的 环 境 伤 害 以 及 次 生 伤 害 必 须 投 保 。 发 生 在 国 外 的 法 定 损 害 责 任 也 应 投 保 。A manufacturer’s third party liability and product liability insurance, whereby also statutory liability fordamages from the environmental effect on soil, air or water, including oceans, lakes, rivers andcanals (environmental damage) and all resultant further damage must be covered. Statutory liabilityfor cases of loss occurring abroad shall also be covered.4.16.1.2 卖 方 名 下 在 现 场 作 业 的 车 辆 的 车 辆 责 任 险 。A vehicle liability insurance for the vehicles operated on the Site on behalf of the Vendor.4.16.2 卖 方 应 向 买 方 提 交 相 关 的 保 险 凭 证 以 证 明 已 投 保 上 述 险 种 。The Vendor shall submit to the Buyer suitable insurance certificates as proof of the above mentionedinsurance.5 产 品 变 更 /Changes to the Goods5.1 若 买 方 对 产 品 提 出 变 更 要 求 , 卖 方 应 立 即 书 面 通 知 买 方 相 应 的 价 格 增 减 和 对 交 期 的 影 响 并 随 附 相 关 依据 。 价 格 的 增 减 应 基 于 原 订 单 的 计 价 方 法 。 若 仅 是 数 量 的 增 减 则 原 有 单 价 将 维 持 不 变 , 除 非 数 量 增 减过 多 并 对 原 有 计 价 基 础 产 生 了 实 质 性 的 影 响 , 在 此 情 况 下 买 方 或 卖 方 可 要 求 对 单 价 作 出 合 理 调 整 并 协商 达 成 一 致 。LEH CONDITIONS OF PURCHASE for Contracts for Supplies and Site Services 2013 Edition Page 6 of 18

林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.If the Buyer requires changes to the Goods, the Vendor shall inform the Buyer promptly in writing ofany increase or decrease in price and any effects on the completion date, backed-up by sufficientproof. The price increase or decrease shall be determined on the basis of the calculation used forthe Order. In case of unit prices, these shall be applied to the increased or decreased quantities,unless the increase or decrease is excessive and has a substantial effect on the basis of calculation,in which case Buyer or Vendor may demand that an adequate reduction or increase, respectively, ofthe unit price in question be negotiated and agreed.5.2 双 方 应 基 于 相 互 的 利 益 和 义 务 对 订 单 的 变 更 进 行 友 好 协 商 。 买 方 将 就 已 同 意 的 产 品 和 订 单 变 更 内 容 签发 一 份 书 面 的 补 充 订 单 。Modifications to the Order shall be negotiated in good faith by the parties, taking into due accounttheir mutual interests and obligation of good faith. The Vendor shall be responsible formonitoring and directing his sub-vendors to ensure that the agreed delivery dates are met and thatan up-to-date schedule showing target status and actual status is available at all times. The Buyershall be informed promptly of expected delays or other problems likely to affect the agreed deliverydates. Such notification shall not relieve the Vendor of his obligation of timely delivery. If the Vendordue to his fault fails to submit such notification, the Vendor shall be liable for all damages resultingtherefrom. TheVendor shall deliver the Buyer 3 copies shipping documents before shipment. The Buyer'spacking, marking and Shipping instructions must be adhered to. TheVendor shall be entitled to participate in such tests.If the acceptance test shows that the Goods are not in accordance with the Order, the Vendor shall,at his own expense, immediately carry out all measures necessary to rectify or complete the Goodsin accordance with the Order. The costs of the failed acceptance test, such as Buyer’s personnelcosts, cost of test and inspection agencies, shall be borne by the Vendor if the reason for the failedacceptance test lies within his scope or responsibility.A technical or factory test or inspection of the Goods shall not be deemed acceptance.13.2 买 方 和 业 主 有 权 在 上 述 验 收 测 试 之 前 为 测 试 目 的 对 全 部 或 部 分 产 品 进 行 试 用 。 这 将 不 视 为 对 产 品 的 全部 或 部 分 验 收 。The Buyer and the Owner shall be entitled to use the Goods in whole or in part for trial purposesprior to the aforesaid tests. However, in case the Goods constitute a building or a thing thatas per its usual kind of use is typically used for building or if the Goods relate to a building, thestatutory Warranty Period of five (5) years from supply of the Goods shall remain applicable.14.4 卖 方 应 根 据 买 方 的 选 择 并 自 负 费 用 对 质 保 期 内 出 现 产 品 缺 陷 立 即 以 维 修 或 更 换 的 方 式 对 这 些 缺 陷 进 行整 改 。 卖 方 应 就 整 改 措 施 提 前 与 买 方 进 行 磋 商 。 所 有 费 用 包 括 但 不 限 于 拆 卸 费 , 运 输 费 , 重 装 费 以 及文 件 费 等 将 由 卖 方 自 行 承 担 。 且 买 方 将 有 权 选 择 运 输 方 式 。Vendor shall be obliged to promptly remedy any defects that arise within the Warranty Period byrepair or replacement at Buyer’s choice and at Vendor’s expense. Vendor shall consult Buyer beforeany changes are made. All cost shall be for Vendor’s account, including but not limited todisassembly, shipping, re-assembly and documentation. Buyer shall be entitled to choose the modeof transport.14.4.1 如 果 买 方 认 为 必 要 , 卖 方 应 增 加 人 员 及 物 料 、 安 排 多 班 和 / 或 加 班 , 或 在 现 场 当 地 法 律 法 规 所 允 许 的 范围 内 安 排 星 期 日 和 公 共 节 假 日 加 班 进 行 维 修 和 / 或 更 换 工 作 。If deemed necessary by Buyer, repair and/or replacement shall be carried out by Vendor withincreased use of staff and material resources, working multiple shifts and/or overtime or, to theextent permitted under the laws and regulations applicable at the Site, on Sundays and publicholidays.14.4.2 如 果 在 保 证 期 内 发 生 卖 方 对 零 部 件 进 行 改 造 或 替 换 , 则 这 些 已 经 订 购 或 供 货 的 相 关 零 部 件 都 应 进 行 改造 或 替 换 , 买 方 或 业 主 对 此 不 承 担 任 何 费 用 。If, under the Warranty, parts are modified or replaced by other parts, any spare parts correspondingto the replaced or modified parts that have been already ordered or supplied must also be modifiedor replaced at no cost to Buyer or Owner.14.4.3 如 果 因 缺 陷 导 致 产 品 全 部 或 部 分 不 能 使 用 , 其 质 保 期 应 自 该 产 品 不 能 正 常 使 用 之 日 算 相 应 延 长 。 如 果买 方 要 求 且 为 了 避 免 或 减 少 停 工 损 失 , 卖 方 应 自 负 费 用 尽 快 安 装 临 时 设 备 并 加 以 维 护 直 至 缺 陷 修 复 。If, due to the defects, the Goods cannot be used either in whole or in part, the Warranty Period shallbe extended by the period during which the Goods could not be used. If requested to do so by Buyerand in order to avoid or limit such loss of use, the Vendor shall promptly install provisional facilities athis own cost and maintain these until the defect has been remedied.14.4.4 如 果 相 同 缺 陷 虽 经 多 次 整 改 依 然 反 复 出 现 , 或 该 缺 陷 将 可 能 影 响 到 该 产 品 的 其 他 零 部 件 的 正 常 使 用 ,卖 方 应 根 据 买 方 要 求 , 自 负 费 用 采 取 如 改 变 设 计 或 改 变 材 料 或 合 理 延 长 保 证 期 等 适 当 的 措 施 对 所 涉 及的 零 部 件 包 括 其 他 可 能 受 影 响 的 零 部 件 从 根 本 上 进 行 整 改 。If, in spite of repeated remedial action, the same type of defect keeps appearing or if other parts ofthe Goods are likely to be also affected by the defect, the Vendor shall remedy the underlying causeof the defect at his own cost and using suitable means, e.g. by changing the design or using othermaterials or to agree to a reasonable extension of the Warranty Period, as requested by the Buyer,for the parts in question, including any defects in the other parts that are likely to be affected.14.4.5 如 果 卖 方 未 能 在 买 方 通 知 的 合 理 期 限 内 纠 正 缺 陷 , 或 卖 方 已 经 最 终 拒 绝 采 取 措 施 纠 正 缺 陷 , 或 卖 方 所采 取 的 措 施 未 能 纠 正 缺 陷 , 或 所 提 出 的 纠 正 措 施 不 能 被 买 方 合 理 接 受 , 或 因 情 况 特 别 紧 急 不 再 可 能 通 知卖 方 关 于 缺 陷 和 缺 陷 危 害 并 为 卖 方 纠 正 缺 陷 设 定 一 个 适 当 的 时 限 , 买 方 有 权 作 如 下 选 择 :If the Vendor has failed to remedy a defect within a reasonable period notified to him by the Buyer tothat effect,or the Vendor has conclusively refused to carry out measures to remedy the defect, ormeasures by the Vendor have failed to remedy the defect, or the proposed measures to remedy thedefect are not reasonably acceptable to the Buyer, or it is not possible any more to inform theVendor about the defect and the damage threatening due to particular urgency and to set anadequate time limit to Vendor for Vendor's rectification of defects, the Buyer shall have the right, athis option.14.4.5.1 买 方 可 以 自 己 或 请 第 三 方 实 施 整 改 工 作 , 由 此 产 生 的 所 有 费 用 将 由 卖 方 承 担 。 除 非 该 整 改 工 作 证 明 是错 误 的 , 否 则 卖 方 的 保 证 责 任 将 不 受 此 整 改 工 作 的 影 响 。 如 发 生 装 置 的 运 行 存 在 安 全 隐 患 , 或 可 能 发生 其 他 重 大 危 害 的 情 形 , 买 方 将 应 具 有 上 述 权 力 。LEH CONDITIONS OF PURCHASE for Contracts for Supplies and Site Services 2013 Edition Page 11 of 18

All costs arising for suchremedial work shall be paid for or reimbursed by the Vendor. The Vendor’s Warranty shall not beaffected by such action except to the extent that such remedial work is proven to be faulty. The Vendor shall bear all cost and expenditure including, but not limited to,cost of legal defence and of any recall action except where the defect did not occur within his domainof responsibility. This includes obtaining for Buyer the right to buy, useand sell the Goods or such parts or components which may be found infringing, or replacing thesame with equivalent, non-infringing Goods, parts or components. They may not be used otherthan for the Order or copied, published or made available to third parties without the writtenpermission of the Buyer, and they shall, on request of the Buyer, promptly be returned to the Buyerand/or be deleted from computers or other data files of the Vendor. Art. 14.4.5.1 of these Conditions of Purchase shall apply accordingly. The Vendor shall beentitled to the pro rata Order price for the Goods taken over by the Buyer. The costs fordismantling and removal of the Goods and other costs incurred in connection with the terminationshall be borne by the Vendor. The Buyer may use the Goods for up to 12 months without chargeuntil a replacement is ready for operation. Value Added Tax, if applicable,shall be shown separately. All amounts payable in respect of the contract will be paid after deduction of any taxes,levies, duties or administrative fees that must be withheld at source and paid to the respective taxauthorities by the Buyer due to legal requirements. If it was agreed inthe Order that several invoices may be issued, the determination of quantities shall state the quantitiescompleted by the end of the period covered by the invoice as well as the total quantities of each item as shownin the Order. The Buyer’s Site Management will attest by its signature on the Measurement Sheets only that thequantities are correct in relation to the specified services. Verification of the stated items of the Order and of anyprices in relation to the Measurement will be subject to the subsequent verification of the invoice. Determinationof quantities for items of the Order shall be made promptly after completion of the respective Order items andshall be submitted to Buyer’s Site Management in accordance with the progress of Vendor’s work for the Goods,independently of preparing the invoice.21.10 所 有 按 小 时 费 率 或 日 费 率 支 付 的 工 作 将 根 据 工 时 表 出 具 发 票 , 工 时 表 应 每 天 填 写 并 在 次 日 上 午 10 点 前 提 交 给 买 方的 现 场 管 理 人 员 确 认 。 工 时 表 必 须 显 示 订 单 号 , 工 作 地 点 和 工 作 内 容 的 确 切 描 述 , 工 作 人 员 的 名 字 和 资 质 及 其 工时 数 , 详 述 在 正 常 工 作 时 间 、 夜 晚 、 周 六 、 周 日 和 公 共 节 假 日 所 执 行 的 工 作 内 容 , 以 及 通 知 卖 方 进 行 此 等 工 作 的人 员 姓 名 。 需 付 费 的 差 旅 时 间 将 不 包 含 在 所 显 示 的 工 作 时 间 内 。 只 有 用 于 该 订 单 且 在 另 外 单 独 的 决 算 单 中 列 明 的卖 方 提 供 的 材 料 , 工 具 以 及 辅 助 设 备 才 会 予 以 补 偿 。 已 同 意 的 包 干 价 只 有 在 卖 方 提 供 已 完 工 的 证 据 后 方 能 支 付 。All work payable at hourly or daily rates will be invoiced on the basis of time sheets. Time sheets shall beprepared for each working day and submitted to the Buyer’s Site Management for confirmation by 10 a.m. of thesubsequent working day. Time sheets must show the Order number, the place of execution and exactdescription of the work performed, the names and qualifications of the workers, the number of working hourscompleted by them, specifying work done during the normal working time, night time, on Saturdays andSundays and public holidays as well as the name of the person who has instructed the Vendor to perform suchwork. To the extent travel time is to be paid, this shall not be included in the shown working hours. Materials,tools and supporting facilities provided by the Vendor will only be remunerated if this has been provided for inthe Order and if these are included on a separate Measurement Sheet. Work for which a lump sum price hasbeen agreed will only be remunerated if the Vendor provides evidence that such work has been executed.21.11 如 适 用 , 最 终 发 票 应 注 明 订 单 中 规 定 的 项 目 号 , 发 票 号 , 发 票 日 期 , 发 票 金 额 , 未 付 总 金 额 , 到 期 付款 额 及 增 值 税 税 额 并 在 工 作 验 收 后 四 周 以 内 提 交 。 此 外 还 须 随 附 上 由 买 卖 双 方 签 字 的 机 械 竣 工 证 书 或验 收 证 书 ( 若 有 )。 最 终 发 票 的 支 付 并 不 解 除 卖 方 在 订 单 项 下 的 任 何 的 契 约 责 任 和 义 务 。If applicable, the final invoice shall be labelled as such and be submitted within four weeks afteracceptance of the Work, with a breakdown as to code numbers specified in the Order, invoicenumber, invoice date, invoice amount, the aggregate amount of retention, due payments and valueadded tax. In addition, the certificate of mechanical completion or Acceptance (if any) signed by theBuyer and the Vendor shall be attached. 林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.22.2 应 林 德 要 求 , 卖 方 应 以 提 交 相 关 数 据 或 自 我 评 估 的 方 式 向 林 德 证 实 其 已 遵 循 了 “ 供 应 商 行 为 准 则 ” 的各 项 要 求 并 获 得 林 德 的 认 可 。Vendor shall demonstrate compliance with the requirements of the ‘Supplier Code of Conduct’ at therequest and to the satisfaction of Linde, e.g. by providing data or conducting self-assessments.22.3 如 果 林 德 有 理 由 认 为 卖 方 可 能 实 质 性 违 反 了 供 应 商 行 为 准 则 的 要 求 , 则 林 德 或 其 指 定 的 第 三 方 可 至 卖方 的 经 营 场 所 进 行 核 查 以 验 证 其 是 否 遵 守 了 供 应 商 行 为 准 则 。 林 德 应 采 取 一 切 合 理 措 施 来 确 保 其 所 有的 核 查 将 满 足 所 有 适 用 的 数 据 保 护 法 的 相 关 规 定 , 且 既 不 对 卖 方 的 商 业 活 动 造 成 不 合 理 的 干 预 也 不 对卖 方 与 第 三 方 之 间 的 任 何 保 密 协 议 造 成 侵 犯 。 卖 方 应 合 理 配 合 所 有 的 核 查 工 作 。 与 核 查 有 关 的 费 用 由各 方 自 行 承 担 。If Linde has reason to believe that Vendor may be in material breach of the requirements laid out inthe Supplier Code of Conduct, Linde or a third party appointed by Linde may conduct inspections atVendor’s premises in order to verify Vendor’s compliance with the requirements of the SupplierCode of Conduct. Linde shall use all reasonable efforts to ensure that all inspections will beconducted in accordance with any applicable data protection law and shall neither unreasonablyinterfere with Vendor’s business activities nor violate any of Vendor’s confidentiality agreements withthird parties. Vendor shall reasonably cooperate with any inspections conducted. Each party shallbear its own expenses in connection with such inspection.22.4 如 果 卖 方 实 质 性 违 反 了 供 应 商 行 为 准 则 或 在 林 德 书 面 通 知 其 违 反 行 为 后 未 能 对 此 做 出 纠 正 , 则 除 了 享有 任 何 其 他 权 利 和 救 济 外 , 林 德 也 应 有 权 终 止 在 此 签 订 的 协 议 以 及 任 何 订 单 且 无 须 承 担 任 何 责 任 。In addition to any other rights and remedies Linde shall also have the right to terminate thisagreement and any purchase order issued hereunder without any liability whatsoever, if Vendor is inmaterial breach of the Supplier Code of Conduct or fails to remedy any breach, after writtennotification about the breach by Linde.22.5 实 质 性 违 反 行 为 包 含 但 不 限 于 : 强 迫 劳 动 或 使 用 童 工 , 腐 败 和 贿 赂 以 及 违 背 供 应 商 行 为 准 则 中 有 关 环境 保 护 要 求 等 。Material breaches include, but are not limited to, incidents of forced or child labor, corruption andbribery, and failure to comply with the Supplier Code of Conduct's environmental protectionrequirements.23 局 部 失 效 /Voidness in Part如 在 本 采 购 条 款 或 订 单 条 款 中 有 任 何 条 款 被 证 明 是 无 效 的 或 不 可 操 作 的 , 其 它 剩 余 条 款 的 有 效 性 应 不受 影 响 。Should any provision in these Conditions of Purchase or in the Order prove to be void, ineffective orinoperable, the validity of the remaining provisions shall not be affected.24 履 行 地 点 /Place of Fulfilment除 非 订 单 中 另 有 规 定 , 履 行 地 应 为 买 方 的 营 业 地 。Unless otherwise provided in the Order, place of fulfilment shall be Buyer’s place of business.25 适 用 法 律 /Applicable Law订 单 应 受 “ 中 华 人 民 共 和 国 合 同 法 ” 管 辖 并 按 其 解 释 。The Purchase Order shall be governed by and construed in accordance with “The Contract Law ofPeople’s Republic of China”.26 管 辖 、 仲 裁 地 /Place of Jurisdiction/Arbitration26.1 若 卖 方 主 要 营 业 地 址 在 中 华 人 民 共 和 国 境 内 :凡 因 本 订 单 引 起 的 或 与 本 订 单 有 关 的 任 何 争 议 , 双 方 应 通 过 友 好 协 商 解 决 。 如 果 协 商 不 能 解 决 , 应 提交 杭 州 仲 裁 委 员 会 在 杭 州 进 行 仲 裁 。 诉 讼 裁 决 是 终 局 的 , 对 双 方 都 有 约 束 力 。 诉 讼 费 用 由 败 诉 方 承 担 。买 方 也 可 以 在 对 卖 方 有 法 律 管 辖 权 的 任 何 其 他 地 点 提 请 诉 讼 。For Vendors having their main place of business in People’s Republic of China:Any dispute arising from or in connection with this purchase order, shall be settled amicably throughfriendly negotiation. In case no settlement can be reached through negotiation, the case shall thenbe submitted for arbitration to Hangzhou arbitration commission with venue in Hangzhou. Thearbitral award is final and binding upon both parties.
