(the Association), with offices at 1200 Eighteenth Street NW, Suite 400,Washington, DC 20036-2506, and (ii) the Licensee who, intending to be legally bound, hereby agrees asfollows:1. LICENSED RIGHTS1.1 Licensed Software; Documentation. The Association hereby grants to Licensee, and Licensee herebyaccepts from the Association, during the term of this Agreement, a nonexclusive, nontransferable license to(a) use the proprietary Travel$ense computer software (the Travel$ense Software) solely for the purposeof analyzing air travel via corporate aircraft, chartered aircraft and/or commercial scheduled airlines.1.2 Scope of License. The license granted herein shall be identified on Exhibit A as a machine license withthe applicable rights and restrictions as described on Exhibit A. Upon written notice to the Association andpayment of any additional license fees which may be applicable, Licensee shall have the option, at any timeand from time to time, to identify one or more additional authorized computers or authorized locations orotherwise to increase limitations on Licensee’s use of the Travel$ense Software.1.3 Restrictions on Licensed Rights. Licensee acknowledges that the components of Travel$ense Software,including data which may be accessed and retrieved using the Travel$ense Software, are subject tocopyrights owned by the Association or its licensors. Licensee is prohibited from modifying or permittinganyone else to modify the Travel$ense Software or any accessible and retrievable data or other portionthereof except as expressly authorized by the applicable user documentation. Except as necessary toexercise the rights expressly granted in this Agreement, Licensee is prohibited from copying or duplicating,or permitting anyone else to copy or duplicate, the Travel$ense Software or any module or other portionthereof, other than for purposes of replacing a worn copy or creating an archive copy. LICENSEE ISEXPRESSLY PROHIBITED FROM USING THE TRAVEL$ENSE SOFTWARE TO PREPARE ONE OR MOREFLIGHT PLANS IN FULFILLMENT OF FEDERAL AVIATION ADMINISTRATION REQUIREMENTS.2. LICENSE FEE2.1 Amount. In return for the license granted in Section 1, Licensee shall pay a one-time license fee in theamount set forth by the Association. Such license fee shall be due and payable upon execution of thisAgreement. In the event that Licensee wishes to expand the scope of such license, an additional license feeshall be due and payable to the Association.2.2 Taxes. All amounts described herein are exclusive of all Federal, state, municipal or other governmentalexcise, sales, value-added, use, personal property and occupational taxes, excises, withholding obligationsand other levies now in force or enacted in the future and, accordingly, the license fee is subject to anincrease equal to the amount of any tax the Association may be required to collect or pay in connectionwith the Travel$ense Software other than any tax on the net income of the Association.3.
