MONTSERRATLABOUR CODE, <strong>2012</strong>No. 20 <strong>of</strong> <strong>2012</strong>amendment <strong>of</strong> its rules, and if the provisions <strong>of</strong> thissection have been complied with.(5) Where a trade union or employers’ organisation haschanged its name, the Registrar shall issue a newcertificate and make the amendment to the register.145. Annual return to registrar(1) Within 6 calendar months after the end <strong>of</strong> each financialyear, a trade union and employers' organisation shallsubmit to the Registrar a return which shall include—(a) its address;(b) the names and addresses <strong>of</strong> its current <strong>of</strong>ficeholders;(c) the number <strong>of</strong> fully paid up members;(d) an audited annual financial statement for thatfinancial year.(2) The Registrar shall suspend or withdraw registration <strong>of</strong>any trade union or employers' organisation which fails tosubmit a return in accordance with subsection (1).(3) Any trade union or employers' organisation subject tosuch a suspension or withdrawal under subsection (2)may apply to the High Court for an order to reinstate itsregistration.146. Legal status(1) A trade union and employers' organisation registeredunder the <strong>Code</strong> shall be deemed to be a body corporatewith the capacity to contract and to hold property, and tosue and to be sued.(2) Despite subsection (1), no civil proceedings except thoseexpressly allowed by the <strong>Code</strong> or any enactment may bebrought against a trade union or employers' organisationregistered under the <strong>Code</strong> or against any <strong>of</strong> its <strong>of</strong>ficers,representatives or members, in respect <strong>of</strong> an act done ingood faith, by or on behalf <strong>of</strong> that trade union or89
