Wholly-owned Subsidiaries The Dodge & CoxGlobal Stock Fund and Dodge & Cox International StockFund may invest in the Dodge & Cox Global Stock FundCayman, Ltd. and Dodge & Cox International StockFund Cayman, Ltd., respectively, each of which is awholly-owned subsidiary of the respective Fund organizedunder the laws of the Cayman Islands (each a“Subsidiary”). The Dodge & Cox Global Bond Fund mayalso establish a similar wholly-owned subsidiary if deemedadvisable by Dodge & Cox. Each Fund may invest in itsSubsidiary to gain exposure to non-U.S. registeredsecurities. Each Subsidiary has entered into a separateInvestment Management Agreement with Dodge & Coxfor the management and administration of theSubsidiary’s portfolio. Dodge & Cox is not compensatedby a Subsidiary for the services it provides to theSubsidiary. As described above, Dodge & Cox receives amanagement fee from each Fund based on the averagedaily net assets of the Fund, which includes any amountsinvested in a Subsidiary. The Dodge & Cox Global StockFund, Dodge & Cox International Stock Fund, andDodge & Cox Global Bond Fund will each bear theoperating expenses of the relevant Subsidiary.INVESTMENT COMMITTEESINVESTMENT POLICY COMMITTEEThe Dodge & Cox Stock Fund’s investments and the stock portion of the Dodge & Cox Balanced Fund are managed byDodge & Cox’s Investment Policy Committee (IPC), and in general no one IPC member is primarily responsible for makinginvestment recommendations for the Stock and Balanced Funds. IPC is also responsible for determining the asset allocation ofthe Dodge & Cox Balanced Fund.
