THORNHURST COUNTRY CLUB ESTATESPROPERTY OWNERS ASSOCIATIONBYLAWSAS REVISED AND ADOPTED BY THE MEMBERSHIPJULY 20,1996Note: It should be understood that in these Bylaws when the male gender is used in referring to aparty or an entity (e.g. he, his, him) the use is traditional, for brevity and clarity, and bears no biasof gender but includes each sex without bias.ARTICLE IDEFINITIONS"Articles of Incorporation" means the Articles of Incorporation of Thornhurst Country ClubEstates Property Owners Association, Inc."Association" means the Thornhurst Country Club Estates Property Owners Association, Inc., aPennsylvania nonprofit corporation .. "Association Member, Association Membership or Associate Member" shall have the meaningcontained iri Article N of these Bylaws."Association Office" is Thornhurst Country Club Estates Property Owners Association, Inc. Themain office shall be designated from time to time by the Board of Directors."Board or Board of Directors" means the Board of Directors of the Association elected pursuantto the provisions of these Bylaws, as per Article VI, Section 2."Bylaws" means these Bylaws of the Association. The written code of <strong>rules</strong> for the regulation ormanagement of the business and affairs of the Association."Common Area" means any and all real <strong>property</strong> designated as such on a Plat and all real <strong>property</strong>acquired by the Association together with all improvements constructed thereon; including but notlimited to: roads, recreational, community facilities, lakes, parks, and utility system."Declaration" means a Declaration of Restrictive Covenants, dated April 1, 1971 (Map BookVolume 741, pages 841-846), made by Pocono Resort Enterprises, Inc., a Pennsylvania corporation,and recorded in the Office for the Recording of Deeds in and for Lackawanna County, setting forthcertain restrictive covenants, easements, etc., with respect to the Development."Development" means all of the real <strong>property</strong> comprising Thornhurst Country Club Estates locatedin Lehigh Township, Lackawanna County, Pennsylvania, as shown on the Plats as provided in the. Declaration, including any real <strong>property</strong> annexed thereto as provided herein."Executive Committee" shall be only the Members of the Board of Directors."Guest" means all invitees of Members and Associate Members."Household" shall have the same meaning as that normally associated with the term single familydwelling."Lot" means any numbered, named, or lettered tract of real <strong>property</strong> with such boundaries as areshown on any Plat within the Development. ~1


"Owner" means any person, or persons, who hold(s) fee simple title to any lot."Plat" means a final subdivision map with respect to the Development, as recorded by PoconoResort Enterprises, Inc., in the Office for the Recording of Deeds in and for Lackawanna County.The term "Plats" shall mean all of the final subdivision maps of the Development from time to timeidentified thereon as Plat Maps of Thornhurst Country Club Estates including any additions orrevisions thereto."Policy" refers to the written <strong>rules</strong> and regulations or course of conduct adopted by the Board ofDirectors in the governing and operating of Thornhurst Country Club Estates."Reserved Area" means any and all of the real <strong>property</strong> designated as such on a Plat, including butnot limited to, future subdivision.'"Road" means any and all of the real <strong>property</strong> designated as such on a Plat."Single Family Dwelling" means a residential dwelling for a household."Transition Agreement" means that Agreement executed on February 27, 1985, titled SettlementAgreement, Transition of Control Thornhurst Country Club Estates Common Elements."Utility Facilities" means all <strong>property</strong>, real, personal, or mixed acquired or constructed by PoconoResort Enterprises, Inc. and used or useful in connection with providing water supply service,sanitary sewage collection and disposal service and electric service to <strong>property</strong> within theDevelopment, or providing such other services (including cable television service) as shall bedetermined by the Association to be useful and necessary to <strong>property</strong> within the Development"Voting Member or Voting Membership" shall have the meaning contained in Article IV of theseBylaws.ARTICLEllIdentification, Purpose, and LocationSection L Name. The name of this organization shall be Thornhurst Country Club Estates Property .Owners Association, hereinafter called The Association.Section 2. Corporate Seal and Purpose. The Association shall be incorporated as a nonprofitcorporation under the laws of the Commonwealth of Pennsylvania for the following purposes: tohave unlimited power to engage in and to do any lawful act concerning any lawful business forwhich nonprofit corporations may be incorporated under the Nonprofit Corporation Law of 1972,Act of November 15,1972, P.L. 271, as amended and including, but not limited to: the power to doall acts necessary to protect and insure the present and future residential living conditions relatingto health, safety, public morals and recreational comfort of <strong>property</strong> <strong>owners</strong> at Thornhurst CountryClub Estates.Section 3. Location. The Association shall be identified with the <strong>property</strong> known as ThornhurstCountry Club Estates, or successors thereof, located in Lackawanna County, Pennsylvania. Theprincipal mail address of The Association shall be the premises of the aforesaid <strong>property</strong>, withfurther defmition of address (such as box and/or street number, and zip code) to be designated bythe Board of Directors as may be appropriate based on available postal services. Any change ofaddress shall be announced at a regular meeting of the Membership and circulated in the newsletterof The Association.2


ARTICLE IIIPurposes and AimsSection 1. Purposes.of Incorporation.The purposes for which The Association was formed are stated in its ArticlesSection 2. Aims. In order to carry out the purposes for whichTheof The Association are:Association was formed, the aimsa: to promote the interests of its Members in social and recreational facilities, roads, lakes,premises, and activities in and about the premises of the <strong>property</strong> with which The Association isidentified in Section 3 of Article II of these Bylaws;b: to administer and maintain all <strong>property</strong> and amenities owned by The Association currently inSections 1,2, and 3 of the <strong>property</strong> known as Thomhurst Country Club Estates, and pursuant to theSettlement Agreement those common facilities, yet to be developed, in Sections 4 and 5 pursuantto Paragraph 11 of the Transition Agreement;c: to act as the liaison among its Members, and between its Members and various public andprivate organizations, in matters of concern to the Membership in general.ARTICLE IVMembership Types, Requirements, Rights and ObligationsSection 1. Types of Membership. The Association Membership shall be composed of VotingMembers and Associate Members as hereinafter set forth.Section 2. Voting Membership. Qualification for designation as the Voting Members in TheAssociation shall be: 1. The <strong>owners</strong>hip of at least one lot or acreage under or by virtue of a deedindicating <strong>owners</strong>hip of <strong>property</strong> with which The Association is identified in Section 30f Article Iof these Bylaws. 2. A member in good standing which is contingent upon and maintained by thepayment of such fees, dues, or assessments when due, The Association may prescribe when due, asstated in the Master Deed and more specifically as defmed in Section 4 of this Article. 3. It is furtherrequired that a Voting Member be at least 18 years of age.Section 3. Beginning of Voting Membership. No formal application shall be required for VotingMembership in The Association, since designation to Voting Membership is by lot <strong>owners</strong>hip asindicated in Section 2 of this Article. Pursuant to the terms contained in the Master Deed,Membership in The Association is mandatory. Membership commences with <strong>owners</strong>hip in the- Community.*Section 4. Fees, Dues, and Assessments. Annual fees or dues for the following calender year shallbe fixed by the Voting Membership of The Association at the second regular meeting in each year.3


..Assessments may from time to time be necessary to supplement the receipts from annual fees or duesin order to adequately carry out the purposes and aims of The Association. The need for anyassessment shall be presented to The Association's Members at a Properly Convened Meetingandapproval of the purpose, amount, time oflevy, and the period during which the assessment shall beapplied to the Members of The Association shall require a simple majority vote of those VotingMembers in good standing present and voting. All fees, dues, and assessments are payable to TheAssociation when due. The Board of Directors may from time to time establish a payment scale toprovide for periodic payments. In all cases the annual charges must be paid in the current fiscal year.The payment of dues, fees, and assessments is the responsibility of the owner. Each owner isresponsible for the applicable payment due The Association. Fees, Dues, and Assessments shall bedetermined from time to time by the Board of Directors distinguishing between developed andundeveloped lot(s).*(*Revision-Effective May 19,1990.) See pg.15 .*Section 5. Voting Membership Limitation. There shall be but one Voting Member per Householdwithout regard to whether the lot owner owns more than one lot or acreage at the <strong>property</strong> definedin Section 2 of this Article. Where <strong>owners</strong>hip is individual. the owner may not designate anyone tovote other than himself or herself as Voting Member with the limited exception that said individualowner may designate his or her spouse residing in the same household as the Voting Memberwithout regard to whether the spouse is named on the Deed to that <strong>property</strong> as an owner. If<strong>owners</strong>hip is other than individual, then the owner must designate, in writing, one of the <strong>owners</strong> whoshall be the Voting Member. Such designated individual may be changed from time to time bywritten notice to the Business Secretary prior to any business meeting of The Association. Wherethe language of this section conflicts with the language of any other Section of these Bylaws. thisSection shall control. **Underlined passages indicate Bylaw amendments approved by vote of Membership on July 20,1996.Section 6. Voting, Office, and Other Rights. Every Voting Member in good standing shall havethe right to vote at the regular and special meetings of The Association, and shall have the right tohold office, either as an Officer of The Association or as one of the other elected Members of TheBoard of Directors. A Voting Member in good standing shall also have the right to inspect thebooks, accounts, and records of The Association at a time agreeable to the Secretary and/or Treasurerand to the Member requesting such inspection, but not to exceed a period of 30 days from suchwritten request, or a shorter period if such inspection may reasonably affect some anticipated actionby The Association. Any Voting Member not in good standing forfeits the right to vote, hold officeor enjoy the other rights and privileges reserved to Voting Members in good standing.Section 7. Associate Membership. Associate membership in The Association shall be granted topersons living in the household of a Voting Member in good standing. The Associate Member shallhave all the privileges of the Voting Member upon whom the Associate Membership is contingentexcept voting and office holding rights. These exceptions do not bar Associate Members fromappointment to and service on any Conunittee of The Association except the Board of Directors.Since Associate Membership is contingent upon a Voting Membership, if the Voting Member failsto maintain good standing, the related Associ~te Members also lose their privileges.4


Section 8. Membership Termination. Loss or transfer of <strong>owners</strong>hip of a lot(s) on which VotingMembership was based shall terminate Voting Membership, and related Associate Membership inThe Association. The termination of Membership in The Association shall not relieve or release anysuch former Owner, Member, Voting or Associate Member, from any liabilities or obligationsincurred under or in any way connected to The Association during the period under such Ownershipor Membership, or impair any rights and remedies which The Association may have against suchformer Owner or Member or related Associate Member arising out of or in any way connected withsuch Membership and the privileges and obligations incident thereto.ARTICLE VMeetingsSection 1. The Association Regular Meeting. There shall be three regular meetings each year ofThe Association.· The meetings shall be held as follows:a: The first regular meeting, known as the Annual Meeting, shall be held on a Saturday or Sundayin May, the actual date of the meeting to be designated by the Board of Directors. This meeting shallbe for the primary purpose of conducting elections.b: The second regular meeting of the Association shall be held on a Saturday or Sunday inAugust. the actual meeting date to be designated by the Board of Directors. This meeting is limitedto business cOncerning the presentation of a budget by the Board and the President shall also givean annual·"State of the Community" address at this meeting wherein he or she shall report to theMembership on the financial status of the community as well as other areas of importance to theMembership.c: The final regular meeting of The Association shall be held on a Saturday or Sunday in October,the actual date to be designated by the Board of Directors. This meeting is for the purpose of votingon the adoption of a budget by the Membership.d: The regular meetings of The Association shall be held at the <strong>property</strong> with which TheAssociation is identified in Article I, Section 3 of these Bylaws.e: Notice of time and place of each regular meeting shall be mailed to each voting member ingood standing at such a time as to be postmarked at least 30 days in advance of the scheduledmeeting date.Where the language of this Section conflicts with the language of any other Section of these Bylaws,this Section shall control. **Underlined passages indicate Bylaw amendments approved by vote of Membership on July 20,1996.5


Section 2. The Association Special Meetings. A special-meeting of The Association may be calledby the President of The Association at any time he may deem necessary, or in response to a writtenrequest signed by at least twenty-five Voting Members in good standing. A special meeting inresponse to such written request shall be held within 60 days from the receipt of the request. Thespecial meeting shall be held at the <strong>property</strong> referred to in Section 1 of this article. Notice of eachspecial meeting of The Association, stating the purpose( s) of the special meeting, shall be mailed toeach voting member in good standing at such time as to be postmarked at least 10 Post Officebusiness days in advance of the scheduled meeting date.Section 3. Quorum for The Association Meetings. Not less than twenty-five Voting Members ingood standing for any regular or special meeting of The Association shall be considered a quorum.Section 4. Board of Direct on Regular Meetings. The Board of Directors of The Association shallmeet on the third Saturday of each month, open to the Membership, unless the Board of Directorsare informed otherwise, by mail or telephone, by the President or by the President's authorizedcommunicant The regular monthly meetings of the Board of Directors shall be held at the <strong>property</strong>referred to in Section I of this Article. The time of the meetings Will be determined by the Boardof Directors and posted on the bulletin board of The Association. This is the only voting meetingof the Board of Directors other than any regular or special properly convened meeting of the Boardof Directors.Section 5. Board ofDiredors Special Meetings. A special meeting of the Board of Directors ofThe Association may be called by the President whenever he shall deem necessary, ·or in responseto a written request signed by at least three members of the Board of Directors. A special meetingin response to such written request shall be held within 30 days from the receipt of the request. Theplace of each special meeting of such Board shall be determined by agreement of the Board ofDirectors.' .. Section 6. Executive Committee Meetings. Executive Committee meetings are held for allmembers of the Board of Directors only for reviewing and updating information pertaining to TheAssociation.Section 7. Quorum of Board of Direct on. To convene any regular or special meeting of the Board. of Directors for the transaction of business, a simple majority (4) of the.{7) members of the Boardof Directors shall constitute a quorum,Section 8. Parliamentary Procedure. ARTICLE VIOfficers/Section 1. Titles. The titles of the Officers of The Associationshall be the following:a. Presidentb. Vice Presidentc. BusinesslRecording Secretaryd. TreasurerSection 2. Bonding. Fidelity bonding may be required of such Officers as the Board of Directorsshall deem necessary, for such amounts as the Board of Directors may deem requisite. Requiredfidelity bonding shall be at the expense of The Association.Section 3. Indemnification and Hold Harmless. The Association shall indemnify and holdharmless the Board of Directors of The Association, their heirs, executors and administrators, against.loss, cost and expense which they may reasonably incur in connection with any action, suit orproceeding to which they may be made parties by reason of their being or having been Board ofDirectors of The Association, except as to matters wherein they shall be .finally adjudged in suchaction, suit, or proceeding, to be liable for or guilty of gross negligence or willful misconduct. Theforegoing rights shall be in addition to and not exclusive of all other rights to which such Board ofDirectors of The Association may be entitled.ARTICLE VIIDuties of OfficersSection 1. President. The President shall be the Chief Executive Officer of The Association.shall:Hea: have general and active management of the business of The Association between meetings andunder the direction of The Association and the Board of Directors, and in keeping with the obligationshall have the powers, duties, and management responsibility usually vested in the office of thePresident of a corporation;b: preside at all business meetings of The Association and of the Board of Directors;c: have general supervision and direction of all other Officers of The Association and see thattheir duties are properly performed;d: see that all orders and resolutions of the Board of Directors are carried out;7


e: report from time to time to the Board of Directors all matters within his knowledge that mayaffect The Association;f: execute all bonds, mortgages and contracts of The Association as approved by the Board ofDirectors;g: be responsible for the preparation of an annual report of the operations of The Association tobe submitted to the Board of Directors and to The Association at the Annual Meeting;h: appoint all committees, both standing and temporary, as set forth in Article XII of theseBylaws.i: be ex-officio a member of all standing and temporary committees.The President may designate any of his duties as he may from time to time feel necessary to the VicePresident so as to effectively utilize his time and talents.Section 2. Vice President. The Vice President shall, in the absence of the President or during anytime the President may be unable to perform his duties, perform all the duties that appertain to the .Office of President. To assist the President, the Vice President shall discharge such duties as thePresident may from time to time delegate to him.Section 3. BusinesslRecording Secretary. The BusinessIRecordingSecretary shall:a: be responsible for mailing notices of all meetings of the Board of Directors to Members of theCommittee and attend all meetings as its clerk;b: be responsible for mailing notices of all meetings of The Association to all Members of TheAssociation;c: be the custodian of and Officer responsible for The Association's Corporate Seal;d: perform such other duties as are normally associated with the Office of the Business Secretaryand as may be prescribed by the Executive Committee or by the President of The Association;e: record all votes and minutes of all proceedings in a book to be kept for that purpose;f: be the custodian of all of the books and records of The Association, except for the financialrecords which shall be in the custody of the Treasurer and any books and records of which custodymay be otherwise directed.8


lSection 6. Treasurer.The Treasurer shall:a: have charge, under the direction of the Board of Directors, of the funds of The Association anddeposit same in the name of The Association in depositories and accounts designated by the Boardof Directors;b: be the custodian of all the fmancial records of The Association;c: be responsible for billing for membership fees or dues, and for any assessments approved byThe Association (see Section 4 of Article IV);d: issue to each Voting Member upon payment of fees or dues a card of membership' in TheAssociation for the current year;e: make a complete and accurate report of the finances of The Association at each AnnualMeeting of The Association, and at any other time, upon request, to the Board of Directors; .f: perform such other duties as are normally associated with the Office of Treasurer.Section 7. Additional Duties and Powers of the Officers. In between meetings of the Board ofDirectors the President of The Association is empowered to make any and all decisions relating toan emergency. These actions are binding on The Association and are to be disclosed at the nextregular scheduled Board of Directors meeting. The declaration of an Emergency can only be madeby the President of The Association.ARTICLEVllIBoard of DirectorsSection 1. Members Forming. The Board of Directors of The Association shall consist of sevenmembers effective with the Annual Membership Meeting of May 19, 1990, as follows:Voting Members of the Board of Directors:a: the four Officers of The Association;b: three other Voting Members of The Association, to be chosen by the election for terms as givenin Section 3 of Article X of these Bylaws ..Non-Voting Members of the Board of Directors:c: Immediate Past President for a term of one year.

In order to cany out the management duties encompassed in Section1 of this Article, the Board of Directors has expressly conferred on it the following specific powersin addition to the general powers it holds by virtue of the offices held by the powers and authorityexpressly given by law, and by terms of the Articles of Incorporation of The Association.a: to purchase or otherwise acquire for The Association any <strong>property</strong>, right, or privilege whichit is authorized to acquire, at such price or consideration, and upon such terms as the Board ofDirectors deems expedient, except that in no event shall the Board of Directors expend more fundsthan are currently available, nor incur any indebtedness, without first having obtained the expressconsent of The Association at a regular or special meeting;b: to appoint, to remove, or to suspend subordinate agents or servants, and to determine theirduties and affix their salaries as approved in the Budget of The Association;c: to comer, by resolution, upon any Officer or Agent of The Association the power of suspendingor permanently removing any subordinate Officer or servant;d: to determine who shall be authorized, on behalf of The Association, to sign bills, notices,receipts, acceptances, endorsements, checks, releases, contracts, and any other instruments, providedthat the signatures of at least two Officers of The Association shall be required for checks andcontracts;e: to designate the depositories and accounts in which the Treasurer shall place the funds of TheAssociation;f: to require the fidelity bonding of such Officers and Agents of The Association as the Board ofDirectors shall deem necessary, for whatever amounts the Board of Directors may deem fit to grantat the expense of The Association;g: to grant exceptions, special permission, and variances from the building use and lotmeasurement requirements that are contained in the Original Deed, under the same conditions andcircumstances that a Court of competent jurisdiction of the Commonwealth of Pennsylvania couldgrant such relief. Such proposed variances shall be posted and mailed to all Owners 60 days priorto any such consideration.11


Section 3. Limitations. Notwithstanding any other provision contained in these Bylaws:a: Where the amount of any non-emergency expenditure exceeds $10,000.00, the Board shallattempt to acquire three (3) sealed bids for such project or purchase from the providers thereof.These bids shall be publicly opened at a regularly scheduled Board Meeting.b: A non-emergency capital expenditure. not budgeted during a budget year, shall not exceed FourThousand Dollars ($4,000.00) per expenditure, nor more than Eight Thousand Dollars ($8,000.00)in the aggregate per budget year. **Underlined passages indicate Bylaw amendments approved by vote of Membership on July 20,1996.ARTICLE XNominations, Elections and Terms of OfficeSection 1. Elections. Elections shall be held yearly, at the Annual Meeting of The Association, toselect the Officers of The Association, who shall also serve as Members of the Board of Directors,and to select one or more of the other three elected Members of the Board of Directors as stipulatedin Section 2 of this Article.Section 2. Terms of Officers and Board of Director Members. All Officers and Board of DirectorMembers terms of office shall be two years. The terms of office shall be two years in a scatteredformat. All even ending years the Office of President and two Board Members terms will expire.All odd ending years the Offices of Vice President, Treasurer, Business/Recording Secretary, andone Board Member term of Office will expire.Section 3. Duration of Reelection. Any Board Member or Officer is limited to serve in anyoneposition for not more than two consecutive terms. This does not preclude any Board Member fromserving in another position on the Board of Directors. No one position can be filled for more thantwo consecutive terms.Section 4. Nominations. The Nominating Committee shall develop a slate of nominees for thevarious elective positions defined in these Bylaws, and shall submit such slate of nominees to thePresident of the Board of Directors at least 30 days before the Annual Meeting of The Association.Nominations may also be made from the floor at the time of the elections by any Voting Memberin good standing, provided that each person so nominated is a Voting Member in good standing and- is present at the time of the nomination from the floor or has in advance of such nomination provided, a written statement of willingness to serve in the Office for which nominated.12


Section 5. Election by Majority Vote. A simple majority vote of the Voting Members in goodstanding present and voting shall be required to elect any Officer of The Association or any otherelected Member ofthe Board of Directors. Election balloting shall be by show of hands unless anyMember specifically requests secret written balloting. this Section is subject to the quorumrequirements contained in Section 3 of Article V.Section 6. Conflict of Interest. At The Association Meetings. Standing Committees. The Association shall have three (3) standing committees: 1) aNominating Committee, 2) an Audit Committee, and 3) a Budget Committee. Each of the three (3)committees shall have no less than three (3) nor more than five (5) members, appointed by thePresident at some time following the Annual Meeting of The Association but not later than the nextregular meeting. Persons appointed to these Committees shall serve on them until immediately afterthe next Annual Meeting. The duties of the Nominating Committee are set forth in Article X ofthese Bylaws. The Audit Committee shall function as directed by the President of The Associationbut shall be primarily responsible for providing an Audit Report of the Treasurer's records at theAnnual Meeting of The Association. The Budget Committee shall function as directed by thePresident of The Association, but shall be primarily responsible for providing a Budget at least thirty(30) days prior to the second Association Regular Meeting. Section 2. Temporary Committees. The President of The Association may from time to timeappoint such temporary committees as are deemed necessary. All temporary committees shallfunction as directed by the President of The Association.Section 3. Committee Organization. The members of any standing or temporary committee shallbe responsible for selecting from their own membership a committee chairman and a secretary, andany other committee official(s) deemed necessary.ARTICLE XIIIAmendmentsSection 1. Procedure. Any amendment to these Bylaws must be proposed by resolution of the Boardof Directors, or in writing by a group of at least twenty-five Voting Members in good standing ofThe Association. A copy of the proposed amendment shall be mailed by the Recording Secretaryto each Voting Member in good standing at such time as to be postmarked at least 30 days beforethe scheduled date of a regular or special meeting at which a motion for adoption of the amendmentis to be considered. .Section 2. Notrailer, tent, barn, outbuilding, shack or other temporary building shall be erected on the Lot andno basement or garage shall, at any time, be used as a residence either temporarily orpermanently and no house shall be occupied prior to completion except with the prior consent ofthe Seller.


3. No building or structure shall be erected upon the premises hereby conveyed without firstobtaining the approval, in writing, of the Seller as to location, elevation, plan and design, on aform supplied by the Seller to the Buyer. Fee for review and approval of the same by the Seller,shall be $10.00. No building shall be erected on the Lot other than one private detacheddwelling house, such dwelling house to be suitable for the use of, and to be used by, a singlefamily only, minimum square footage of the house of 800 square feet, with one private garageattached to or detached from the dwelling house and suitable only for the use of the occupants ofsuch dwelling house.4. No Purchaser shall clear his lot of brush, trees, or anything else of an inflammable natureexcept after first having obtained the approval of the Seller in writing. Such approval to specifythe time and manner in which such clearing shall be made. No fires are to be started in thestreets at anytime. All lots are sold AS IS, and all expense for clearance and removal of debris,including stumpage, from the premises shall be for the account and risk of the Purchaser.5. The Purchaser may not install or continue to use on the lot a subsurface septic tank systemor holding tank system for disposal of sewage if there is "available" a central sanitary sewersystem with on-site treatment facilities that Purchaser's lot can be connected to for disposal ofsewage. The Seller and only the Seller or entity designated by Seller shall have the soleconclusive and absolute right and power to make the determination whether a central sanitarysewer system is "available" for connection to Purchaser's lot. If a determination is made that acentral sanitary sewer system is "available" for connection to Purchaser's Lot, then thePurchaser must pay to Seller or an entity designated by Seller, the proportionate cost ofconnecting Purchaser's Lot to the said central sanitary sewer system, which cost is hereinaftercalled "connection charge". The "connection charge" shall include all costs of connecting andrunning from a main sewage line provided by Seller to the dwelling of the Purchaser. Saidconnection to be made by the Seller or his designee at a charge reflecting the cost, plus areasonable profit therefore. Buyer agrees to pay an annual fee for said sewage service of $4.00per month, when available; $5.00 per month when utilized by the buyer or any other fee asdetermined by the Public Utilities Commission. Buyer agrees to pay an annual fee for said waterservice of $2.00 per month, when available; $4.00 per month when utilized by the buyer or anyother fee as determined by the Public Utilities Commission.6. The finished grade of the lot after construction shall be such as to conform with the drainageplan prepared by the Seller, and all drainage swales or ditches required by the aforesaid drainageplan shall be kept free and clear of spoil, debris or other material and any landscaping carried outby the Purchaser shall not interfere with or alter in any way the drainage plan.7. The portion of the lands of the Seller laid down on the map as streets are not dedicated topublic use and title thereto shall remain in the Seller subject to the right to convey to ThornhurstCountry Club Estates Property Owners Association with reservations and subject to the right to

The Purchaser agrees to join the Thornhurst Country Club Estates Property OwnersAsociation, the only qualification for election to Membership being <strong>owners</strong>hip or prospective.'wnership of a Lot or Lots or acreage within the development, and to maintain such membershipand pay (i) such annual fees or dues as the Association may by its bylaws prescribe, (ii) suchassessments as the Association may charge for the repair and maintenance of the streets androads and (iii) such assessments as the Association may charge for control, maintenance andadminisration of beach and other recreational facilities. It being understood that the Seller, beinga member of the Association by virtue of the lands owned by the Seller, will not be liable forsuch annual fees or dues, assessments, and charges. Purchaser hereby agrees to require, as acondition precedent to the sale of Lots, that any purchaser shall join the Thornhurst Country ClubEstates Property Owners Association.10. The Purchaser shall cut dead and/or fallen trees or branches on the Lot and cause theremoval of same when it constitutes a fire hazard. The Purchaser shall maintain the Lot in neatcondition, and, if after July 1st in any year, the Lot, in the opinion of the Seller or its agent, isuntidy or unsightly, Seller may, after 30 days written notice to Purchaser, clear or tidy the Lot andcharge reasonable costs of such work to the Purchaser.11. No building shall be erected closer to the side line of the Lot than the greater of (i) 15 feetor (ii) 10% of the Lot width measured at a point 35 feet from the front line of the Lot; nor shallany building be erected closer than 50 feet from the front Lot line, provided that in the case of acomer lot, no building shall be closer than 15 feet to the street abutting the long side of such Lot;nor shall any building be erected closer than 25' feet from the rear Lot line. No trees within 20feet of rear of each Lot can be cut down without the Seller's permission other than dead orunsightly trees, in order to maintain a green area. Also no tree over 6" in diameter can be cutwithout permission.12. The Seller may designate the Thornhurst Country Club Estates Property OwnersAssociation as agents of the Seller for the purposes of carrying out all or part of the authorityvested in the Seller by these restrictions.


13. That at any time in the future the Seller, its successors or assigns, shall have the right topurchase said premises if the Purchaser desires to sell the same. If, at any time, the Purchasers,their heirs, executors or administrators receive a bonafide offer for the premises and thePurchasers, their heirs, executors or administrators decide to accept such offer, they shall firstgive written notice to the Seller and Seller shall have the right within thirty (30) days from thereceipt of such written notice to purchase said premises at the price offered to Purchaser by suchother party. The terms, provisions and powers of under this agreement shall be binding on andexercisable by the respective heirs, executors, administrators, successors and assigns of the Sellerand the Purchaser, except that the Purchaser may not assign this agreement without the writtenconsent of the Seller. -14. Easements.A. Reservations. The following easements and the right of ingress and egress to the extentreasonably necessary to exercise such easements are reserved to Declarant:1. Utilities: A 10-foot wide strip on each Lot along the line of such Lotabutting a street and a 5-foot strip on each Lot along the side and rearlines of such Lot for the installation, maintenance and operation ofutilities including TV antenna cables and the accessory right to locateguy wires, braces or anchors. This includes clearingany dead wood or timber that could ignite or provide fuel for fire. Eliminating dead standingtimber should be considered.2. Maintain trees and bushes in a fire safe manner. NO PARKING ON ROADWAYS OR EASEMENTSArticle II, Section d of the Rules and Regulations specifically states:“Parking on community roads or EASEMENTS is strictly prohibited from November 1st through April30th. Overnight parking on community roads or easements is prohibited from May 1st through October31st.”(1st offense $100, 2nd offense $200, 3rd offense: vehicle towed at <strong>owners</strong> expense)TCCE will not be held responsible for any damage done to vehicles that are in violation of this rule. Please beaware, however, that <strong>property</strong> <strong>owners</strong> who violate this rule will be held responsible for any damage done toTcce's or outside contractor’s equipment due the violation of this rule.Please note that this includes the easements. Many people park at the top of their driveway, however, the <strong>association</strong>has a 10 foot easement along the front of the <strong>property</strong> and cars are not to be parked in that easement.THIS WILL BE STRICTLY ENFORECED AS PARKING ON THE ROADWAYS CREATES A MAJOR HAZARDSNOW REMOVAL PROCE-DURESEvery year we go through thesame thing when it comes tosnow removal. When are thetrucks sent out? When do wecall for backup? Why aren't’ there salt and cinderson the roads yet? I just shoveled my drivewayand the plows put more snow in my driveway.When it snows, we follow a procedure for plowing,calling in backup and cindering. Our trucksstart plowing when there is an accumulation of 2”of snow and they continue to plow until the snowstops, making sure the main roads are openedfirst and then working on the side streets. Ifthere is a call for a large snowfall, like what happenedon October 28th, we call for backup. Wehave three employees on staff who can operateour equipment and we have two backup contractorsthat we call in when needed. As was thecase in the recent snowfall, we had two of ourtrucks out during the daytime and then we hadone of our trucks out at night along with bothbackup contractors to get the roads and the sidestreets opened.AFTER the snow has stopped, cinders and salt willbe put down. Salt cannot be put on the dirt roadsas it will turn them to mud, therefore, the dirtroads are cindered and the paved roads aresalted.As for the plowing over thedriveways, please understandthat this happens wherever youhave snow removal as the roadwayshave to be widened. Theplow trucks cannot turn theplow every time they gopast a driveway.Calling the office and yellingat the office staff, oryelling at any of the maintenancestaff over snow removalmay result in a violationof Article VI, Section Iof the Rules and Regulations.One final note on snow removal.Our maintenance staffcannot open <strong>property</strong> <strong>owners</strong>driveways. There are severalcontractors listed in this issuewho do snow removal. Theonly exception to this will befor those needing medical care.Please call the office and we willput you on the list to have thebottoms, or tops of your drivewaysopened up.
