his/her Independent Marketing Executive Agreement, such former Marketing<br />
Executive shall have no right, title, claim or interest <strong>to</strong> the Marketing Organisation.<br />
The former Marketing Executive shall have no claim for compensation for the<br />
Marketing Organisation or for bonuses or commissions stemming from sales<br />
generated within or by the Marketing Organisation or for car bonus amounts held<br />
in escrow by Melaleuca. Following voluntary or involuntary termination of his/<br />
her Independent Marketing Executive Agreement, the former Marketing Executive<br />
shall not hold himself/herself out as a Melaleuca Marketing Executive and shall<br />
not have the right <strong>to</strong> sell Melaleuca products or services.<br />
42. Amendments <strong>to</strong> Compensation Plan, Statement of Policies,<br />
and/ or Independent Marketing Executive Agreement<br />
Upon notification <strong>to</strong> Marketing Executives, Melaleuca may, at its sole discretion,<br />
amend the Compensation Plan, Statement of Policies, Definitions of Terms<br />
and/ or the terms of the Independent Marketing Executive Agreement and any<br />
other agreements <strong>enter</strong>ed in<strong>to</strong> by and between Melaleuca and the Marketing<br />
Executives. By signing the Independent Marketing Executive Agreement,<br />
Marketing Executives agree <strong>to</strong> abide by any such amendments. The continuation<br />
of an Independent Melaleuca <strong>Business</strong> or a Marketing Executive’s acceptance of<br />
commissions and/or bonuses from Melaleuca constitutes his/her acceptance of<br />
any such amendments. Marketing Executives will be bound by the most current<br />
versions of the Compensation Plan, the Statement of Policies, the Definitions<br />
of Terms, the Independent Marketing Executive Agreement and any other<br />
agreements <strong>enter</strong>ed in<strong>to</strong> by and between Melaleuca and the Marketing Executives<br />
43. Dispute Resolution<br />
All disputes, differences or claims of any nature between current or Preferred or<br />
Direct Cus<strong>to</strong>mers and Melaleuca (or its officers or employees) (“Parties”) arising out<br />
of or in connection with or related in any way <strong>to</strong> this contract (“Dispute”) shall be<br />
referred <strong>to</strong> either mediation or arbitration. Any mediation shall be held in Sydney,<br />
Australia before one media<strong>to</strong>r agreed upon by the Parties. If a media<strong>to</strong>r is not agreed<br />
upon by the parties within fourteen (14) days of either Party giving written notice<br />
<strong>to</strong> the other Party, either party may approach the President of the Law Society of<br />
NSW for the time being <strong>to</strong> appoint a media<strong>to</strong>r. Any such approach shall be binding<br />
on the Parties. If a Dispute has not been settled by mediation within sixty (60) days<br />
of the appointment of the media<strong>to</strong>r, the Dispute shall be referred <strong>to</strong> arbitration<br />
before a single arbitra<strong>to</strong>r <strong>to</strong> be held in Sydney, Australia pursuant <strong>to</strong> the Commercial<br />
Arbitration Act 1984 (NSW). A Dispute may be referred <strong>to</strong> arbitration by a party at<br />
any time (whether before or after the appointment of a media<strong>to</strong>r) and shall be before<br />
a single arbitra<strong>to</strong>r <strong>to</strong> be held in Sydney, Australia pursuant <strong>to</strong> the provisions of the<br />
Commercial Arbitration Act 1984 (NSW). If the Parties fail <strong>to</strong> appoint the arbitra<strong>to</strong>r<br />
within seven (7) days of one party giving written notice <strong>to</strong> the other Party(s) of the<br />
referral of the Dispute <strong>to</strong> arbitration, the Parties agree that the Australian Commercial<br />
Disputes Centre, Sydney (or its successor) shall appoint an arbitra<strong>to</strong>r. The arbitra<strong>to</strong>r<br />
shall not have mediated any part of the Dispute. Any documentary or other evidence<br />
given by the Parties or a witness in the arbitration shall be treated as confidential. This<br />
contract and any Dispute referred <strong>to</strong> mediation and/or arbitration shall be governed<br />
by the substantive law of the State of New South Wales, Australia. Despite anything<br />
in this clause 43, either party shall be entitled <strong>to</strong> seek urgent interlocu<strong>to</strong>ry relief in<br />
respect of any dispute from any court having jurisdiction.<br />
44. Privacy Statement<br />
As an Independent Marketing Executive of Melaleuca, the Independent<br />
Marketing Executive acknowledges that it is necessary for Melaleuca <strong>to</strong> collect<br />
certain personal information from its Independent Marketing Executives. In<br />
addition <strong>to</strong> the personal information provided by the Marketing Executive in<br />
connection with the application <strong>to</strong> become a Cus<strong>to</strong>mer and an Independent<br />
Marketing Executive, the Independent Marketing Executive acknowledges that<br />
personal information will be collected by Melaleuca, including, information<br />
generated as a result of their work as an Independent Marketing Executive,<br />
such as Group and PEG Volume, sales figures and other performance details,<br />
pho<strong>to</strong>graphs, advancement information, Active and Executive status, or other<br />
business related information (collectively referred <strong>to</strong> as “Personal Information”).<br />
By becoming an Independent Marketing Executive, the Independent<br />
Marketing Executive consents <strong>to</strong> the collection of the Personal Information and<br />
agrees that the Personal Information may be shared with other Independent<br />
Marketing Executives and consents <strong>to</strong> the inclusion of such personal information in<br />
Melaleuca’s <strong>Business</strong> Reports, publications or presented at meetings or conventions.<br />
Melaleuca Definitions of terMs<br />
The following terms will have the meanings set forth herein when used in<br />
Melaleuca’s Statement of Policies, Compensation Plan and/or Independent<br />
Marketing Executive Agreement and other official Melaleuca material.<br />
Active Cus<strong>to</strong>mer: Any Cus<strong>to</strong>mer who purchases at least 35 Product Points<br />
each month.<br />
Active Marketing Executive: A Marketing Executive who personally<br />
produces the number of Product Points each month that are required <strong>to</strong> qualify at<br />
his/her Active Status level pursuant <strong>to</strong> the Compensation Plan.<br />
Active Status: The development position or leadership status of a Marketing<br />
Executive as of the most recent month end, or business reporting period.<br />
Annual Income Statistics: A summary of income statistics published by<br />
Melaleuca setting forth information regarding average, high and low income<br />
received by Marketing Executives on an annual basis.<br />
Assist: A Marketing Executive who helps another Marketing Executive <strong>to</strong><br />
present the Melaleuca program is designated as the “Assist” on the Independent<br />
Marketing Executive Agreement form. The Marketing Executive designated as the<br />
“Assist” receives the Value Pack and Career Pack commission on the first Value<br />
Pack or Career Pack ordered by the new Cus<strong>to</strong>mer or Marketing Executive.<br />
Backup Order: A preselected package of Melaleuca products which<br />
are au<strong>to</strong>matically shipped <strong>to</strong> Preferred Cus<strong>to</strong>mers if they fail <strong>to</strong> order the<br />
minimum monthly Product Points agreed upon in their Cus<strong>to</strong>mer Membership<br />
Agreement. Those who select the Preferred Cus<strong>to</strong>mer option in the Cus<strong>to</strong>mer<br />
Agreement pre-authorise Melaleuca <strong>to</strong> send a Backup Order and <strong>to</strong> make an<br />
au<strong>to</strong>matic withdrawal from their bank account, or a charge <strong>to</strong> their credit card<br />
<strong>to</strong> pay for each Backup Order.<br />
<strong>Business</strong> Reports: Reports produced by Melaleuca and provided <strong>to</strong> Marketing<br />
Executives which contain information relating <strong>to</strong> the activity of the Marketing<br />
Executive’s Marketing Organisation. The <strong>Business</strong> Reports contain trade secret<br />
information that is proprietary <strong>to</strong> Melaleuca.<br />
<strong>Business</strong> Kit (Membership Kit): The Melaleuca product and business<br />
opportunity information portfolio purchased by a new Marketing Executive<br />
pursuant <strong>to</strong> the terms of the Independent Marketing Executive Agreement which<br />
includes product and marketing information and other Official Melaleuca Material.<br />
Corporate Entity Application and Agreement: The addendum <strong>to</strong> the<br />
Independent Marketing Executive Agreement which must be completed by<br />
corporate entities which are applying <strong>to</strong> become Marketing Executives.<br />
Cus<strong>to</strong>mer: A person who has an Enroller, has completed, executed and delivered<br />
<strong>to</strong> Melaleuca a Cus<strong>to</strong>mer Agreement and has paid <strong>to</strong> Melaleuca the appropriate<br />
enrolment fee. Cus<strong>to</strong>mers are either Direct Cus<strong>to</strong>mers or Preferred Cus<strong>to</strong>mers.<br />
Cus<strong>to</strong>mer Membership Agreement: The agreement which must be<br />
completed, signed, received and accepted by Melaleuca before a person may<br />
become a Cus<strong>to</strong>mer.<br />
Cus<strong>to</strong>mer Number: A unique number assigned by Melaleuca <strong>to</strong> each<br />
Cus<strong>to</strong>mer <strong>to</strong> facilitate internal record keeping by Melaleuca with respect<br />
<strong>to</strong> the Cus<strong>to</strong>mer.<br />
Direct Cus<strong>to</strong>mer: A Cus<strong>to</strong>mer who is authorised <strong>to</strong> purchase product<br />
from Melaleuca at Direct Cus<strong>to</strong>mer prices pursuant <strong>to</strong> a Cus<strong>to</strong>mer<br />
Membership Agreement.<br />
Direct Debit: A payment method by which a Cus<strong>to</strong>mer authorise Melaleuca <strong>to</strong><br />
deduct payment for orders directly from his/her bank account.<br />
End Consumer: A person who purchases Melaleuca products for the purpose<br />
of consuming them rather than for resale <strong>to</strong> someone else.<br />
Enrol: To enlist, sponsor or sign up an individual or entity in<strong>to</strong> a program or<br />
organisation.<br />
Enrollee: A Cus<strong>to</strong>mer or Marketing Executive.<br />
Enroller: The Marketing Executive who is listed on the Cus<strong>to</strong>mer Membership<br />
Agreement as the enroller. The Enroller must be the person who introduced<br />
the new Cus<strong>to</strong>mer <strong>to</strong> Melaleuca and helped him/her become a Cus<strong>to</strong>mer or<br />
