3.1.3Corporate governance of listed companies<strong>Investment</strong> <strong>in</strong> <strong>Italy</strong>Listed companies are subject to supervision by Consob, the public authority responsible forregulat<strong>in</strong>g the Italian securities market <strong>in</strong> order to protect <strong>in</strong>vestors and guarantee transparency.The f<strong>in</strong>ancial statements of listed companies must be audited by an <strong>in</strong>dependent audit<strong>in</strong>gcompany, registered with the M<strong>in</strong>istry of Justice and meet<strong>in</strong>g the technical standardsrequired by law.Directors must <strong>in</strong>clude executive and <strong>in</strong>dependent non-executive members and havespecific duties, the most important of which are to:• provide accurate and fair <strong>in</strong>formation to the public• draft the company’s offer<strong>in</strong>g prospectus when required by law• provide disclosure <strong>in</strong> the event of extraord<strong>in</strong>ary corporate transactions• disclose price-sensitive <strong>in</strong>formation pursuant to the law• draft the <strong>in</strong>formation documents and comply with all other formalities <strong>in</strong>volved <strong>in</strong> publicoffer<strong>in</strong>gs of shares, takeover bids and public exchange offers• disclose any <strong>in</strong>formation regard<strong>in</strong>g transactions carried out by the managers and otherparties hav<strong>in</strong>g access to price-sensitive <strong>in</strong>formation.Consob checks this <strong>in</strong>formation and may <strong>in</strong>spect the companies and ask for clarifications andfurther <strong>in</strong>formation from their management. Consob can also issue penalties to companiesthat do not provide the public with adequate <strong>in</strong>formation.3.1.4BranchesIn accordance with article 2508 of the Italian Civil Code, foreign companies have the right toestablish one or more branches <strong>in</strong> <strong>Italy</strong>.A branch is an extension of the foreign entity and depends - both adm<strong>in</strong>istratively andeconomically - on its headquarters. It uses the same name and legal form as the foreigncompany: it does not have its own <strong>in</strong>ternal govern<strong>in</strong>g body but is managed directly by thegovern<strong>in</strong>g body of the foreign company, which appo<strong>in</strong>ts one or more permanent legalrepresentatives (preposto/i), entrusted with the powers to manage and represent the branchbefore third parties.It does not have its own capital and is not required to draw up annual f<strong>in</strong>ancial statements: acopy of the f<strong>in</strong>ancial statements of the headquarters must be filed at the Trade Register (<strong>in</strong>the orig<strong>in</strong>al language, accompanied by a sworn Italian translation).An annual report is required only <strong>in</strong> order to prepare the Italian <strong>in</strong>come tax return.
