Auditor´s Opinion<br />

To the shareholders of <strong>CETELEM</strong> <strong>ČR</strong>, a.s.,<br />

B<strong>as</strong>ed on the our audit work performed, on 31 March 2007, we have issued our Auditor's <strong>Report</strong> on the Financial Statements for the year ending<br />

31 December 2006, wchich forms part of this Annual <strong>Report</strong>, and our <strong>Report</strong> w<strong>as</strong> <strong>as</strong> follows:<br />

„We have audited the accompanying financial statements of <strong>CETELEM</strong> <strong>ČR</strong>, a.s., which comprises the balance sheet <strong>as</strong> at December 31, 2006, the<br />

income statement for the year then ended, c<strong>as</strong>h flow statement and a summary of significant accounting policies and other explanatory notes.<br />

Management is responsible for the preparation and fair presentation of these financial statements in accordance with accounting standards of<br />

the Czech Republic. This responsibility includes: designing, implementing and maintaining internal control relevant to the preparation and fair<br />

presentation of financial statements that are free from material misstatement, whether due to fraud or error, selecting and applying appropriate<br />

accounting policies, and making accounting estimates that are re<strong>as</strong>onable in the circumstances.<br />

Our responsibility is to express an opinion on these financial statements b<strong>as</strong>ed on our audit. We conducted our audit in accordance with Act on<br />

Auditors and International Standards on Auditing and related application amendments of Chamber of Auditors of Czech Republic. Those standards<br />

require that we comply with ethical requirements and plan and perform the audit to obtain re<strong>as</strong>onable <strong>as</strong>surance whether the financial statements<br />

are free from material misstatement.<br />

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures<br />

selected depend on the auditor’s judgment, including the <strong>as</strong>sessment of the risk of material misstatement of the financial statements, whether due<br />

to fraud or error. In making those risk <strong>as</strong>sessments, the auditor considers internal control relevant to the entity’s preparation and fair presentation<br />

of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an<br />

opinion on the effectiveness of the entity’s internal control. An audit also includes evaluating the appropriateness of accounting policies used and<br />

the re<strong>as</strong>onableness of accounting estimates made by management, <strong>as</strong> well <strong>as</strong> evaluating the overall presentation of the financial statements.<br />

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a b<strong>as</strong>is for our audit opinion.<br />

In our opinion, the financial statements give a true and fair view of the financial position of <strong>CETELEM</strong> <strong>ČR</strong>, a.s., <strong>as</strong> of December 31, 2006 and of<br />

its financial performance for the year ended in accordance with the accounting standards of the Czech Republic.“<br />

We reviewed the information contained in the Annual <strong>Report</strong> for the period ended <strong>as</strong> at 31 December 2006 and consider whether it is consistent<br />

with the audited financial statements. In our opinion, the information presented in the Annual <strong>Report</strong> is consistent with the audited financial statements<br />

from which they were produced. The statutory body of the company is responsible for ensuring that the Annual <strong>Report</strong> is complete and<br />

accurate.<br />

We have reviewed the information presented in the <strong>Report</strong> on related parties' transactions and did not identify any material misstatements. The<br />

statutory body of the company is responsible for ensuring that this <strong>Report</strong> is complete and accurate.<br />
