Faaliyet Raporu 2009 - YASED Uluslararası Yatırımcılar Derneği

YASED tarafından üstlenilmesi öngörülmüştür. 2009yılında öncelikli olarak YOİKK’e sunulacak bu çalışmanıntamamlanmasına çalışılmıştır. Çalışmanın tamamlanmasınınardından çalışmanın örnek şirketlerde uygulanmasınıntest edilmesi amaçlanmaktadır. İlgili çalışmanın YOİKKtarafından onaylanmasının ardından TTK taslakçalışmalarının kapsamında, ilgili maddenin uygulamatebliğlerinin hazırlıkları için referans olarak sunulması veilgili kamu ziyaretleri planlanmaktadır.YASED Kurumsal Yönetim Çalışma Grubu 2009 yılıiçerisinde tamamlanması planlanan “Borsa dışı şirketleriçin finansal olmayan raporlama standartları” raporunuüyelerinin katkıları ile tamamlayarak YOİKK komitesinesunmuştur.TTK, Alman Standartları (GAS 15), GRI standartları ve ABdirektifleri gibi kaynaklardan yola çıkarak hazırlanan veen iyi örnekler konusunda yönlendirmeler içeren bustandartlar, ayrıca içerik çalışmasıyla TTK tasarısı madde516’da öngörülen Yıllık Faaliyet Raporu için de bir önerive iyi uygulama ortaya koymaktadır. Dolayısıyla hazırlananfinansal olmayan raporlama standartlarının şirketlerinönümüzdeki dönemlerde yapmakla zorunlu olacaklarıraporlamalar için de örnek oluşturması amaçlanmaktadır.Otomotiv ve Yan Sanayi Çalışma GrubuÜyelerin talepleri doğrultusunda Mayıs 2009 tarihindenitibaren çalışmalarını sürdüren Çalışma Grubu, kısa birsürede, ÖTV indirimi gibi teşvik ve önlemlerin sağlanmasıve hurda piyasasının oluşumu yönünde altyapısınıoluşturacak gerekli mevzuat değişikliklerinin hayatageçerilmesinde aktif rol oynamıştır. Uygulanan vergiindirimleri ve teşviklerinin devamının sağlanmasıdoğrultusunda, Otomotiv Distribütörleri Derneği’nin(ODD) akademisyenlere hazırlattığı ve Temmuz ayındaaçıklanan “Otomotiv Ticaretinde Yol Haritası-Gelecek 10Yıl” adlı çalışmasının sonuçları - pazar büyüklüğü veekonomiye katkılarının rakam ve bulgularla desteklenmesiamacıyla - ilgili kurum ve kamuoyu ile paylaşmıştır.Serbest Bölgeler Çalışma GrubuÇalışma Grubu, 3218 sayılı Serbest Bölgeler Kanunu GenelTebliği kaynaklı uygulamada karşılaşılan sorunlarkapsamında, fazladan ödenen sigorta primleri, asgarigeçim indirimi, ve fason imalatçıların istisna karşısındakidurumu ile birlikte hizmet alımlarındaki farklı KDVuygulamalarına ilişkin detaylı görüşlerini Maliye Bakanlığıve Dış Ticaret Müsteşarlığı ile yazılı olarak paylaşmıştır.YASED to conclude the report with contributions fromthe related committee members. Accordingly, YASED’sCorporate Governance Working Group has given mostof its efforts in 2009 to finish this work and present it toCCIIE. After the completion of the report, The Groupplans to implement and test the work at samplecompanies. Once the report gets approval from CCIIE,the work will be presented - within the scope of theworks made on the Draft Turkish Commercial Code (TCC)- as a reference text for the implementation ofcommuniqués of the related article and visits are plannedto related public authorities on the subject matter.YASED’s Corporate Governance Working Group finishedthe report on the “Non-financial reporting standards forcompanies not listed on the stock exchange”, thanks tothe contributions of its members, and presented it toCCIIE’s Technical Committee within 2009 as scheduled.These reporting standards, prepared as based on TCC,German Standards (GAS 15), GRI Standards and the EUDirectives, which also contain references to the bestpractices available, constitute a sound proposal and setan example for the Annual Report provisions of Article516 of the Draft TCC as well. The subject non-financialreporting standards are therefore planned to constitutea model for the reporting process of the companies, whichwill be obligatory to comply, within the terms ahead.Automotive and Supplier Industry Working GroupThe Working Group in operation since May 2009, uponthe requests of YASED members, has played an activerole in a short period of time in providing the incentivesand measures such as the Special Consumption Tax cutand activating the legislative amendments necessary forestablishing the infrastructure for a scrap market. Theresults of the study - aimed at ensuring the continuationof the tax cuts and the incentives - titled the “Road Mapfor Automotive Trade - The Next 10 Years”, outsourcedby the Association of Automotive Distributors (ODD) toacademicians, which was unveiled in July, were sharedwith the related institutions and the public, so as tosupport the market volume and the contribution to theeconomy by statistical figures and findings.Free Zones Working GroupThe Working Group has shared its detailed views on theproblems arising from the implementation of the GeneralCommuniqué on the Free Zones Act No: 3218 with the Ministryof Finance and the Undersecretariat of Foreign Trade in writing.These problems consist of; the excess insurance premiums paid,minimum living allowance, and the situation of contractedmanufacturers with regards to tax exceptions and the dissimilarVAT rates implemented for service procurements.17
