Hukuk GrubuHaziran 2008’de kurulan ve üyelerimizin hukukmüşavirlerinden oluşan Grubun amacı gündeme alınankonuları daha geniş bir perspektifte tartışma fırsatı bulmakve YASED’in bu konulardaki görüşünün oluşmasına katkıdabulunmaktır.2009 yılında Hukuk Grubu’nun ana gündem maddesiniyabancı sermayeli şirketlerin taşınmaz ve ayni hakedinimine ilişkin 2008 yılında getirilen mevzuatdeğişiklikleri sonrası yaşanan sorunlar olmuştur.2009 yılında Hukuk Grubu bünyesinden bir koordinasyonve yönlendirme fonksiyonunu üstlenecek bir çekirdekgrup da oluşturulmuş ve bu grup YASED’in öncelikleriarasında yer alan hukuk güvenliği pozisyon belgesiüzerinde çalışmıştır.İstihdam ve Eğitim Çalışma GrubuYASED üyelerini yakından ilgilendiren yabancılara çalışmaizni verilmesi konusunda Çalışma Bakanlığı tarafındanbaşlatılan süreç iyileştirme çalışmalarına aktif olarak dahilolunmuş ve konunun en önemli taraflarından biri olarakiyileştirme konusunda öneriler ve istekler iletilerek başarılısonuçlar elde edilmiştir. Mevzuat konusunda da, ÇalışmaBakanlığı’nın üzerinde çalıştığı çalışma izinlerininalınmasını hızlandıran yönetmelik için üye görüşleri ilgilikamu temsilcileri ile paylaşılmış, söz konusu yönetmeliğinen kısa sürede çıkması için gerekli temaslar sağlanmıştır.Çalışma Grubu tarafından 2008 yılında alınan bir kararneticesinde hayata geçirilen GAP Bölgesi’ndeki üniversiteöğrencilerine YASED üyesi firmalarda 2009 yaz dönemindestaj imkanı sağlanmasını hedefleyen “Koza” sosyalsorumluluk projesi hayata geçirilmiş ve proje kapsamında124 üniversite öğrencisine staj imkanı sağlanmıştır.Kurumsal Yönetim Çalışma GrubuYASED Kurumsal Yönetim Çalışma Grubu, kurumsalyönetim ilkelerinin Türkiye’deki yatırım ortamınıniyileştirilmesi açısından büyük önem taşıdığındanhareketle, 2009 yılında kurulmuştur.Yatırım Ortamını İyileştirme Koordinasyon Kurulu (YOİKK)kapsamında kurulan komitelerden biri Kurumsal YonetimTeknik komitesidir. Komitenin 2009 yılında tamamlamayıöngördüğü eylemlerden biri ise YASED’in önerisiyle,“Borsa dışı şirketlerde kurumsal raporlama standartlarınınoluşturulması” olarak belirlenmiştir. İlgili komite üyelerininkatkılarıyla tamamlanmak üzere söz konusu çalışmanınLaw GroupEstablished in June 2008, the Group members are thelegal advisors of our member companies. The objectiveof the Group is to build the means to debate its agendaissues from different perspectives, and to contribute tothe development of YASED’s view on these.The major agenda item of the Law Group for 2009 hasbeen the problems faced after the legislative amendmentsmade in 2008 concerning the acquisition by foreign capitalcompanies of real estate and limited rights in rem.In 2009, a core group was established within the LawGroup, to assume the coordination and steering functionof the entire group and has worked on a position paperon the issue of legal assurance, which is among YASED’spriorities.Employment and Education Working GroupThe Group has actively participated in the processimprovement works launched by the Ministry of Laborfor work permits issued for expatriates – an issue whichinvolves YASED members very closely. Suggestions andrequests for improvement were conveyed as being oneof the principal parties to the issue, and successful resultswere obtained. Members’ views, on the working permitsregulation, which is on the agenda of the Ministry ofLabor, were shared with the related public officials andthrough contacts, it was demanded to be approved assoon as possible.The social responsibility project titled “Koza”, initiatedby a decision taken by the Working Group in 2008, whichaimed to provide internship opportunities for studentsof the Southeastern Anatolia (GAP) Region at YASEDmember companies in 2009 summer months, wasaccomplished; and 124 university students were providedinternship opportunities.Corporate Governance Working GroupYASED’s Corporate Governance Working Group wasestablished in 2009, with the consideration that CorporateGovernance Principles are of great significance for theimprovement of the investment environment in Turkey.The Corporate Governance Technical Committee is oneof the committees established under the CoordinationCouncil on Improvement of the Investment Environment(CCIIE). Meanwhile, the Committee had decided early in2009, upon YASED’s suggestion, to have the study on“Establishing corporate reporting standards for companiesnot listed on the stock exchange” to be completed untilthe end of the year.
