VizyonumuzTürkiye’nin uluslararası doğrudan yatırımlar için cazipbir ülke konumunda olması ve istikrarlı bir iş ortamıoluşturulmasına yönelik çabalara öncülük etmek.MisyonumuzMisyonumuz, dünyadaki en iyi örneklerle uyumlu bir işortamının oluşmasına proaktif destek vermek, mal vehizmetlerin serbest ticaretini, serbest rekabeti, yatırımözgürlüğünü ve sermayenin serbest dolaşımını teşviketmektir.Türkiye’de faaliyet göstermekte olan yatırımcılar, yeni vepotansiyel yatırımcılar arasında bilgi paylaşımını ve özelliklede bu yatırımcıların YASED üyeleriyle daha iyi iletişimsağlamalarına imkan verecek şekilde işbirliğini ve iletişimiteşvik etmekteyiz. Derneğimiz, yeni fikirler için bir platformgörevi görmenin yanı sıra, ortak menfaatlerin söz konusuolduğu iş konularında, devlet organları ile düzenleyicikurum ve kuruluşlarla olan ilişkilerinde üyelerine müşterekdestek verir.İş dünyasını temsil eden diğer kuruluşlarla olan iletişimkanallarını ve koordinasyonu geliştirmeye, kamuoyununkonularımıza olan farkındalığını güçlendirmeyeve doğrudan yabancı yatırımların imajını Türkiye’dekitüm paydaşlar nezdinde iyileştirmeye kararlıyız.Türkiye’de yürürlükte olan mevzuatın ve iş yaşamındakiuygulamaların uluslararası standartlarla uyumu içinyapılacak ve etik değerler ile kurumsal yönetişimilkelerini geliştirmeye kararlı girişimleri destekleyeceklobi çalışmaları, en önemli önceliklerimiz arasındadır.Hedeflerimize ulaşmak için ortak bir sinerji yaratmayıamaçlıyoruz. İnancımız, sorunlarımızın yalnızca fikir birliğisağlayarak, veya tanımlar veya sorunlar üzerindemutabakata varmak suretiyle çözülebilmekten çok uzaktaolduğu yönündedir. Yatırım ortamının iyileştirilmesi içinyapılacak tüm yapısal reformları desteklemek amacıylakararlı, koordine ve proaktif çabalar için çözüm önerileriyaratmayı amaçlıyoruz. Our Associationacts as a platform for new ideas and provides collectivesupport to our members in their dealings with Turkishgovernmental and regulatory bodies on business issuesof common interest.We are committed to develop better channels ofcommunication and coordination with other organizationsin the business community and to generate greaterawareness among the general public of our issues andto improve the image of FDI in Turkey among all thestakeholders. One of our highest priorities is lobbying insupport of initiatives to harmonize Turkish legislationand business practices with international norms and beingcommitted to improving the ethical values and corporategovernance principles.In order to achieve our targets, we aim to generatecollective synergy. We strongly believe that our issuesdemand more than can be achieved merely by reachinga consensus and agreeing on definitions or problems. Inorder to support all structural reforms which help toimprove the investment environment, we aim to createsolution proposals for resolute, coordinated and proactiveefforts. Building on our organization’s solid foundationsand impressive record of success, we believe YASED willcontinue to be a driving force for the improvement ofthe investment environment in Turkey.The dedication and vision of YASED members have createdan organization that is recognized as the voice ofinternational investors in Turkey, which actively promotesTurkey’s negotiation process with the EU for the realizationof its full membership. The momentum generated byYASED’s achievements and the vision of our members willsecure our existence as a strong and indispensable focusof power in the Turkish and international businesscommunity, today and in the future.3

YÖNETİM KURULU MESAJIDeğerli Üyelerimiz,YASED’in 27 Şubat 2009 tarihinde gerçekleşen 28. OlağanGenel Kurulu ile göreve gelen Yönetim Kurulu olarak,2009 yılında YASED’in yatırım ortamının iyileştirilmesineyönelik faaliyetlerini proaktif bir şekilde sürdürmeyedevam ettik. Göreve başlamamızı takiben 11 Mayıstarihinde gerçekleştirdiğimiz ilk Üye Toplantısı’nda sizüyelerimizden aldığımız görüş ve öneriler doğrultusunda,öncelikli konularımızı gözden geçirdik, faaliyetlerimizibu doğrultuda yönlendirmeye gayret ettik ve ortaksorunlarımızın çözümüne yönelik olarak ilgili makamlarlabirebir iletişime önem verdik.Sorunlarımızın daha etkili bir şekilde gündeme taşınmasıve çözüm önerileri geliştirilerek daha etkili bir iletişimgeliştirilmesinde çok önemli bir araç olan çalışmagruplarımıza sizlerden gelen öneriler doğrultusundayenileri eklendi. Çalışma gruplarımız bu yıl da verimli veyoğun şekilde toplantılarına devam etti. Bu yıl KurumsalYönetim, Avrupa Birliği, Ekonomik Araştırmalar vePolitikalar, Otomotiv ve Yan Sanayi ile Hızlı TüketimMalları çalışma gruplarını hayata geçirdik. Önceki yıllardada faaliyet gösteren Ar-Ge, Bankacılık, Dış Ticaret veGümrükler, Fikri Mülkiyet Hakları, Hukuk, İstihdam veEğitim, Serbest Bölgeler, Vergi ve Teşvikler ile AnkaraGrubumuz ise yine proaktif çalışmalarına devam ettiler.2009 yılı içerisinde çıkan ve çıkması beklenen pek çok mevzuatve uygulamalarına ilişkin konular bu çalışma gruplarımızdadeğerlendirildi. Biz de Yönetim Kurulu olarak çalışma gruplarıaracılığıyla iletilen pek çok konudaki pozisyonumuzu ilgiliotoritelerle gerek yüzyüze buluşmalar, gerek resmi yazışmalarile en etkili şekilde iletmeye gayret ettik. Bizzat veyatemsilciler delege ederek bu çalışmalara katkıda bulunanüyelerimize özellikle teşekkür ediyoruz. Bu çalışmalara aktifkatılımınız ortak meselelerimiz konusunda Derneğimizindaha etkin temsilini sağlamakta, daha verimli sonuçlardoğurmaktadır. Çalışma Gruplarının çalışmalarının bir özetiniaşağıda daha detaylı olarak bulacaksınız.MESSAGE FROM THE BOARDDear Members,We, as YASED Board of Directors, which took office onthe 28th Ordinary General Assembly Meeting of ourAssociation held on 27 February 2009, maintained YASED’sproactive efforts for the improvement of the investmentenvironment. We reviewed our priority issues and didour best to channel our efforts in line with your viewsand suggestions that we received during the firstMember Meeting after taking office held on 11 May andconcentrated on one-to-one communication with relatedauthorities for finding solutions to our common problems.Our working groups are very important instruments incarrying our problems to the agenda in a more effectiveway and in providing a more effective communicationby generating solutions. In 2009, new working groupswere established, in line with your proposals, to workalongside the ones already active. Our working groupscontinued to hold fruitful and intensive meetingsthroughout the year. We established CorporateGovernance, European Union, Economic Research andPolicy, Automotive and Supplier Industry, Fast MovingConsumer Goods working groups this year. R&D, Banking,Foreign Trade and Customs, Intellectual Property Rights,Law, Employment and Education, Free Zones, Taxes andIncentives working groups and Ankara Group kept uptheir proactive works throughout 2009 as well.A number of laws and regulations and implementationspassed or drafted in 2009 were evaluated in these workinggroups. And we, as the Board of Directors, did our bestto express our position on a number of issues conveyedto us by our working groups, to the related authorities,in the most effective manner, either by face to facemeetings or by official letters. We particularly thank ourmembers who have contributed to these works, eitherpersonally or by delegation. Your active participation inthese works provides a more effective representation ofour Association at platforms dealing with our commonissues, and produces more fruitful results. You will finda summary of the activities by the working groups inmore detail below.4

Birebir görüşmelere, Bakan ziyaretlerine özel önem verdikve vermeye devam edeceğiz. Geçmiş Kabine dönemindeDevlet Bakanı Sayın Nazım Ekren ve heyeti ilegerçekleştirilen kapsamlı görüşmeler pek çok konudakarşılıklı daha doğru iletişimi ve bazı konularda dailerlemeyi sağlamıştı. Bunun yanı sıra 2009 yılı içerisindehem bir önceki Kabine hem de mevcut Kabine’nin MaliyeBakanları, Savunma Bakanı ve Sanayi ve Ticaret Bakanıile birebir görüşmelerde bulunduk. Ayrıca yine çok sayıdaBakan ve bürokrat Kasım ayında gerçekleştirdiğimizgeleneksel Ankara Resepsiyonumuza katıldılar. Resepsiyonsırasında hem üyelerimiz doğrudan temaslarda bulunmaimkanı buldular, hem de Resepsiyon sonrasında OnurKonuğumuz olan Sayın Başbakan ile özel bir görüşmedebir araya gelerek uluslararası yatırımcıların gündemindekiönemli konuları doğrudan aktarma imkanı bulduk.We have given special importance to one-to-one meetings,and visits to Ministers, and we will continue to do so. Thecomprehensive meetings we have had with Minister ofState Nazım Ekren and his working group during theterm of the previous cabinet, had facilitated directcommunication in many issues between the two sides,and had paved way to the solution of some issues. In2009, we have made direct contacts with the Ministersof Finance, the Minister of Defense and the Minister ofIndustry and Trade of the previous and currentgovernments. A number of Ministers and bureaucratsparticipated in the traditional Ankara Reception weorganized in November 2009. While our members hadthe opportunity to make direct contacts with authoritiesduring the Reception, we had the occasion to meet withour Guest of Honor, the Prime Minister privately, anddirectly convey to him the important agenda issues ofinternational investors.Yılda iki kez gerçekleştirdiğimiz Barometre Anketi ileuluslararası yatırımcıların nabzını tutarak makroekonomikdeğerler ve yatırım ortamına ilişkin algılama vebeklentilerini kamuoyuna duyurmaya devam ettik.Üyelerimizin şirket bazında hedef ve performansları,yatırım yapma eğilimleri, makroekonomiye ilişkinbeklentilerini ve yatırım ortamına ilişkin karşılaştırmalıdeğerlendirme ve algılamalarını ölçmeye yönelikolarak altı ayda bir düzenlediğimiz Anket, uluslararasıyatırımcıların bakış açılarını yansıtan önemli bir göstergeolarak basın tarafından da ilgiyle takip ediliyor.Diğer yandan uluslararası doğrudan yatırımlara ilişkin doğrubilgi ve değerlendirmelerin kamuoyuna iletilmesi için gerekliiletişim kanallarına da önem veriyoruz. Bir taraftan veri vetrendleri üç aylık raporlarımızla değerlendirip kamuoyu ilepaylaşırken, diğer yanda ise uzun yıllardır işbirliği içerisindeolduğumuz UNCTAD’ın Dünya Yatırım Raporu’nu dünyaile eş zamanlı olarak Türkiye’de açıklamaya her yıl olduğugibi bu yıl da devam ettik. Global uluslararası doğrudanyatırım akışlarına ilişkin trendleri, Türkiye’nin bu akışlardakiyerinin takip edilebileceği en önemli kaynak niteliğindekibu raporu, UNCTAD ile işbirliği içerisinde açıkladığımız basıntoplantımız yine basının önemli ölçüde ilgisini gören biretkinliğimiz oldu.We continued to take the pulses of international investorsby means of the Barometer Survey conducted twice ayear, and thus announce to the public, their perceptionsand expectations on macroeconomic indicators and theinvestment environment. The Barometer Survey, aimedat measuring the corporate targets and performances,investment propensities, macroeconomic expectationsand comparative evaluations and perceptions of ourmembers, and conducted every six months is monitoredby the press very closely as an important indicator thatreflects the perspectives of international investors aboutinvestment environment in Turkey.We also attach importance to the communication channelsnecessary for transmitting correct information andevaluations about FDI to the public. We evaluated dataand trends and shared these with the public by means ofour quarterly reports. Also we launched, simultaneouslywith many other countries in the world, 2009 WorldInvestment Report of UNCTAD, with which we are in closecooperation since many years, as in previous years. Thereport is the principal source for monitoring the trendsin global FDI flows and Turkey’s comparative position interms of FDI; and this press conference has been one ofYASED’s major activities most keenly followed by thepress.5

Üyelerimize özel faaliyetler ile gündemlerinizdeki önemlikonularda birinci ağızdan bilgilenmenize aracı olmakamacı ile düzenlediğimiz seminerlerin de katma değersağladığını umuyoruz. Kriz dönemi ile gündeme gelenesnek çalışma, kısa süreli çalışma konularında ÇalışmaBakanlığı’ndan yetkililerinin katılımı ile Mayıs ayı içerisindeistihdam konulu bir seminer gerçekleştirdik. Ekim ayındaise yeni teşvik sisteminin açıklanmasının ardından, yenisistemi tasarlayan Hazine Müsteşarlığı yetkililerinin katılımıile düzenlenen YASED üyelerine özel seminer ileüyelerimize daha detaylı bilgilere ve sorularına yanıtlarabirinci ağızdan ulaşma fırsatını verebildiğimizi umuyoruz.İki yılda bir çokuluslu şirketlerin üst düzey yöneticileri,bürokratlar ve uluslararası kuruluş temsilcilerinin katıldığıFırsatlar Ülkesi Türkiye Konferans serisinin de 2009 yılındaüçüncüsü düzenlendi. 11-12 Şubat tarihlerinde gerçekleşen“Türkiye - Yatırımlar için Güvenli Bir Liman” alt başlıklıkonferansta iki gün boyunca uluslararası yatırım trendlerive sektörel konularda sekiz oturum yapıldı. BaşbakanYardımcısı ve Devlet Bakanı Nazım Ekren ve Devlet BakanıMehmet Şimşek’in de konuşmacı olduğu konferansta,uluslararası doğrudan yatırımlara ilişkin beklentiler, başarılıülke örnekleri ve sektörel oturumlarda da bilişim ve ArGe,tarım-gıda, enerji, gayrimenkul, finans sektörleri ele alındı.YASED’in paydaşları ile iletişimini ve temas ağınıgüçlendirmek üzere katılımcı bir yaklaşım benimsemeyeözen gösterdik. YOİKK süreci, Vergi Konseyi, İstanbul’unFinans Merkezi olmasına yönelik tasarlama çalışmaları ilekamu ile ortak çalışmalarımıza devam ederken; UNCTAD,OECD ve Dünya Bankası gibi uluslararası kuruluşlar ileçeşitli rapor çalışmalarına gerek konularında uzman üyeşirket temsilcilerimiz gerek Sekreterya aracılığı ile katkıdabulunmaya devam ettik.Uluslararası Danışma Konseyi ile global doğrudanyatırımların kaynağı olan ülkelerin ve uluslararasıkuruluşların Türkiye’deki diplomatik temsilcileri ile biraraya gelerek yatırım ortamına bakış açılarımızı paylaşma,meselelere ortak yaklaşımlarımızı tespit etmeye,işbirliğimizi geliştirmeye çalıştık.We hope that the special activities organized for ourmembers and the seminars held with the objective toprovide first-hand information on important agendaissues directly, have added value to our members. Weorganized a seminar on employment in May, with theparticipation of authorities from the Ministry of Labor,on flexible work and short time work practices, whichhad become an important issue on account of the crisis.Another seminar we organized was after the newinvestment incentive system was introduced in October.We hope that, with this seminar, we provided our membersthe opportunity to hear detailed first-hand informationabout the system and find reliable answers to theirquestions from the representatives of the Undersecretariatof Treasury, who had actually designed the new incentivesystem.The third in a series of the “Turkey, Where theOpportunities Abound” conferences organized every twoyears with the participation of the top executives ofmultinational corporations, bureaucrats andrepresentatives of international organizations was heldon 11-12 February 2009. The conference subtitled, “Turkey- A Safe Haven for Investment” consisted of eight sessionsthat focused on international investment trends andsectoral issues for a two-day period, where Minister ofState and Deputy Prime Minister Nazım Ekren and Ministerof State Mehmet Şimşek participated as speakers. Whilethe conference focused generally on FDI trends andexpectations and successful country models; IT and R&D,agriculture & food, energy, real estate and finance sectorswere covered during the sectoral sessions of theconference.We took care to adopt a participatory approach in orderto strengthen YASED’s communication and contactnetwork with its stakeholders. While our joint works withthe public authorities on the Coordination Council forthe Improvement of the Investment Environment (CCIIE)process, the Tax Council, and the works carried out forturning Istanbul into a Finance Center carried on, wecontinued to contribute also to a number of reportingworks of international organizations such as UNCTAD,OECD and the World Bank, either by our membercompanies’ expert representatives or by YASED Secretariat.6

2009 yılında YASED’e farklı bir deneyim getiren bir diğerfaaliyet ise Koza Projesi oldu. İstanbul dışındaki üniversiteöğrencilerine üye şirketlerimizde staj olanağı sağlamakdüşüncesi ile İstihdam ve Eğitim Grubumuzun inisiyatifiile başlayan proje, ilk yılında Güneydoğu Anadolu Projesibölgesindeki 9 ildeki üniversiteleri kapsadı. İstihdam veeğitim konusunda katma değer yaratmayı hedefleyen birsosyal sorumluluk projesi olarak Koza Projesi ile ilgilidetayları da yine raporun ilgili bölümünde bulabilirsiniz.Projeye çok değerli katkılarda bulunan üye şirkettemsilcilerimize bu vesile ile teşekkür etmek veönümüzdeki dönemde de devam edecek projeye tüm üyeşirketlerimizi davet etmek isteriz.Eğitim sahası ile bir diğer bağımız olan Akademik İncelemeYarışması ile öğrencilerin konuya ilgisini çekmeyi veuluslararası doğrudan yatırımlarla bağlantılı konulardakiaraştırmaları teşvik etmeyi amaçlıyoruz. 2009 yılında10.sunu düzenlediğimiz yarışma “Türkiye'de UluslararasıDoğrudan Yatırımların Yerel Sanayi ve KOBİ'ler ÜzerindekiEtkileri” başlığı ile gerçekleştirildi ve jürimizindeğerlendirmesi sonucu dereceye giren öğrencilereödülleri verildi.Kurumsal dergimiz Insight YASED’i 2009 yılında da yıldadört kez olmak üzere sizlere ve diğer paydaşlarımızaulaştırmaya devam ettik. İçeriğimizi oluştururken, sizüyelerimize ve kamuya çalışma gruplarımız ve diğerfaaliyetlerimiz hakkında daha fazla bilgi ulaştırmayı,kamuoyuna doğrudan yatırımlar konusunda doğrumesajları vermeyi amaçladık. Kapak konularında çokuluslu şirketlerin global yöneticilerinin Türkiye hakkındakibakış açılarını yansıtmaya çalıştık. Üyelerimizin sosyalsorumluluk projelerine yer verdik ve gündemdeki konularve sektörel gelişmelere ilişkin olarak üyelerimizingörüşlerinden oluşan dosya konularını sunmaya çalıştık.We came together with the diplomatic representativesof the some of the source countries of FDI inflows toTurkey and of international organizations in Turkey atour International Advisory Council meetings, and gaveefforts to share our views with them on the investmentenvironment, to identify the shared methods of approachto different issues, and to improve our means ofcooperation.Another activity that opened new horizons for YASED in2009 has been the Koza Project. The project initiated byour Employment and Education Working Group with thepurpose to provide internship opportunities for studentsof universities outside Istanbul at member companies,was embraced by universities in 9 different provinces ofthe Southeastern Anatolia Region in its first year. Youcan find the details of this social responsibility project,oriented at generating added value for the communitywith regard to employment and education issues. I takethis opportunity to thank our member companies whichhave contributed to the Project, and would like to inviteall our member companies to the Project, which willresume again in the coming term.One other involvement of ours in the education area isthe Academic Research Competition, by which we aim toattract the attention of students to international directinvestments, and encourage research on related issues.The subject of the competition, organized for the 10thtime this year was, “The Impacts of International DirectInvestment on Domestic Industry and SMEs in Turkey”.The research papers sent to YASED were evaluated bythe jury, and the winning students received their awardsat a special ceremony.We continued to deliver our corporate magazine InsightYASED four times a year to our members and our otherstake holders. We aimed to provide more informationabout our working groups and other activities to you -our members - and the public and to give correct messageto the public on direct investments as we were planningthe content of the magazine. In our cover stories, wehave tried to reflect the views on Turkey of the globalexecutives of multinational companies. We gave place toour members’ social responsibility projects in our pages,and tried to present files comprising of our members’views on agenda items and sectoral developments.7

2010 yılının da krizin etkilerinin tam olarak atlatılamadığıve belirsizlikler taşıyan bir yıl olacağı göz önüne alındığındayatırım ortamındaki iyileştirmeler daha da önemkazanacaktır. Önümüzdeki dönemde rekabet gücününartırılmasına yönelik, istihdamı ihmal etmeden ülkeyerekabet avantajı kazandırabilecek, iç piyasayı canlı tutacakönlemlerin makro bir vizyon çerçevesinde iyi bir şekildetasarlandığı politikaların uygulanacağı beklentisiiçerisindeyiz. Krizin etkilerinin azaltılabilmesi, yatırımortamının iyileştirilmesi çalışmalarına daha da ağırlıkverilmesini gerektiriyor. Yatırım ortamı açısından tavizverilmemesi gereken kayıtdışı ekonomi ile mücadeleden,fikri mülkiyet haklarının korunmasına bir çok alan önceliklikonularımız olmaya devam edecek. Öngörülebilirlik,hukuk ve vergi güvenliği esası ise yatırımcı açısındanönemli ölçüde önem kazanmıştır. Yapısal reformlar veAvrupa Birliği müktesebatına uyum sürecinin kararlılıkladevam ettirilmesi de şüphesiz önemli çıpalardır.Vizyon ve misyonumuza uygun olarak Türkiye’de yatırımortamının iyileştirilmesine yönelik çalışmalarla ilgilikonuları takip etmeye, çözüm önerilerimizle bu sürecekatkıda bulunmaya devam edeceğiz. 2009 yılında yapmışolduğumuz çalışmalara gösterdiğiniz güven ve verdiğinizdestek için teşekkür eder, üyelerimizin daha proaktif dahakatılımcı olmaya devam etmesinden duyacağımızmemnuniyeti belirtmek isteriz.Saygılarımızla,YASED Yönetim KuruluPiraye AntikaBaşkanDr. Mete Hüsemoğlu Başkan VekiliDilek YardımBaşkan Yardımcısıİ. Cüneyt Türktan ÜyeLütfi YenelÜyeThe improvements in the investment environment willgain yet more significance in 2010, since it seems that itwill be a year of uncertainties and a year not entirely freefrom the impacts of the crisis. In our outlook for the nextterm, we anticipate the implementation of policies skillfullydesigned within a macro vision framework of measuresthat would keep the domestic market alive and sharpenthe country’s competitive edge without neglectingemployment concerns. Vergisisteminin basit, adil, şeffaf ve anlaşılır bir yapıda olmasıyönünde atılacak adımların, kayıtdışılığın önünegeçilmesinde, yerli-yabancı ayrımı olmaksızın tümyatırımcıların destek vereceği bir çalışma olacaktır.Ülkemize istihdam, sermaye ve bilgi birikimi kazandıracakkatma değeri yüksek yatırımların çekilmesi yönünde teşvikmekanizmalarının geliştirilmesi ve vergi sistemininbasitleştirilmesi bunun çok önemli parçalarıdır.PRIORITY ISSUESYASED follows up the below issues as a priority withinthe main framework of the improvement of theinvestment environment in Turkey and providing andsustaining an investment environment which is incompliance with free market and competition principles,competitive, efficient and predictable.Improvement of the Investment Environment in Turkey• Unregistered Economy: We consider that the measuresto be taken urgently and decisively for preventing theunregistered economy, which almost punishes the lawabidingcompanies, and which we consider as the priorityproblem of Turkey, will significantly contribute to thehealthy functioning of the Turkish economy. We believethat aiming for a Turkey, where income distributionis more fair, tax basis is wider, and unfair competition isprevented, by fighting against unregistered economyis a priority.• Legal Assurance: Assuring predictability in legalregulations and clarification of the rules in a way thatcompanies will not hesitate about their obligations, rightsand the results of the implementations are important forinvestors. We believe it is essential to; set the rules in away so that they are clear and understandable, and donot include any content that would require subjectiveinterpretations, which lead to discriminativeimplementations, and secure transparency so that theexecutive bodies put these rules into practice withoutinterpretation and as laid down clearly in the law. Whenmaking amendments to legislation, providing thenecessary mechanisms to prevent losses in terms of therights of the related parties and avoiding restrospectiveapplications will increase the legal assurance for investors.Investors, having a long-term viewpoint, should be ableto know and foresee the rules of the environment inwhich they are going to operate.• Taxes and Incentives: We believe that switching to acompetitive and efficient tax and incentive system is akey criterion for attracting FDI. Steps to be taken forrestructuring the existing tax system into a simple, fair,transparent and clear-cut one, will be an undertakingtowards impeding informality, and will receive supportfrom all investors-foreign and domestic alike. Developmentof incentive mechanisms that will attract high valueaddedFDI, which will increase our country’s employment,capital and know-how levels, and streamlining of the taxsystem are the key elements of this undertaking.9

Hukuk reformunun gerçekleştirilmesi buhakların korunması açısından son derece önemlidir.• Ar-Ge Yatırımları: Küresel rekabet ortamında ülkelerinArGe çekim merkezleri olarak tercih edilmesindekietkenlerin başında verilen teşvikler gelmektedir. ArGeteşviklerine bütçeden ayrılan payın yapılan yasaldüzenlemelerle son yıllarda artırılmış olması, teşviklerinsürdürülmesi ve yaygınlaştırılması; Türkiye’nin ArGekapasitesinin gelişmesi ve bu alana yönelik yüksek katmadeğerli yatırımların çekilebilmesi için son derece önemlidir.Avrupa BirliğiDiğer tüm öncelikli konularımızda gelişme kaydedilmesiTürkiye’nin AB üyelik müzakere sürecinde de yolunuaçacak gelişmeler olacaktır. AB üyeliği konusunungündemden düşmemesi, müzakere sürecine ilişkinçalışmalar ve lobi faaliyetlerine hız kaybetmeden devamedilerek gündemdeki önceliğini koruması son dereceönemlidir.• Employment and Education: Lowering the burden ofsocial insurance premiums and taxes on employment andtaking into consideration the foreign language andvocational training requirements for raising the qualifiedworkforce required by investors are the priorities forstrengthening the advantageous position of Turkey onthe global arena, regarding FDI inflows (and particularlyfor greenfield investment). In global competition,enhancing the qualitative advantages of the workforcebefore its quantitative advantages are among the prioritygoals.• Intellectual and Industrial Property Rights: Integrationto the international community is not attainable, unlessinternational standards are adopted. Infringement ofintellectual and industrial property rights damage Turkey’sprestige considerably, and cause unfair competition.Adoption of international standards on the subject oflaws and regulations, and above all their implementationshould be set as one of the targets. It is essential to takemeasures for the protection of trade mark and patentinfringements and copyright violations and data exclusivitytrademark infringements and counterfeiting, whereproblems are being faced with. The accomplishment ofa judicial reform is extremely important for the protectionof these rights.• R&D Investments: In the global competitionenvironment, one of the keys factors behind thepreference of some countries as R&D attraction centers,lies in the incentives granted. The increases made in recentyears in the funds allocated for R&D incentives from thebudget; the continuation and widespreading of the these;the development of Turkey’s R&D capacity are extremelyimportant for attracting high value-added investmentsto this area.European UnionProgresses to be achieved in other priority issues will serveas developments that will open way for Turkey duringthe EU membership talks. Accomplishment of all thesedevelopments, and Turkey’s success in ranking permanentlyamong the top investment locations of the world, dependson the success of the talks to be carried out with the EUfor full membership. It is extremely important to protectthe precedence of the issue on the agenda and not losingpace in the efforts given for the negotiation process andlobbying activities.10

Chairman Tahir Uysal in his openingspeech of the General Assembly made an evaluation of 2008with regard to international direct investment and gave anaccount of the activities the Association had made in thisconnection.The Minister of State and Chief EU Negotiator Egemen Bağış,also made a speech at the General Assembly meeting as theGuest of Honor, and shared his evaluations on the current stateof the EU-Turkey relationship with YASED members and otherparticipants.The General Assembly meeting opened after the election ofthe Meeting Council and a one minute silence held. Subsequently,the reports of the Board of Directors and Board of Auditors,and the 2009 budget were debated and resolved. Also, the effects of R&D Law No. 5746 on theinvestments of the members were discussed during theworking group meetings.The representatives of the Working Group have made avisit in Ankara to Deputy Head of TEYDEB Hilmi Yavuzand the Secretary Generals of the Committees, andconveyed them the problems experienced inimplementation and also some solution proposals forthese. It was decided to make these visits regularly.The Group has also decided to have a report prepared incooperation with the Science and Technology PoliciesCenter of the Middle East University (ODTU-TEKPOL)titled “An Analysis of the R&D Activities of Foreign CapitalCompanies in Turkey’s Economy: The Current Situation,Problems and Solution Proposals”, to be finished in 2010.European Union Working GroupThe EU process is changing Turkey’s investmentenvironment together with its legal infrastructure. Theprocess is the assurance of the stability of the country’sinvestment environment, since it functions as the anchorof Turkey’s political stability. YASED’s EU Working Groupwas established in this framework in May 2009, with theobjective to ensure YASED’s proactive participation inTurkey’s EU membership process and to coordinate theEU-related works carried out at YASED. The firstundertaking of the Group has been to develop YASED’sPosition Paper for the 2009 Progress Report, by12

Yeni mevzuatlar, beklenenkanunlar ve uygulamada hassasiyet yaratan diğerkonuların daha detaylı ve verimli çalışılabilmesi için ayrıcaBankacılık Çalışma Grubu Alt Komitesi (ÇGA) kurulmasınakarar verilmiştir. ÇGA, ihtiyaca göre ayda bir/iki ayda birtoplanarak, sektör ve YASED öncelikleri doğrultusundakonuları değerlendirmektedir. Öne çıkan başlıklar BÇG’nindikkatine iletmek ve bu konularda değerlendirme notlarıoluşturmak yine ÇGA tarafından gerçekleştirilmektedir.ÇGA’nın üyeleri BÇG üyelerinin önerdikleri uzmankadrolardan oluşmaktadır.Üyelerinin faaliyet konularının farklılığı nedeni ileTemsilcilik Ofisleri ve Bankaların ayrı toplanmasına kararverilmiştir.Yıl içerisinde yapılan toplantılarda yabancı sermayelişirketlerin gayrimenkul edinimine ilişkin yapılan mevzuatdeğişikliği nedeniyle bankacılık sektöründe yaşanansıkıntılar; BDDK ve Maliye Bakanlığı tarafındangerçekleştirilen ve süre, metot ve prosedürleri nedeniylemükellefleri zor durumda bırakan denetim süreçleri;Bankacılık sektöründe vergisel konular; Bankacılık KanunuTasarısı; İflas Erteleme Uygulamaları; İstanbul FinansMerkezi gibi konular görüşülmüştür.Gerçekleştirilen toplantılar sonucu ortaya çıkan görüşler,kamu temsilcileri ile yapılan toplantılarda gündemegetirilmektedir. Having held three meetings in2009, the Group aims to strengthen its contacts moreactively in the coming term. The Group is planning tocontinue the coordinated work it is carrying out with theother related working groups of YASED, for the chapterswhich are likely to be opened up, in the coming term.The Group is also preparing to establish contacts withBrussels and Ankara and to organize round table meetings.Banking Working GroupThe members of the Banking Working Group (BWG) are thegeneral managers or board members of the member bankswith foreign capital, which have either been fully establishedin Turkey or have only branch offices in Turkey. BWG analyzesthe developments in the banking sectorfrom the international investors’ perspective.BWG meets every four months and evaluates the majorissues in the sector and proposes the necessary actions to betaken. The Group has decided and set up a sub-committee,namely the Banking Working Group Sub-committee (WGSC)with the purpose to enable the works on new laws andregulations, pending legislation, and other issues theimplementation of which cause concerns, to be carried onmore diligently and more efficiently. WGSC meets everymonth or every two months, if required and evaluates theissues in line with the priorities of the sector and YASED.The task to put across the major agenda items to the attentionof BWG and to prepare evaluation notes on these issues isagain under the responsibility of WGSC. WGSC consists ofspecialists nominated by the members of the BWG.Due to the differences in their scopes of activities, therepresentative offices and the resident banks meet separately.Some of the main issues debated in the meetings held duringthe year were the problems faced by the banking sector dueto the changes made in the legislation on acquisition of realestate by foreign capital companies; the audits made by theBanking Regulation and Supervision Agency (BDDK) and theMinistry of Finance, which cause concern for taxpayers dueto the time, the methods and procedures applied; the taxissues involving the banking sector; the Draft Banking Act;postponement of the bankruptcy implementations; and thevision to turn Istanbul into a finance center.The opinions that develop in the group meetings are beingpronounced at meetings held with the representatives ofpublic authorities. BWG makes visits to voice the prioritiesof the sector as well. The priority issues of the sector arecommunicated to the related authorities, like the visit paidto BDDK Chairman Tevfik Bilgin in 2009.13

Dış Ticaret ve Gümrükler Çalışma GrubuÇalışma Grubu, yakın aralıklarla gerçekleştirdiği toplantılarsonucunda, mevzuat değişiklikleri ve uygulamadakarşılaşılan sorunları yakınen takip ederek güncelleştirdiklerikapsamlı görüşlerini, Dış Ticaret ve Gümrük Müsteşarlıklarıile Kültür Bakanlığı üst düzey yetkilileri ile düzenli aralılarlagerçekleştirdikleri özel teknik toplantılarda yazılı ve sözlüolarak paylaşmıştır. İthalat ve ihracat işlemlerinde karşılaşılanbürokrasi ve gereği dışındaki kontrol ve denetim süreçleri,kurumlar arası uyumsuzluk ve uygulama farklılıkları,kaçakçılık ve belgede sahtecilik, ilgili kurum ve kuruluşlarınaltyapı hizmetlerindeki eksiklikler ve benzeri konular buhususların başlıcalarını oluşturmuştur.Çalışma Grubu bünyesinde oluşturulan “Tarım Bakanlığıve Dış Ticaret Uygulamaları Alt Çalışma Grubu” faaliyetlerikapsamında ise, benzer bir süreç olarak Tarım Bakanlığıyetkilileri ile gerçekleştirilen özel teknik toplantılarda,Bakanlık uygulamaları kaynaklı yaşanılan sorunlarpaylaşılmış ve bunlara çözüm önerileri getirilmiştir. Bunlararasından, ihracattaki uygulamalara yönelik taleplerimizikarşılar nitelikteki düzenleme hayata geçirilmiştir.Üyelerin yönlendirmeleri doğrultusunda ayrıca, YOİKKDış Ticaret ve Gümrükler Teknik Komitesi toplantılarınakatkı ve katılım sağlanmıştır.Ekonomik Araştırmalar ve Politikalar Çalışma GrubuÇalışma Grubu, YASED Yönetim Kurulu’nunmakroekonomik konulara ilişkin olarak kamuoyuna vehükümete vereceği mesajlarda yer almak üzere önerilerhazırlamak üzere Haziran 2009’da kurulmuştur. ÇalışmaGrubu’nun üyeleri arasında YASED bünyesindekibankaların baş ekonomistlerinin yanı sıra reel sektörütemsil eden şirketlerden de ekonomistler ve temsilcilerbulunmaktadır. 2009 yılında 4 toplantı yapan Grupgündemdeki konuları değerlendirerek, YASED’inmakroekonomik konulara ilişkin pozisyonu belirleyen birbelge hazırlamıştır. Önümüzdeki dönemde Grubun,sürdürülebilir ekonomik büyümenin sağlanması temelvizyonu çerçevesinde, uzun dönemli yapısal sorunlarailişkin politika önerileri geliştirmek ve yine Dünya veTürkiye ekonomisine ilişkin değerlendirme, beklenti veönerilerini oluşturmak üzere çalışmalarına devam etmesiplanlanmaktadır.Foreign Trade and Customs Working GroupThe Working Group has shared its comprehensive views,updated by closely monitoring the legislative andregulatory amendments and the problems faced inimplementation by holding frequent meetings with thehigh officials of the Undersecretaries of Foreign Tradeand the Customs, and the Ministry of Culture, in writingand verbally at special technical meetings held at regularintervals. Red tape and bureaucracy faced in export andimport transactions, excessive control and examinationprocedures, mismatches and implementation differencesbetween institutions, smuggling and document forgery,the shortages in the infrastructure services of the relatedinstitutions and organizations, etc, are the principalproblems faced in this regard.Correspondingly, the “Ministry of Agriculture and ForeignTrade Implementations Sub-working Group”, establishedwithin the Working Group has shared the problems arisingfrom the implementations of the Ministry of Agriculturewith the officials of the Ministry, at special technical meetingsand has suggested solution proposals to these. Amongthese; the regulatory amendment, which satisfied our requestregarding export implementations, was put into effect.The Working Group has also participated in andcontributed to the meetings of CCIIE’s Foreign Trade andthe Customs Technical Committee based on feedbackfrom its members.Economic Research and Policy Working GroupThe Working Group was established in June 2009, withthe objective to draw up the views to be pronounced inthe messages to be conveyed about the macroeconomicissues by YASED Board to the public and the government.The Working Group constitutes of chief economists fromYASED member banks, and economists and representativesfrom companies operating in the real sector.In 2009, the Group has held four meetings, evaluated theissues on its agenda and has drawn up a document, whichdepicts YASED’s position in the current macroeconomicissues. For the coming term the Group is planning; tocontinue working in line with its fundamental vision ofsustainable economic growth, to develop policy proposalsfor long-term structural issues and to make evaluationsand establish expectations and proposals on the globaland Turkish economy.14

Fikri ve Sınai Mülkiyet Hakları Çalışma GrubuÇalışma Grubu, yakın aralıklarla gerçekleştirdiği toplantılarsonucunda, mevzuat değişiklikleri ve uygulamadakarşılaşılan sorunları yakınen takip ederekgüncelleştirdikleri kapsamlı görüşlerini ilgili platformlardayazılı ve sözel olarak paylaşmıştır. Bu doğrultuda, Grupüyeleri için öncelik taşıyan Markalar Kanun Taslağı, Patentve Faydalı Model Kanun Taslağı, telif hakları, verimünhasiriyeti ve ilgili sektör spesifik konulardaki mevzuatdüzenlemelerini takip etmiş ve uygulamada karşılaşılansorunlara yönelik olarak görüş ve çözüm önerileriüretmiştir. Bu görüşler, yapılan ziyaretler ile doğrudanilgili kamu kurumlarına (Sanayi Bakanlığı, TPE, ABGS vb.),yazılı olarak Avrupa Komisyonu Ticaret Genel Müdürlüğüve GBOK gibi mecralara bildirilmiş olup, YOİKK Fikri veSınai Mülkiyet Hakları Teknik Komitesi toplantılarında dagündeme getirilerek pekiştirilmiştir.Çalışma Grubu, fikri ve sınai mülkiyet haklarının korunmasıkonusunda yaşanan güncel sorun ve gelişmeler hakkındakigörüş ve beklentilerini bir basın açıklamasıyla da genişkitlelere duyurmuştur.Fikri ve sınai mülkiyet hakları konusunda önemli bir başlıkolan marka koruması ile ilgili olarak, çoğu YASED üyesişirketlerin son yıllarda Türkiye’de giderek artan sahtecilikve kaçak sorunuyla mücadele etmek için oluşturduğu“Marka Koruma Grubu” çalışma ve faaliyetlerine dekatılım sağlanmıştır.Hızlı Tüketim Malları Çalışma Grubu2009 yılında yeniden aktif hale getirilmesi kararlaştırılanÇalışma Grubu, ilk toplantısında önceliklerini belirlemiştir.Buna göre; “sektördeki kayıtdışı faaliyetler”, “pazariçidenetim ve gözetim” ve “sektördeki vergi uygulamaları”grubun öncelikli konuları olarak belirlenmiştir.Sektördeki kayıtdışı faaliyetler konusunda kaçak şekergirişleri ve şeker kotaları konusu, hal giriş-çıkışlarındayapılan kontroller ve sahte mallar çalışma grubununüzerinde çalışacağı konulardır. Pazariçi denetim ve gözetimkonusunda Yeni Gıda Kanunu Tasarısı ve dünyadaki durumile Türkiye’nin karşılaştırılması konuları ele alınacaktır.Sektördeki vergi uygulamaları konusunda ise kaynaksuları harcı ve yüksek KDV ve ÖTV oranları üzerindeçalışılacaktır.Intellectual and Industrial Property Rights Working GroupThe Working Group has shared the comprehensive viewsit has updated by closely monitoring the legislative andregulatory amendments and the problems faced inimplementation by means of frequent meetings, atrelated platforms in writing as well as verbally. In thisconnection, the Working Group has closely monitoredthe legislative amendments made in the Trademarks DraftLaw, Patent and Utility Model Draft Law, copyrights, dataexclusivity and other specific issues of the sector, and hasgenerated views and solution proposals for the problemsarising in connection with the associated implementations.These views have been conveyed to the related publicestablishments (such as the Ministry of Industry, TurkishPatent Institute, the Secretariat General for EU Affairs,etc.) directly by visits paid to these, and in writing toorganizations such as the Directorate General for Tradeof the European Commission, and the Customs UnionJoint Committee, and have been reinforced at meetingssuch as the Intellectual and Industrial Property RightsTechnical Committee of CCIIE.The Working Group has announced its opinion andexpectations on the current problems and developmentsconcerning the protection of intellectual and industrialproperty rights to the public by press release made.As for trademark protection, which is a major headingof the intellectual and industrial property rights issue;the Working Group has participated in the works andactivities of the” Brand Protection Group”, most of whichare YASED members, with the objective to fight againstcounterfeiting and piracy in Turkey, which has beendemonstrating an increasing trend in recent years.FMCG Working GroupThe Working Group, which was reactivated in 2009,designated its priorities in its first meeting. “Unregisteredoperations in the sector”, “in-market control andinspections” and “tax practices relevant for the sector”were accordingly set as the priority issues of the Group.Contraband sugar inflows to the country, sugar quotas,the controls made at wholesale market place entries andexits, and counterfeit goods are the issues the WorkingGroup will focus on under the “Unregistered operationsin the sector” priority issues heading. The Working Groupwill work on the New Food Draft Law and compare thesituation in Turkey with the world with regard to the “inmarketcontrol and inspections”. Charges imposed onspring waters and VAT and Special Consumption Tax rateswill be the issues to be dealt with in connection with the“tax practices relevant for the sector”.15

Hukuk GrubuHaziran 2008’de kurulan ve üyelerimizin hukukmüşavirlerinden oluşan Grubun amacı gündeme alınankonuları daha geniş bir perspektifte tartışma fırsatı bulmakve YASED’in bu konulardaki görüşünün oluşmasına katkıdabulunmaktır.2009 yılında Hukuk Grubu’nun ana gündem maddesiniyabancı sermayeli şirketlerin taşınmaz ve ayni hakedinimine ilişkin 2008 yılında getirilen mevzuatdeğişiklikleri sonrası yaşanan sorunlar olmuştur.2009 yılında Hukuk Grubu bünyesinden bir koordinasyonve yönlendirme fonksiyonunu üstlenecek bir çekirdekgrup da oluşturulmuş ve bu grup YASED’in öncelikleriarasında yer alan hukuk güvenliği pozisyon belgesiüzerinde çalışmıştır.İstihdam ve Eğitim Çalışma GrubuYASED üyelerini yakından ilgilendiren yabancılara çalışmaizni verilmesi konusunda Çalışma Bakanlığı tarafındanbaşlatılan süreç iyileştirme çalışmalarına aktif olarak dahilolunmuş ve konunun en önemli taraflarından biri olarakiyileştirme konusunda öneriler ve istekler iletilerek başarılısonuçlar elde edilmiştir. Mevzuat konusunda da, ÇalışmaBakanlığı’nın üzerinde çalıştığı çalışma izinlerininalınmasını hızlandıran yönetmelik için üye görüşleri ilgilikamu temsilcileri ile paylaşılmış, söz konusu yönetmeliğinen kısa sürede çıkması için gerekli temaslar sağlanmıştır.Çalışma Grubu tarafından 2008 yılında alınan bir kararneticesinde hayata geçirilen GAP Bölgesi’ndeki üniversiteöğrencilerine YASED üyesi firmalarda 2009 yaz dönemindestaj imkanı sağlanmasını hedefleyen “Koza” sosyalsorumluluk projesi hayata geçirilmiş ve proje kapsamında124 üniversite öğrencisine staj imkanı sağlanmıştır.Kurumsal Yönetim Çalışma GrubuYASED Kurumsal Yönetim Çalışma Grubu, kurumsalyönetim ilkelerinin Türkiye’deki yatırım ortamınıniyileştirilmesi açısından büyük önem taşıdığındanhareketle, 2009 yılında kurulmuştur.Yatırım Ortamını İyileştirme Koordinasyon Kurulu (YOİKK)kapsamında kurulan komitelerden biri Kurumsal YonetimTeknik komitesidir. Komitenin 2009 yılında tamamlamayıöngördüğü eylemlerden biri ise YASED’in önerisiyle,“Borsa dışı şirketlerde kurumsal raporlama standartlarınınoluşturulması” olarak belirlenmiştir. İlgili komite üyelerininkatkılarıyla tamamlanmak üzere söz konusu çalışmanınLaw GroupEstablished in June 2008, the Group members are thelegal advisors of our member companies. The objectiveof the Group is to build the means to debate its agendaissues from different perspectives, and to contribute tothe development of YASED’s view on these.The major agenda item of the Law Group for 2009 hasbeen the problems faced after the legislative amendmentsmade in 2008 concerning the acquisition by foreign capitalcompanies of real estate and limited rights in rem.In 2009, a core group was established within the LawGroup, to assume the coordination and steering functionof the entire group and has worked on a position paperon the issue of legal assurance, which is among YASED’spriorities.Employment and Education Working GroupThe Group has actively participated in the processimprovement works launched by the Ministry of Laborfor work permits issued for expatriates – an issue whichinvolves YASED members very closely. Suggestions andrequests for improvement were conveyed as being oneof the principal parties to the issue, and successful resultswere obtained. Members’ views, on the working permitsregulation, which is on the agenda of the Ministry ofLabor, were shared with the related public officials andthrough contacts, it was demanded to be approved assoon as possible.The social responsibility project titled “Koza”, initiatedby a decision taken by the Working Group in 2008, whichaimed to provide internship opportunities for studentsof the Southeastern Anatolia (GAP) Region at YASEDmember companies in 2009 summer months, wasaccomplished; and 124 university students were providedinternship opportunities.Corporate Governance Working GroupYASED’s Corporate Governance Working Group wasestablished in 2009, with the consideration that CorporateGovernance Principles are of great significance for theimprovement of the investment environment in Turkey.The Corporate Governance Technical Committee is oneof the committees established under the CoordinationCouncil on Improvement of the Investment Environment(CCIIE). Meanwhile, the Committee had decided early in2009, upon YASED’s suggestion, to have the study on“Establishing corporate reporting standards for companiesnot listed on the stock exchange” to be completed untilthe end of the year. The Committee had commissioned16

Dolayısıyla hazırlananfinansal olmayan raporlama standartlarının şirketlerinönümüzdeki dönemlerde yapmakla zorunlu olacaklarıraporlamalar için de örnek oluşturması amaçlanmaktadır.Otomotiv ve Yan Sanayi Çalışma GrubuÜyelerin talepleri doğrultusunda Mayıs 2009 tarihindenitibaren çalışmalarını sürdüren Çalışma Grubu, kısa birsürede, ÖTV indirimi gibi teşvik ve önlemlerin sağlanmasıve hurda piyasasının oluşumu yönünde altyapısınıoluşturacak gerekli mevzuat değişikliklerinin hayatageçerilmesinde aktif rol oynamıştır. Uygulanan vergiindirimleri ve teşviklerinin devamının sağlanmasıdoğrultusunda, Otomotiv Distribütörleri Derneği’nin(ODD) akademisyenlere hazırlattığı ve Temmuz ayındaaçıklanan “Otomotiv Ticaretinde Yol Haritası-Gelecek 10Yıl” adlı çalışmasının sonuçları - pazar büyüklüğü veekonomiye katkılarının rakam ve bulgularla desteklenmesiamacıyla - ilgili kurum ve kamuoyu ile paylaşmıştır.Serbest Bölgeler Çalışma GrubuÇalışma Grubu, 3218 sayılı Serbest Bölgeler Kanunu GenelTebliği kaynaklı uygulamada karşılaşılan sorunlarkapsamında, fazladan ödenen sigorta primleri, asgarigeçim indirimi, ve fason imalatçıların istisna karşısındakidurumu ile birlikte hizmet alımlarındaki farklı KDVuygulamalarına ilişkin detaylı görüşlerini Maliye Bakanlığıve Dış Ticaret Müsteşarlığı ile yazılı olarak paylaşmıştır.YASED to conclude the report with contributions fromthe related committee members. Accordingly, YASED’sCorporate Governance Working Group has given mostof its efforts in 2009 to finish this work and present it toCCIIE. After the completion of the report, The Groupplans to implement and test the work at samplecompanies. Once the report gets approval from CCIIE,the work will be presented - within the scope of theworks made on the Draft Turkish Commercial Code (TCC)- as a reference text for the implementation ofcommuniqués of the related article and visits are plannedto related public authorities on the subject matter.YASED’s Corporate Governance Working Group finishedthe report on the “Non-financial reporting standards forcompanies not listed on the stock exchange”, thanks tothe contributions of its members, and presented it toCCIIE’s Technical Committee within 2009 as scheduled.These reporting standards, prepared as based on TCC,German Standards (GAS 15), GRI Standards and the EUDirectives, which also contain references to the bestpractices available, constitute a sound proposal and setan example for the Annual Report provisions of Article516 of the Draft TCC as well. The subject non-financialreporting standards are therefore planned to constitutea model for the reporting process of the companies, whichwill be obligatory to comply, within the terms ahead.Automotive and Supplier Industry Working GroupThe Working Group in operation since May 2009, uponthe requests of YASED members, has played an activerole in a short period of time in providing the incentivesand measures such as the Special Consumption Tax cutand activating the legislative amendments necessary forestablishing the infrastructure for a scrap market. Theresults of the study - aimed at ensuring the continuationof the tax cuts and the incentives - titled the “Road Mapfor Automotive Trade - The Next 10 Years”, outsourcedby the Association of Automotive Distributors (ODD) toacademicians, which was unveiled in July, were sharedwith the related institutions and the public, so as tosupport the market volume and the contribution to theeconomy by statistical figures and findings.Free Zones Working GroupThe Working Group has shared its detailed views on theproblems arising from the implementation of the GeneralCommuniqué on the Free Zones Act No: 3218 with the Ministryof Finance and the Undersecretariat of Foreign Trade in writing.These problems consist of; the excess insurance premiums paid,minimum living allowance, and the situation of contractedmanufacturers with regards to tax exceptions and the dissimilarVAT rates implemented for service procurements.17

Serbest Bölgelerdeki sorunlu uygulamalara ilişkin önceliklibu hususlar ayrıca, başta Serbest Bölgeler KullanıcıDernekleri ve Serbest Bölgeler Koordinasyon Kuruluolmak üzere ilgili diğer platformlarda da ifade edilmiştir.Vergi ve Teşvikler Çalışma Grubu2009 yılı içerisinde vergi mevzuatında yapılan ve beklenendeğişiklikler nedeniyle Çalışma Grubu yoğun bir gündemile toplanmış; gerek vergi yasalarında beklenendeğişiklikler gerekse yeni teşvik sistemine ilişkin proaktifçalışmalarına önceki senelerde olduğu gibi devam etmiştir.Bu bakış açısıyla Çalışma Grubu’nda yıl içerisindeki mevzuatdeğişikliklerine ilişkin yaşanan sorunlar görüşülmüştür.Beklenen mevzuatlarla ilgili olarak (GVK, VUK taslaklarıve eski teşvik tasarısında olduğu gibi) taslak metinlerüzerinden görüşler hazırlanarak ilgili otoritelerlepaylaşılmıştır. Yeni çıkan mevzuatlarla ilgili olarak (yatırımteşvik mevzuatı gibi) üyelere bilgilendirmeler yapılmakta,uygulamalara ilişkin görüşler oluşturulmuştur. Vergikanunlarının uygulamalarına ilişkin olarak üyelerimizinkarşılaştıkları sorunlarla ilgili spesifik konular tartışılmıştır.(Hizmet ihracında KDV istisnası, Serbest Bölgelere hasvergi sorunları, takdir komisyonları vb.)Kamu kurumlarından gelen vergi ve teşvikler ile ilgiligörüş talepleri, üyelerden alınan yorumlarlaşekillendirilerek yanıtlanmakta (İstanbul Finans Merkezi,Teşvik Mevzuatı gibi), ya da oluşturulan görüşler proaktifolarak ilgili kurumlarla paylaşılmıştır.Yıl içerisinde ayrıca vergi sisteminde “Kod” uygulaması,yeni teşvik sistemi, elektronik bilgi ve defter tutma,mevzuattaki ani değişiklikler, geriye dönük uygulamalar,vergi denetimleri, kayıtdışı ekonomi, verginin tabanayayılması, dolaylı vergilerde AB’ye uyum gibi konular datartışılmıştır.YASED olarak yapılan ilgili tüm ziyaretlerde çalışmagrubunun görüşleri resmi otoritelerle paylaşılmıştır.These priority issues concerning the problematicimplementations in Free Zones were also voiced at otherrelated platforms, particularly the Free Zone Users’Associations and the Free Zone Coordination Board.Taxes and Incentives Working GroupThe Working Group had an intense agenda in 2009, onaccount of the actual and prospective amendments inthe tax legislation, and has carried out proactive workson the prospective amendments in the tax laws as wellas the new incentive system, as it had done in the previousyears.With this perspective, the Working Group has put todebate the problems faced with regard to legislativeamendments made or planned during the year. Inconnection with the prospective laws and regulations(such as the Draft Income Tax Law, the Draft Tax ProceduralLaw and the former Draft Incentive Law), the Group hasprepared opinions on the draft texts issued, and hasshared these with the related authorities. As for the newlegislation (such as the investment incentive legislation),members are being informed and members’ views aboutimplementation are being formed. The working agenda ofthe Ankara Group constitutes mainly of the CCIIE processand the recent legislative and regulatory developments.CCIIE WORKSThe Coordination Council for the Improvement ofInvestment Environment in Turkey (CCIIE), carries out aseries of works including providing incentives to encouragenational and international investors in Turkey, removingthe administrative barriers to during and after investment,harmonizing with EU legislation based on the bestpractices of the world so as to improve Turkey’s investmentenvironment with the aim of attracting greenfieldinvestments since 2002. In fact, the groundwork of theCCIIE works stems from the harmonization efforts withthe EU legislation. These reform works, under way since2002, serve the country by reshaping the investmentenvironment as more investor-friendly and providing fullconformity to the EU during membership negotiations.In addition to the works it has been carrying out inconnection with the improvement of the investmentenvironment, CCIIE also contributes to the organizationof the Investment Advisory Council meetings, where theCEOs of 20 international companies and the chairmen of4 CCIIE-member organizations (TOBB, TÜSİAD, YASEDand TİM) participate in as representatives of the privatesector. Representatives of the leading establishments andorganizations of the world come together at theInvestment Advisory Council meetings held since 2004under the chairmanship of the Turkish Prime Ministerand with the participation of the Chairmen of the WorldBank, IMF and European Investment Bank and the relatedMinisters of Turkey, with the objective to activate Turkey’spotential for becoming a stronger point of attraction forFDI. The Investment Advisory Council has convened forthe 4th time on June 18, 2008 and evaluated the recentdevelopments in the investment environment. In 2009,Investment Advisory Council meeting was not held.It was resolved during the works carried out within theframework of the CCIIE Steering Committee that thefundamental target would be to solve the most importantproblems faced by investors. Efforts were given as YASED, within the scopeof the subject Committee works, on “Non-financialreporting standards for companies not listed on the stockexchange”, and a draft report was prepared and presentedto the Technical Committee.R&DYASED has been one of the members of the R&D TechnicalCommittee which has set the agenda of the Committeewith its active participation in the Committee meetings.In addition to the suggestions for the improvements thatcan be made in the existing R&D legislation and itsimplementation, YASED has contributed to the Committeeworks in 2009, by introducing two issues to the agendaof the Technical Committee. These are:- The major portion of the compensations paid to researchacademicians through “Revolving Funds” for the R&Dprojects these staff carry out jointly with companies, arekept by the university administrations. (The draft bill tocorrect this drawback has been prepared and is pendingin the related commissions on the Parliament).- It was also decided to review the stages and results ofthe work titled “An Analysis of the R&D Activities ofForeign Capital Companies in Turkey’s Economy: TheCurrent Situation, Problems and Solution Proposals” tobe accomplished by YASED’s R&D Working Group jointlywith ODTU-TEKPOL, at CCIIE’s Technical Committee, andevaluate the prospective proposals.21

Theworks that evaluates investors’ perception of the economyand their expectations in line with the survey made amongYASED members twice a year were subsequently sharedwith the public through press meetings.In the first survey of 2009, the results of which weredisclosed on March 11th, 30% of our members, whoparticipated in the survey, indicated that they were planningnew investments, 92% anticipated that economic growthwill slowdown in Turkey, 28% predicted that number ofemployees would decrease within the next 6 months, and59% considered that the inflation rate would slowdown.In the second survey of the year, which was publicized on29 September 2009, 55% of our members predicted thatthe economic stability would get worse, 40% indicatedthat they were planning new investments and 43%indicated that they were not planning new investment.In response to the question asking the opinion of themembers about the effects of the new incentive system;63% of the members who participated in the surveyindicated that the new system did not affect them. 61%of the members who participated in the survey indicatedthat the effects of the global economic crises will come toan end after 2010.Launching of UNCTAD’S 2009 World Investment Reportin TurkeyAs in previous years, 2009 World Investment Report,published by the United Nations Conference on Tradeand Development (UNCTAD) was launched in Turkey byYASED, by a press conference held on September 17,2009.According to the Report, launched simultaneously allover the world, global FDI inflows have fallen back toUSD 1.7 trillion in 2008 implying a 14 percent fall comparedto the previous year. Proje ile, GAP bölgesinde eğitim gören 124üniversite öğrencisine 2009 yaz döneminde 50 YASEDüyesi şirkette Temmuz ve Ağustos olmak üzere 2 ayrıdönemde 1 ay süreyle staj imkanı sağlanmıştır.Staj eğitiminin yanısıra Türkiye’nin önde geleneğitimcilerinden her grup için 4’er günlük kişisel gelişim,liderlik ve girişimcilik eğitimleri verilmiştir. Turkey, which ranked as the 25th country interms of FDI inflows according to revised figures of theyear, ranked 20th in 2008 with an FDI inflow of USD 18.2billion.The stock of FDI worldwide, meanwhile, has been USD14.9 trillion in 2008, according to UNCTAD data. Turkeyranked 40th with an FDI stock amounting to USD 70billion as of end of 2008.Koza ProjectThe social responsibility project of YASED entitled “Koza”,which was aimed at generating added value for one ofthe key issues of Turkey’s economy, i.e. employment andeducation, was initiated by the “Employment andEducation Working Group”. 124 university students fromthe Southeastern Anatolia (GAP) Region were providedinternships in 50 YASED members companies in July andAugust 2009 - in two terms of one month each.In addition to the internship trainings, the students havealso received personal development, leadership andentrepreneurship training from the leading trainers ofTurkey. Each group was given this training for a periodof 4 days. A documentary film which gives detailedinformation on the project, and narrates the experiencesof the students was shared with the public throughYASED’s web site.The Project was aimed to help the students in theSoutheastern Anatolia Region - gifted with the necessaryskills and qualifications - to gain vision, and cause thestudents of this region to learn the business practices ofinternational companies, and the operations they carryout at their headquarters and different geographicallocations of Turkey, and to encourage these students tomake use of the experiences they would acquire duringtheir internship period, for the improvement of theirregion as well as their personal developments. The Projecthas also created an opportunity for internationalcompanies to get an opinion about the students livingin the eastern part of Turkey and to remove the prejudices- if any.The Project involved the universities located in 9 provinces,and received full support from the GAP Administration.24

The subject of thecompetition, organized for the 10th time this year withthe general objective to hearten university students toengage in new researches, opened windows to youngpersons’ views on the SMEs issue, which is one of the issuesfollowed up closely by YASED as one of the recent priorityagenda items of Turkey’s economy. The 11-member jury,after making a diligent analysis of the academic paperssent by under-graduate, graduate and doctorate studentsfrom universities and colleges all around Turkey, did notfind any worthy of the 1st prize. The paper titled “TheImpacts of International Investment on the DomesticIndustry and SMEs in the light of Global Value Chains andBusiness Relationships” of Şerafettin Özsoy from IstanbulTechnical University Departments of Chemistry andManagement Engineering was deemed worthy of the 2ndprize, the paper of Mustafa Malkoç from ZonguldakKaraelmas University, titled “The Impacts of InternationalInvestment on SMEs: The Istanbul Model” received the3rd prize.25

The conference organized for the thirdtime as a two days event , comprised eight sessions thatall focused on international investment trends and relatedsectoral issues. Top executives of multinationalcorporations, bureaucrats and representatives ofinternational organizations demonstrated keen interestin the conference where the economy and the businessworld came together to a large extent for the first timeafter Davos. The opening addresses of the first day of theconference were given by State Minister and DeputyPrime Minister Nazım Ekren and YASED Chairman TahirUysal. Whereas the two-day conference was oriented onFDI expectations and country success stories, the specialsessions dealt with IT, R&D, agriculture & food, energy,real estate and finance sectors. Apart from the regularsessions, the former US Ambassador in Ankara, MarkParris made a speech at the gala dinner on the new postelectionera in the US. The opening of the second day ofthe conference, was made by State Minister MehmetŞimşek. Also, at the closing session, CEO’s made a roundtablediscussion.Seminar on Current Developments Concerning theImprovement of the Employment Environment andEmployment Cost CutsYASED organized a seminar on “Current DevelopmentsConcerning the Improvement of the EmploymentEnvironment and Employment Cost Cuts” on 27 May2009, with the participation of officials from theDirectorate General of Labor and the Turkish EmploymentAuthority (İŞKUR) - both institutions reporting to theMinistry Labor and Social Security.The speakers updated the participants on CCIIE’s ActionPlan on employment, short time work, short time workcompensation, flexible work practices, private employmentoffices, the latest developments on severance pay, furthermeasures than can be taken during the crisis period forcutting employment costs, problems faced in connectionwith working permits and the efforts given for solvingthese, and answered the questions asked by YASEDmembers.26

The seminar, held with intensive participationof YASED members, was opened by a speech evaluatingthe new system given by YASED Vice Chairmanand Chairman of YASED’s Taxes and Incentives WorkingGroup Adnan Nas. Subsequently, the officials of theUndersecretariat made a presentation and enlightenedthe participants on the new incentive system. The seminarended after a Q&A session.RoadshowA meeting was held on 8 April 2009, in cooperation withKocaeli ABİGEM (European Union Business DevelopmentCenter, titled "Foreign Direct Investments and CooperationPossibilities”. Following the speech made by Hamdi Doğan,Secretary General of Kayseri Chamber of Industry, on theissue of economic possibilities of Kayseri, YASED SecretaryGeneral Mustafa Alper made a presentation on theimportance of foreign direct investment, developments,cooperation possibilities, and works for the improvementof the investment environment.A second meeting titled "Mergers & Acquisitions withForeign Capital Companies for SMEs” was held in İstanbul,in cooperation with KOSGEB İstanbul IMES (İstanbulBusiness Development Center) on May 13, 2009. Followingthe presentation made by Mustafa Alper, Secretary Generalof YASED, on the subject of "Foreign Direct Investmentsand Cooperation Possibilities”, one of the membercompanies’ of YASED, FESTO San. ve Tic. A.Ş., Legal AdvisorMrs. Lale Bauer shared the information and herexperiences on M&A and cooperation possibilities forSMEs. As a success story, Dr. Nihat Tanfer, CEO of TancoSağlık Ürünleri A.Ş., shared his knowledge and experienceson the subject of “Process of transition to M&A and itspositive effects on the company”.27

Anayasa Mahkemesi’nin DoğrudanYatırımlar Kanunu’nun ilgili madde bendini iptal kararınıtakiben, Tapu Kanunu’nda değişiklik yapılmış ve ilgili birYönetmelik yürürlüğe girmiştir. Çıkarılan yönetmelik ilesadece askeri ve güvenlik açısından özel alanlardaöngörülen izin prosedürü, pratikte tüm alanlar için izinalınması gerekliliğine dönüşmüş, daha temelde ise yerliyabancısermayeli şirketler arasında eşitlik öngören Kanunilkesine aykırı bir uygulamaya yol açmıştır.YASED üyesi şirketlerin yaşadığı sorunlar ve ortaya çıkandurumun yabancı sermayeli şirketler için yerli şirketlerleeşit muamele ilkesine aykırılık yaratan hukuki durum,ilgili Bakanlıklar (Bayındırlık ve İskan Bakanlığı, İçişleriBakanlığı, Savunma Bakanlığı) ve Hazine MüsteşarlığıYabancı Sermaye Genel Müdürlüğü’ne yapılan çok sayıdaziyaret ve yazışmalarda ve ayrıca Ankara Resepsiyonusırasında Sayın Başbakan’a detaylı olarak aktarılmıştır.İlgili resmi mercilerde yürütülen temasların yanı sıra hukukisüreç de başlatılmış, YASED ilgili Yönetmelik’inyürütmesinin durdurulması ve iptali için 9 Ocak 2009tarihinde Danıştay’da dava açmıştır.YASED sorunun temelden çözümü için, konuyla ilgiliolarak yaklaşımını izin süreçlerinde yaşanan sorunlardanziyade, eşitlik ilkesine aykırılık dayanağı üzere yürütmeyedevam edecektir.OTHER ACTIVITIESInitiatives Regarding the Problems Related to Real EstateAcquisition of Companies with Foreign CapitalOur member companies have faced significant difficultiesfollowing the amendments made in the legislation relatedacquisition of real estate in 2008. Subsequent to the rulingof the Constitutional Court, which repealed the relatedarticle of the Foreign Direct Investment Law, an amendmentwas made in the Real Estate Registration Law and a newregulation was put into force on the subject matter. Withthe new regulation, the permit procedure -which wasproposed only for special land, such as military territoriesor other territories that require special security measurescameto be demanded for all territories, in practice. Thisamendment essentially paved the way for animplementation that infringes the non-discriminationprinciple of the Law, which approaches companies withdomestic or foreign capital equally.The problems experienced by YASED member companiesand the legal situation that discriminates between foreigncapital companies and domestic ones were reported tothe related ministries (i.e. the Ministry of Public Works andSettlement, the Ministry of the Interior, the Ministry ofDefense) and to the Undersecretariat of Treasury - GeneralDirectorate for Foreign Investment, through visits and bymeans of official letters, and were also conveyed in detailto the Prime Minister at YASED’s Ankara Reception. Apartfrom the contacts made to the related public authorities,a legal process was launched and a suit was filed by YASEDat the State Council on 9 January 2009 for the suspensionof execution and annulment of the subject regulation.YASED will continue to approach this issue by putting theemphasis on the violation of the equality principle, ratherthan problems related to permit process, in orderto reach a radical solution to the problem.Şeker Kanunu’ndan Kaynaklanan Sorunlara YönelikTemaslarYASED, misyonu doğrultusunda, serbest ticareti, serbestrekabeti, yatırım özgürlüğünü ve sermayenin serbestdolaşımını teşvik etmeye yönelik temaslarınısürdürmektedir. Short- and longtermsolution proposals for the problems caused by quotaimplementations were reported in line with the positionpaper drawn up by our related members, to the Ministryof Industry and Commerce, where the Sugar Authority is28

Söz konusu çalışma gruplarından üyelerimizadına temsilde fayda gördüğümüz gruplara katılımgöstererek görüşlerimiz iletilmiştir. Thestrategy document prepared by SPO was shared by thepublic in October, during the 2009 IMF-World Bank annualmeetings held in Istanbul.Talks on the OECD Convention on Combating Bribery ofForeign Public Officials in International TransactionsThe “OECD Convention on Combating Bribery of ForeignPublic Officials in International Business Transactions”has been signed by Turkey. A two-phased surveillanceprocedure has been laid down, with the purpose toevaluate the compliance of participating countries to theConvention. Phase-I of this surveillance procedure in ourcountry was fulfilled and approved. Phase-II of the processwas decided to repeat.According to the current plan, the OECD Secretariat andthe specialists were to make face-to-face meetings withthe public and private sector in Ankara and Istanbul.YASED has participated at the information meeting heldin Ankara before these meetings, and participated in themeeting with the visiting OECD committee in Istanbul.An information note has been posted at YASED’s website(www.yased.org.tr) to update our members about theconvention.29

The report is well-knownwith the country rankings it publishes in various subcategories.YASED contributes to the surveys made on“Starting a Business” and “Employing Workers” subcategories,and subsequently follows up and voices theresults of these on related platforms such as CCIIE.Investment Climate Assessment (ICA) Report for TurkeyThe findings in the results of the surveys made for ICAreports prepared by the World Bank are analyzed by theWorld Bank experts, and policies are developed for theproblems that emerge in connection with these issues.To lay the groundwork for the 2009 Report, thedeterminations made in the 2007 Report were updated,and 3 key issues, namely “Company Growths”, “ProductionChain”, and “Regulatory Reforms were focused on in theII Part of the Report for investigating the reasons of somefindings in these surveys results. In this framework, YASEDhas participated in the round table meetings, the WorldBank experts held, with the representatives of relatedprivate and public sector establishments and organizationsduring their visits to Turkey in September and November,and has shared its views with the participants. The findingsof the report and the views developed at these meetingswere shared at CCIIE meetings with the members of theCoordination Board.30
