RFQ <str<strong>on</strong>g>document</str<strong>on</strong>g> <str<strong>on</strong>g>for</str<strong>on</strong>g> <str<strong>on</strong>g>development</str<strong>on</strong>g> <str<strong>on</strong>g>of</str<strong>on</strong>g> Four Laning <str<strong>on</strong>g>of</str<strong>on</strong>g> Rewa Ring Road <strong>on</strong> BOT (Toll + Annuity) basis(iii)violate the memorandum and articles <str<strong>on</strong>g>of</str<strong>on</strong>g> associati<strong>on</strong>, bylawsor other applicable organisati<strong>on</strong>al <str<strong>on</strong>g>document</str<strong>on</strong>g>s there<str<strong>on</strong>g>of</str<strong>on</strong>g>;(iv) violate any clearance, permit, c<strong>on</strong>cessi<strong>on</strong>, grant,license or other governmental authorisati<strong>on</strong>, approval,judgement, order or decree or any mortgage agreement,indenture or any other instrument to which such Party isa party or by which such Party or any <str<strong>on</strong>g>of</str<strong>on</strong>g> its propertiesor assets are bound or that is otherwise applicable tosuch Party; or(v)create or impose any liens, mortgages, pledges, claims,security interests, charges or Encumbrances or obligati<strong>on</strong>sto create a lien, charge, pledge, security interest,encumbrances or mortgage in or <strong>on</strong> the property <str<strong>on</strong>g>of</str<strong>on</strong>g>such Party, except <str<strong>on</strong>g>for</str<strong>on</strong>g> encumbrances that would not,individually or in the aggregate, have a material adverseeffect <strong>on</strong> the financial c<strong>on</strong>diti<strong>on</strong> or prospects or business<str<strong>on</strong>g>of</str<strong>on</strong>g> such Party so as to prevent such Party from fulfilling itsobligati<strong>on</strong>s under this Agreement;(c)(d)this Agreement is the legal and binding obligati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> suchParty, en<str<strong>on</strong>g>for</str<strong>on</strong>g>ceable in accordance with its terms against it; andthere is no litigati<strong>on</strong> pending or, to the best <str<strong>on</strong>g>of</str<strong>on</strong>g> such Party'sknowledge, threatened to which it or any <str<strong>on</strong>g>of</str<strong>on</strong>g> its Affiliates is aparty that presently affects or which would have a materialadverse effect <strong>on</strong> the financial c<strong>on</strong>diti<strong>on</strong> or prospects or business<str<strong>on</strong>g>of</str<strong>on</strong>g> such Party in the fulfillment <str<strong>on</strong>g>of</str<strong>on</strong>g> its obligati<strong>on</strong>s under thisAgreement.8. Terminati<strong>on</strong>This Agreement shall be effective from the date here<str<strong>on</strong>g>of</str<strong>on</strong>g> and shallc<strong>on</strong>tinue in full <str<strong>on</strong>g>for</str<strong>on</strong>g>ce and effect until the Financial Close <str<strong>on</strong>g>of</str<strong>on</strong>g> the Projectis achieved under and in accordance with the C<strong>on</strong>cessi<strong>on</strong> Agreement,in case the Project is awarded to the C<strong>on</strong>sortium. However, in case theC<strong>on</strong>sortium is either not pre- qualified <str<strong>on</strong>g>for</str<strong>on</strong>g> the Project or does not getselected <str<strong>on</strong>g>for</str<strong>on</strong>g> award <str<strong>on</strong>g>of</str<strong>on</strong>g> the Project, the Agreement will stand terminatedin case the Applicant is not pre-qualified or up<strong>on</strong> return <str<strong>on</strong>g>of</str<strong>on</strong>g> the BidSecurity by the Authority to the Bidder, as the case may be.9.
