18. The contractor shall keep Spares as in Annexure I for ready replacement andservicing.19. The hardware and software problems reported by the users will be available in theCompliant handling system or notified to the contractor’s engineer and have to beattended by them based on priority indicated. On some occasions such complaintsmay be given directly by CSL personnel on non-working days/off duty hours or inemergency telephonically at additional cost of Rs 500/- per day. For all suchcomplaints given telephonically, service engineer will have them recorded on theAMC logbook on the first available occasion and attend to them at the earliest.20. The contractor shall depute service engineers from list of service engineers only.Approval will be done on the list of Service personnel to be given with bio data in thetechnical offer. Only these approved service engineers shall be allowed to attend tothe service calls. A list of 3 service personnel and two standby engineers shall beapproved for providing service. Prior written approval is required for changing servicepersonnel. Service Engineers shall maintain proper discipline and code of conduct..21. The approved service engineers, two in ISD and one in Ship Repair shall sign theattendance register at 0830 Hrs. on all working days and be available up to 1700 Hrs.in the evening. They shall be responsible for attending all user related problems andprovide facility management services for equipments outside AMC also. Forequipments in warranty, only first level of service, where the problem is identified andstandby arrangement may be provided with CSL system.22. The requirement of keeping a minimum of three service engineers will be mandatory.A penalty of Rs 300/- per person per working day will be applicable on absence as inPenalty clause. Service engineers shall be from the approved list of qualified serviceengineers only who are permanent employees on rolls with ESI, PF, Accidentcoverage Insurance and other statutory and legal compliance requirements forcarrying annual maintenance contract in Cochin Shipyard.23. The service personnel have to be provided with Personnel Protection Equipmentsand comply with the Safety Rules and Regulations prevalent in CSL from time totime.24. The services of the engineer may be required beyond office hours on working dayson some occasions to meet emergency situation. The contractor shall ensure that onsuch occasions, the personnel are deputed.25. The Maintenance Contractor shall not subcontract or permit any third party other thanthe Maintenance Contractor’s personnel to perform any of the work or services underthis Agreement without prior consent of Cochin Shipyard.26. The Contractor should ensure that the Service Engineers strictly follow the Safetyrules and regulations and use Personnel Protection Equipments (PPE) as applicablefor safe working in CSL.27. Offers are to be furnished in duplicate and should be free from overwriting.Corrections and additions, corrections if any, must be attested.28. Prices quoted should be valid for acceptance for a period of four months from date ofopening of quotation. The price should be quoted for a period of one year in theformat placed at Annexure and shall remain firm during the tenure of the contract.29. No enhancement of rate for whatever cause will be allowed once the offer is acceptedand an order is placed. Withdrawal of the quotation after it is accepted or failure to


deliver the services will entail the cancellation of the order and forfeiture of EarnestMoney/Security deposit, if any and /or risk purchase.30. All taxes and duties if any and any payable extra amount for the servicing is to beclearly indicated in the price part.31. Security Deposit The successful tenderer shall remit a security deposit of 20 % ofthe order value by way of Bank Guarantee as per CSL format from a Nationalized orScheduled Indian Bank, if the order is placed towards satisfactory performance of thecontract and for the enforcement of agreed performance. The Bank Guarantee shallbe valid till the completion of the contract.32. All the equipments should be maintained in good working condition till the completionof the AMC, failing which security deposit will be forfeited.33. CSL does not bind itself to accept the lowest or any tender and reserves the right toreject any or all or a part of any tenders/bids at its discretion.34. Cochin Shipyard shall have the option to terminate the agreement at any time if theservice is found to be unsatisfactory. A quarterly review of the Service will be carriedout and if found unsatisfactory, the contract can be terminated which shall be finaland binding.35. The AMC charges shall be paid quarterly on satisfactory completion of the serviceafter deducting penalty if any, present on the occasion.36. The successful bidder must sign an undertaking in a prescribed format.37. Tenderers are to carefully go through the terms and conditions and the technicalspecifications of the items for which offers are called for. Deviations, if any shall bespecifically brought out in the offer.38. In case any of the conditions is not acceptable to the tenderer, it should bespecifically indicated in the tender failing, which it will be presumed that all the termsand conditions are acceptable.D. Penalty Clauses1. Down time Penaltya) The Contractor shall be liable to pay downtime penalty at the following rate fornon repair of systems and peripherals after problems are reported beyond thefree period of three working days. This shall also cover intermittent failuresand repetitive problems due to improper diagnosis or repair which shall betreated as continuously down.b) Whenever the systems cannot be repaired and made fully functional withinthree working days, the Vendor will have the option to provide alternateequipment of matching specification as standby arrangement. This standbyequipment has to be replaced with original equipment within a span of 15days beyond which it will again attract penalty.c) If any defective items are not made ready within fifteen days, it shall bearranged to be rectified by other agencies and charged to the AMC contractor


d) Down time penalty charges1) Rs 200 per day for desk top computers2) Rs 100 per day for printers3) Rs 50 per day for Scanners, UPS and other peripherals.4) Rs 20 per day for Keyboard, mouse5) Rs 100 per quarter for not doing Preventive Maintenance requested.2) Penalty for absence of approved service engineersPenalty for absence or part thereof of approved service engineers.a) Rs 300 per day or Rs 150 for half day as applicable.E. Obligations of Cochin Shipyard.a) The Cochin Shipyard shall pay Annual maintenance charges for the Equipmentas per rates specified in Annexure. The maintenance charges are payable at theend of each quarter on the basis of satisfactory feedback from the users.b) Cochin Shipyard shall be responsible for assuring the proper use, managementand supervision of the equipments.F. FORCE MAJEUREThe Maintenance Contractor shall not be responsible or liable for any failure or delayon its part to fulfill or perform any of the Terms or Obligations, if such failure or delay iscaused by any factor or any event beyond the reasonable control of the MaintenanceContractor (including but not limited to Fire, Earthquake, Waves, Insurrection riots, Civilcommotion, Government actions, Licenses, Embargoes, Orders or Restrictions).G. CONFIDENTIALITYThe Maintenance Contractor acknowledge that all material and information whichhas or will come into its possession or knowledge in connection with this work or theperformance hereof, consists of confidential and propriety data, whose disclosure to or useby third parties will be damaging or cause loss to CSL “the Maintenance Contractor agreesto hold such material information in strictest confidence, not to make use there of other thanfor the performance of this work, to release it only to employees requiring such information,and not to release or disclose it to any other parties. The Maintenance Contractor shalltake appropriate action with respect to its employees to ensure that the obligation of nonuseand non-disclosure of confidential information under this work are fully satisfied.H. INDEMNITY AND INSURANCEThe maintenance Contractor waives all rights against CSL and shall indemnify andhold CSL, its representative agents and employees harmless from and against any and allclaims and liabilities, in respect of damages to or loss of Maintenance contractor’s propertyof all sorts including loss of use thereof and also in .respect of all claims for death or injurycaused to any of the contractor’s personnel, arising out or in relation to the performance ofthe CONTRACT.


The Maintenance Contractor shall indemnify CSL against all claims for death orinjury caused to any person, where a workman or not, while engaged in any processconnected with the contract or for dues of any kind whatsoever and CSL shall not be boundto defend any claim brought under the Workmen’s Compensation Act 1923, or for duesunder the Payment of Wages Act 1936 or under the Employees Provident Fund Act, or theEmployees State Insurance Act, or any other Statutory Act or Law from time to time andapplicable to the said work.I. JURISDICTION AND ARBITRATION.All disputes or differences arising between parties in respect of these Terms andconditions shall be settled by arbitration as per the Arbitration Act, 1940 and only Courts inErnakulam shall have Jurisdiction in all matters arising out or connected with thisAgreement.Date:Signature and Seal of the Tenderer
