M E M O R A N D U MEUGENE WATER & ELECTRIC BOARDTO: <strong>Commissioner</strong>s Simpson, Brown, Helgeson, Manning and MitalFROM: Roger Gray and Taryn JohnsonDATE: March 5, 2013SUBJECT: <strong>Commissioner</strong> <strong>Request</strong> <strong>to</strong> <strong>Change</strong> <strong>or</strong> <strong>Edit</strong> <strong>Board</strong> <strong>Minutes</strong>Minute C<strong>or</strong>rections and AdditionsEWEB meeting minutes are not intended <strong>to</strong> be verbatim transcriptions of EWEB <strong>Board</strong> meetings.Rather they are intended <strong>to</strong> cover decisions, votes, outcomes and the basic essence of discussionduring <strong>Board</strong> meetings. <strong>Minutes</strong> may also include written materials submitted during publiccomment as well. Occasionally, <strong>Board</strong> Members <strong>or</strong> Management may feel that draft minutes areinaccurate (minutes are draft until they are approved by the <strong>Board</strong> in which case they are final)C<strong>or</strong>rections Process – Individual <strong>Board</strong> members (<strong>or</strong> Management, if applicable) may makesuggested c<strong>or</strong>rections <strong>or</strong> additions <strong>to</strong> the draft minutes if the proposed meeting minutes are factuallyinc<strong>or</strong>rect in summarizing discussion <strong>or</strong> statements made at the meeting <strong>or</strong> if they contain “typos” <strong>or</strong>are missing key w<strong>or</strong>ds <strong>or</strong> phrases that are material in nature and could lead <strong>to</strong> confusion in thefuture.From a process standpoint, once the draft minutes are created and presented in the <strong>Board</strong> package,<strong>Board</strong> Members <strong>or</strong> Management may propose changes in advance <strong>to</strong> the Executive Assistant. Suchproposed changes will be specific in the f<strong>or</strong>m of a “red-line” <strong>to</strong> the draft minutes. F<strong>or</strong> example,strike the w<strong>or</strong>d AAAAA and replace with BBBBB. Proposed changes shall not be general in naturesuch as, “I don’t think that is what I said <strong>or</strong> I did not say it that way.” If a <strong>Board</strong> member feels thatkey inf<strong>or</strong>mation is missing then they may suggest additional text consistent with their recollection ofwhat was said <strong>or</strong> they may request that the Executive Assistant obtain verbatim rec<strong>or</strong>dings of thatp<strong>or</strong>tion of the meeting <strong>to</strong> assist with proposed changes.The Executive Assistant will consult with the EWEB minutes rec<strong>or</strong>der <strong>to</strong> assess whether theproposed changes are clearly supp<strong>or</strong>ted by the rec<strong>or</strong>ding <strong>or</strong> not. If the proposed changes are clearlysupp<strong>or</strong>ted by the rec<strong>or</strong>ding the Executive Assistant will prepare an amended version of said minutesin advance (in red-line f<strong>or</strong>m) with a statement that the proposed changes are clear andincontrovertible. The amended version shall be considered part of the consent calendar f<strong>or</strong> n<strong>or</strong>malapproval. The Executive Assistant shall make it clear that the amended version is the version thatthe <strong>Board</strong> is acting upon when the <strong>Board</strong> acts on the consent calendar.If in the Executive Assistant’s judgment the change is either not supp<strong>or</strong>ted by the minute taker’sverbatim rec<strong>or</strong>ding <strong>or</strong> the proposed change is potentially arguable, then the Executive Assistant willprepare both a redline version of the draft minutes and obtain a verbatim transcription of that p<strong>or</strong>tionof the audio tape(s) <strong>to</strong> determine the appropriateness of the proposed changes. Those draft minutes1


will be pulled by the <strong>Board</strong> President from the consent calendar so that the <strong>Board</strong> can discuss thedraft minutes, proposed changes and the verbatim transcript. An example of “arguable” is if one<strong>Board</strong> member proposes <strong>to</strong> add language directly from the rec<strong>or</strong>ding that is consistent with therec<strong>or</strong>ding, but appears <strong>to</strong> “bolster” an argument on one side of an issue while leaving the other sideof the argument out. Again, EWEB minutes are intended <strong>to</strong> capture the essence of discussion andnot be verbatim.If a maj<strong>or</strong>ity of the <strong>Board</strong> agrees that the requested c<strong>or</strong>rection <strong>or</strong> addition is accurate <strong>or</strong> consistentwith EWEB’s minute’s practices, the minutes will be changed as proposed in the red-line <strong>or</strong> asamended at the <strong>Board</strong> meeting.If the minutes accurately reflect what was said, regardless of the accuracy of the statement itself, theminutes will not be c<strong>or</strong>rected. The process <strong>to</strong> change minutes is not intended <strong>to</strong> change what wasactually said in the past. However, if a <strong>Commissioner</strong> and Management feel they wish <strong>to</strong> c<strong>or</strong>rectwhat they said they can do so, on a new rec<strong>or</strong>d, but not change the past rec<strong>or</strong>d.In this instance, a <strong>Commissioner</strong> <strong>or</strong> Management may ask that a clarifying <strong>or</strong> c<strong>or</strong>recting statement beentered in<strong>to</strong> the minutes of the current meeting.Once the <strong>Board</strong> meetings minutes have been approved – no changes/ edits <strong>or</strong> additions can be made.If, in the future, a <strong>Board</strong> member <strong>or</strong> Management believes approved minutes contain a materialfactual err<strong>or</strong> they may make a statement on the current meeting rec<strong>or</strong>d their finding <strong>or</strong> belief.Please contact Roger Gray <strong>or</strong> Taryn Johnson if you have questions.F<strong>or</strong> additional inf<strong>or</strong>mation please refer <strong>to</strong> <strong>Board</strong> Policy GP 7.2
