Legislation <strong>and</strong> steps <strong>of</strong> doing Business in Armenia 31In order to launch an entrepreneurial activity in <strong>the</strong> Republic <strong>of</strong> Armenia it is necessaryto register as a commercial legal entity (LE) or sole proprietor (SP).It is comparatively easy to register as a sole proprietor in regard with requireddocuments, cost <strong>and</strong> duration. In general for SP registration it is required to pay AMD 3000 asa registration fee <strong>and</strong> fill in an application form <strong>and</strong> submit it to <strong>the</strong> State Registry. Theregistration certificate for SP is given during 2 days.In Armenia <strong>the</strong>re are various types to register as commercial legal entities, such asproduction cooperatives, companies (Limited liability companies (LLC), Supplementary liabilitiescompanies (SLC), Joint stock companies (JSC)) <strong>and</strong> commercial partnerships (full partnership(FP) <strong>and</strong> limited partnership (LP)). For registering as a commercial legal entity it is required: topay AMD 5,000 to any bank as a state duty in order to register <strong>the</strong> name <strong>of</strong> <strong>the</strong> company; topay AMD 12,000 to <strong>the</strong> appropriate account in order to register <strong>the</strong> company at <strong>the</strong> StateRegistry. Registering <strong>the</strong> company name takes 2 days. After obtaining necessary documents, aregistration application should be submitted to <strong>the</strong> State Registry <strong>and</strong> during 5 working days<strong>the</strong> company’s registration certificate is given.Regardless <strong>the</strong> fact whe<strong>the</strong>r a company or a sole proprietor was registered, <strong>the</strong>ir namesshould be <strong>of</strong>ficially recorded at <strong>the</strong> State Tax Service in 30 days after registration in order toobtain a taxpayer’s ID number (TIN), <strong>the</strong>reafter, to be recorded at <strong>the</strong> Social Security Fundrequires submitting <strong>the</strong> copy <strong>of</strong> registration certificate <strong>and</strong> <strong>the</strong> TIN. After accomplishing <strong>the</strong>above-mentioned steps, <strong>the</strong> LE seal should be obtained which is not obligatory for SPs.By estimation <strong>of</strong> <strong>the</strong> World Bank for launching a business for commercial legal entities itis required 9 steps <strong>and</strong> 18 days. The steps include registering <strong>the</strong> name <strong>of</strong> <strong>the</strong> company at <strong>the</strong>State Patent Department (2 days), Procuring a written statement <strong>of</strong> deposited charter capitalat a bank (1day), obtaining a Registration Application from <strong>the</strong> State Registry Office <strong>and</strong> fillingit out (1 day), paying <strong>the</strong> registration fee at any bank (1 day), registering with <strong>the</strong> StateRegistry (7 days), registering with tax authorities <strong>and</strong> obtaining a TIN (2 days), obtaining aright at <strong>the</strong> National Police Department to order a seal for all <strong>of</strong>ficial company transactions (1day); order a seal (2 days), registering with statistical <strong>of</strong>fice (1 day). If <strong>the</strong> entrepreneurial activity requires licensing, it is necessary to apply to <strong>the</strong>appropriate licensing body to obtain <strong>the</strong> license. The types <strong>of</strong> activities subject to licensing aredefined by <strong>the</strong> Law on “Licensing”. There are two types <strong>of</strong> licenses. Simple license, which isgiven by <strong>the</strong> Ministry <strong>of</strong> Finance <strong>and</strong> Economy within 3 days since submitting <strong>the</strong> necessarydocuments. Normally, <strong>the</strong> type <strong>of</strong> this license is obtained for an indefinite period <strong>of</strong> timewithout consideration by <strong>the</strong> licensing commission. Compound license is given for an indefiniteperiod <strong>of</strong> time, unless o<strong>the</strong>rwise is specified by law. The license is issued within 30 days <strong>of</strong>submitting <strong>the</strong> application after consideration by special licensing commission, which may becomposed by <strong>the</strong> representatives <strong>of</strong> various agencies <strong>and</strong> ministries. It must be said that <strong>the</strong>documents for obtaining <strong>the</strong> license are exact <strong>and</strong> not many.Not withst<strong>and</strong>ing <strong>the</strong> chosen form <strong>of</strong> registration, in case <strong>of</strong> implementing export orimport transactions it is also necessary to be registered at <strong>the</strong> State Customs Committee. Thecustoms clearance procedures <strong>of</strong> exported or imported goods are carried out at <strong>the</strong> customhouse<strong>of</strong> <strong>the</strong> region where <strong>the</strong> company was registered.One <strong>of</strong> <strong>the</strong> most important issues to launch entrepreneurial activity are endeavorsdealing with <strong>the</strong> procedures, time, <strong>and</strong> costs to build a warehouse, including obtainingnecessary licenses <strong>and</strong> permits, completing required notifications <strong>and</strong> inspections, <strong>and</strong>obtaining utility connections. In general, <strong>the</strong>re are about 19 requirements, <strong>the</strong> satisfaction <strong>of</strong>which takes around 214 days. These include applying <strong>and</strong> obtaining architectural-constructionalassignment (38 days), requesting <strong>and</strong> obtaining technical conditions approval from waterauthority (20 days), architectural plan approval from telecommunications provider (7 days),architectural plan approval from electricity provider (17 days), expertise approval <strong>of</strong>architectural drawings (20 days); submitting Architectural Drawings after Expertise Approval to<strong>the</strong> Municipality <strong>and</strong> obtaining building permit (22 days), requesting ground work inspectionfrom licensed Geologist (1 day), receiving foundation inspection (1day), frame inspection(1day), ro<strong>of</strong> inspection (1 day), requesting <strong>and</strong> connecting to electricity services (10 days),requesting water <strong>and</strong> sewage services (9 days), receiving water <strong>and</strong> sewage inspection <strong>and</strong>connecting (1 day), requesting <strong>and</strong> connecting to telephone (8 days), requesting <strong>and</strong> obtainingcompletion <strong>of</strong> construction certificate (14 days), requesting final inspection from <strong>the</strong>municipality <strong>and</strong> applying for occupancy permit (28 days), receive on-site final inspection <strong>and</strong>obtaining occupancy permit (1 day), registering <strong>the</strong> building with <strong>the</strong> Cadastre (14 days),Receiving on-site inspection for building registration (1day).One <strong>of</strong> <strong>the</strong> important steps <strong>of</strong> doing business is registering property. To this concernfirst <strong>the</strong> seller should obtain a special reference on restrictions towards <strong>the</strong> property at <strong>the</strong>appropriate local <strong>of</strong>fice <strong>of</strong> <strong>the</strong> State Committee <strong>of</strong> <strong>the</strong> Real Property Cadastre within 2-3 days.The total cost to complete <strong>the</strong> procedure is AMD 19,000.The second requirement is to makepayment <strong>of</strong> stamp duty (for notarization) <strong>and</strong> notarization <strong>of</strong> sale-purchase agreement bypublic notary within one day. The cost is AMD 20,000 (Stamp duty for Notarization <strong>and</strong>Notary’s fees). After it <strong>the</strong> local <strong>of</strong>fice <strong>of</strong> <strong>the</strong> Cadastre registers <strong>the</strong> title <strong>and</strong> provides aregistration certificate to <strong>the</strong> new owner. For this is needed 2-7 days (7 days regular procedure<strong>and</strong> 2 days <strong>the</strong> fastest). The cost is AMD 40,000 (Stamp duty for registration) + AMD 10,000(registration fee) + AMD 1,000 (cost <strong>of</strong> cameral works) + AMD 3 per square meter (cost <strong>of</strong>measurement works for l<strong>and</strong>) + AMD 20 per square meter (cost <strong>of</strong> measurement works forbuildings <strong>and</strong> constructions).Ease <strong>and</strong> convenience <strong>of</strong> doing business in any country is closely related to <strong>the</strong> issues <strong>of</strong>protecting investors. There are some dimensions <strong>of</strong> investor protection: transparency <strong>of</strong>transactions, liability for self-dealing, shareholders’ ability to sue <strong>of</strong>ficers <strong>and</strong> directors formisconduct, which define <strong>the</strong> strengths for investor protection. It is worth to mention that inArmenia <strong>the</strong> existing mechanisms for investor’s protection are not strong <strong>and</strong> capable yet.There is much to do to achieve notable results in this area.91
