It shall be your duty to inspect the goods on delivery and no claim for non delivery, shortages, damages or incorrectdelivery will be entertained unless:i it is notified to us by telephone within 72 hours and also confirmed in writing within 7 days of delivery,andii we have been given an opportunity of inspecting the goods before removal from the point of delivery.B. Any other claim of whatsoever nature arising from a delivery must be made in writing not more than 28 days afterthe date of delivery.C. No claim out of damage loss or delay of goods in transit will be entertained unless, in addition to any otherrequirements herein set out, we are notified in writing in sufficient time to enable a claim to be made on the carrier.D. Claims should be limited in each case to the invoice price or at our option the replacement of the goods in respect ofwhich the claim arises and the amount of the claim must be calculated and notified in writing to us with the timespecified in this clause. We shall not be liable for any consequential loss of damage or any other losses or expenseshowever arising.2A. Payments shall be made in full in cash or cleared funds to us at Armitage House, Colwick, Nottingham, NG4 2BA within28 days of delivery.B. Interest shall become due and payable at the rate of 3% above the current HSBC Bank plc base rate per annumruling at the time of delivery on all sums (including interest) overdue both before and after any judgement untilpayment is received. We will be entitled to suspend deliveries of the goods until the outstanding amount(including interest) has been received.3. Risk of PropertyA. The risk in the goods shall pass to the customer upon delivery of the goods to the customer or any carrier acting onthe customer’s behalf.B. The property in the goods shall not pass to the customer until the full price of the goods and goods which are thesubject of any other contract between the customer and the company is paid.C. Until such time as the full price of all such goods has been paid:i they shall be held by the customer in a fiduciary capacity and stored by the customer at its premises in such amanner that they are clearly identifiable as the goods of the Company and shall be kept separate from any othergoods whether or not supplied by the Company.ii they shall be handed over to the Company on demand and the Company shall be entitled to re-take possession ofthem without prejudice to any of its other rights against the customer and the Company is hereby granted a licenceto enter into the customer’s premises for the purpose of recovering the goods.D. If the customer fails to pay for the goods in accordance with these terms, the Company may bring an action againstthe customer for the price at any time, even though the property in the goods has not passed to the customer.4. If the Customer becomes subject to an administration order or (being an individual or firm) becomes bankrupt or(being a company) goes into liquidation or if a Receiver shall be appointed then we may rescind the contract orsuspend or cancel delivery or recover the possession of any goods for which payment in full has not been received.5. Goods will be delivered carriage paid (mainland UK only) on all orders of £350 value, subject to suitable vehicularaccess at point of destination and standard 17 ton vehicle being used.6. You will indemnify us against any loss or damage whatsoever which we may suffer arising from our printing orusing in any way labels, packaging and any other printed matter where said printing or use was in accordance withyour instruction or authority.7.
