All other terms and conditions of the Policy shall remain unchangedand in full force.ACE elite FINANCIAL INSTITUTIONS CIVIL LIABILITY INSURANCEInsuring ClausesPOLICYACE will pay to or on behalf of the Insured all Civil Liability Loss arising from any Claim firstmade against the Insured in the Policy Period or an applicable Discovery Period for WrongfulActs of the Insured, or the conduct of any other person for which the Insured is legallyresponsible, while performing or failing to perform Professional Services.Exclusions4.1 Improper ConductACE will not pay for any Civil Liability Loss directly or indirectly caused by, arising outof or in any way connected with the conduct of any Insured or of any person for whoseactions the Insured is legally responsible which involves:(a)(b)(c)(d)committing or permitting any wilful, knowing or reckless breach of duty or violationof any Applicable Regulations; orcommitting or permitting any criminal, fraudulent or dishonest act or omission; orprofits made from the sale or purchase by the Insured of securities of thePrincipal Organisation within the meaning of Section 16(b) of the SecuritiesExchange Act 1934 (USA) and any amendment to this or any similar provisions inany other territory; orany actual or attempted personal profit, secret profit or advantage gained by anyInsured to which the Insured was not entitled.This Exclusion only applies where such conduct has been established to have occurred386
