Payment obligations that are disputed by the Buyer in writing will not be consideredoverdue for the purpose of this clause.9. Any Loss arising in any country not specified in the Policy Schedule or in an endorsement.10. Any debts that are purchased or otherwise acquired by the Insured from any entity unlessagreed in writing by the Company and evidenced by an endorsement.11. Any Loss insured elsewhere.12. Any post-maturity, penalty or other interest accrued on balances unpaid after the originalDue Date.13. Nuclear reaction or nuclear radiation or radioactive contamination.14. War between the People's Republic of China, France, the United Kingdom, the RussianFederation and/or the United States of America.ACE elite Directors & Officers Excess Liability Insurance PolicyInsuring Clauses:A.The Insurer will provide insurance coverage to the Insureds during (1) the Policy Period and(2) the Discovery Period if applicable, up to the Limit of Liability excess of the UnderlyingLimit in accordance with the terms, conditions, and limitations of the Primary Policy and allthe more restrictive terms, conditions, and limitations of Underlying Excess Policies, exceptas may be otherwise provided by this policy.B. The insurance as provided by this policy shall attach:(a) as excess cover, but only after Exhaustion of the Underlying Limit, or(b) as primary cover, subject to the remaining amount of the Limit of Liability, but onlyafter Exhaustion of the Underlying Limit. Such primary cover shall only be availablefor loss arising from Claims other than those which have led to Exhaustion of theUnderlying Limit.Exclusion:The Insurer shall not be liable under this policy for any loss based upon, arising from orattributable to any pending or prior litigation or other proceedings (including but not limited tocivil, criminal, regulatory and administrative proceedings or official investigations) involving theCompany, any of its Subsidiaries, an Outside Entity or an Insured and issued or otherwisebegun on or before the Pending or Prior Date shown in Item 3 of the Schedule, or alleging orderived from the same or substantially the same facts or circumstances alleged in the pendingor prior litigation or proceedings.ACE elite Directors & Officers Excess Liability Insurance PolicyE163 Not following underlying endorsementNotwithstanding anything to the contrary in this policy, it is understood and agreed thatendorsement no.
