Special condition:Coverage under this buyer endorsement is conditioned upon , maintaining a majorityownership of the buyer. If the insured becomes aware of an ownership change, it must informthe company, who then reserves the right to review the buyer.Comprehensive Credit Insurance Policy (Single Buyer Limit)-ADDITIONAL INSURED AND SPECIAL CONDITIONS ENDORSEMENTItem No. 1 of the Declarations is amended by the addition of the following Additional Insuredsubject to the conditions set forth below:Additional Insured:Special Conditions:1. All notices will be directed to the Insured shown on the Declarations (the “Insured”).2. All claim payments due in accordance with the Policy will be made to the Insured.3. All Premium due in accordance with the Policy will be paid by the Insured.4. The Insured is responsible for any applicable insurance premium taxes including butnot limited to applicable direct procurement taxes due in accordance with the laws ofthe state in which the Insured is located. The independent procurement tax in theState of Texas that applies to this insurance is 4.85 percent of the gross premiumscharged by the Insurers pertaining to the Additional Insured, as calculated by theInsurers, following submission of the gross invoice value of Reportable Transactionseach quarter in accordance with the Premium Endorsement. The Insurers shall haveno responsibility for payment of said tax, and the Insured shall pay such tax directly tothe appropriate authorities in the State of Texas.5. When submitting to Insurers the gross invoice value of Reportable Transactions eachquarter in accordance with the Premium Endorsement, the Insured shall submit aseparate report for the Insured and the Additional Insured.6. If the Insured fails to pay the applicable independent procurement tax when due, thenthe Insured and the Additional Insured agree to be jointly and severally liable andresponsible to indemnify and hold the Insurers harmless for any loss, cost, damage or361
