所 列 之 累 積 責 任 限 額 之 一 部 份 , 而 非 另 外 計 算 。 本 擴 大 承 保 事 項 適 用 之 自 付 額 為 美 金 [ 填 寫 金 額 ] 元 。本 附 加 條 款 未 約 定 事 項 悉 依 本 保 險 單 約 定 辦 理 。ACE elite III Preferred Directors & Officers Liability Insurance PolicyCompany:Effective Date of Endorsement:E207 Continuous Cover AmendedBy way of endorsement to the policy, the parties agree as follows (subject otherwise to all other terms,conditions, limits of liability and exclusions of the policy):Extension 7.8 Continuous Cover is hereby deleted in its entirety and replaced by the following:7.8 Continuous CoverThis policy extends to cover the Insured for any Claim, Investigation or any Wrongful Act which maygive rise to a Claim, which could have been notified to the insurer(s) under an earlier directors and officersliability insurance policy issued by the insurer(s) and which is notified during the Policy Period orDiscovery Period (if applicable), provided that:(i) there has been no fraudulent non-disclosure or fraudulent misrepresentation in respect of any suchClaim, Investigation or Wrongful Act which may give rise to a Claim (each being a "PriorMatter"); and(ii) the Insured has maintained, without interruption, a directors and officers liability insurance policywith the Insurer or another insurer from the Pending or Prior Litigation Date shown in Item 5 of theSchedule up until the date this policy commenced; and(iii)(iv)(v)the Insured first became aware of the Prior Matter until the date this policy commenced; andcover under this Extension will be in accordance with the terms, conditions, exclusions andlimitations (including the Insuring Agreement, Schedule, limit of liability and retention) of this policy,but only where this policy affords no broader cover in respect of the Claim than the provisions of thepolicy in force at the time the Insured first became aware of the Prior Matter; andany Loss has been incurred for the Prior Matter is not covered under this policy.In all other respects this Policy remains unaltered.菁 英 三 號 董 監 事 暨 重 要 職 員 責 任 保 險 - 進 階 版被 保 險 公 司 :附 加 條 款 生 效 日 :E207 變 更 繼 續 承 保 附 加 條 款茲 經 雙 方 同 意 如 下 ( 除 本 保 險 單 有 其 他 條 款 、 條 件 、 責 任 限 額 及 除 外 不 保 事 項 有 不 同 規 定 者 外 ):本 保 險 單 第 7.8 條 繼 續 承 保 完 全 刪 除 而 為 下 述 約 定 所 取 代 :7.8 繼 續 承 保本 保 險 單 擴 大 承 保 被 保 險 人 就 任 何 賠 償 請 求 、 調 查 或 可 能 導 致 賠 償 請 求 之 錯 誤 行 為 , 未 能 及 時 依 保 險公 司 先 前 核 發 之 董 監 事 暨 重 要 職 員 責 任 保 險 通 知 保 險 公 司 , 但 於 本 保 險 期 間 或 發 現 期 間 ( 如 有 適 用 )內 通 知 本 公 司 , 並 符 合 下 列 規 定 者 :(vi) 對 於 前 述 賠 償 請 求 、 調 查 或 可 能 導 致 賠 償 請 求 之 錯 誤 行 為 ( 下 稱 「 先 前 事 件 」), 無任 何 詐 欺 不 揭 露 或 不 實 陳 述 之 情 形 ; 且(vii) 被 保 險 人 在 承 保 明 細 表 第 五 項 所 列 賠 案 請 求 起 算 日 至 本 保 險 單 開 始 生 效 日 止 , 被 保 險人 已 投 保 本 公 司 或 其 他 保 險 公 司 之 董 監 事 暨 重 要 職 員 責 任 保 險 , 且 保 險 期 間 未 中 斷 ;且(viii) 被 保 險 人 於 本 保 險 單 開 始 生 效 日 前 首 次 知 悉 先 前 事 件 ; 且(ix) 本 擴 大 承 保 條 款 提 供 之 保 障 將 以 本 保 險 單 之 條 款 、 條 件 、 除 外 不 保 事 項 及 限 制 ( 包 括承 保 範 圍 、 承 保 明 細 表 、 責 任 限 額 及 自 負 額 ) 為 依 據 ; 惟 以 本 保 險 單 就 前 述 賠 償 請 求所 提 供 之 保 障 , 不 超 過 被 保 險 人 首 次 知 悉 先 前 事 件 當 時 有 效 保 險 單 所 提 供 者 為 限 ; 且(x) 任 何 因 先 前 事 件 已 產 生 的 損 失 不 為 本 保 險 單 所 承 保 。342
