5-2 承保範圍及不保事項 - ACE Group

By way of endorsement to the policy, the parties agree as follows (subject otherwise to all other terms,conditions, limits of liability and exclusions of the policy):Extension 7.3 of the policy, Retired Director or Officer Cover is deleted in its entirety and replaced bythe following:In the event that(a) this policy is not renewed or replaced with any other policy affording directors and officers liabilitycover; and(b) a Discovery Period is not invoked or a Transaction has not taken place;then this policy shall extend to include as an Insured, any Retired Director or Officer, in respect ofClaims first made or Investigations first commenced against such persons, but only for Wrongful Actscommitted or conduct undertaken prior to them ceasing to hold such office prior to expiry of the PolicyPeriod for an unlimited period following the date of such non-renewal.In all other respects this policy remains unaltered.菁 英 三 號 董 監 事 暨 重 要 職 員 責 任 保 險 - 進 階 版E202 修 正 退 休 董 監 事 或 重 要 職 員 擴 大 承 保 附 加 條 款茲 經 雙 方 同 意 如 下 ( 除 本 保 險 單 有 其 他 條 款 、 條 件 、 責 任 限 額 及 除 外 不 保 事 項 有 不 同 規 定 者 外 ):本 保 險 單 第 7.3 條 退 休 董 監 事 或 重 要 職 員 之 擴 大 承 保 內 容 完 全 刪 除 並 以 下 列 規 定 取 代 :於 以 下 情 況 :(a) 本 保 險 單 未 續 保 亦 未 被 其 他 董 監 事 暨 重 要 職 員 責 任 保 險 所 取 代 ; 且(b) 未 行 使 發 現 期 間 , 或 未 有 交 易 發 生 時 ,則 本 保 險 單 無 限 期 擴 大 承 保 於 未 續 保 日 後 , 對 退 休 董 監 事 或 重 要 職 員 首 度 提 出 之 賠 償 請 求 或 首 度 遭 受 之 調查 , 惟 僅 限 於 其 在 保 險 期 間 內 停 止 擔 任 該 職 位 前 所 犯 或 所 為 之 錯 誤 行 為 。本 附 加 條 款 未 約 定 事 項 悉 依 本 保 險 單 約 定 辦 理 。328
