By way of endorsement to the policy, the parties agree as follows (subject otherwise to all other terms,conditions, limits of liability and exclusions of the policy):Condition 4.2 Retention (ii) is hereby deleted in its entirety and replaced by the following:(ii) In the event and to the extent the Company is permitted or legally obligated to pay an Insured byway of indemnification as a result of any Claim or Investigation, or is not prevented by law fromindemnifying an Insured as a result of any Claim or Investigation, the retention shall be paid by theCompany.
