The following exclusions are added to 3. Exclusions of the policy for the purposes of this endorsementonly:3.11 based on, arising from or attributable to any(i) Written Demand made; or(ii) litigation begun; or(iii) judgment entered; or(iv) circumstance reported which might give rise to a Claim; or(v) suit or other pending proceeding;against an Insured on or prior to the Effective Date;3.12 based on, arising from or attributable to any act of any person who has been, now is or shall becomeFinance Director, Chief Executive, Managing Director or Chairman of the company shown in Item 1of the Schedule, which is found by final judgment or adjudication of any Court to be deliberatelyfraudulent and was material to the case so adjudicated;3.13 based on, arising from or attributable to criminal, administrative, regulatory or disciplinaryproceedings against or an Investigation of the Company;3.14 based on, arising from or attributable to the failure by the Company to comply with any warranty,guarantee or statement given or made by or on behalf of the Company, if such failure is actionable inthe absence of negligence or lack of due diligence on the part of the Company;3.15 based on, arising from or attributable to any allegation that the Company paid an inadequate orunfair price or consideration for any Securities of a company, provided that this exclusion shall notapply to Defence Costs.ACE elite III Directors & Officers Liability Insurance PolicyE035 Financial Institutions Exclusion (Absolute)By way of endorsement to the policy, the parties agree as follows (subject otherwise to all other terms,conditions, limits of liability and exclusions of the policy):The Insurer shall not be liable to make any payment for Loss directly or indirectly based on, arising fromor attributable to the Company’s or an Insured’s performance or attempted performance of professionalservices for any person, or any product supplied to any person, or any alleged act, error or omissionrelating thereto, including but not limited to the following areas: broker, dealer, financial advisor,investment advisor, investment banker, investment manager, clearing agent, insurance broker, real estatesyndicator; or services rendered in the Company’s trust department or as a trustee or other fiduciary oragent for individuals, partnerships, corporations or government bodies; or any functions similar to thosementioned above; or any other professional services.In all other respects this policy remains unaltered.ACE elite III Directors & Officers Liability Insurance PolicyE036 Financial Institutions Exclusions –With Carve-back For Failure To SuperviseBy way of endorsement to the policy, the parties agree as follows (subject otherwise to all other terms,conditions, limits of liability and exclusions of the policy):251
