The Company shall have the right but not the duty to participate with the Insured at the Company’sown expense in the defense or settlement of any claim or suit seeking damages covered under thispolicy In the event of a claim or suit which on the Company’s reasonable judgment may result inpayments, including Supplementary Payments, in an amount in excess of the Retention Amount, theCompany may assume control of the defense or settlement of such claim of suit. The Insured shallcontinue being responsible for the payment of the Retention Amount.3.
