The minimum rates ofwages and statutory compliances agreed and accepted herein shall andwould be as per The Minimum Wages Act 1948. As stipulated inAnnexure III herein enclosed, within the payment timeline thepayment will be released by YASHADA. The Agency shall not beentitled to raise any demand imposing additional financial burden onYASHADA on any count, excluding payment of arrears if any in termsof Annexure III. The successful bidder shall be referred to in thisdocument for the purposes of this contact as ‘Agency’.4.2 The Agency shall obtain all necessary permits / licenses for runningthe establishment from authorized agencies such as MunicipalCorporation, other Local Authorities, State / Central / Govt.Department, Labour Department, etc. at its own cost. YASHADA shallnot be held responsible for any breach of these rules and regulationsby the Agency.4.3 Agency shall not transfer or assign or share benefits of this Agreementto or with anyone. Any such violation shall render the agreement to becancelled at the risk and cost of the successful bidders.4.4 The Agency should provide appropriate minimum manpower includingexperienced Employee at all times during currency of the contractunder this tender.4.5 The Agency shall be solely responsible for all statutory payments to itsemployees /labour under all relevant statutes for the purposes of thisAgreement. Further the agency shall keep YASHADA effectuallyindemnified against all claims for compensation under the provisions ofany law for the time being in force / brought in to force, by or inrespect of any employee deployed by the Agency directly or indirectlyin carrying out the obligations under the contract and against all costsand expenditures incurred by YASHADA in connection therewith.YASHADA shall be entitled to deduct or otherwise recover from hisdues, any amount from all the money payable by Yashada to theAgency on any account by way of compensation as aforesaid or of anyother nature and costs or expenses in connection with any claimthereto. For this purpose an indemnity bond will have to be executedby the Agency in favour of Yashada as Principal Employer before99

The Agency shall alsokeep YASHADA as Principal Employer indemnified against allactions, suits, proceedings, losses, costs, damages, charges, claims,and demands in any way arising out of or by reason of any thing doneor omitted to be done by the Agency under any law that may be /maybecome effectable. The Agency would also ensure that its activities donot in any manner disturb officials, participants and campus residentsof YASHADA and also do not damage any assets of Yashada.4.6 A minimum penalty of Rs.1000/- per violation /per occasion will belevied on the Agency for intermittent service failure or any lapse inservice on the part of the Agency and / or its employees. The fineshall be imposed in such cases, by the Director General, YASHADA.4.7 The Agency shall be fully responsible for the articles / items kept in thearea covered by the Manpower Supply contract.4.8 The agency shall at all times keep Yashada effectually indemnifiedagainst all actions, suits, proceedings, losses, costs, damages, charges,claims and demands in any way arising out of or by reason of anythingdone or omitted to be done by the Agency and against all costs andexpenditure incurred by YASHADA in that respect. The Agency shallalso keep YASHADA indemnified against all claims for compensationunder the provision of any law for the time being in force / brought into force by or in respect of any Employee deployed by the Agency incarrying out the obligations under the contract and against all costsand expenditure incurred by YASHADA in connection there with.YASHADA shall be entitled to deduct any amount due from all moneypayable to the agency by way of compensation as aforesaid or of anyother nature and costs and expenses in connection with any claimthereto. For this purpose an Indemnity Bond will have to be executedby the Agency, before commencement of services.4.9 In case, there arises any dispute regarding interpretation of any clauseor term of this agreement and any related document the decision of theDirector General, YASHADA, will be final and binding on both theparties.4.10 The Agency shall co-operate with other agencies on the campus whileperforming their duties.4.11 All the Employee deployed by the Agency at YASHADA shall abide bythe disciplinary procedures, rules and regulations laid down byYASHADA from time to time4.12 The Agency shall ensure that it fully complies with and observes all theprovisions of the Contract Labour (Regulation & Abolition) Act, 1970.The Minimum Wages Act, 1948, Payment of Wages Act 1935,110


YASHWANTRAO CHAVAN ACADEMY OF DEVELOPMENT ADMINISTRATION(YASHADA)YASHADA officials shall screen the Manpower deputed by the agency.Only if the Manpower is found suitable the agency will be instructed tojoin services of such required Manpower. The date of resumption ofduty of the selected Manpower will be duly intimated to the agency andaccordingly the required payment will be made to the agency.4.18 The Services of an appointed candidate can be terminated at oncewithout any notice or any reason there of the termination shall be thesole discretion of the Director General of YASHADA4.19 The Agency shall pay its employees in their specified bank account forsalary every month or part thereof under intimation to YASHADA.4.20 All personnel deployed by the Agency shall at all times be medically fit.The medical examination of all the employees deployed should be doneby the Agency twice a year at the cost of the Agency.4.21 The Employee/ staff of the Agency will have nothing to do with theYASHADA and shall have no presumptive or any kind of right ofabsorption in the services of YASHADA. In order to give effect to thisthe Agency shall incorporate suitable clause in the appointment ordersto be issued to its employee / staff under intimation to YASHADA.4.22 In case of the workers engaged by the Agency have any grievances, theywill take up the same with the Agency without creating anydisturbance on the campus of YASHADA. If the Agency’s Workersresort to any agitiation resulting in any damage to the property ofYASHADA and or reputation, hindrance to its work the Agency wouldbe liable for payment of damages to YASHADA. It will also be construedas breach of contract rendering the Agency liable for such action asmay be deemed necessary. Under no circumstances, agitational meansare to be resorted to by workers of the Agency in the YASHADApremises or with reference to YASHADA by name or in any othermanner whatsoever. On expiry of the contract the Agency undertakesto vacate the premises without hesitation and murmur, in peace withall the workers without creating any disturbance. The Agency will besolely responsible if the workers engaged by it misbehave or createdisciplinary or law and order problems in the premises of YASHADA.4.23 If the course of execution of this contract by the Agency any minor ormajor damage is caused by the Agency or its workmen to the personsor property of YASHADA after joint inspection by "YASHADA" and the"Contractor" any claims arising there from shall be recovered, settledand dealt with directly by the Agency and the Agency shall render allassistance and co-operation to YASHADA if any enquiry is heldthereon. The contractor agrees to undertake and indemnify YASHADAagainst all such claims.112


YASHWANTRAO CHAVAN ACADEMY OF DEVELOPMENT ADMINISTRATION(YASHADA)expenditure for work done from any other agency shall standrecoverable from the bidder.7.0 TERMINATION7.1 During the course of this agreement the agency on completion /termination of contract will peacefully vacate the premises afterreparing the premises wherever necessary within a period of 30 daysnotice in writing by Yashada. For this purpose YASHADA shall be thesole judge to decide whether the performance of the Agency issatisfactory or not and such decision of the Director General ofYASHADA shall be final, conclusive and binding on the Agency and theAgency shall not be entitled to any compensation in this regard.Furthermore if on account of non- renewal of this contract the agencyhas to terminate its employee then it shall be the responsibility of theAgency to pay the legal dues to his employees. In the event of noncomplianceof legal provisions or non-payment of legal dues the Agencyitself shall be solely liable for all the costs and consequences. In casethe Agency desires to terminate the contract within the continuance ofcontract period, Agency will be required to give three months priornotice to YASHADA.7.2 The Agency expressly agrees and accepts that on termination of thiscontract for reasons as provided in the contract, the Agency shallvacate the premises of YASHADA along with its men and hand over thevacant peaceful possession of the entire property of YASHADA withoutany hesitation and murmur to YASHADA. In case of failure of theAgency or its employees to do so YASHADA shall have the right to getthe premises vacated by resorting to coercive measures and adopt suchcourse as may be deemed necessary and appropriate.114
