C O R E VA L U E S A N D S TA N D A R D Sn RetaliationTerminating, demoting, suspending, threatening, harassing or in any other manner discriminating behavior againstan Associate who complies with or reports any violation <strong>of</strong> our St<strong>and</strong>ards or policies.SecuritiesnStocks, bonds <strong>and</strong> other financing <strong>and</strong> investment instruments that are traded in financial markets.Sexual HarassmentnAny unwelcome sexual advance, request for sexual favor or other verbal, non-verbal or physical conduct <strong>of</strong> a sexualnature that creates an intimidating, hostile or <strong>of</strong>fensive work environment.Sexual harassment generally falls into one <strong>of</strong> two categories:nTangible Employment Action: Sexual conduct that results in a significant change in employment status.Examples include hiring, firing, promotion, demotion, undesirable reassignment, decisions causing significantchanges in benefits, compensation or work assignments resulting from the submission to or rejection <strong>of</strong> sexualadvances.nHostile Work Environment: Sexual conduct that is so serious or pervasive that it interferes with work.Signature AuthoritynPermission/authority to make business commitments on behalf <strong>of</strong> the company <strong>and</strong> sign contracts.Significant CustomernA customer that has made during the Company’s last full fiscal year -- or proposes to make during the Company’scurrent fiscal year -- payments to the Company for services in excess <strong>of</strong> five percent (5%) <strong>of</strong> (i) the Company’sconsolidated gross revenues for its last full fiscal year or (ii) the customer’s consolidated gross revenues for its lastfull fiscal year.Significant Financial InterestnAn investment representing greater than one percent (1%) <strong>of</strong> the outst<strong>and</strong>ing shares <strong>of</strong> a publicly-held company orgreater than five percent (5%) <strong>of</strong> the outst<strong>and</strong>ing shares <strong>of</strong> a privately-held company.Significant SuppliernA supplier to which the Company has made during the Company’s last full fiscal year -- or proposes to make duringthe Company’s current fiscal year -- payments for property or services in excess <strong>of</strong> five percent (5%) <strong>of</strong> (i) theCompany’s consolidated gross revenues for its last full fiscal year or (ii) the supplier’s consolidated gross revenuesfor its last full fiscal year.43
