C O R E VA L U E S A N D S TA N D A R D SQ&An Question:Why are potential conflicts covered in the St<strong>and</strong>ards if having a potential conflict isn’t a violation <strong>of</strong> theSt<strong>and</strong>ard?n Answer:It’s important for us to identify <strong>and</strong> disclose potential conflicts because it allows us to take action to prevent actualconflicts from occurring. For example, an Associate is asked to be on a recruitment committee where one <strong>of</strong>the interviewees is a close friend. If she recognizes that she has a potential conflict <strong>of</strong> interest she can removeherself from the recruitment committee to prevent an actual conflict <strong>of</strong> interest from occurring.n Question:What happens once I disclose an actual, apparent or potential conflict <strong>of</strong> interest to my manager?n Answer:Your manager will answer any questions <strong>and</strong> help determine whether the transaction or relationship constitutesa conflict <strong>of</strong> interest. If an actual conflict <strong>of</strong> interest is thought to exist, the conflict will need to be discussedwith the Director – Compliance or General Counsel.The Company will then determine whether the situation is detrimental to the interests <strong>of</strong> the Company. Manyconflicts <strong>of</strong> interest can be resolved in a simple <strong>and</strong> mutually acceptable way. However, while we respect each individual’sright to privacy, if an Associate’s personal affairs create, or appear to create, a potential conflict <strong>of</strong> interest,we may insist on full disclosure <strong>of</strong> the relevant facts so we can determine whether or not an actualconflict exists.n Question:My spouse works for a competitor. Is this a conflict?Conflicts <strong>of</strong> Interestn Answer:No. We underst<strong>and</strong> that many Associates have friends or relatives that work for competitors <strong>of</strong> Cognizant. Ingeneral, Associates should be aware <strong>of</strong> the potential <strong>of</strong> a conflict <strong>of</strong> interest in such situations <strong>and</strong> should takeextreme care not to disclose or share Cognizant or client business plans, forecasts, tools, methodologies, etc.with such individuals. Associates with the title <strong>of</strong> Director or above must disclose to the Director – Compliance ifa close relative serves as a consultant, associate, Officer, Member <strong>of</strong> the Board <strong>of</strong> Directors, advisor or in anyother capacity for a significant competitor <strong>of</strong> the Company.27
