C O R E VA L U E S A N D S TA N D A R D SnFor Associates with the title <strong>of</strong> Director <strong>and</strong> above, disclose to the Director – Compliance if a close relativeserves as a consultant, associate, Officer, Member <strong>of</strong> the Board <strong>of</strong> Directors, advisor or in any other capacity for asignificant customer, significant supplier or direct competitor <strong>of</strong> the Company.We must not:nnnnnSupervise, review or influence the job evaluation or compensation <strong>of</strong> an Associate with whom we have a closepersonal relationship, including an immediate family member.Engage in a dating relationship with a direct or indirect report.Receive remuneration that exceeds $250 (annually) for services performed for any other organization thanCognizant. Exceptions may be granted for certain circumstances that are in the best interest <strong>of</strong> the company bycontacting the Director – Compliance or, for Vice Presidents <strong>and</strong> above, the Board <strong>of</strong> Directors.Serve as a consultant, associate, <strong>of</strong>ficer, member <strong>of</strong> the Board <strong>of</strong> Directors, advisor or in any other capacity fora significant customer, significant supplier or direct competitor <strong>of</strong> the Company, except as approved by theBoard <strong>of</strong> Directors.Make or influence any decision on behalf <strong>of</strong> the company that could directly or indirectly benefit a family memberwho has a significant financial interest in a transaction with a competitor or a supplier.Examples <strong>of</strong> Actual Conflicts <strong>of</strong> InterestSituationExampleSignificant CustomerRelationshipsClose PersonalRelationshipsOutside EmploymentFinancial Investments• An Associate working at a client site provides company-confidentialmaterials or advice to a client that allows the client to better negotiatewith Cognizant.• An Associate’s relative is bidding for a vendor contract for Cognizant<strong>and</strong> the Associate is a member <strong>of</strong> the panel that will be selecting thevendor.• A Manager is reviewing the year-end appraisal <strong>of</strong> a team member whois also an immediate family member.• A Manager is dating an Associate who works for him/her.• An Associate accepts a consulting contract with a company other thanCognizant without prior approval from the Board <strong>of</strong> Directors.• An Associate’s spouse works for a significant supplier <strong>and</strong> has a significantfinancial interest in the supplier.25
