Sometimes, however, wemay have a personal or financial stake in the outcome <strong>of</strong> a decision, as well as influence over that decision. In thesesituations, if we put our own interests ahead <strong>of</strong> the interests <strong>of</strong> Cognizant or our client’s, a conflict <strong>of</strong> interest exists.Even the appearance <strong>of</strong> a conflict <strong>of</strong> interest in such situations can damage the reputation <strong>of</strong> both the Associate <strong>and</strong>the Company, <strong>and</strong> could negatively affect the Company or its business.Our CommitmentAs Cognizant Associates, we must avoid certain situations <strong>and</strong> relationships that may influence our judgment <strong>and</strong>cause us to act outside the best interests <strong>of</strong> the Company, our clients <strong>and</strong> our stockholders. By underst<strong>and</strong>ing thetypes <strong>of</strong> conflicts that exist, avoiding situations that are most likely to result in conflicts <strong>of</strong> interest <strong>and</strong> by disclosingany potential conflicts to our manager, we can ensure that decisions are made in a fair <strong>and</strong> unbiased manner.Types <strong>of</strong> ConflictsConflicts <strong>of</strong> interest generally fall into one <strong>of</strong> three categories: actual, potential <strong>and</strong> apparent conflicts.nnnActual ConflictAn actual conflict <strong>of</strong> interest exists any time a Cognizant Associate makes a business decision based on personalrelationships or benefits rather than the best interests <strong>of</strong> Cognizant.Potential ConflictA potential conflict <strong>of</strong> interest is a situation where a change in circumstance could result in an actual conflict <strong>of</strong>interest.Apparent ConflictAn apparent conflict <strong>of</strong> interest exists where it appears -- or could reasonably be perceived by others -- that aCognizant Associate is acting outside the best interest <strong>of</strong> Cognizant, whether or not this is really the case.23
