March 2011Subject: Form 5500 Schedule C Service Provider Disclosures<strong>Dear</strong> <strong>Valued</strong> <strong>ERISA</strong> <strong>Client</strong>,This letter describes information required by Schedule C of Form 5500 about fees and other compensation receivedin connection with your plan’s investments in <strong>DWS</strong> mutual funds and <strong>DWS</strong> collective trusts. The compensation maybe received by <strong>DWS</strong> <strong>Investments</strong> Distributors, Inc. and its affiliate, Deutsche Investment Management Americas Inc.(“DIMA” and collectively with <strong>DWS</strong> <strong>Investments</strong> Distributors, Inc., “<strong>DWS</strong>”) and is eligible indirect compensation onyour plan’s 2010 Form 5500 Schedule C.Specific fee and compensation information appears in the sections of each <strong>DWS</strong> Fund prospectus and the <strong>DWS</strong>Fund’s Statement of Additional Information (‘SAI”) referenced below. Please note that the SAI is divided into twoParts, Part 1 and Part II. Part I contains information that is specific to each fund, while Part II contains informationthat generally applies to each of the funds. A helpful index at the beginning of each Part will help you navigate theSAI and quickly locate certain Appendixes that contain information that is more detailed.DIMA is the investment advisor for each <strong>DWS</strong> Fund and receives a management fee for its services. The rate of themanagement fees is disclosed in the fund’s Prospectus under “Who Manages and Oversees the Fund”, “TheInvestment Advisor” and in Part II of the fund’s SAI and corresponding Appendix under “Management of the Fund”,“Terms of the Investment Management Agreements”.Mutual fund investment management fees, distribution/service (12b-1) fees, and other shareholder fees are disclosedin the fund’s prospectus under the section titled “Fees and Expenses of the Fund”. Information related tocommissions paid to selling financial intermediaries is located in Part II of the fund’s SAI and correspondingAppendixes under the section titled “Purchase and Redemption of Shares”, “Purchases” and “Compensation ofFinancial Intermediaries”. Information about revenue sharing arrangements can be found in the fund’s prospectusunder the section titled “Investing in the Funds”, “Financial Intermediary Support Payments” and in Part II of the SAIand corresponding Appendix under “Purchase and Redemption of Shares”, “Financial Intermediary SupportPayments”.


DIMA receives research and soft dollar services paid for with securities brokerage commissions (soft dollars) inaccordance with Section 28e of the Securities Exchange Act of 1934, as amended. The services are received inconnection with DIMA’s trading for all of its accounts and thus, the value of the services cannot reasonably beallocated to any particular account. To the extent that any broker provides proprietary research, DIMA is unable toplace a value on that research, and the eligibility conditions for the proprietary research (other than the fact of usingthe broker’s services) are not shared with DIMA. The total amount of the third party research and the broker fromwhich it is received is detailed in Attachment A. Securities brokerage commissions and commission paid forresearch services are also disclosed in Part I of the SAI and corresponding Appendix under the section “PortfolioTransactions and Brokerage Commission”.<strong>DWS</strong> did not receive any non-monetary gifts in connection with an <strong>ERISA</strong> plan. <strong>DWS</strong> employees are prohibitedfrom receiving any gifts, entertainment or meals from a third party, including brokers and consultants, inconnection with a transaction involving an <strong>ERISA</strong> Account.To the extent you are invested in a <strong>DWS</strong> collective trust, the information relating to service providercompensation is found in the fee schedule to your investment management agreement, the fund description youreceived in connection with your plan’s investment in the collective trust, and the financial statements that youreceive in April.
