PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICES1 DEFINITIONS1.1 In the Contract, the following definitions apply, except wherethe context otherwise requires:(a) “Acceptance” has the meaning provided in clause4.5;(b) “Advantage” means any financial <strong>or</strong> otheradvantage, payment, gift, promise <strong>or</strong> transfer <strong>of</strong>anything <strong>of</strong> value;(c) “Affiliate” in relation to a Party, means any entitywhich, directly <strong>or</strong> indirectly, controls <strong>or</strong> is controlledby, <strong>or</strong> is under common control with, that Party,where control is the possession, directly <strong>or</strong> indirectly,<strong>of</strong> (a) alone <strong>or</strong> pursuant to an agreement with othermembers, a maj<strong>or</strong>ity <strong>of</strong> the voting rights in it, (b) thepower to direct <strong>or</strong> cause the direction <strong>of</strong> themanagement <strong>or</strong> operating policies <strong>of</strong> the entitythrough the exercise <strong>of</strong> voting rights, contract, trust<strong>or</strong> otherwise, <strong>or</strong> (c) a right to appoint <strong>or</strong> remove themaj<strong>or</strong>ity <strong>of</strong> the direct<strong>or</strong>s <strong>of</strong> the entity, <strong>and</strong> “Affiliates”means any <strong>of</strong> them;(d) “Background Intellectual Property” means anyIntellectual Property owned by <strong>or</strong> licensed to a Party(including know-how <strong>and</strong> technical inf<strong>or</strong>mation)which exists pri<strong>or</strong> to the date <strong>of</strong> this Contract <strong>or</strong> isdeveloped <strong>or</strong> acquired by a Party independently <strong>of</strong>this Contract which is used by that Party in theperf<strong>or</strong>mance <strong>of</strong> its obligations under the Contract <strong>or</strong>otherwise made available to the other Party under <strong>or</strong>in connection with this Contract, but does not includeNew Intellectual Property;(e) ”Claim” <strong>or</strong> “Claims” means any actions, claims,losses, damages, costs (including legal costs)expenses <strong>and</strong> liabilities, relating to, arising from <strong>or</strong> inconnection with the Contract;(f) “Commencement Date” means the date specified inthe Contract f<strong>or</strong> the commencement <strong>of</strong> the Services,if any;(g) “Company” means the entity described as such inthe PO;(h) “Company Group” means Company <strong>and</strong> itsAffiliates <strong>and</strong> its <strong>and</strong> their contract<strong>or</strong>s <strong>and</strong>subcontract<strong>or</strong>s (<strong>of</strong> any tier) (excluding Contract<strong>or</strong>Group), co-venturers <strong>and</strong> their Affiliates <strong>and</strong> therespective agents, servants, direct<strong>or</strong>s, <strong>of</strong>ficers <strong>and</strong>employees <strong>of</strong> any <strong>of</strong> the above, collectively <strong>or</strong>individually as the context requires;(i) “Company Provided Inf<strong>or</strong>mation” means anyinf<strong>or</strong>mation, documentation <strong>or</strong> data provided byCompany with the PO <strong>or</strong> otherwise in acc<strong>or</strong>dancewith this Contract;(j) “Completion Date” means the date specified in theContract f<strong>or</strong> completion <strong>of</strong> the Services, if any;(k) “Contract” means these GT&C, together with thePO <strong>and</strong> any appendices, schedules <strong>and</strong>/<strong>or</strong>amendments agreed in writing;(l) “Contract<strong>or</strong>” means the person <strong>or</strong> c<strong>or</strong>p<strong>or</strong>ationnamed as such in the PO;(m) “Contract<strong>or</strong> Group” means Contract<strong>or</strong>, itssubcontract<strong>or</strong>s (<strong>of</strong> any tier), its <strong>and</strong> their Affiliates<strong>and</strong> the respective agents, servants, direct<strong>or</strong>s,<strong>of</strong>ficers <strong>and</strong> employees <strong>of</strong> any <strong>of</strong> the f<strong>or</strong>egoing,collectively <strong>and</strong>/<strong>or</strong> individually as the contextrequires but shall not include a member <strong>of</strong> theCompany Group;(n)(o)(p)(q)(r)(s)“Contract<strong>or</strong> Personnel” means any personnel usedby Contract<strong>or</strong> <strong>or</strong> its subcontract<strong>or</strong>s (<strong>of</strong> any tier) in theprovision <strong>of</strong> the Goods/Services, collectively <strong>and</strong>/<strong>or</strong>individually as the context requires;“Consequential Loss” means: the following indirectlosses:(i) loss <strong>of</strong> contract;(ii) loss <strong>of</strong> business opp<strong>or</strong>tunity;(iii) loss <strong>of</strong> pr<strong>of</strong>it;(iv) loss <strong>of</strong> production;(v) loss <strong>of</strong> revenue, <strong>and</strong>arising out <strong>of</strong> <strong>or</strong> in connection with this Contract <strong>and</strong>whether <strong>or</strong> not f<strong>or</strong>eseeable <strong>or</strong> in the <strong>or</strong>dinarycontemplation <strong>of</strong> the Parties at the date <strong>of</strong> thisContract irrespective <strong>of</strong> whether such loss is causedby negligence <strong>or</strong> by any other act, omission <strong>or</strong>breach <strong>of</strong> Contract <strong>or</strong> otherwise but shall not include:(vi) the costs <strong>of</strong> any repair, replacement,additional w<strong>or</strong>ks, hiring <strong>or</strong> other directcosts arising from a defect in any Goods;<strong>or</strong>(vii) the cost <strong>of</strong> any re-perf<strong>or</strong>mance <strong>of</strong> anyServices <strong>or</strong> any repair, replacement <strong>or</strong>additional w<strong>or</strong>ks, arising from a failure <strong>of</strong>any Services to comply with this Contract;<strong>and</strong>(viii) any liability <strong>of</strong> Contract<strong>or</strong> under Clauses 9<strong>and</strong> 10.1;“Deliverable” means any deliverables,documentation plans, drawings, specifications,calculations, models, equipment, inf<strong>or</strong>mation <strong>and</strong>other data st<strong>or</strong>ed by any means which is required tobe delivered to Company by <strong>or</strong> on behalf <strong>of</strong> theContract<strong>or</strong> in the perf<strong>or</strong>mance <strong>of</strong> the Services, if any;“Delivery Date” means the date(s) specified in theContract f<strong>or</strong> delivery <strong>of</strong> the Goods, if any;“Delivery Point” means the location to whichContract<strong>or</strong> must deliver the Goods, if any, asspecified in the PO;“F<strong>or</strong>ce Majeure” only includes the followingoccurrences:(i) riot, war, invasion, act <strong>of</strong> f<strong>or</strong>eign enemies,hostilities (whether war be declared <strong>or</strong> not),act <strong>of</strong> terr<strong>or</strong>ism, civil war, rebellion,revolution, insurrection <strong>of</strong> military <strong>or</strong>usurped power;(ii) ionising radiation <strong>or</strong> radioactivecontamination;(iii) pressure waves caused by aircraft <strong>or</strong> otheraerial devices travelling at sonic <strong>or</strong>supersonic speeds;(iv) earthquake, flood, fire, explosion, cyclone(Beauf<strong>or</strong>t Scale F<strong>or</strong>ce 12 <strong>and</strong> above)<strong>and</strong>/<strong>or</strong> other natural physical disaster, butexcluding other less severe weather<strong>conditions</strong>;(v) strikes <strong>or</strong> industrial disputes at a national<strong>or</strong> regional level <strong>or</strong> by labour not employedby the affected Party, its subcontract<strong>or</strong>s <strong>or</strong>its suppliers <strong>and</strong> which affect a substantial<strong>or</strong> essential p<strong>or</strong>tion <strong>of</strong> the Goods/Services;<strong>and</strong>(vi) maritime <strong>or</strong> aviation disasters;Version 1.1 Page 1 <strong>of</strong> 7


PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICES<strong>and</strong> w<strong>or</strong>kmanship), deficiency <strong>or</strong> omissions<strong>of</strong> any kind;(iv) conf<strong>or</strong>m as to quantity, quality, description,drawings, plans, perf<strong>or</strong>mance criteria,sample <strong>and</strong> specification, if applicable, withthe particulars stated in this Contract <strong>and</strong>any Company requirements bothindividually <strong>and</strong> together as an operatingsystem; <strong>and</strong>(v) be free from any encumbrance <strong>or</strong> defect intitle;(b) all resources, including any equipment used byContract<strong>or</strong> in <strong>supply</strong>ing the Goods <strong>or</strong> carrying out theServices shall be <strong>of</strong> good quality, without defect, besuitable f<strong>or</strong> the purpose <strong>and</strong> use f<strong>or</strong> which they areintended <strong>or</strong> used, shall conf<strong>or</strong>m to the Contract <strong>and</strong>perf<strong>or</strong>m in acc<strong>or</strong>dance with the requirements <strong>and</strong><strong>conditions</strong> <strong>of</strong> this Contract; <strong>and</strong>(c) the Goods/Services will:(i) comply with the Contract <strong>and</strong> theappropriate Australian <strong>or</strong> internationalst<strong>and</strong>ards <strong>or</strong> equivalent specificationsrelevant to the Goods/Services; <strong>and</strong>(ii) comply with all Legislation applicable to theGoods/Services.(d) it will procure that all Contract<strong>or</strong> Personnel used f<strong>or</strong>the Services possess <strong>and</strong> exercise suchqualifications, skill <strong>and</strong> experience necessary f<strong>or</strong> theproper perf<strong>or</strong>mance <strong>of</strong> the Services;(e) it will provide the Goods <strong>and</strong>/<strong>or</strong> carry out theServices with all due diligence in a good <strong>and</strong>w<strong>or</strong>kmanlike manner. Contract<strong>or</strong> will ensure that asimilar obligation is contained in any subcontract f<strong>or</strong>the Goods/Services.3.3 Bef<strong>or</strong>e delivering any Goods, Contract<strong>or</strong> shall, at no extra costto Company, inspect <strong>and</strong> conduct tests to ensure that theGoods comply with the requirements <strong>of</strong> this Contract <strong>and</strong><strong>supply</strong> to Company certificates <strong>of</strong> the results <strong>of</strong> suchinspection <strong>and</strong> testing as may be reasonably required byCompany, <strong>or</strong> as required by this Contract <strong>or</strong> Legislation.3.4 Contract<strong>or</strong> must provide Company with free access to anypremises used to manufacture <strong>or</strong> assemble <strong>or</strong> st<strong>or</strong>e theGoods. Any expediting, inspecting, monit<strong>or</strong>ing <strong>and</strong> testing <strong>of</strong>the Goods does not constitute acceptance <strong>of</strong> the Goods n<strong>or</strong>relieve Contract<strong>or</strong> <strong>of</strong> any obligations under the Contract <strong>and</strong> isat no cost to Company.3.5 In respect <strong>of</strong> the <strong>supply</strong> <strong>or</strong> perf<strong>or</strong>mance <strong>of</strong> the Services onSite, Contract<strong>or</strong> must keep the Site clean <strong>and</strong> tidy <strong>and</strong> clearaway all its rubbish occasioned by operations through theServices <strong>and</strong> remove all its equipment, appliances, tools <strong>and</strong>surplus material at the end <strong>of</strong> the Services.3.6 Contract<strong>or</strong> is responsible at its own risk <strong>and</strong> expense, f<strong>or</strong> allpermits, licences, registrations, certificates <strong>or</strong> otheradministrative auth<strong>or</strong>isations required by any Legislation in<strong><strong>or</strong>der</strong> to comply with its obligations under the Contract.3.7 Contract<strong>or</strong> acts as an independent contract<strong>or</strong> <strong>and</strong> neitherContract<strong>or</strong> n<strong>or</strong> Contract<strong>or</strong> Group personnel are deemed to beeither expressly <strong>or</strong> impliedly employees <strong>of</strong> Company Group.4 DELIVERY/COMMENCEMENT/COMPLETION4.1 Contract<strong>or</strong> must commence the Services by theCommencement Date.4.2 Contract<strong>or</strong> must deliver the Goods to the Delivery Point on theDelivery Date <strong>and</strong>/<strong>or</strong> complete the Services by the CompletionDate. In respect <strong>of</strong> these obligations, time shall be <strong>of</strong> theessence. If the Contract<strong>or</strong> is unable to meet the Delivery Date<strong>and</strong>/<strong>or</strong> the Completion Date (as applicable), the Contract<strong>or</strong>must notify the Company at the earliest possible opp<strong>or</strong>tunity.4.3 All Goods delivered must be adequately packed <strong>and</strong> protectedto withst<strong>and</strong> transit <strong>and</strong> st<strong>or</strong>age, marked with the PO number<strong>and</strong> accompanied by a packing note <strong>and</strong> all necessarycertificates, drawings <strong>and</strong> documents <strong>or</strong> as specified in theContract.4.4 The Goods must be unloaded at the Delivery Point by theContract<strong>or</strong> in acc<strong>or</strong>dance with all Legislation <strong>and</strong> allrequirements <strong>of</strong> this Contract.4.5 The Goods will be deemed to be accepted by the Companywhen the Company notifies the Contract<strong>or</strong> in writing that theGoods have been accepted (“Acceptance”).4.6 Unless otherwise stated in this Contract, all packaging,carriage <strong>and</strong> services necessary to achieve Acceptance shallbe included in the Price.4.7 Acceptance <strong>of</strong> the Goods by Company does not relieveContract<strong>or</strong> <strong>of</strong> any <strong>of</strong> its obligations under the Contract.4.8 If Company reasonably determines that:(a) the Goods do not comply with the Contract; <strong>or</strong>(b) Contract<strong>or</strong> has breached any <strong>of</strong> the <strong>terms</strong> <strong>of</strong> theContract,Company may reject the Goods by giving a written rejectionnotice to Contract<strong>or</strong>.4.9 If Goods are rejected by Company, <strong>and</strong> Contract<strong>or</strong> does notrepossess the Goods within thirty (30) days after receivingnotice <strong>of</strong> rejection, Company may sell <strong>or</strong> otherwise dispose <strong>of</strong>the Goods at Contract<strong>or</strong>’s cost.4.10 Contract<strong>or</strong> must reimburse Company f<strong>or</strong> any costs <strong>or</strong>expenses incurred by Company as a consequence <strong>of</strong> therejection <strong>of</strong> the Goods.5 TITLE AND RISK5.1 Title in the Goods <strong>or</strong> any part there<strong>of</strong> shall pass to Companyon allocation <strong>of</strong> the Goods (<strong>or</strong> items there<strong>of</strong>) to this Contract <strong>or</strong>delivery <strong>of</strong> the Goods to the Delivery Point <strong>or</strong> on payment byCompany (whichever is earlier).5.2 The Goods remain at the risk <strong>of</strong> Contract<strong>or</strong> until Acceptanceby Company.6 COMPANY PROVIDED INFORMATION6.1 Contract<strong>or</strong> acknowledges <strong>and</strong> agrees that:(a) Company makes no representations <strong>or</strong> warranties asto the sufficiency, accuracy <strong>or</strong> completeness <strong>of</strong> anyCompany Provided Inf<strong>or</strong>mation;(b) Company Provided Inf<strong>or</strong>mation has been provided toContract<strong>or</strong> only to assist Contract<strong>or</strong> in theperf<strong>or</strong>mance <strong>of</strong> its obligations under the Contract<strong>and</strong> with the provision <strong>of</strong> Services <strong>and</strong>/<strong>or</strong> theDeliverables <strong>and</strong> Contract<strong>or</strong> must not rely on thatinf<strong>or</strong>mation f<strong>or</strong> any purpose;(c) any err<strong>or</strong> <strong>or</strong> omission in Company ProvidedInf<strong>or</strong>mation will have no effect on:(i) the warranties given by Contract<strong>or</strong> underthis Contract; <strong>or</strong>(ii) the other obligations <strong>of</strong> Contract<strong>or</strong> underthe Contract;(d) Contract<strong>or</strong> has not <strong>and</strong> will not rely on CompanyProvided Inf<strong>or</strong>mation f<strong>or</strong> any purpose unlessContract<strong>or</strong> has first independently verified theaccuracy <strong>of</strong> Company Provided Inf<strong>or</strong>mation;(e) in providing the Deliverables <strong>and</strong> perf<strong>or</strong>ming theServices under the Contract, Contract<strong>or</strong> must assessCompany Provided Inf<strong>or</strong>mation <strong>and</strong> draw its ownconclusions as to the accuracy <strong>and</strong> sufficiency <strong>of</strong>Version 1.1 Page 3 <strong>of</strong> 7


PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICESCompany Provided Inf<strong>or</strong>mation <strong>and</strong> must make itsown enquiries <strong>and</strong> determinations as to the accuracy<strong>and</strong> adequacy <strong>of</strong> such inf<strong>or</strong>mation; <strong>and</strong>(f) Contract<strong>or</strong> will have no Claim arising from <strong>or</strong> inconnection with the inaccuracy, incompleteness <strong>or</strong>inadequacy <strong>of</strong> Company Provided Inf<strong>or</strong>mation <strong>or</strong> thenon-provision <strong>of</strong> inf<strong>or</strong>mation by Company.6.2 Contract<strong>or</strong> agrees that it will immediately inf<strong>or</strong>m Companyshould it become aware Company Provided Inf<strong>or</strong>mation, <strong>or</strong>any inf<strong>or</strong>mation subsequently provided by Company, isinsufficient <strong>or</strong> inc<strong>or</strong>rect in any way.7 PRICE AND PAYMENT7.1 Unless otherwise specified in the Contract, the Price is fixed,exclusive <strong>of</strong> GST, <strong>and</strong> not subject to escalation <strong>or</strong> variation.7.2 Contract<strong>or</strong> shall submit to Company a claim f<strong>or</strong> payment in thef<strong>or</strong>m <strong>of</strong> a valid tax invoice upon:(a) delivery <strong>of</strong> the Goods; <strong>and</strong>(b) monthly in arrears f<strong>or</strong> Services.The achievement <strong>of</strong> Acceptance in respect <strong>of</strong> Goods is acondition precedent to Contract<strong>or</strong> being entitled to anypayment f<strong>or</strong> the Goods <strong>and</strong> the Company shall be entitled towithhold such payment until this requirement is fully satisfied.7.3 Each payment claim submitted by the Contract<strong>or</strong> shall quotethe PO number <strong>and</strong> title <strong>and</strong> shall be f<strong>or</strong>warded together withadequate backing documentation to Company at the address<strong>and</strong> f<strong>or</strong> the attention <strong>of</strong> the person detailed in the PO.7.4 The Company shall, within 10 W<strong>or</strong>king Days after receiving avalid payment claim, issue to Contract<strong>or</strong> a payment schedulecertifying the amount due from Company to Contract<strong>or</strong>pursuant to the payment claim. If the amount certified is lessthan the amount claimed, the payment schedule must statethe reasons f<strong>or</strong> any difference <strong>and</strong>, if it is less becauseCompany is withholding payment f<strong>or</strong> any reason theCompany’s reasons f<strong>or</strong> withholding payment.7.5 Company may withhold all <strong>or</strong> part <strong>of</strong> any payment toContract<strong>or</strong> without payment <strong>of</strong> interest f<strong>or</strong> any <strong>of</strong> the followingcauses:(a) if any payment claim is not supp<strong>or</strong>ted by thedocumentation specified in the Contract;(b) in respect <strong>of</strong> Goods/Services <strong>or</strong> any part there<strong>of</strong> thatis not in acc<strong>or</strong>dance with the Contract;(c) in respect <strong>of</strong> any breach by Contract<strong>or</strong> <strong>of</strong> thisContract; <strong>and</strong>(d) in respect <strong>of</strong> any item in any payment claim disputedby Company.7.6 Company is entitled to deduct from any monies due to theContract<strong>or</strong> any monies due from the Contract<strong>or</strong> to theCompany under the Contract <strong>or</strong> any other contract. If anydispute connected with the Contract exists between theParties, the Company may set <strong>of</strong>f an appropriate sum fromany monies due.7.7 Company shall pay to Contract<strong>or</strong> <strong>or</strong> Contract<strong>or</strong> shall pay toCompany (as the case may be) the amount stated in thepayment schedule as payable to the Contract<strong>or</strong> <strong>or</strong> theCompany within thirty (30) days after the date <strong>of</strong> delivery <strong>of</strong> avalid payment claim under the Contract.7.8 If sums payable are overdue, the recipient is entitled but notobliged to charge interest at a rate <strong>of</strong> two (2) per cent abovethe base rate from time to time <strong>of</strong>fered by the CommonwealthBank on the overdue amount, payable immediately ondem<strong>and</strong>.7.9 Where under the Contract a Party is obliged to pay the otherParty an amount calculated by reference to an agreed rate <strong>or</strong>an agreed lump sum, unless the agreed rate <strong>or</strong> lump sum isexpressed to include GST, the Party shall pay the aggregate<strong>of</strong>:(a) the amount calculated by reference to the agreedrate <strong>or</strong> the agreed lump sum (as the case may be)(“Agreed Amount”); <strong>and</strong>(b) GST (if any) payable on the taxable <strong>supply</strong> inrespect <strong>of</strong> which the Agreed Amount is payable.7.10 Where under the Contract a Party is obliged to pay an amountcalculated by reference to the cost, expense, loss <strong>or</strong> otherliability suffered <strong>or</strong> incurred by that other Party (“ReimbursableLiability”) the Party shall pay the aggregate <strong>of</strong>:(a) the Reimbursable Liability net <strong>of</strong> input tax creditsavailable to the other Party in respect <strong>of</strong> theReimbursable Liability; <strong>and</strong>(b) GST (if any) payable on the taxable <strong>supply</strong> inrespect <strong>of</strong> which the Reimbursable Liability ispayable.7.11 Contract<strong>or</strong> shall be liable f<strong>or</strong> all Taxes arising in connectionwith this Contract <strong>or</strong> any payment under this Contract.Contract<strong>or</strong> shall indemnify <strong>and</strong> hold Company harmless from<strong>and</strong> against all taxes <strong>and</strong> brokerage fees assessed <strong>or</strong> leviedagainst Company in respect <strong>of</strong> any item <strong>of</strong> equipment providedby Contract<strong>or</strong> f<strong>or</strong> the purposes <strong>of</strong> the Contract.8 REMEDIES8.1 Contract<strong>or</strong> must, as directed by Company, promptly repair,replace <strong>or</strong> re-<strong>supply</strong> any Goods <strong>and</strong>/<strong>or</strong> any Deliverable, <strong>or</strong> reperf<strong>or</strong>many Services, which are found to be defective <strong>or</strong>otherwise not in acc<strong>or</strong>dance with the Contract in the 12months commencing on the date <strong>of</strong> Acceptance <strong>or</strong> completion<strong>of</strong> the Services (including removal, reinstallation, access,shipping <strong>and</strong> labour costs) at no cost to Company. IfContract<strong>or</strong> fails after reasonable notice to comply withCompany’s direction, Company may take such action as itconsiders appropriate to overcome the defect <strong>or</strong> noncompliance<strong>and</strong> all costs incurred by Company in taking suchaction will immediately become due <strong>and</strong> payable by Contract<strong>or</strong>to Company on dem<strong>and</strong>, <strong>and</strong> any such action will not void <strong>or</strong>affect the warranties given by Contract<strong>or</strong> under this Contractnot constitute a waiver <strong>of</strong> any other rights <strong>or</strong> remediesCompany may have under the Contract.8.2 The rights <strong>and</strong> remedies in this Clause 8 are in addition to <strong>and</strong>without prejudice to Company’s other rights <strong>and</strong> remedies inlaw, equity <strong>and</strong>/<strong>or</strong> under the Contract.9 INTELLECTUAL PROPERTY9.1 Contract<strong>or</strong> indemnifies, defends <strong>and</strong> holds harmless CompanyGroup from any Claims f<strong>or</strong> infringement <strong>or</strong> breach <strong>of</strong> anyIntellectual Property rights relating to the use <strong>or</strong> <strong>supply</strong> <strong>of</strong> theGoods/Services <strong>or</strong> the Deliverables.9.2 To the extent that it is applicable, each Party grants to theother a royalty-free, non-exclusive, non-transferable right touse Background Intellectual Property f<strong>or</strong> purposes <strong>of</strong>perf<strong>or</strong>ming their obligations under the Contract.9.3 All Intellectual Property in Company Provided Inf<strong>or</strong>mation shallremain owned by Company <strong>and</strong> Contract<strong>or</strong> shall ensure thatthe <strong>or</strong>iginals <strong>and</strong> all copies (if any) shall be returned toCompany on completion <strong>of</strong> the Services <strong>and</strong> Contract<strong>or</strong> <strong>and</strong>Contract<strong>or</strong>’s Personnel shall, if required, certify that none havebeen retained.9.4 On creation all New Intellectual Property vests in Company. Ifownership <strong>of</strong> any New Intellectual Property does notautomatically vest in Company by operation <strong>of</strong> this Clause,Contract<strong>or</strong> is obliged to assign all right, title <strong>and</strong> interest in theNew Intellectual Property to Company.9.5 Company grants Contract<strong>or</strong> a royalty free, non-exclusive, nontransferablelicence to use the New Intellectual Property f<strong>or</strong>the sole purpose <strong>of</strong> perf<strong>or</strong>ming its obligations under theContract.Version 1.1 Page 4 <strong>of</strong> 7


PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICES10 CONFIDENTIALITY10.1 Any inf<strong>or</strong>mation disclosed by <strong>or</strong> on behalf <strong>of</strong> Company toContract<strong>or</strong> in connection with the Contract is to be treated asconfidential by Contract<strong>or</strong> Group <strong>and</strong> used only f<strong>or</strong> theprovision <strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services.Contract<strong>or</strong> will not make use <strong>of</strong> Company’s name <strong>or</strong> publishany matter relating to the Contract without Company’s pri<strong>or</strong>written consent. Contract<strong>or</strong> may disclose confidentialinf<strong>or</strong>mation to the extent such disclosure is required underapplicable Legislation.10.2 The provisions <strong>of</strong> Clause 10.1 shall not apply to anyconfidential inf<strong>or</strong>mation that Contract<strong>or</strong> can show:(a) is in the public domain in substantially the same f<strong>or</strong>m<strong>and</strong> combination as that in which it was disclosed toContract<strong>or</strong> (other than as a result <strong>of</strong> a breach <strong>of</strong> thisContract);(b) is <strong>or</strong> was lawfully received from a third party notunder an obligation <strong>of</strong> confidentiality with respectthereto;(c) is required to be disclosed under operation <strong>of</strong>Legislation, by court <strong><strong>or</strong>der</strong> <strong>or</strong> by a regulat<strong>or</strong>y body <strong>of</strong>competent jurisdiction (but then only to the extent<strong>and</strong> f<strong>or</strong> the purpose <strong>of</strong> the required disclosure);(d) is approved f<strong>or</strong> disclosure in writing by Company; <strong>or</strong>(e) was developed independently <strong>of</strong> <strong>and</strong> withoutreference to confidential inf<strong>or</strong>mation disclosed byCompany.10.3 Contract<strong>or</strong> shall, <strong>and</strong> shall procure that all persons to whom ithas disclosed confidential inf<strong>or</strong>mation shall, at Contract<strong>or</strong>’sexpense, within seven (7) days <strong>of</strong> receipt <strong>of</strong> a written dem<strong>and</strong>from Company:(a) return to Company all <strong>or</strong>iginal <strong>and</strong> copy documentscontaining confidential inf<strong>or</strong>mation <strong>or</strong> relating to thenegotiations <strong>or</strong> discussions about the Contract(whether <strong>or</strong> not in possession <strong>of</strong> Contract<strong>or</strong>); <strong>and</strong>(b) destroy all <strong>or</strong>iginal <strong>and</strong> copy documents containinganalysis, studies, compilation <strong>and</strong> other materialsderived from the confidential inf<strong>or</strong>mation.11 INDEMNITIES11.1 Contract<strong>or</strong> indemnifies, defends <strong>and</strong> hold harmless CompanyGroup from <strong>and</strong> against, all Claims in respect <strong>of</strong>:(a) loss <strong>of</strong> <strong>or</strong> damage to property <strong>of</strong> Contract<strong>or</strong> Groupwhether owned, hired, leased <strong>or</strong> otherwise providedby Contract<strong>or</strong> Group; <strong>and</strong>(b) personal injury including death <strong>or</strong> disease to anyperson employed by Contract<strong>or</strong> Group.11.2 Company indemnifies, defends <strong>and</strong> hold harmless Contract<strong>or</strong>Group from <strong>and</strong> against, all Claims in respect <strong>of</strong>:(a) loss <strong>of</strong> <strong>or</strong> damage to property <strong>of</strong> Company Groupwhether owned, hired, leased <strong>or</strong> otherwise providedby Company Group (but excluding Goods suppliedunder this Contract); <strong>and</strong>(b) personal injury including death <strong>or</strong> disease to anyperson employed by the Company Group.11.3 Contract<strong>or</strong> indemnifies, defends <strong>and</strong> holds harmless CompanyGroup from <strong>and</strong> against all Claims, irrespective <strong>of</strong> fault, inrespect <strong>of</strong> injury to <strong>or</strong> sickness, disease <strong>or</strong> death <strong>of</strong> any ThirdParty <strong>and</strong> loss <strong>of</strong> <strong>or</strong> damage to any property <strong>of</strong> any Third Partyarising out <strong>of</strong> the negligence <strong>or</strong> breach <strong>of</strong> duty (statut<strong>or</strong>y,contractual <strong>or</strong> otherwise) <strong>of</strong> the Contract<strong>or</strong>.11.4 Notwithst<strong>and</strong>ing any provision to the contrary in the Contract(with the exception <strong>of</strong> any liquidated damages <strong>and</strong> anypredetermined termination fees), Company indemnifies,defends <strong>and</strong> hold harmless Contract<strong>or</strong> Group from Company’sown Consequential Loss <strong>and</strong> Contract<strong>or</strong> indemnifies, defends<strong>and</strong> holds harmless Company Group from Contract<strong>or</strong> Group’sown Consequential Loss, relating to, arising from <strong>or</strong> inconnection with the perf<strong>or</strong>mance <strong>or</strong> non-perf<strong>or</strong>mance <strong>of</strong> theContract.11.5 Subject to clause 11.4, Contract<strong>or</strong> indemnifies, defends <strong>and</strong>holds harmless Company from <strong>and</strong> against, all Claims inrespect <strong>of</strong> direct loss <strong>or</strong> damage suffered by Company arisingout <strong>of</strong> the <strong>supply</strong> <strong>of</strong> Goods <strong>or</strong> Services <strong>or</strong> the failure to <strong>supply</strong>the Goods <strong>or</strong> Services in acc<strong>or</strong>dance with the Contract.11.6 All exclusions <strong>and</strong> indemnities given under this Clause 11,apply irrespective <strong>of</strong> whether any Claim is made in t<strong>or</strong>t, undercontract <strong>or</strong> otherwise at law <strong>and</strong> apply irrespective <strong>of</strong> cause<strong>and</strong> notwithst<strong>and</strong>ing the negligence (including grossnegligence) <strong>or</strong> breach <strong>of</strong> duty (whether statut<strong>or</strong>y <strong>or</strong> otherwise)<strong>of</strong> the indemnified party <strong>or</strong> any other entity <strong>or</strong> party.12 INSURANCE12.1 Contract<strong>or</strong> shall effect <strong>and</strong> maintain throughout thecontinuance <strong>of</strong> this Contract, insurance policies which shallinclude but not be limited to the minimum types <strong>and</strong> amountsspecified in Clause 12.6. Contract<strong>or</strong> shall bear any <strong>and</strong> allexcesses, deductibles <strong>or</strong> franchises inc<strong>or</strong>p<strong>or</strong>ated therein.12.2 All legal liability policies required under Clause 12.1 shall:(a) contain an agreement from the insurers to waivetheir rights <strong>of</strong> subrogation against Company Group;<strong>and</strong>(b) provide that Company is given not less than thirty(30) days notice <strong>of</strong> cancellation <strong>or</strong> material change tocover.The provisions <strong>of</strong> this Clause 12 in no way limit the liability <strong>of</strong>Contract<strong>or</strong> under the Contract.12.3 Contract<strong>or</strong> shall provide Company with a certificate <strong>of</strong>insurance end<strong>or</strong>sed by Contract<strong>or</strong>'s insurers <strong>or</strong> brokers f<strong>or</strong>each <strong>of</strong> the insurances referred to in Clause 12.6 within five (5)days <strong>of</strong> issue <strong>of</strong> the PO. Failure to provide such a certificatemay be taken by Company as conclusive evidence thatContract<strong>or</strong> has failed to meet its obligations to provide therequired insurance cover under this Contract.12.4 If any policy is cancelled <strong>or</strong> if there is a material change whichmay affect Company's interest <strong>or</strong> if Contract<strong>or</strong> shall fail toeffect <strong>or</strong> maintain any policy which it is required by thisContract to effect <strong>and</strong> maintain, Company may at its solediscretion effect <strong>and</strong> maintain any such insurance <strong>or</strong> additionalinsurance as Company shall consider necessary <strong>and</strong> recoverthe cost from Contract<strong>or</strong>.12.5 Contract<strong>or</strong> will take all reasonable measures to protectCompany from Claims. Where any Claim is material,Contract<strong>or</strong> must immediately notify Company in writing.Company retains the right but not the obligation to givereasonable directions to Contract<strong>or</strong> as to what measures to betaken.12.6 The insurances referred to in Clause 12.1 are:(a) w<strong>or</strong>ker's compensation insurance to the full extentrequired by all Legislation; <strong>and</strong>Version 1.1 Page 5 <strong>of</strong> 7(b)(c)employer’s liability insurance <strong>of</strong> not less than theamount stated in the PO per occurrence <strong>or</strong> series <strong>of</strong>occurrences arising from the one event; <strong>and</strong>where any Goods are to be supplied as part <strong>of</strong> theContract, product liability insurance f<strong>or</strong> an amount inrespect <strong>of</strong> any one occurrence not less than theamount stated in the PO. The policy must coverContract<strong>or</strong>, all sub-contract<strong>or</strong>s <strong>and</strong> their respectiveemployees <strong>and</strong> agents in respect <strong>of</strong> liability to eachother <strong>and</strong> to third parties f<strong>or</strong> death <strong>or</strong> injury <strong>or</strong>damage to property other than the Goods.Contract<strong>or</strong> indemnifies the Company against anysuch liability; <strong>and</strong>


PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICES(d)general third party insurance with a combined bodilyinjury <strong>and</strong> property damage limit <strong>of</strong> not less than theamount stated in the PO <strong>or</strong> equivalent peroccurrence <strong>or</strong> series <strong>of</strong> occurrences arising from theone event. Such insurance shall contain anindemnity to principals clause.13 CANCELLATION & TERMINATION13.1 Company may cancel all <strong>or</strong> part <strong>of</strong> the Contract f<strong>or</strong> itsconvenience by written notice. If Company cancels f<strong>or</strong> itsconvenience, Contract<strong>or</strong> will be entitled to payment pro-rataf<strong>or</strong> satisfact<strong>or</strong>y perf<strong>or</strong>mance pri<strong>or</strong> to cancellation plus anyreasonable <strong>and</strong> documented expenses directly incurred byContract<strong>or</strong> in cancelling <strong><strong>or</strong>der</strong>s <strong>and</strong> w<strong>or</strong>k in progress.13.2 Company may, in addition to its other rights <strong>or</strong> remedies,terminate all <strong>or</strong> part <strong>of</strong> the Contract by immediate writtennotice f<strong>or</strong>:(a) Contract<strong>or</strong>’s actual <strong>or</strong> anticipated breach <strong>of</strong> anyContract provision <strong>and</strong> failure to c<strong>or</strong>rect such actual<strong>or</strong> anticipated breach within a time period stipulatedby Company; <strong>or</strong>(b) any act related to bankruptcy, re<strong>or</strong>ganisation,receivership <strong>or</strong> insolvency. Upon termination,Company may immediately take possession <strong>of</strong> any<strong>of</strong> the Goods to be provided under the Contract; <strong>or</strong>(c) any breach <strong>of</strong> Clause 19 <strong>and</strong>/<strong>or</strong> Clause 20.13.3 If Company terminates f<strong>or</strong> Contract<strong>or</strong>’s default, Contract<strong>or</strong>indemnifies, defends <strong>and</strong> holds harmless Company against allcosts (including legal costs) <strong>or</strong> expenses incurred by Companyin obtaining the Goods/Services elsewhere <strong>and</strong>/<strong>or</strong> arrangingf<strong>or</strong> a third party to <strong>supply</strong> <strong>or</strong> complete the Goods/Services.13.4 The following Clauses survive the cancellation <strong>or</strong> termination<strong>of</strong> the Contract: 3, 5, 7, 9, 10, 11, 12, 13, 17 <strong>and</strong> 20.14 ASSIGNMENT14.1 Contract<strong>or</strong> must not assign, transfer <strong>or</strong> sub-contract theContract in whole <strong>or</strong> in part <strong>or</strong> any legal <strong>or</strong> equitable interestwithout the pri<strong>or</strong> written consent <strong>of</strong> Company.14.2 Company is entitled to freely assign <strong>or</strong> transfer the Contract inwhole <strong>or</strong> in part <strong>or</strong> any legal <strong>or</strong> equitable interest to any thirdparty by giving written pri<strong>or</strong> notice to Contract<strong>or</strong>.15 FORCE MAJEURE15.1 Neither Party is responsible f<strong>or</strong> any failure to fulfil any term <strong>or</strong>condition <strong>of</strong> the Contract if <strong>and</strong> to the extent that fulfilment hasbeen delayed <strong>or</strong> temp<strong>or</strong>arily prevented by a F<strong>or</strong>ce Majeureoccurrence which has been notified in acc<strong>or</strong>dance with Clause15.2 which is beyond the control <strong>and</strong> without the fault <strong>or</strong>negligence <strong>of</strong> the Party affected <strong>and</strong> which, by the exercise <strong>of</strong>reasonable diligence, it is unable to provide against. EachParty is to use its best endeavours to avoid, circumvent <strong>or</strong>overcome the circumstances <strong>of</strong> F<strong>or</strong>ce Majeure.15.2 If an event <strong>of</strong> F<strong>or</strong>ce Majeure occurs, the Party that is <strong>or</strong> maybe delayed in perf<strong>or</strong>ming under the Contract shall notify theother Party in writing without delay giving the full particularsthere<strong>of</strong> <strong>and</strong> shall immediately <strong>and</strong> continuously use allreasonable endeavours to remedy the situation without delay.15.3 Neither Party shall be liable to the other Party f<strong>or</strong> costsincurred by the other as a result <strong>of</strong> any delay <strong>or</strong> failure toperf<strong>or</strong>m arising from an event <strong>of</strong> F<strong>or</strong>ce Majeure notified inacc<strong>or</strong>dance with Clause 15.2.15.4 If an event <strong>of</strong> F<strong>or</strong>ce Majeure prevails f<strong>or</strong> a period <strong>of</strong> sixty (60)days then Company may terminate the Contract f<strong>or</strong>thwith bygiving notice.16 HEALTH, SAFETY, SECURITY & THEENVIRONMENT16.1 Contract<strong>or</strong> must comply with <strong>and</strong> ensure all Contract<strong>or</strong>Personnel comply with:(a) all Legislation affecting health, safety, security <strong>and</strong>the environment (“HSSE”) in respect <strong>of</strong> the provision<strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services;<strong>and</strong>(b) Company’s HSSE policies; Contract<strong>or</strong> to request acopy <strong>of</strong> the policy if it is not provided with theContract.16.2 Company may on notice to Contract<strong>or</strong> <strong>and</strong> without any furtherconsent <strong>of</strong> Contract<strong>or</strong> undertake, at any time, an HSSE risk<strong>and</strong> impact assessment <strong>of</strong> the Contract<strong>or</strong>’s (<strong>and</strong> Contract<strong>or</strong>Personnel) w<strong>or</strong>k policies <strong>and</strong> procedures in relation to theprovision <strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services. F<strong>or</strong>the avoidance <strong>of</strong> doubt, the Contract<strong>or</strong> irrevocably consents toan HSSE risk <strong>and</strong> impact assessment being undertaken by <strong>or</strong>on behalf <strong>of</strong> the Company in acc<strong>or</strong>dance with this Clause 16.2<strong>and</strong> to provide unfettered access to relevant w<strong>or</strong>k sites,personnel <strong>and</strong> equipment.16.3 Should Company determine, at its sole discretion that theresults <strong>of</strong> the risk <strong>and</strong> impact assessment under this Clause 16indicate sufficient HSSE exposure in relation to the provision<strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services, Company isentitled to direct Contract<strong>or</strong> (<strong>and</strong> Contract<strong>or</strong> Personnel) toundertake at Contract<strong>or</strong>’s cost <strong>and</strong> within an agreed timescale,remedial actions which Company considers necessary t<strong>or</strong>educe <strong>or</strong> eliminate the HSSE risk(s), impact <strong>or</strong> noncompliance.17 AUDIT17.1 Contract<strong>or</strong> represents <strong>and</strong> covenants that it maintainsaccurate <strong>and</strong> complete books <strong>and</strong> rec<strong>or</strong>ds <strong>and</strong> internalcontrols, consistent with accounting principles, practicescontained in International Financial Rep<strong>or</strong>ting St<strong>and</strong>ards <strong>and</strong>all applicable laws.17.2 Company has the right to audit all Contract<strong>or</strong>’s rec<strong>or</strong>ds relatingto the provision <strong>of</strong> Goods/Services. Contract<strong>or</strong> will keep <strong>and</strong>make all rec<strong>or</strong>ds available f<strong>or</strong> twenty four (24) months afterdelivery <strong>of</strong> the Goods <strong>and</strong>/<strong>or</strong> completion <strong>of</strong> the Services. Ifany audit detects over charging to Company in excess <strong>of</strong> twopercent (2%) <strong>of</strong> the Price, Company may invoice Contract<strong>or</strong>f<strong>or</strong> all audit costs.18 GENERAL18.1 Company’s right to require strict perf<strong>or</strong>mance <strong>of</strong> the <strong>terms</strong> <strong>of</strong>the Contract are not affected <strong>or</strong> waived by any failure toenf<strong>or</strong>ce any <strong>of</strong> the <strong>terms</strong> <strong>or</strong> by Company’s acceptance <strong>of</strong>perf<strong>or</strong>mance under the Contract.18.2 The Contract does not create any partnership betweenCompany <strong>and</strong> Contract<strong>or</strong>.18.3 The contents page <strong>and</strong> headings in the Contract are f<strong>or</strong>convenience only <strong>and</strong> do not affect the interpretation <strong>or</strong>construction <strong>of</strong> the Contract.18.4 No representation <strong>or</strong> warranty, express <strong>or</strong> implied, is <strong>or</strong> will bemade <strong>and</strong> no responsibility <strong>or</strong> liability is <strong>or</strong> will be accepted byCompany <strong>or</strong> by any member <strong>of</strong> Company Group as to, <strong>or</strong> inrelation to, the accuracy <strong>or</strong> completeness <strong>of</strong> any inf<strong>or</strong>mationmade available to Contract<strong>or</strong> Group.18.5 A person <strong>or</strong> company who is not a Party has no right underany legislation to enf<strong>or</strong>ce any term <strong>of</strong> the Contractnotwithst<strong>and</strong>ing that any term may be construed as conferringa benefit on such person <strong>or</strong> company.18.6 Any notice under the Contract is to be delivered in writing inthe English language personally, by courier, by rec<strong>or</strong>deddelivery <strong>or</strong> sent by facsimile (with confirmation) to the otherParty at the registered address <strong>or</strong> an address specified in theContract <strong>and</strong> f<strong>or</strong> the attention <strong>of</strong> any individual specified in theVersion 1.1 Page 6 <strong>of</strong> 7

If no individual is specified f<strong>or</strong> Company, then it is tobe marked f<strong>or</strong> the attention <strong>of</strong> the C&P Manager.18.7 The Contract may be executed in any number <strong>of</strong> counterparts,all <strong>of</strong> which, taken together, shall constitute one <strong>and</strong> the sameagreement, <strong>and</strong> any Party (including any duly auth<strong>or</strong>isedrepresentative <strong>of</strong> a Party) may enter into the Contract byexecuting a counterpart.18.8 If any part <strong>of</strong> the Contract is held by a court <strong>of</strong> competentjurisdiction to be invalid, illegal <strong>or</strong> unenf<strong>or</strong>ceable, theremainder <strong>of</strong> the Contract shall not be affected <strong>and</strong> every part<strong>of</strong> the Contract shall be severable <strong>and</strong> separately valid <strong>and</strong>enf<strong>or</strong>ceable.19 AGENTS AND INTERMEDIARIES19.1 Contract<strong>or</strong> represents, warrants <strong>and</strong> undertakes to Companythat it has not <strong>and</strong> that each other member <strong>of</strong> Contract<strong>or</strong>Group <strong>and</strong> other Representatives have not:(a) used <strong>and</strong> will not use, the services <strong>of</strong> an agent <strong>or</strong>intermediary; <strong>or</strong>(b) made <strong>or</strong> <strong>of</strong>fered to make, <strong>and</strong> will not make anypayment <strong>or</strong> transfer <strong>of</strong> anything <strong>of</strong> value directly <strong>or</strong>indirectly to any agent <strong>or</strong> intermediary <strong>or</strong> to anyCompany representative, in connection withContract<strong>or</strong>’s prequalification/sh<strong>or</strong>t listing f<strong>or</strong>, <strong>or</strong> theaward <strong>of</strong>, the Contract <strong>or</strong> in connection with anyvariation under, <strong>or</strong> amendment to, the Contract.19.2 Any breach <strong>of</strong> this provision is a material breach <strong>of</strong> theContract entitling the Company to terminate the Contract inacc<strong>or</strong>dance with Clause 13.2.20 ANTI-CORRUPTION OBLIGATIONS20.1 Contract<strong>or</strong> undertakes that in relation to the Contract:(a) it <strong>and</strong> its Representatives comply with all relevantlaws in relation to c<strong>or</strong>ruption, fraud <strong>and</strong> bribery <strong>and</strong>specifically United Kingdom Bribery Act 2010 (UKBA2010);(b) it <strong>and</strong> its Affiliates have adequate policies <strong>and</strong>procedures in relation to business ethics <strong>and</strong>conduct which are compliant with UKBA 2010 <strong>and</strong>relevant guidance;(c) neither it n<strong>or</strong> any <strong>of</strong> its Representatives has at anytime been investigated <strong>or</strong> is being investigated <strong>or</strong>been suspected in any jurisdiction <strong>of</strong> conduct whichconstitutes c<strong>or</strong>ruption, fraud <strong>or</strong> bribery; <strong>and</strong>(d) there is no relationship between(i) Contract<strong>or</strong>’s Representatives <strong>or</strong> anymember <strong>of</strong> the Contract<strong>or</strong>’s <strong>or</strong> anyRepresentatives’ immediate families, <strong>and</strong>(ii) any f<strong>or</strong>eign public <strong>of</strong>ficial (as defined in theUKBA 2010) which may be <strong>or</strong> mayreasonably be considered to be influencingmatters connected with the Contract,save as has been notified to Company in writing.20.2 Contract<strong>or</strong> will notify Company immediately in writing if at anytime it becomes aware that any <strong>of</strong> the circumstances set out inClauses 20.1(c) <strong>and</strong> 20.1(d) above are not as represented <strong>and</strong>will promptly take all such steps as may be necessary <strong>and</strong>/<strong>or</strong>requested by Company which are designed to ensureminimum adverse effect on Company’s reputation <strong>and</strong> theContract.20.3 Contract<strong>or</strong> indemnifies <strong>and</strong> holds Company <strong>and</strong> its Affiliatesharmless from <strong>and</strong> against any <strong>and</strong> all claims, damages,liabilities, losses, penalties, fees, costs <strong>and</strong> expenses arisingfrom <strong>or</strong> related to, any breach <strong>of</strong> this Clause.21 BUSINESS PRINCIPLES21.1 Contract<strong>or</strong> shall, <strong>and</strong> shall ensure its Representatives, act in amanner consistent with BG Group Business Principles belowso as to enable Company to operate in acc<strong>or</strong>dance with thoseprinciples in relation to this Contract. Contract<strong>or</strong> confirms thatit will provide the Goods/Services in all respects in acc<strong>or</strong>dancewith these Business Principles, <strong>and</strong> other Company businessprinciples, policies <strong>and</strong> procedures which may becomeapplicable as notified in writing by Company to Contract<strong>or</strong> fromtime to time.BG GROUP BUSINESS PRINCIPLESConduct• We act with integrity, fairness <strong>and</strong> transparency.• We comply with legal, regulat<strong>or</strong>y <strong>and</strong> licencerequirements.• We do not tolerate c<strong>or</strong>ruption in any f<strong>or</strong>m, whether direct<strong>or</strong> indirect.• Our investment criteria take account <strong>of</strong> economic returns,environmental impacts, social consequences <strong>and</strong> humanrights.• High st<strong>and</strong>ards <strong>of</strong> c<strong>or</strong>p<strong>or</strong>ate governance are integral tothe way we manage our business.People• We treat people with fairness, respect <strong>and</strong> decency.• We help employees to develop their potential.• We believe that all injuries are preventable.• We provide healthy, safe <strong>and</strong> secure w<strong>or</strong>k environments.Society• We w<strong>or</strong>k to ensure that neighbouring communitiesbenefit from our presence on an enduring basis.• We listen to neighbouring communities <strong>and</strong> take account<strong>of</strong> their interests.• We supp<strong>or</strong>t human rights within our areas <strong>of</strong> influence.Environment• We make a positive contribution to the protection <strong>of</strong> theenvironment.• We go beyond compliance with local environmentalregulation to meet internationally accepted best practice.• We reduce to the minimum practicable any adverseeffects <strong>of</strong> our operations on the environment.22 GOVERNING LAW & DISPUTE SETTLEMENT22.1 This Contract <strong>and</strong> any non-contractual obligations arising out<strong>of</strong> <strong>or</strong> in connection with it shall be governed by the law <strong>of</strong>Queensl<strong>and</strong>.22.2 The Queensl<strong>and</strong> courts shall have exclusive jurisdiction tosettle any dispute arising out <strong>of</strong> <strong>or</strong> in connection with thisContract including a dispute relating to any non-contractualobligations arising out <strong>of</strong> <strong>or</strong> in connection with this Contract<strong>and</strong> the parties submit to the exclusive jurisdiction <strong>of</strong> theQueensl<strong>and</strong> courts.22.3 This Contract is not governed by the United NationsConvention on Contracts f<strong>or</strong> the International Sale <strong>of</strong> Goods(1980) <strong>or</strong> any other international conventions relating to thesale <strong>of</strong> <strong>goods</strong>.Version 1.1 Page 7 <strong>of</strong> 7
