If I am confirmed, I will resign from my position at Baker & Hostetler LLP and will<br />
receive a discretionary bonus of $50,000. After my resignation, I will remain vested in<br />
the firm's 40 1(k) and KEOUGH plan, but neither I nor my firm will make any further<br />
contributions to them.<br />
