and/or improve the economic and/or social and/or environmental well-being of theBorough.(k)(l)Pursuant to the Land Agreements the Developer holds an interest in land which is thesubject of those agreements and which is situated within the Development Site.The Developer has agreed to indemnify the Council against all and any CPO Costsreasonably and properly incurred and to provide the Surety to guarantee thatindemnity.The Parties agree as follows:1 Definitions and interpretationThe Parties agree that the provisions of Schedule 1 shall apply to this Agreement.2 Commencement and making the CPO2.1 This Agreement shall come into immediate effect upon both the making of the CPOand the provision of the Surety.2.2 If the Parties have not agreed the form, content and extent of the CPO and allsupporting material prior to this Agreement coming into effect then the Council shallconsult the Developer about the form, content and extent of it and all supportingmaterial which shall be subject to the prior written approval of the Developer.2.3 Subject to clause 4.2:2.3.1 as soon as reasonably practicable, the Council shall proceed diligently andexpeditiously with the making of the CPO and the submission of it to the Secretary ofState for confirmation and shall take all appropriate steps to secure confirmation ofthe CPO in such form as soon as reasonably practicable; and2.3.2 the Council may and shall if so requested in writing by the Developer securethe implementation of the CPO by either way of:2.3.1 the service of one or more Notices to Treat, whether subsequentlywith or without Notices of Entry; and/or2.3.2 the making of one or more General Vesting Declarations.3 Developer’s ObligationsThe Parties agree that the provisions of Schedule 4 shall apply to this Agreement.4 The Council’s Obligations4.1 The Parties agree that the provisions of Schedule 5 shall apply to this Agreement.L1.040-CPO-CPOIA.v2.23Page 86
