7.3.2 by 11 a.m. on the next following Working Day, if sent after 4 p.m. on aWorking Day but before 9 a.m. on that next following Working Day.8 Value added taxThe sums stated to be payable by any Party under this Agreement and all othersupplies made under or in connection with this Agreement are exclusive of VAT and:8.1 if any such sum or supply gives rise automatically to a charge to VAT; or8.2 if any such sum or supply gives rise to a charge to VAT due to any election made orto be made by a supplier,then and in any such case the recipient of the supply shall pay VAT in addition theretoon production of a valid VAT invoice.9 Non-mergerThe provisions of this Agreement shall not merge on the actual completion of any actor step contemplated hereunder to the extent they remain to be performed and capableof being performed the provisions shall continue in full force and effect.10 Information and Confidentiality10.1 Subject to paragraphs 10.2, 11 and 12, each of the Parties acknowledges that thisAgreement will be a public document.10.2 Each of the parties agrees and undertakes not to make public or reveal to any person:10.2.1 the amount secured under the Surety nor any of the contents of theCompensation Assessment, other than the global aggregate; and10.2.2 not to use any such information otherwise than in good faith in theperformance of its obligations under this Agreement; and10.2.3 to use all reasonable endeavours to procure that any person to whom it doesdisclose such information shall comply with the provision of this paragraph 10 as if itwere a Party and bound by it10.3 Paragraph 10.2 shall not prevent any Party from disclosing such information:10.3.1 to its legal and other professional advisers (having first informed them thatsuch information is to be kept in strict confidence and not disclosed further);10.3.2 to its officers, servants, employees or agents who are involved in theperformance of the Party’s obligations under this Agreement;L1.040-CPO-CPOIA.v2.241Page 124
