In performingits functions, the Committee reviewed the overall scope of both the internal and external audits and the assistancegiven by the Company’s officers to the auditors. It met with the Company’s internal and external auditors to discussthe results of their respective examinations and their evaluation of the Company’s system of internal accountingcontrols.
