<strong>SFFMA</strong> TERMS AND CONDITIONSADHERENCETO SHOW RULESDISABLEDASSISTANCEBOOTHASSIGNMENTFLOOR PLANUSE OF EXHIBITSPACEEXHIBIT HALLADMITTANCE/BADGESThe following provisions become binding upon acceptance of the <strong>State</strong> <strong>Fire</strong>men’s and <strong>Fire</strong> Marshals’ Associationof Texas Exhibiting Agreement between the applicant, his employees and agents, and <strong>SFFMA</strong>, and any additionsand amendments thereto that may hereafter be established or put into effect by <strong>SFFMA</strong>. The <strong>State</strong> <strong>Fire</strong>men’s and<strong>Fire</strong> Marshals’ Association of Texas (hereafter referred to as “<strong>SFFMA</strong>”) reserves the right to disqualify potentialexhibitors which do not meet the specifications of the Exhibiting Agreement as stated herein. Failure by theexhibitor to comply with these rules and regulations as agreed by the parties or the breach of any representation,warranty, or guarantee by the exhibitor shall render the exhibitor liable for direct and consequential damages,expenses, allocations of overhead, etc. The Exhibiting Agreement and these Terms and Conditions represent thecomplete understanding of the parties and may be amended, modified, or otherwise altered only pursuant to themutual written agreements of the parties.Persons with disabilities who plan to attend this conference and who may need auxiliary aids or services arerequested to contact <strong>SFFMA</strong> at 800.580.7336 at least seven (7) working days prior to the <strong>Conference</strong> so that theappropriate arrangements can be made.Upon receipt of signed contract and full payment, notification of booth assignment will be emailed to theExhibitor. Space is assigned on a first-come, first-served basis. If space selected has previously been reserved,exhibit management retains the right to assign the next-best available space. The Exhibit Coordinator shallassign display space as indicated on the official floor plan, but reserves the right to reassign, decline or prohibitany exhibit that, in their judgment, is out of keeping with the character of the <strong>Conference</strong>. This reservation beingall-inclusive as to person, things, printed matter, products and conduct.The arrangement of exhibit space is shown on the floor plan. All dimensions and locations shown on the floorplan are believed, but not warranted, to be accurate. <strong>SFFMA</strong> reserves the right to make such modifications, towhatever extent <strong>SFFMA</strong> deems appropriate, to the floor plan as may be in the best interest to the Exhibit.Exhibit space is leased on the express understanding it is to be used solely for the display of the Exhibitor’sproducts and services that the Exhibitor offers for sale to the <strong>Fire</strong> and Emergency Service industries. Exhibitors arenot permitted to sublet any part of their space, or to display merchandise of other manufacturers or dealers whereno direct business conditions exist between them. No exhibitor material may extend beyond the boundaries ofthe exhibit space or exceed the height restrictions for that type of booth. All exhibits must conform to the <strong>SFFMA</strong>Terms and Conditions, and must not be of such nature or arrangement to obstruct the view of or interfere withexhibits of others. Should there be any question, final judgment will be made by the <strong>SFFMA</strong> Exhibit Management.Acceptance of exhibit space makes it obligatory on the part of the exhibitor and any employee that they shall notdeface or injure the Marriott Waterway - Exhibit Hall. Any damage done shall be made good by the exhibitor to<strong>SFFMA</strong> or the owners of the building as their interests may appear.<strong>SFFMA</strong> shall have the unqualified right to prohibit or require the dismantling of any exhibit or part of an exhibitwhich in their opinion is not suitable to or in keeping with the character or purpose of the Exhibit. Exhibits shallbe modified or dismantled at the request of <strong>SFFMA</strong>. <strong>SFFMA</strong> reserves the right to remove from the Exhibit anyadvertising, programs, or materials, literature, or costumed person or mannequins which are, in the opinion of<strong>SFFMA</strong>, in bad taste.Exhibitors shall reflect the highest standard of professionalism while maintaining the booth during exhibithours. The <strong>SFFMA</strong> Executive Director or Exhibits Committee reserves the right to expel from the exhibit area anyexhibitor misrepresenting their product, service or firm, in name or in action.Exhibitors may sell products on the exhibit floor during regular exhibit hours, provided that the vending exhibitorholds <strong>SFFMA</strong> harmless from every claim of any kind that may arise from the sale of such products, including,without limitation, any consumer suit, complaint, or demand; any product liability suit; or any other claim,demand, or suit, whether in a court of law or equity or in an administrative forum.Every retailer in Texas needs a sales tax permit. An exhibitor without a Texas location needs a use tax permit.There is no fee for a use tax permit. It is the responsibility of the exhibiting company to obtain the proper salespermits from the <strong>State</strong> of Texas. For more information, contact the Texas Comptroller’s Office at 800.252.5555.Exhibit management reserves the right, in its sole discretion, to prohibit or discontinue sales for any reason, atany time. Exhibitors displaying ambulances and fire fighting equipment must complete and submit applicationsto the Texas Department of Transportation. Failure to do so will result in ineligibility to exhibit and forfeiture ofspace cost. Sound levels may not be distracting to neighboring exhibits.Exhibitors must conform to rules and regulations concerning flammable and hazardous chemical products andmaterials as set by OSHA, the <strong>State</strong> of Texas, Montgomery and Harris Counties and the Woodlands Township.Biological products exhibited require a USDA license. Information contained in the exhibit and in literaturedistributed must conform to approved labeling.Exhibitor will furnish <strong>SFFMA</strong> with a list of their exhibit representatives. These representatives must register uponarrival at the exhibit committee booth. No one will be admitted in the Exhibit Hall without this badge duringmove-in and move-out. Exhibitors, with the proper name badge, will be allowed in the Exhibit Hall no earlier thanone and a half (1.5) hour prior to scheduled opening of exhibits on Saturday, June 22, 2013.9


<strong>SFFMA</strong> TERMS AND CONDITIONS continuedEXHIBIT FEEPAYMENT/CANCELLATION POLICYCOPYRIGHTPOLICYINSURANCE &LIABILITYCONDITIONS OFCONTRACTExhibitor fee includes standard back and side drape, 8’ draped table, two chairs, standard booth identificationsign, wastebasket and name badges. (number of badges according to the booth size). Fee also includes listingin the <strong>Conference</strong> Program (provided exhibitor meets copy deadline). No utilities, audio/visual equipment,individual booth janitorial service or additional furnishings are included in the exhibit fee. Exhibitor MUST be apaid current sustaining member of <strong>SFFMA</strong> to exhibit.Booth payment is due in full at time of reservation. No one will be allowed to exhibit unless exhibit fee is paid in full.All booth cancellations must be submitted to the <strong>SFFMA</strong> Exhibits Coordinator in writing. Exhibitor will be liable for allcharges incured to <strong>SFFMA</strong> before the cancellation date. No refunds will be available after May 6, 2013.Exhibitor must obtain all necessary authorizations from third parties concerning copyrights, music licensingrights, patents, trademarks, trade names, slogans, logos, service marks, and other similar tangible property rightsused by the exhibitor. Exhibitor’s operations at the exhibition do not infringe any copyright, patent trademark,trade name, service mark, or other similar right of any other party. Exhibitor shall indemnify and hold harmless<strong>SFFMA</strong>, and its officers, directors, employees and agents from any and all liabilities, claims, costs, damages andreasonable fees of counsel of <strong>SFFMA</strong>’s choice incurred in connection with any claim against <strong>SFFMA</strong> promotionalmaterials or performance of any music or other material that violates any copyright, patent, trademark, tradename, service mark, or other similar right of any other party. **No unauthorized use of the <strong>SFFMA</strong> logo orportions thereof will be permitted without the expressed written permission of the <strong>SFFMA</strong>’s Executive Director.Exhibitors wishing to insure their property must do so at their own expense. All exhibitors should have at leastone exhibitor in their booth at all times, especially when exhibits are being setup or dismantled, to protectthemselves against loss. The performance of this agreement by either party is subject to acts of God, war,government regulations, disaster, civil disorder, curtailment of transportation facilities, or other emergency overwhich neither party has any control making it illegal or impossible to provide the facilities or to hold the function.Exhibitors agree to maintain such insurance that will fully protect <strong>SFFMA</strong> from any and all claims of any naturewhatsoever, including claims under the Workman’s Compensation Act, and for personal injury, including death,which may arise in connection with the installation, operation or dismantling of the exhibitor’s display. Exhibitoragrees to indemnify and hold harmless <strong>SFFMA</strong> for any such claims, irrespective of insurance coverage. (Exhibitorsare advised to add on to their existing insurance a portal-to-portal rider at a nominal cost protecting themagainst the loss/damage to their materials by fire, theft, accident, etc.)It is expressly understood and agreed, and the Exhibitor agrees by accepting this contract, that he/she will makeno claim of any kind against the <strong>State</strong> <strong>Fire</strong>men’s and <strong>Fire</strong> Marshals’ Association of Texas, or any of its members orits employees for any loss, damage to or destruction of goods while at the Marriott Waterway, or for any damageof any nature or character whatsoever. It is further agreed that the <strong>SFFMA</strong> shall not be liable or responsible for,and shall be indemnified and held harmless by the Exhibitor from and against any and all claims and damagesof every kind, for injury to or death of any person or persons and for damage to or loss of property, arising outof or attributed, directly or indirectly, to the operations or performance of the Exhibitor or Exhibitor’s agentsand employee under this agreement. Marriott Waterway is not liable to the Exhibitors for any damage to or forthe loss or destruction of any exhibit or the property of the Exhibitor by fire or other casualty covered by anextended coverage endorsement to a fire insurance policy, whether caused by negligence of the hall, its officers,agents, servants, employees or otherwise, all claims for any such loss or damage being expressly waived by theExhibitor who agrees to indemnify and hold Marriott Waterway harmless for such claims. Should any eventualitycause cancellation of the exhibition, <strong>SFFMA</strong> shall not be liable for any expenses incurred by the Exhibitor otherthan the rental cost of the exhibit space less decorating cost. Refund of said rent shall be the maximum limit of<strong>SFFMA</strong>’s liability to the Exhibitor.The <strong>State</strong> <strong>Fire</strong>men’s and <strong>Fire</strong> Marshals’ Association of Texas reserves the right to alter locations of exhibitors orof booths shown on the floor plan if deemed to be in the best interest of the Exhibit. This contract is subject toall rules and regulations of the Association and all the conditions under which space at the Marriott Waterwayis made available to <strong>SFFMA</strong>. The Exhibitor agrees to abide by all applicable fire, utility and building codes.Exhibitors are responsible for knowing and abiding by the <strong>SFFMA</strong> Terms and Conditions, as outlined in theExhibitor Prospectus. The Association reserves the right to make such reasonable changes, amendments, andadditions to these Exhibit Rules and Regulations as may be considered necessary. This instrument contains theentire agreement between the parties relating to the rights herein granted and the obligations herein assumed,except as otherwise provided in this instrument. The agreement shall be governed by the laws of the <strong>State</strong> ofTexas.10


Exhibit Hall RegulationsLOAD IN OF LARGE ITEMS AND MOTORIZED VEHICLES:Vehicles, large crates, truss and flats must be loaded into the Exhibit Hall fromthe north bay door. All motorized vehicles are to be rendered inoperable andpushed into the hall. Protective covering must be placed under all motorizedvehicles.DEFINITION: Motorized vehicles shall be defined as any vehicle which ispropelled by an internal combustion engine and using Class – or Class 2 fuel,such as but not limited to automobiles, trucks, motorcycles, aircrafts and watercrafts.All motorized vehicles, which are displayed, shall have the batteriesdisconnected at the hot lead. The lead shall be safely secured. Fuel supplies forthe vehicle on display shall not exceed one-fourth (1/4) of a tank.All motor vehicles tanks containing fuel should be furnished with locking capsor sealed with tape to prevent inspection by viewers. Tractors, chain saws,generators and other such fuel powered equipment shall be safe guarded in asimilar manner.Upon entering, visqueen must be laid under the vehicle to prevent oil drip.Visqueen must remain under the vehicle during the time it stays on the exhibitfloorSTORAGE:The Woodlands Waterway Marriott has no storage facilities for large materials.All freight and crates must be delivered and extracted during the load in andload out periods only. For this reason, we suggest that the company responsiblefor the load in and load out store all unnecessary materials during the show.All costs involved with movements and storage of freight during the show ordelivered prior to the load in date will be the responsibility of the companyperforming the load in and load out.The company is expected to store the majority of their items backstage, orin a container or truck off property. If there is an excess of materials storedbackstage creating a safety hazard, you may be asked by the Event Servicemanager and or the Engineering Department to remove some or all of the items.WHILE OCCUPYING FUNCTION SPACE:There is to be no painting or extensive carpentry work done in any functionspace. Please contact the Event Service Manager prior to arrival to discuss yourneeds and obtain the consent to paint or construct any items.The use of nails or staples in the Hotel’s meeting space is not allowed inexposed molding or walls. Also screws or nails are not allowed in any of theHotel’s equipment such as stages to hold up props or back drops.Tape shall not be used to hold or hang banners of any kind on walls or air walls.Our airwalls are constructed with a steel skeleton and will allow for magnets tohold up signs or banners.RIGGING, CEILING ACCESS:UNDER NO CIRCUMSTANCE SHALL ANY VENDOR OR “RIGGER” BE ALLOWEDACCESS TO OUR CEILING FOR RIGGING PURPOSES WITHOUT THE CONSENT OFTHE DIRECTOR OF EVENT TECHNOLOGY!The Woodlands Waterway Marriott has a staff of “Certified” riggers and willhandle ALL of your rigging needs. Please contact the Director of EventTechnology do discuss your event and provide a “rigging plot” for approval.Rigging charges do apply and will be billed at the following rate:• $ 500 package Up to 4 motors or points• $1000 package 5 to 10 motors or points• $1500 package: 11 to 15 motors or pointsNOTE: All packages include one (1) ceiling rigger and (1) ground rigger. Therigger(s) will hang your motors and get your truss to working height at load in.During load out the rigger will bring the truss back down to working height andonce truss has been removed, then remove the motors from the ceiling.The “UP” and “DOWN” time will be two 4 hour calls between the hours of 8amand 5pm. If the “UP” time or down time exceeds 4 hours it will then be billedat $65.00/hr. “After-Hour” calls before 8am or after 5pm will be billed at anadditional $97.50/hr.Please plan your rigger call times appropriately!The Woodlands Waterway Marriott has an extensive inventory of truss, motors,motor controls and rigging hardware! Please ask for a package price and we willhave the motors hanging upon your arrival! (Depending upon room availability)LIFT USAGE:It is your responsibility to provide your own lift for the rigger. Charges apply depending on the size of the banner.Masking tape is the preferred substance for hanging light banners of flipchartpapers, that you will be hanging yourself. Thumbtacks or staples are notpermitted.SOUND SYSTEMS:All function space is equipped with state of the art sound systems. A charge of$75.00 per room will be applicable if you choose to hook into our sound systemwith your own equipment!HANDLING VENDOR EQUIPMENT:Once on property and in place, it is our policy that our staff can not beresponsible for setting, moving, repairing or otherwise handling your audiovisual equipment.COMPANY CREW AND PERSONNEL:All labor employed by the company will wear clothing which is neat inappearance. This includes shirts worn at all times, long hair pulled back, nofoul language and no smoking in any function space. These associates mustenter the hotel through the dock area and must obtain a visitor badge from theengineering department. Upon leaving the hotel they must return the badge andsign out. The Woodlands Waterway Marriot reserves the right to ask any vendoremployee to leave the premises depending on conduct or dress and may not beallowed to return to the property.SECURITY:The Woodlands Waterway Marriott will not assume responsibility for the damageor loss of any merchandise or articles brought to the hotel.SHIPPING AND RECEIVING:A limited number of packages for functions may be delivered to the hotel up tothree (3) days prior to the event at no charge. Any deliveries made prior to thecomplimentary three (3) days are subject to daily storage fees. When Shippingmaterials to the hotel, please include the following information on all packagesto insure proper delivery and storage:• <strong>Conference</strong> / Event Name• Event Dates• Client / Guest Name• Hold for Arrival: (arrival date)• Attention: (your contact)• Room name if available.• Number of Packages in Shipment. (i.e. 1 of 6, 2 of 6, etc…)Large deliveries requiring a container truck must be coordinated with your EventManager in order to secure a bay and schedule times for delivery at the mainhotel loading dock.Drayage:The Hotel is pleased to provide shipping assistance to you and your attendeeswhile on site if there has been no prior arrangements made with a DrayageProvider (Superior Expo Services). All incoming/outgoing drayage will only beaccepted at the back dock shipping area. The hotel does not allow any loadingor unloading of equipment/boxes through the front of the hotel.The hotel is pleased to provide box storage and delivery for exhibit programswhen it has not been previously arranged through a Drayage Provider. Allboxes/portable booths deliveries must comply with the standard shippingprocedures. A limited number of packages for functions may be delivered tothe hotel up to three (3) days prior to the event at no charge. Any deliveriesmade prior to the complimentary three (3) days are subject to daily storage fees.A delivery charge of $25.00 per booth will be assessed to each specific vendor/exhibitor.MEETING MATERIALS:If you require assistance unloading equipment or boxes, please contact yourEvent Manager to arrange for dedicated buy out labor. Boxes being moved fromroom to room should be coordinated through the Event Manager at least (2)weeks prior to ensure proper scheduling.ELECTRICAL / ENGINEERING SUPPORT:All power requirements must be communicated to the Event TechnologyDepartment at least (2) weeks prior to your load in.
