Table 1The following table considers the implementation of Art 80 of the UCITS Directive. It divides the industry into three segments: (1) investmentcompanies, management companies and third parties acting under their "full and unconditional responsibility"; (2) intermediaries who do notact under an investment company's or management company's "full and unconditional responsibility" and other parties who include UCITS intheir products; and (3) infrastructure companies and others.We think that the following interpretation of Art 80 provides a sensible way to approach the question of who must deliver the KID to aninvestor, and that it reflects how the industry operates. However, the industry is so diverse that this interpretation cannot be definitive andpractitioners should take legal advice on their own circumstances and the implications of other parts of the Directive, including Recital 16 andArt 13(2) (delegation and liability) and Annex II (marketing a function included in the activity of collective portfolio management).Art 80(1)Investment company or management companyDistributor or selling agent acting "on behalf of" andunder the "full and unconditional responsibility" ofthe investment company or management company.Art 80(2)All entities belowNotesHas an obligation to deliver the KID when selling directly and to ensure that itsdelegates deliver the KID, all "in good time before [investing]".
