IPA 2009 Multi-beneficiary StatisticalCooperation ProgrammeThe BR encompasses three types of units: business entities, affiliates and other partsof business entities, and affiliates of foreign business entities.A business entity is a BR unit that performs registered profit or non-profit activitiesor activities defined by a foundation regulation or document within the territory ofthe Republic of Albania. Business entities are:– Legal persons: these are entities that obtain the status of legal persons withthe entry into the constitutive register/record or by law. Legal persons canacquire rights and assume obligations, can be owners of movable propertyand real estate, and can sue or can be sued;– Individuals: these are individual private entrepreneurs (sole proprietors) andother individuals who permanently and independently perform variousexclusively profit activities in the free market.Each business entity has its own form of organization (legal organizational form),which is based on one of the legally determined organizational forms. Businessentities are entered in the BR on the basis of registration with the primary registerbody (courts, chambers, etc.) or are created and entered into the BR on the basis oflaw (governmental bodies).Parts of business entities are parts of legal entities and parts of individuals'businesses. They are organizational, legal, business, accounting, production ortechnological units that perform various activities as business entities in the samelocation or the same or different activities at an address other than the business entityheadquarters. They can be registered with the primary register body, they can bereported by business entities themselves or there is a public interest for them to bekept in the PRA.Affiliates of foreign business entities are parts of foreign legal persons that performactivities within the territory of the Republic of Albania, are registered or there is apublic interest for them to be kept in the PRA. Primary register bodies for theregistration of these units are the district courts.Sources of the BRA number of administrative sources were considered (in 1993) to be used as the basisof a statistical register. These were:– The Court Register. Pursuant to Law No. 7667 dated 28.01.1993 whichcreated a trade register for all legal persons in Albania. This excludes naturalpersons, including entrepreneurships.180/236

Pursuant to Law No 7804 dated 10.03.1994, theChamber of Commerce is obligated to maintain a commercial register but notto cover all market enterprises– Register of Taxation. All economic entities located and operating in Albaniamust register in this register and pay taxes to tax offices.Of these three primary sources, the tax register is considered as the mostcomprehensive in terms of coverage (in principle it includes all legal units andentrepreneurships). As a result, this source was selected as the best source forbuilding and updating the statistical business register. In terms of registrationprocess, economic entities are required to first register in the district court (forentrepreneurships) or Tirana court (for legal units). The date of their registration isthe date of the creation of the entrepreneurship or legal unit.Business Register is based on administrative sources provided by GeneralDirectorate of Taxation (GDT) and from 2007 also by the National RegistrationCentre, NRC, as the important reform for simplified registration of new businessregistration procedures.Contents of the BRACharacteristics which are recorded for the legal units and local units in the BR are:– Identification number (NIPT);– Company name;– Registered office and full address (municipality, settlement, street name,street number);– Geographic code;– The date of the act of foundation;– Data on the registration with the registry body (the body, date andconsecutive number of entry);– Main activity code (NVE);– Legal organizational form;– Date of commencement of operations;– Founder’s name and surname (name, address);– Representative’s name and surname (name, address);– Origin of foundation’s capital code (domestic, foreign, mixed);– Countries of foundation’s capital code;– Type of ownership code (private, co-operative, mixed and governmental);– Telephone number, fax number, e-mails;– Size class according to the number of employees for some legal entities;– Date of cessation;– Type of change code;– Number of administrative decree;181/236
