10 CONSTITUTION AND BYLAWSSecretary-Treasurer copies of all annual audit reports andfinancial reports setting forth a statement of liabilities and astatement of receipts and disbursements which are requiredby law. <strong>The</strong> Secretary-Treasurer shall at the end of this term ofoffice turn over to his or her successor in office all books,records, accounts, monies and property of the <strong>Local</strong>.In the interest of efficiency and the maintenance of necessaryand proper records for the transaction of business of the<strong>Local</strong> Union, the Secretary-Treasurer has the authority after aperiod of at least six (6) years to destroy and dispose of suchrecords as may be permitted by law and which are deemed tobe unnecessary and nonessential.<strong>The</strong> Secretary-Treasurer and all other officers and designatedemployees of the <strong>Local</strong> Union shall be bonded by a licensedsurety company for such amount as the Executive Board maydeem sufficient to fully protect the <strong>Local</strong> Union in accordancewith the requirements of applicable law and the provisions ofthe International Constitution and Bylaws. <strong>The</strong> InternationalSecretary-Treasurer may request an increase or decrease inthe amount of such bonds when he or she deems it necessary.<strong>The</strong> Secretary-Treasurer shall perform such other duties asmay be assigned by the President or President’s designee.Section 3. Duties of Recording Secretary. Under the directionof the President, it shall be the duty of the RecordingSecretary to attend meetings and to keep minutes of theproceedings of the <strong>Local</strong> Union and the Executive Board, tokeep a record of the names of the members comprising eachCommittee, to furnish the Chairman of each Committee with acopy of such Resolutions as may be adopted by the <strong>Local</strong>Union applicable to the duties of such Committee under thedirection of the President, and to assist the Secretary-Treasurer in the performance of his or her duties as providedin Section 4 above. In the Recording Secretary’s absence, thePresident shall appoint a member to act as Acting RecordingSecretary. <strong>The</strong> Recording Secretary shall perform such otherduties as may be assigned by the President or President’sdesignee.Section 4. Duties of Vice Presidents. Under direction of thePresident, Vice Presidents shall perform such duties as areassigned to them by the President on a full or part-time basis.Section 5. Duties of Executive Board Members. Underdirection of the President, Executive Board Members shallperform such duties as are assigned to them by the Presidenton a full or part-time basis.Section 6. Wage Information. Beginning in 2006, <strong>SEIU</strong> <strong>Local</strong> 1shall forward to the International Secretary-Treasurer, by April1 of each year, information and supporting documentation<strong>SEIU</strong> <strong>Local</strong> 1 11showing the average gross wage rate of its membership forthe previous calendar year.ARTICLE VIIIDUTIES OF THE LOCAL EXECUTIVE BOARDSection 1. <strong>The</strong> <strong>Local</strong> Executive Board shall hold regularscheduled meetings at least once a quarter unless waived bythe International President, and may hold other meetings atsuch time and place as shall be determined by the President ofthe <strong>Local</strong> Union. Fifty (50%) percent plus one members of theExecutive Board shall constitute a quorum for the transactionof business at any meeting of the Board. In the event of anemergency, the President or President’s designee may call aspecial meeting. If it appears that there may not be sufficientmembers at an emergency meeting to constitute a quorum, anExecutive Board member may authorize the presiding officerto cast his or her vote for or against any of the issues to bevoted on at such meeting by way of telephone, e-mail or fax,which vote shall be subsequently affirmed in writing andratified at the next regular meeting of the Executive Board atwhich a quorum is present.Section 2. <strong>The</strong> <strong>Local</strong> Executive Board shall have authority totake any and all lawful actions not inconsistent with thisConstitution and Bylaws to advance, safeguard and protectthe interest of the <strong>Local</strong> Union and the rights, duties andprivileges of officers, agents, and members of the <strong>Local</strong>Union, and to guide, manage, conduct and direct theactivities, affairs and functions of the <strong>Local</strong> Union in every wayincluding, but not limited to authorizing expenditures andutilizing the property and funds of this <strong>Local</strong> Union toward thefulfillment of the objects and purposes of this organizationand the interest of its members. <strong>The</strong> Executive Board isauthorized to establish, adopt, prescribe and order suchprocedures, rules and regulations consistent with theConstitution as are required for the fulfillment of the purposesand objects of the <strong>Local</strong> Union and for the management of itsaffairs. <strong>The</strong> Executive Board shall be authorized to providethat a member who is laid-off from employment or is absentfrom work due to employer lockout or Union authorized strikefor more than twenty (20) days in any calendar month, maybe entitled to credit for membership dues for the period ofunemployment but not to exceed six (6) months in anycalendar year.Section 3. <strong>The</strong> <strong>Local</strong> Executive Board shall, subject to theaction of the membership, be the final authority and thehighest governing body of this <strong>Local</strong> Union. It shall haveauthority to act for the Union between meetings of themembership.
