ARTICLE 1 - DESIGNATION OF THE CONTRACTING PARTIES<br />
For the purposes of these conditions of sale, “LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE” designates the Public, Industrial and Commercial<br />
Establishment that manages the said Centre, “the Organizer” designates the physical<br />
person or moral entity with which LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE is entering into a contract.<br />
LE PALAIS BEAUMONT - PAU CONVENTION CENTRE reserves the right to ask<br />
the Organizer for legal proof of listing in the Trades and Companies Register.<br />
ARTICLE 2 - PURPOSE<br />
2-1 - This document sets out the conditions for the rental of premises, facilities and<br />
services for different types of events from LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE.<br />
2-2 - The regulations apply to receptions, banquets and performances. However,<br />
given the specificities of those activities, Articles 3, 4, 6 and 7 may be modified by<br />
additional clauses specifying any particular terms or conditions.<br />
ARTICLE 3 - CONTRACTS - QUOTES<br />
3-1 - Contract<br />
LE PALAIS BEAUMONT - PAU CONVENTION CENTRE considers the rental<br />
definitive on receipt of the contractual document duly signed by both parties.<br />
All the pages making up the document shall be initialled.<br />
The contractual document must be signed at least THREE MONTHS before the first<br />
day of occupation of the premises. LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE undertakes to make the premises requested available to the Organizer for<br />
the agreed dates and the Organizer undertakes to comply with the clauses of the<br />
present terms and conditions.<br />
3-2 - Detailed quote<br />
The description of the premises, facilities and services rented for an event is given in a<br />
detailed quote issued by LE PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
The quote is considered to be an integral part of the contractual rental document.<br />
Any modification to the detailed quote requested by the Organizer must be confirmed<br />
in writing by LE PALAIS BEAUMONT - PAU CONVENTION CENTRE. A new detailed<br />
quote, incorporating the modifications, may be issued. Any new quote cancels and<br />
replaces the previous one. In the absence of any indication to the contrary, notified in<br />
writing, it shall be considered that the new quote has been accepted by the Organizer.<br />
The new detailed quote is used as the basis for the calculation and payment of the<br />
further deposit and the balance of the quote.<br />
ARTICLE 4 - CONTENT OF THE CONTRACTUAL DOCUMENT<br />
The document mentioned in Article 3 must contain the following wording :<br />
4-1 - The company name or identity of the Organizer, his address and, if necessary,<br />
the name of his agent or representative.<br />
For associations, the identities and offices of the board members may be required,<br />
along with the date and place at which the statutes were lodged.<br />
4-2 - The dates and times of occupation of the premises.<br />
4-3 - The title of the event.<br />
4-4 - A description of the facilities and services rented. A list of these items must<br />
appear in the body of the document or in an appended detailed quote.<br />
4-5 - The Organizer’s undertaking to comply with the clauses of the present terms<br />
and conditions and his acceptance thereof after reading them.<br />
4-6 - The date and total amount of the detailed quote, the amounts of the payments<br />
and the dates on which they are to be made.<br />
ARTICLE 5 - PREPARATION OF THE EVENT AND THE EVENT ITSELF<br />
5-1 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE shall appoint a<br />
representative who shall be designated at the latest ONE MONTH before the date<br />
of the event. The Organizer may be represented by his agent, in compliance with<br />
Article 4-1.<br />
5-2 - ONE MONTH at the latest before the first day of occupation of the premises,<br />
the Organizer must supply LE PALAIS BEAUMONT - PAU CONVENTION CENTRE<br />
with the definitive programme and times of the event, and details of the facilities and<br />
services to be supplied by LE PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
Any provision not included in the contract and for which an order is placed must be<br />
requested in writing by the Organizer. LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE reserves the right to refuse such requests if premises or facilities are not<br />
available.<br />
5-3 - For technical or other reasons, LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE may be forced to refuse any further commitment(s) during the month<br />
preceding the event.<br />
5-4 - Only the personnel of LE PALAIS BEAUMONT - PAU CONVENTION CENTRE<br />
is authorized to use the technical facilities and equipment belonging to the Centre.<br />
5-5 - Cloakroom services, simultaneous interpretation equipment and signage shall<br />
be supplied by LE PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
This condition is OBLIGATORY.<br />
GENERAL CONDITIONS OF SALE<br />
ARTICLE 6 - MODES OF INVOICING AND PAYMENT<br />
General provisions<br />
6-1 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE commits itself only to<br />
tax-exclusive prices.<br />
6-2 - Prices are increased by taxes at rate in force at the date of invoicing.<br />
6-3 - All payments must be made out to “CENTRE DE CONGRES DU PALAIS<br />
BEAUMONT.<br />
Special provisions.<br />
Reservation deposit.<br />
6-4 - A non-refundable reservation deposit must be paid by the Organizer on<br />
SIGNATURE OF THE CONTRACTUAL DOCUMENT (contract).<br />
6-5 - For events not exceeding 24 hours in duration, the amount of the reservation<br />
deposit is equal to the total amount of the detailed quote.<br />
6-6 - For events exceeding one day, the amount of the reservation deposit is equal<br />
to a percentage of the detailed quote. The relevant percentages are given in the<br />
table below :<br />

6-7 - Services requested or orders placed as part of a further commitment<br />
(cf. articles 3.2 and 5.3) shall be settled by the Organizer as follows :<br />
• those that can be evaluated will be incorporated into the detailed quote ;<br />
• for those that require a headcount, provision will be made in the detailed quote,<br />
with an adjustment in the final invoice ;<br />
• those requested during the event will, after agreement between the two parties, be<br />
incorporated into the final invoice.<br />
A recapitulation of the above will be made after the event.<br />
6-8 - After the event, LE PALAIS BEAUMONT - PAU CONVENTION CENTRE will<br />
issue a final invoice summarizing the premises and services requested by the<br />
Organizer, along with the extra premises and services not scheduled in the detailed<br />
quotes. The deposits will be deducted. THE FINAL INVOICE IS PAYABLE WITHIN<br />
15 DAYS.<br />
ARTICLE 7 - PENALTIES - CANCELLATION - LATE PAYMENT<br />
7-1 - In the event that the Organizer terminates the contract, LE PALAIS BEAUMONT<br />
- PAU CONVENTION CENTRE shall retain all sums paid and resume charge of the<br />
premises.<br />
7-2 - For terminations occurring within 12 months of the first day of occupation of the<br />
premises, a cancellation fee will be charged, calculated as follows :<br />

7-3 - Late payment shall give rise to a daily penalty calculated on the basis of oneand-a-half<br />
times the legal interest rate (cf. Act 92-1442 dated 31.12.92)<br />
ARTICLE 8 - PRICE UPDATING<br />
Quotes are given in line with the rates in force in the current year. On a discretionary<br />
basis, LE PALAIS BEAUMONT - PAU CONVENTION CENTRE updates its rates<br />
each year and applies the increases or decreases arising from the official price<br />
index to the detailed quote.<br />
Rates are updated as soon as the upward or downward change in the costs of Pau<br />
Area Service Providers exceeds 2%.<br />
ARTICLE 9 - LIMITATION OF RESPONSIBILITY<br />
If it proved impossible for the Organizer to take charge of the requested premises<br />
at the scheduled date and time, through no fault of LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE, the latter would be obliged only to reimburse the sums<br />
paid, after deduction of any expenses incurred in preparing for the event.
ARTICLE 10 - INSURANCE<br />
10-1 - With regard to civil liability, LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE is insured against all physical injury and/or material damage caused to<br />
third parties where the responsibility of LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE is incurred.<br />
The Organizer and/or any other physical person representing him are thus considered<br />
to be third parties and are entitled to any monetary reparation in the event of physical<br />
injury and/or material damage for which LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE may be deemed responsible.<br />
The above guarantees may be brought to bear in the event of the Organizer’s<br />
insufficient or non-existent coverage and/or in addition to such coverage, but only at<br />
the Organizer’s express request.<br />
10-2 - The above provisions do not apply to exhibitions and performances for which<br />
the Organizers must take out appropriate insurance policies, i.e. : organizers’ civil<br />
liability contract renouncing any claim against LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE and its insurers. The Organizers must produce the said<br />
policies 15 days before the event.<br />
10-3 - Participants at all events must take out all appropriate insurance, particularly<br />
against theft, for the goods displayed by them, renouncing any claim against LE<br />
PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
10-4 - By dint of the above, LE PALAIS BEAUMONT - PAU CONVENTION CENTRE<br />
declines all responsibility in the event of damage to effects and/or objects brought<br />
into LE PALAIS BEAUMONT - PAU CONVENTION CENTRE, unless the said<br />
effects and/or objects have been officially entrusted to the care of LE PALAIS<br />
BEAUMONT - PAU CONVENTION CENTRE under a special agreement between<br />
the Organizer and LE PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
10-5 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE has insurance<br />
coverage for the services made available to the Organizer, such as cloakroom<br />
services with an attendant and vouchers.<br />
ARTICLE 11 - SAFETY - SECURITY<br />
11-1 - During events, the Organizer must comply and ensure compliance with the<br />
legal and regulatory prescriptions for fire safety in establishments open to the public,<br />
particularly those contained in the Decree issued on 25.06.1980 and the Orders<br />
concerning each type of usage, and the house safety rules.<br />
11-2 - Unless expressly agreed, the Organizer shall have sole responsibility for and<br />
bear the cost of CHECKS AND CONTROLS ON ENTRY TO THE PREMISES. In<br />
order to comply with the safety regulations, he undertakes in all cases not to admit<br />
more people than there are seats and to limit the number of occupants of the halls<br />
and rooms to the maxima indicated by LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE. If numbers are exceeded, LE PALAIS BEAUMONT - PAU CONVENTION<br />
CENTRE will have the premises evacuated.<br />
11-3 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE will warn the<br />
Organizer of any event as soon as possible in the event of risks to the safety of<br />
persons and goods.<br />
It will then be the Organizer’s task to take all necessary measures, in liaison with the<br />
LE PALAIS BEAUMONT - PAU CONVENTION CENTRE safety department.<br />
11-4 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE undertakes not to<br />
send its own staff into the premises rented, except where necessary for technical<br />
reasons or on the grounds of safety or security. Persons authorized to enter the<br />
premises rented shall wear a badge.<br />
11-5 - To facilitate the preparation and running of the event, the Organizer is invited<br />
to equip his own staff and the members of his group with some form of recognizable<br />
insignia.<br />
11-6 - Animals may not be brought into the premises rented without the prior written<br />
permission of LE PALAIS BEAUMONT - PAU CONVENTION CENTRE.<br />
ARTICLE 12 - BY-LAWS<br />
12-1 - The Organizer must comply and ensure compliance with the legal or regulatory<br />
provisions concerning morals, law and order and the organization of meetings.<br />
12-2 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE may expel any person<br />
whose attitude or dress is deemed incompatible with the dignity of the establishment<br />
or who refuses to comply with the regulations.<br />
12-3 - The projection of cinematographic documents which have not been rated by<br />
the board of censors of the National Centre of Cinematography is forbidden unless<br />
proof can be provided that the planned projection has received a special dispensation<br />
from the said board.<br />
ARTICLE 13 - MISCELLANEOUS CHARGES - ROYALTIES<br />
13-1 - The Organizer must pay all taxes, duties, contributions and charges due and<br />
payable to any person or body arising from the event and be up-to-date with all<br />
entertainment industry insurance, social security and other contributions.<br />
13-2 - The Organizer must comply with the regulations in force regarding literary and<br />
artistic property and, mor particularly, conclude all necessary prior agreements with<br />
the appropriate bodies, especially the SACEM (French Society of Music Authors,<br />
Composers and Publishers) and pay the estimates and taxes that may be due to<br />
these bodies.<br />
13-3 - All filming, photography or total or partial reproduction of the premises in any<br />
form must be authorized by LE PALAIS BEAUMONT - PAU CONVENTION<br />

CENTRE who will retain the rights. Any unauthorized use of the name and/or logo of<br />
LE PALAIS BEAUMONT - PAU CONVENTION CENTRE will result in legal action.<br />
13-4 - All filming, photography or information given during an event is subject to the<br />
prior authorization of the Organizer.<br />
ARTICLE 14 - OCCUPATION OF THE PREMISES<br />
14-1 - Occupation of the premises rented must cease at the scheduled date and<br />
time.<br />
14-2 - The Organizer may however obtain an extension insofar as that does not<br />
affect the presentation or running of subsequent events. In this event, the extra<br />
hours will be invoiced on the basis of the rates in force for the premises concerned.<br />
14-3 - In the absence of an extension authorization, the Organizer must have the<br />
premises evacuated.<br />
14-4 - The above provision does not preclude LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE’s right to claim, where necessary, payment for unauthorized<br />
occupation of the premises.<br />
14-5 - LE PALAIS BEAUMONT - PAU CONVENTION CENTRE reserves the right to<br />
use the premises outside the rental hours scheduled in the contract.<br />
14-6 - The Organizer may use only the halls, rooms and access points allocated to<br />
him. The unauthorized occupation of other halls, rooms or annexes will be invoiced<br />
in full as an extra rental.<br />
14-7 - The Organizer is responsible for all aspects of compliance with these conditions.<br />
ARTICLE 15 - COMMERCIAL RESTRICTIONS<br />
15-1 - Any commercial activity by or on behalf of the organizer, including sales, rental<br />
or provision of services, requires permission from LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE.<br />
15-2 - Such permission implies compliance with these regulations.<br />
15-3 - The display or installation of advertising media outside the locations defined<br />
in the contract is subject to the approval of LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE.<br />
15-4 - The Organizer is forbidden to distribute food and drink, or have them distributed,<br />
without permission.<br />
15-5 - Prior permission must be obtained for the display, distribution or sale of any<br />
publication inside or outside the entrances to LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE. The application for authorization, indicating the title and<br />
nature of the publications, must be made at least 15 days before the event opens.<br />
ARTICLE 16 - INVENTORY OF FIXTURES - DECORATION - FITTING-OUT<br />
16-1 - The Organizer shall take charge of the premises, facilities and equipment<br />
requested in their current state at the time of occupation and return them at the<br />
agreed time in the same state, except for the provisions specified below. At the<br />
Organizer’s request, an opposable inventory of fixtures may be established.<br />
16-2 - Any further fitting-out or decoration of the premises rented must in all cases<br />
be authorized by LE PALAIS BEAUMONT - PAU CONVENTION CENTRE. Such<br />
work shall be carried out under the supervision of LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE at the Organizer’s expense and must not cause any<br />
deterioration of the premises.<br />
16-3 - In particular, it is forbidden to fix signboards, banners, hangings, pictures, etc.<br />
to walls or ceiling with nails, hooks, drawing pins, etc. or to stick objects to them with<br />
glue or adhesive tape.<br />
16-4 - Any special materials or installations that the Organizer may bring in with the<br />
agreement of LE PALAIS BEAUMONT - PAU CONVENTION CENTRE must be<br />
insured ; the policy must be presented 8 days before the materials or installations<br />
are introduced into the premises. They must be removed according to the conditions<br />
specified in the contract.<br />
16-5 - Failing that, LE PALAIS BEAUMONT - PAU CONVENTION CENTRE shall<br />
have the objects removed as a matter of course, at the Organiser’s own expense,<br />
risk and perils, without prejudice to any fee for further occupation that may be claimed.<br />
16-6 - Any deterioration or damage noted by LE PALAIS BEAUMONT - PAU<br />
CONVENTION CENTRE during the course of an event shall incur the joint and<br />
several responsibility of the perpetrator and the Organizer. If the perpetrator cannot<br />
be identified, the Organizer alone shall bear the cost of repairs.<br />
ARTICLE 17 - TERMINATION<br />
The rental contract shall be terminated as of right in the event on non-compliance<br />
with the present general terms and conditions.<br />
ARTICLE 18 - COMPETENCE<br />
18-1 - All disputes arising from the implementation or performance of these regulations,<br />
any options, the reservation or the rental contract shall fall within the competence of<br />
the Pau Administrative Court.<br />
18-2 - Only the French version of this document shall have legal force as an authentic<br />
text.
