A1109the Script Material the Producer may elect, by written notice to the Writer,to terminate the Producer’s obligation to accept delivery and pay for anyScript Material due on or after the missed deadline (the “Late Material”),notwithstanding that the contract may specifically deny the Producer’sright to terminate. If the Producer delivers such notice, the Producer shallbe deemed to have acquired a license in the Script Material delivered priorto the missed deadline and shall be entitled to engage one or more otherWriters to write the Late Material. Producer shall remain obligated to thefirst Writer for his/her share of any Production Fee and DistributionRoyalty which may become due as a consequence of the Producer’s use ofthat first Writer’s Script Material.Division of Production Fee Among Credited WritersWhere it is necessary to divide any Production Fee or Distribution Royaltyamong the credited Writers, the division shall be as follows:a) All Programs Except Variety Programs and Documentariesi) The credited Writer(s) of the Story or Screen Story contracted underthis Agreement shall share equally twenty percent (20%);ii) If a Writer has been contracted to write a Story or Screen Story foran episode of a Series, and an Outline is required from anotherWriter, then ten percent (10%) shall be paid to the Writer of theStory or Screen Story, and ten percent (10%) shall be paid to theWriter of the Outline;iii) The credited Writer(s) of the Script contracted under this Agreementshall share equally one hundred percent (100%) if there is no Storyor Screen Story credit, or eighty percent (80%) where there is a Storyor Screen Story credit;iv) When no Story or Screen Story is contracted separately, the Outlineshall be deemed to include the Story or Screen Story.b) Variety and Magazine Format Programsi) When the only credited Writers have been contracted as ShowWriters or Program Writers, they shall share equally one hundredpercent (100%);ii) When the credited Writers have been contracted as Show Writers orProgram Writers and Contributing Writers, the Contributing Writers46
