This agreement is subject to the terms of the current WGC IndependentProduction Agreement (“IPA”). All the terms of the IPA shall bedeemed to be included herein, except where specific terms morebeneficial to the Writer are included in this agreement in place of therelevant minimum terms in the IPA. If in any other respect anyprovisions of this agreement conflict with the terms and conditions of theIPA, then the IPA shall prevail, and in such event the conflictingprovisions of this agreement shall be deemed to be modified to the extentnecessary to cause it to conform to the terms and conditions of the IPAand, as modified, this agreement shall continue in full force and effect.207
