This can beextremely confusing when choosing the right product but the basicdifferences are generally related to quality of the product, toolability,drying times, flexibility and movement and adhesion properties. Soin a nutshell to help you understand sealant technology we havetried to simplify what the manufacturers are talking about:-The main product types are Silicone, Water-Based, Hybrid and PU;some are more compatible with certain materials than others.Here’s an overview with their benefits and limitations to help youmake a more informed choice:SiliconesSilicones can generally be split into two groups; Acetoxy Cure (AceticAcid) and Neutral Cure. All one part silicones cure by moisturepresent in the air surrounding them. All have different characteristics,some harder or softer than others. Some adhere to certain materialsbetter than others. No silicones are suitable for use with Bitumen,Asphalt or any Tar product and are not over paintable.Acetoxy CureThe most common and generally cheaper option. These smell ofvinegar which can be quite pungent. These can be used, withoutissue, in many applications in conjunction with many materials.However due to Acetic Acid being evolved during the curing process,Acetoxy silicones do have their limitations. These include:1. When used with untreated / unprimed metals such as Lead,Copper, Brass, Steel, etc. the acetic acid vapours can oxidise thesurface, creating a powdery residue between the bonds andsubsequently lead to adhesion failure.2. When used with any material containing cement such asconcrete, plaster, mortar and render. Cement is alkaline, asacetoxy silicones are acidic when curing there is a risk of reactioncausing adhesion failure.3. With some plastics, especially with silicones extended withsolvents. Testing is always recommended before use. Plastics canbe compounded with other unknown materials.4. Tiles made of natural stone which will react to the acid in thesilicone.Neutral CureNeutral cure silicones generally have better adhesion than acetoxy tomost common materials, including plastics. Adhesion promoters areeasily added to neutral cure silicones. Silicones&SealantsSilicones&SealantsNeutral Cure OximeOximes, which have only become prevalent in recent years, giveoff a chemical called MEKO when curing. There is some evidencethat MEKO is carcinogenic (cancer causing). Of late, low MEKOformulations are available with emissions that fall within thepermitted exposure limits. These are often extended with solventand fillers, they possess very good adhesion to the likes of PVCugiving a cost effective product for perimeter sealing in the glazingindustry.Neutral Cure AlkoxyAlkoxy silicones offer excellent adhesion without evolvingMEKO during the curing process. Can be used in a wide range ofapplications from glazing and engineering to general construction.Note: 100% neutral cure alkoxy products are the only silicones thatcan be used for ‘bedding in’ double glazed units. This is because theyare neutral cure and don’t contain any solvents that will degrade theinsulating glass seals.Common phrases encountered when asked for silicone sealants:Modulus: This is a calculation of stress and strain measurementsof the cured sealant. Low modulus dictates a softer and stretchiersealant. High modulus being harder and less elastic.RTV: This phase has been around for years and is normallyassociated with acetoxy products for engineering. However, RTVstands for ‘Room Temperature Vulcanising’, all this means is that itcures at room temperature. Technically, all one part, moisture curesilicones are ‘RTV’.LMA: Low Modulus Acetoxy cure.HMA: High Modulus Acetoxy cure.LMN: Low Modulus Neutral cure.Elasticity: Or movement accommodation is the percentage asealant will expand and contract in use. For example the movementrequired when installing a door frame would need a higher degreeof flexibility than one sealing around a work top. A Low Mod Neutralwould have approx 50% movement capability compared to 25% ofa High Mod Acetoxy.Water Based SealantsThese are blends of fillers and other materials bound together by awater based polymer emulsion and cure by evaporation. Dependingon the polymer used, some are more water resistant than othersand can be harder or softer. Drying times can vary substantiallydepending upon conditions and the water content of the sealant.Unlike silicones which will cure faster in warm humid conditions,water based sealants will dry more slowly. Warm, dry, wellventilated conditions will provide faster dying times.120Water based sealants are over paintable. All have an elementof ‘flexibility’, however ‘flexibility’ should not be confused withthe stretch, elongation or elasticity a silicone sealant will offer.Silicones will generally FAR out perform water based products in alldepartments when used as sealants. See our Mate Range Sealantson pages 12-13.Polyurethane SealantsOne part moisture cure Polyurethane offers excellent adhesion tomost materials, it offers good resistance to chemicals and abrasionwhen used as a sealant. PU sealants are generally harder thansilicones, unlike silicones they are overpaintable.PU’s are not normally found being used in domestic applications;they are more widely used in Engineering, Automotive, Constructionand Marine applications. They are among the mostversatile sealants available. They are neutral and cure by moistureto form a tough resilient, permanently flexible seal; resistant toUV, abrasion, salt water, mild solvent and acid, are overpaintableand can be applied in damp conditions. Many of us will remember this PVA glue as‘School Glue’; it is non toxic and low odour. These normally havea lower solids content (less polymer, more water) than highergrade wood glues. Generally used as sealers or bonding aids forplastering rather than adhesive.D2 - Generally a higher solids product with good adhesiveproperties. Suitable for interior woodworking, although notwater resistant.D3 - A version of D2 with higher water resistance. Suitable forinternal and external applications where occasionally wetconditions exist. Although not suitable for permanently damp,wet or permanently immersed locations. See our Duo 2 in 1Wood Glue (page 40).D4 - High strength with water resistance, once cured can beimmersed. One part D4 has a reduced shelf life (up to 6months) and can have a strong odour. Two part productshave a longer shelf life but require mixing together and usingimmediately. See page 45 PU Wood Glues.Another consideration when choosing a wood adhesive is its ‘creepresistance’. This relates to the products performance when subjectedto a sustained load (i.e. shelves). A product that conforms to BSEN 4071 or BS EN 14256 should be used for applications subject tosustained loading.Water Based AdhesivesWater based gun applied adhesives are suitable for porous surfacesin internal or relatively dry external applications. For non loadbearing situations such as dry wall adhesive, cove adhesive orfor dado rails, skirting boards, carpet gripper, etc. Cure rates willbe slower than solvent based equivalents, as they will cure (dry)by evaporation. Different grades with different characteristics areavailable for the job in hand. On walls or floors? Are other variablessuch as under floor heating involved?The Adhesives supplied are generally divided into two separategroups: cementitious (cement based powder adhesives) anddispersion (ready mixed, water based polymer adhesives).1. Dispersion AdhesivesDispersion, or ready mixed adhesives, are supplied in tubs ina paste form. They are made up of fillers bound together by asynthetic water based polymer emulsion. All dispersion adhesivescure by evaporation, no chemical reaction or chemistry takes placeduring curing. It is simply left to the water to evaporate from theadhesive in order to dry. For this reason dispersion adhesives are notrecommended for use when using large format*, impervious tilesor impervious backgrounds as the water cannot escape. Evaporationcan only take place through the grout joint or background – thewater needs somewhere to go.*Note: a ‘large format’ tile is considered to be a tile with asurface area greater than 0.9m 2 or 900cm 2 . This means tiles thatmeasure more than 30cm x 30cm (or 300mm x 300mm) shouldnot be fixed with a ready mixed / dispersion adhesive.Ready mixed adhesives are also limited to use on walls in dry oroccasionally damp areas (such as domestic showers).In summary, dispersion adhesives have their place, when used onwalls with tiles having a surface area no greater than 900cm 2 inmore or less permanently dry conditions.2. Cementitious AdhesivesThese are supplied in powder form to be mixed with a measuredamount of water. Cement based adhesives are generally superiorin performance to dispersion adhesives, they can be used either inplace of ready mixed adhesives or can be used where the conditionsdo not permit the use of a ready mixed product.Cement cures by chemical reaction (cement hydration), not just byevaporation. However, care should be taken that porous backgroundsare correctly primed in order that the water is not ‘sucked’ out of theadhesive before the cement has hydrated.Because having a route for any water to escape by evaporation is notsuch an issue, cement adhesives can be used with large format tiles,including very impervious (non porous) tiles such as porcelain and onimpervious backgrounds.Depending on the grade or classification, cement based adhesivescan be used in installations with under floor heating systems wherethermal movement is likely, when tiling on plywood boardedfloors where limited movement or vibration is likely, or even inpermanently immersed locations such as swimming pools.The adhesion and / or flexibility properties should be observed fordifferent applications with different demands.Classification of Tile Adhesives – What do they mean?EN12004 classifies tile adhesives, into type, class and characteristics.This should be shown on all compliant tile adhesive products. Thisdescribes the grade and subsequent suitability of the adhesive forcertain applications. EN12004 is explained as follows:-The first letter in the classification indicates the type:D = Dispersion or ready mixed adhesive.C = Cementitious, cement based, powder adhesives.This is followed by a number that indicates its class:1 = Normal strength adhesive, meets the minimumrequired level.2 = Higher strength adhesive that exceeds class 1.The type and class may (but not always) be followed by anotherletter that indicates any additional characteristics:E = Extended open time.T = Slip resistant.F = Fast setting.And finally, where applicable, relating to deformability(flexibility):S1 = Deformable adhesive that meets the minimum standard.performance of S1.Where we see EN12004 C2F S1; it is cementitious, class 2, fastsetting and deformable (flexible).EN12004 D1T is translated to; dispersion adhesive, class 1, slipresistant.130Tile GroutsTile grouts are classified under regulation EN13888 in a similarmanner to tile adhesives.Two letters determine the type:CG = Cementitious grout, cement based powder.The number to denote its class;1 = Standard grout which meets the required standard.2 = Grout which exceeds class 1 (reduced water absorption,increased abrasion resistance).This translates to EN13888 CG1 being; cementitious grout, class 1.In applications where a flexible (S1) adhesive has been used, aflexible grout should also be used.Tiling FAQ’sQ. Can I use a standard CTA on floors incorporating underfloor heating?A. No, a flexible cement based adhesive must be used. The addedpolymer content accommodates the movement caused by thethermal expansion and contraction created by the heating.Q. Can I use a ready mixed tile adhesive to fix large format tiles?A. No, it is generally accepted that a cement based adhesive shouldbe used to fix tiles larger than 900cm2 (i.e. 300mm x 300mm).Ready mixed adhesives depend upon evaporation in order tocure. Larger tiles do not allow the water to escape from theadhesive behind them, especially on non porous backgrounds,this extends the drying times considerably.Q. Can I tile directly onto existing tiles?A. Yes, providing the tiles are sound, securely fixed, dry, clean andable to support the weight of the tiles and adhesive to be fixed tothem. A key can be provided on glazed tiles by rubbing with coursesandpaper and cleaned. Any loose tiles or tiles that sound hollowwhen tapped should be secured first. Consideration regarding thesize and porosity of the tile should be made when choosing the typeof adhesive.Q. How do I fix natural stone tiles to floors?A. A cement based adhesive should be used to fix naturalstone, granite, limestone, marble, travertine and similar tiles.Consideration should be made as to whether a white cementbased adhesive should be used when fixing lighter colouredtiles to avoid staining. ‘Solid Bed’ fixing is recommended, thisis where a ribbed bed of adhesive is applied to the floor witha notched trowel and the back of the tile is ‘buttered’ withadhesive. Travertine is a type of limestone, it has been used in Italy asearly as Roman times. It has a very low density, in its naturalstate is full of holes and voids, these are often filled withsynthetic resins on the surface. Even high quality travertinescan have voids and holes throughout. The ‘Solid Bed’ fixingtechnique as described above must be employed in order toprovide sufficient support.Q. When can I use dot and dab fixing?A. You can’t. The practice of dot and dab fixing is not recognised.This entails applying 5 blobs of adhesive (one in each cornerand one in the centre) to the tile. This does not provide enoughadhesive coverage or support to the tile.Q. Can I use PVA as a primer before tiling?A. No. PVA is a bonding aid for plasterers and it is not waterresistant. Either an acrylic type primer or SBR should be use toprime porous surfaces before the application of tile adhesive.Q. Do plaster walls need priming before tiling?A. Yes. Hand Held or Straw Foam applicators are the most commontypes used. Aerosol propelled with simple straw dispenser thatattaches to the valve. These have a limited usage life onceopened and cannot be re-used once they have been restored.See Page 14 and page 29.2. Gun Grade or Gun Foam is produced to a predominantly closedcell formulation, unlike Hand Held, which means it yields ahigher extrusion rate. The benefit of gun grade is the gunallows for precision application meaning less wastage due toits variable valve. The gun should be purged with the gun foamcleaner after each use. See pages 14 and 29.3. Fire Rated Foam – normal foams are classed as self extinguishingwhich means they will not support flames but they offerprotection against them. Fire Rated Foams however, do offer fireretardant properties and are available in both hand held and gunoptions. With stringent building regulations dictating the use ofsuch products, the correct foams for such applications should betested to European Standards EN1366-4 which has supercededBS476 pt 20. These foams make ideal backing material to filljoints prior to sealing as the expansion ensures the void iscompletely filled thereby offering complete fire protection. Firesealing applications can include: joints between dry wall orcomposite panels, gaps around window and door frames, gapsaround switches and socket points, pipe access openings in orderto maintain the integrity of the fire wall. See page 32.4. Mega Foam – Bond it have a unique foam that is gun gradequality but in an aerosol format. With a specially patented valveit allows the tin to be used at 360 degree angle with either aspecial plastic adaptor of with the use of a standard applicatorgun. PolyurethaneFoamSealerCoverageWatch Points:Make sure any foam tins are warmed to room temperature prior touse. This can be done by putting it in a bucket of warm water, do notuse naked flames or any other heat source to warm tins as they willexplode.Store foam cans upright whilst stored or in transport.Shake cans vigorously before use.Apply foam with the can inverted (unless using Mega Foam).Moisten dry surfaces before application to help the foam cure andimprove adhesion.Protect surrounding surfaces prior to application as the foam isincredibly tacky.Maintain foam guns keeping them clean by using a Gun FoamCleaner after you change cans. This will prevent the gun fromclogging and becoming unusable.Remove excess wet foam immediately after application.Check the manufacture dates as most foam only has a shelf life of 12months (Mega Foam has 24 months).Do not puncture tins.Store only at temperatures of between 15 and 20 o C, climates thatare too cold or too warm will affect the performance of the foam(Mega Foam has lower operating temperatures).Do not store or use this product in the vicinity of naked flames.Understanding Fire FoamsA good example of the benefits of the CEN and ISO “globalharmonisation of standards” can be seen with Fire Rated PUExpanding Foam. The German National Standard for these products isDIN4102, there are three classes within this standard: B1, B2 and B3;B1 being the least. However, even the German DIN4102 B1classification often does not satisfy the building requirements for fireresistance in the UK. The British National Standard BS476 pt 20 is amore stringent test that addresses insulation and integrity properties,not just the spread of flame. Confusion has been caused by theDIN4102 standard being marketed in the UK as B1 or B2. B2 foamsare generally a cheaper option but in terms of their fire resistancecapabilities, they are well under par. It is imperative that if you areusing products that MUST comply with fire resistance, then a B1foam MUST be used to comply with legislation.As explained, EN standards are accepted as national standards in CENmember states, EN1366-4 is the European standard and is acceptedas a national standard in CEN member states including the UK. DEFINITION(a) The ‘Company’ means Seal It ServicesT/A Bond It.(b) The ‘Customer’ means the Company orperson which or who has contracted withthe Company for the purchase of goods(c) The ‘Contract’ means the Contractconstituted by the Company’sacceptance of an order.2. Subject to any special terms to which theCompany may agree in writing, everyContract constituted by the Company’sacceptance of an order will be subject tothese terms and conditions to the exclusionof all terms and conditions (standard orotherwise) which the Customer may seekto impose. The placing of an order will bedeemed to constitute acceptance of this term.3. (a) Nothing in these terms or the Company’scurrent price list shall be deemed toconstitute an offer, and the Companyreserves the right to refuse any order.(b) All orders are accepted subject to theavailability of the goods concerned.(c) A quotation by the Company does notconstitute an offer but remains opento an offer within 30 days. An offer ororder to purchase goods the subject of aquotation is not deemed to be acceptedwithout written confirmation from theCompany.4. PRICES(a) List prices are subject to alteration atany time without notice and all ordersare accepted on condition that they arecharged at prices ruling at the date ofdespatch.(b) Contract orders at agreed firm pricesmust be confirmed by the Companyin writing at the time the orders areaccepted.(c) Prices are subject to the addition ofValued Added Tax at the rates in force atthe date of supply.(d) Bond It may at any time require thePurchaser to make payment in advanceof delivery.5. PAYMENT(a) Payment for goods is due not later thanthe end of the month following the date ofinvoice. After that date the invoice will beoverdue.(b) Without prejudice to any other rights ofthe Company interest will be chargedat the rate of 21/2% per month fromthe due date on accounts which remainunpaid 30 days after the date they bearand interest will continue to accrue afterjudgement in any court at the higher ofthis rate or the rate specified by the court.(c) The Customer shall not be entitled towithhold payment of any sums due tothe Company by reason of any disputerelating to any goods or deliveries.(d) If the Customer fails to make paymentby the due date then without prejudice toany other rights of the Company:-(i) the Company shall be entitled tosuspend all deliveries under theContract with the Customer, and insuch event the Customer shall not bereleased from its obligations to theCompany, under the Contract or anyother Contract.(ii) the Company shall also be entitledto treat the Contract and/or any otherContract with the Customer as havingbeen terminated by the Customerand to claim damages for breach ofContract.139(e) Bond It shall not be bound by any oralquotation given, unless confirmed inwriting. Goods will be invoiced at theprice ruling at the date of despatch anda carriage contribution may be payablebased on rates then applicable Bond Itreserves the right to vary prices withoutnotice. Discounts do not apply unless byarrangement with Bond It.6. DELIVERY DATES(a) Any dates quoted for the manufactureor delivery of goods are intended to beestimates only, but the Company will usereasonable efforts to deliver on datespromised. In no event shall time be ofthe essence of the Contract as regardsdelivery and the Customer shall notbe entitled to refuse to accept goodsbecause of late delivery.(b) So long as any circumstanceswhatsoever beyond the Company’scontrol prevent or delay manufacture ordelivery, the Company shall not be boundto manufacture or make delivery of anygoods which it may have contracted tomanufacture, sell or supply.(c) The Company shall not be liable in in anymatter whatsoever for failure or delay inmanufacture or delivery howsoever sucha failure or delay shall have been causedand provided that the Company shallhave made reasonable efforts to deliverthe goods ordered.(d) The Company shall have the option toeffect delivery by installments and toissue a separate invoice in respect ofeach installment.7. DELIVERY AND CARRIAGEDelivery shall be deemed to have taken place:-(a) In the case of carriage arranged bythe Company by it’s own transport orotherwise, when goods are taken fromthe vehicle at the delivery point in theUnited Kingdom specified in writingby the Customer and agreed by theCompany prior to despatch.(b) In the case of carriage arranged bythe Customer by its own transport orotherwise when the goods are loadedonto the vehicle used.(c) Requests for deliveries to contract siteswill be facilitated as much as possiblewith the co-operation of our carriers.Please ensure that there is assistanceavailable off-loading. Information on dateof delivery is given in good faith. Bond Itcannot accept responsibility for delays indelivery however caused.(d) If goods are damaged in transit thecarriers note must be endorsedaccordingly and Bond It notified of thedamage within 7 days. Failure to notifywill invalidate any claim.8. RISK(a) The risk in the goods will pass to theCustomer upon delivery.(b) The Customer shall inspect goodsimmediately and shall within 3 days ofdelivery, time being of the essence, givenotice in writing to the Company and tothe carrier of any claims on account ofdamage or total or partial loss of goods intransit. Terms&Conditionst: 01422 315300 • f: 01422 315310 • www.bond-it.co.uk(d) If the Customer shall fail to make suchnotification (whether by reason of itsfailure to carry out an inspection of thegoods in sufficient time or for any otherreason) the Company shall be under noliability whatsoever in respect of any lossof or damage to the goods howsoeveroccurring after they were handed to thecarrier and the Customer shall remainliable to pay the full price for goods so lostor damaged.9. PASSING OF PROPERTY(a) The Property in any goods deliveredby the Company to the Customer shallremain in the Company until such timeas the Customer has paid in full for thosegoods and for any other goods deliveredby the Company to the Customer.(b) Notwithstanding this reservation ofownership, and subject to sub-clause9c, the Customer has the Company’sconsent to re-sell any goods whichremain the property of the Company inwhich event the Customer shall remit theproceeds of such sale to the Companyup to the amount of any sums then owingunder sub-clause 9a and until so doingshall hold such proceeds of sale on behalfof the Company in such a way that theyare kept separate and readily identifiable.(c) If the Customer:-(i) has bankruptcy petition issued againstthe Customer, or(ii) goes into liquidation whether voluntaryor compulsory, or(iii) makes an arrangement with theCustomers creditor’s, or(iv) has an administrative receiverappointed over any of the Customer’sassets, or(v) receives a written demand from theCompany to pay overdue sums owedto the Customer, or(vi) enters into a voluntary arrangementapproved by the court.Then the Customer’s consent from the Companyto do the acts referred to in sub-clause 9b shalldetermine and be deemed to have determinedforthwith and the Customer shall not thereaftersell or use goods belonging to the Company,save with the consent in writing of the Company,until the Company has been paid in full inaccordance with sub-clause 9a.(d) The Company may recover and disposeof any goods in which the Company hasretained the property under sub-clause9a and upon the happening of any of theevents referred to in sub-clause 9c theCompany or persons authorised by theCompany may for that purpose enter uponany premises where such goods may be.(e) The Customer agrees to store all goodsthat are the property of the Company insuch a way that are readily identifiable assuch and to make a note in its accountingrecords that goods are the property of theCompany.10. InsolvencyUpon the happening of any of the followingevents:-(a) (i) If the Customer shall make any defaultin paying any sum under any contractwith the Company as and when itbecomes due, or(ii) shall have distress or execution leviedon any of it’s goods or property, or(iii) shall make or offer to make anyarrangements or composition withcreditors, or(iv) shall make any voluntary arrangementapproved by the court.140(b) If the Customer being a limited company,any resolution or petition to wind up theCustomer (other than for the purpose ofreconstruction or amalgamation withoutinsolvency) shall be passed or presented,or if a Receiver shall be appointed overthe whole or any part of the Customer’sbusiness, or(c) If the Customer shall commit any act ofbankruptcy or have a petition presentedagainst him; all sums owing by theCustomer to the Company shall becomeimmediately due and for the the timebeing and the Company shall have theright forthwith to suspend all furthermanufacturing or other work carriedout for the Customer and to withhold allfurther deliveries of goods or to determineany contract then subsisting betweenthe Company and the Customer. Suchdetermination shall give rise to noliability whatsoever on the Company’spart but shall be without prejudice to theCompany’s rights to payment in respectof manufacturing or other work alreadycarried out or goods already delivered.11. LIABILITY(a) The Company’s total liability to theCustomer in respect of defective goods(whether arising pursuant to the Contractor to Statute or Common Law) will belimited to the replacement of the goodsconcerned or (at the Company’s option)the making of an allowance not exceedingthe price paid for them, and the Companywill not in any event be liable for anylabour or other charges in connection withthe installation or removal of defectiveor replacement goods. All liability of theCompany to the Customer of whatsoeverkind, and from whatever cause arising,beyond the foregoing limit is herebyexcluded. Notwithstanding the foregoing.(i) The Company will be under no liabilityto the Customer (whether pursuantto any Contract or otherwise asaforesaid) in respect of any goodssold as ’imperfect’ or under any othersimilar description, nor in respect ofany matter relating to the improperinstallation of goods.(ii) Any guarantee which may have beenapplied by the Company to any goodswill apply (but subject to the foregoinglimit) only to goods purchased by theCustomer on normal trading conditionsat list price or at any price the subjectof a quotation. Nothing in this clauseshall apply to the terms implied bySection 12 of the Sale of Goods Act1979. The Company shall not beobliged to consider grounds for returnof goods or claims for compensationunless the claim and the reason for itare made in writing to the Company.(b) The Purchaser shall determine thesuitability of the products for theirintended use and shall not rely upon anyrepresentations made by or on behalfof Bond It. The Purchaser must satisfythemselves that the goods are fit for thepurpose for which the Purchaser intendsto use them save as herein stated orexpressed or implied statutory or otherwarranties, representations, whether as tofitness or otherwise, relating to the goodssupplied by Bond It is hereby excluded.(c) Bond It shall not be liable to the Purchaserfor any loss, damage, delay, injury or anyconsequntial or special loss or damagesustained by the customer whatsoever,howsoever and whensoever causedarising directly or indirectly out of or inconnection with the performance or nonperformance of Bond It’s obligation,including but without prejudice to thegenerality of the foregoing, loss ordamage or delay caused by any faulty orunsatisfactory goods sold.12. SET OFFSThe Customer shall not be entitled to withholdpayment of any sums after it has become dueby reason of any right of set off or counter-claimwhich the Customer may have or allege or forany other reason whatsoever.13. POSTPONEMENT OF DELIVERYIn the event that the Customer requests apostponement in the manufacture or delivery ofgoods, the Customer will be liable to pay for thegoods at the price ruling at the date on whichthey are eventually dispatched (notwithstandingthe fact that the Company may have agreed afixed price). The Customer shall also be liableto pay to the Company on demand a charge tobe laid down by the Company in respect of thestorage and handling of the goods during theperiod of postponement and to reimburse to theCompany on demand any charges incurred bythe Company in effecting storage with a thirdparty. If the Customer does not specify a datefor delivery or ifwhen a specified date is reached the Customerthen asks the Company to delay delivery ofthe goods, without fixing a date for delivery,the company shall not be bound to deliver thegoods, and may treat such requests as breachof Contract.14. RETURNSThe Company will not accept the return of anygoods to it unless such return has received itsprior approval. Subject to the foregoing, goodswhich are returned for credit owing to error on thepart of the Customer (including returns arisingfrom duplication of orders owing to the failureof the Customer to mark confirmation orders assuch) will be credited at 80% of the original priceprovided that the goods are in perfect condition;if they are not in perfect condition (as to whichmatter the Company will be the sole judge) theywill be credited at their scrap value.15. CATALOGUES, ETC.All drawings, illustrations, descriptions andspecifications in the Company’s catalogues,price lists and other advertising material areintended to give no more than a general idea ofthe goods manufactured by the Company andsuch information is not intended to be and shallnot be relied upon as giving a precise descriptionof any goods nor as being representation as toany matter contained therein, nor shall any of itform part of any Contract with the Customer.16. DEBT COLLECTIONSIn the event that the Company shall employ aprofessional Debt Collection Agency or Solicitorto collect any monies due to the Company(whether or not a demand therefore shall havepreviously been made) the full costs incurred bythe Company in doing so shall be paid by theCustomer to the Company and be due 30 daysafter the Company shall have made a writtendemand therefore, interest shall be payable atthe rate mentioned in clause 10 on such sums asare not paid by the due date.17. WAIVERNo waiver by the Company (expressed orimplied) of any of these conditions in anyContract made with the Company shall preventthe Company from enforcing or relying on theseconditions in any subsequent Contracts madewith the Customer.18. LAWThese Terms & Conditions and the Contract shallbe governed by English Law.19. EXPORTS FROM U.K.141Where goods are exported from the UnitedKingdom the following provisions of this clauseshall apply to the contract in substitution for theprovision of clause 8 hereof. Goods for export willunless otherwise agreed be quoted ex works toa United Kingdom Company’s premises selectedby the Company. Where goods are exportedon FOB or CIF Terms, the costs and chargesincurred by the Company shall form an additionto the price of the goods payable in the samemanner and at the same time. The risk in goodssold on FOB and CIF terms shall pass when theycross the ship’s rail at the port of loading.20. COPYRIGHTa) Where the Company manufacturesgoods to a design provided or specifiedby the Customer (not being an existingdesign of the Company) the Customershall indemnify the Company againstall damages, costs, claims, lossesand expenses paid or incurred by theCompany (including all sums paidby the Company in settlement of anyclaim or action) in consequence of theinfringement or alleged infringement ofpatent, trademark, registered design,copyright or other legal rights of a thirdparty, and(b) For the purpose of Section 12 of the SaleOf Goods Act 1979, the Company shallbe bound to transfer only such title to thegoods as it may have.21. INDEMNITYCustomer shall indemnify the Company fromand against all liability loss, damage, injury cost,expenses claims and demands arising fromand cause other than negligence or breach ofContract by the Company.22. GENERAL(a) Any notice to be given under theseconditions may be delivered, or besent by prepaid post, sent first class,addressed to the party to be served atits registered office for the time being or(if not a Company) the address for thatparty last known to the party giving notice.Notices served by post shall (exceptwhere expressly provided otherwise) bedeemed served on the second businessday after the date of posting. ‘BusinessDay’ shall mean a day other than aSaturday and Sunday or an English Bankor Statutory Public Holiday.b) In the event that any of these conditionsshall become or shall be declared byany court of competent jurisdiction to beinvalid or unenforcable in any way, suchinvalidity or unenforcability shall in no wayimpair or affect any of the other conditionshereof all of which remain in full force andeffect.(c) Clause headings are for ease ofreference only and do notaffect construction.23. MONTHLY STANDING ORDERSWhere the Contract relates to orders acceptedon the basis of their being repeated monthly(standing orders), the Customer must give notless than 60 days notice in writing to terminatethe Contract. Any orders due to be suppliedunder the Contract within this notice period shallbe honoured by the Customer.
